WHEREAS the partles desire to provide for separate
ownership of each Parcel and to create easernents burdening each
Parcel for the benefit of the other and relating to the party
wall placed on the conmon boundary separating the two Parcelsi
Not{, THEREFORE, in consideration of the mutual agreements
of the parties contained herein, the undersigned hereby make'
publish and declare the following easements and restrictions
which shall hereafter run with the land and be binding upon and
Lnure to the benefit of the parties, their respective successors
and assigns forever:
1. Division of Subiect Prenises. The Subject Premlses is
hereby divided into two lots known as the Northeast Parcel and
the Southwest Parcel , as such lots are shosn on the Plat.
2.' Creatlon of Separate Estates. The Subject Premises,
togettrer with all improvenents thereon, ls being divided into
two separate estates by deeds of conveyance dated and recorded
simultaneously herewith' as follolts:
A. rne rorthd Parcel is to consist of all of the
land so designated on the Plat annexed hereto, all
inprovernents thereon and all easements and rights of way
appurtenant thereto as provided herein.
B. The Southwest Parcel is to consist of all of the
land so designated on the Plat, all inprovenents thereon
and all easenents and rights of way appurtenant thereto as
provided hereln.

Said deeds and thls agreement pernlt the separate conveyance and
encunbrance of each Parcel subject, however to the ter:ns of this
agreernent.
3. rrowner[ Defined. nOwnerr as used herein, unless a
contrary intention clearly appears, shall nean the Person or
persons holding title to one of the Parcels at the tlne in
question and rrOther Orynerrr shall nean the person or persons
holding tltle to the other Parcel at the same tine.
4. Partv Wall Declaration. The party wall dividing the
Northeast Parcel and the Southwest Parcel is hereby declared to
be a party watl and shall be construed as a party wall between
the structures on the two Parcels under the law of the State of
Colorado except as specifically provided herein.
5. Easement. Each Owner shall have a perpetual ,
reciprocal easement in and to that part of the subject Prenises
owned by the other owrier on which the said party wall is
located, for party waII purposes, including naintenanee, repair
and inspections of sane. Neither oldner shall alter or change
said party wall J-n any nanner, interior decorations excepted,
and said party wall shall always renain in the present location.
6. Maintenance of Partv l{all. The cost of naintaining the
party wall shall be borne equally by both owners.
7. Damacre to Partv lfall. fn the event of danage or
destructlon of said party wall fron any cause other than the

negligence of either onner, both Owners shall, at jolnt exp€nse,
repair or rebuild said wall and each owner, his successors and
'assigns, shall have the right to the fulI use of said wall so
repaired or rebuilt. If el.ther ottnerrs negll.gence shall cause
danage to, or destructlon of, saLd party'wall , said negligent
owner shall bear the entire cost of repair or reconstruction.
If either oerner shall neglect or refuse to pay his share of such
cost, or all of such cost l-n the case of hls negll'gence, the
Other Owner shall have such wall repaired or restored and shall
be entitled to have a lien on the prenises of the owner so
failing to pay for the arnount of such defaulting Ownerrs share
of the repair or replacement cost, together with interest at the
[axinum legal rate and attorneys fees if and to the extent
needed'to collect said sun.
8. DrLllinq Throuqh the Partv WaIl. Either Owrrer shall
have the right to break through the party wall for the purpose
of repairing, restoring or replacing utility lines including
sewer, water, electric, telephone and television aerial , subject
however to the obligation to restore sald wall to l-ts previous
structural condition at his own expense and to the palment of
the other owner of any damage negligently caused thereby-
Neither party shall have the right to break through the party
wall for any other Purpose.

9. Exterior of Structure. No Orner shall Dake or suffer
any structural or design change (including color change) of any
tlpe or nature whatever to the exterLor of any inprovement on
hls Parcel without obtalning the prior wrltten consent of the
other Owner, whLch consent shall not be'trnreasonably withheld or
delayed. No exterior structures or entrances in addition to
those presently placed thereon or according to architectural
plans agreed upon by both owners shall be constnrcted or added
without the consent of both owners, which consent shall not be
unreasonably withheld or delayed. All exterior wood and painted
masonry shall be repainted or restained three years fron the
date of initial painting or staining and at least every five
years thereafter unless both Owners agree to defer such
maintenance and the buildings on each parcel shall both be
reroofed every fifteen years with twenty year gruaranteed
materials, unless both Owners shall agtree to defer said progran,
all such work to be paid by each owner proportionately to the
percentage of total cost apptied to his unit or other
inprovenent. AIl landscaping as shown on the approved
landscaping plan of the entire subject PreniseE shall be
contlnually naintained, cultivated, pruned, trirnmed, and
replaced as necessary and all utility lines senring the Dernlsed
Premises, and all driveways and waltcways on the exterior of the
property shaLl be maLntained at all tines in first class

conditlon, and such lrork Ehall be equally pald by the owners.
Should either O!,rner fail or refuse to pay his share of the cost
of any of said work, the other owner shall be entltled to have a
lien on the Parcel of the defaulting oryner for the anount of
such defaulting ownerrs share of the cost, together rith
interest at the naxinun rate allowable by law and reasonable
attorneyrs fees, if necessary for collectlon.
10. Destruction of Druelllnq Unlt. fn the event of the
destruction of the dwellinq unit on the Northeast Parce1 or the
dwelLing unit on the Southwest Parcel , or any portion of either,
the exterl.or and structure of each dwelling so destroyed shall
be repalred and restored by its owner, provided however, that in
the event of slnultaneous danage to both dwelling units, the
Oerners 'agree to Jointly hire the sane archLtect (lf necesEary)
and the sane builder to do such structural and exterior work,
all resultlng costs to be divided between the owners in
proportion to the value of the work done for the benefit of each
unit. All such rebuilding shall be done in accordance with the
original approved construction plans, except as it nay be
necessary to nodify sane by reason of intervening changes of law
or unavllability of naterials, or unless both owners agree
othenrise at the tine. It is contenplated that any required
repair or reconstructlon will be covered by the insurance
required by Paragraph 11 hereof. In the event of a failure of

the insurance of either PartY, or a casualty or deterioration
not lnsured against, both owners shall be dlspensed frorn
reconstruction, and any work done by elther shall be voluntary.
However, if lnsurance proceeds are available and if the owner of
eLther damaged bullding does not commenci repaLr or
reconstruction wlthin sixty (60) days fron the date of such
danage, the other Owner uay do any and all exterior and
structural work which is reguired and if the defaulting owner
fails or refuses to pay the cost of such repair or replacement,
the ottrer Ouner contracting to do the work shall have a lien on
the Parcel of the defaulting oltner for the anount of such
defaulting partyts share of the repal.r or replacement costs,
together with lnterest and attorneys fees as above set forth.
11. Insurance. Each owner shall obtain and naintain at
all tines Replacement Cost Insurance against loss or darnage by
flre and such other hazards as are generally insured in the area
under standard extended coverage provisions for at least the
fu1l lnsurable replacenent cost of aII lnprovements on his
Parcel fron time to tine. Proof of such insurance and of
paynent of all preniuns therefor shall be supplied by each owner
to each other onner upon reasonable request and the policy of
each owner shall provide that it shatl not cancellable by either
the insured nor the lnsurance company without written notice to
the other Owner, who shall be an Additional Insured thereon.

Each ovrner may obtain such additional i as he desires.
Appraisals of the dwelling units on the respective parcels, or
estimates of replacenent cost, shall be made upon the request of
either Onner which shall be three years frorn the date of the
tast such appraisal or estimate, and upon any such tirnely
request the Owners agree to share equally the cost thereof. fn
the event either owner shall fail to keep the required insurance
in force, the other owner nay take out and maintain such
insurance and have a lien upon the Parcel of.the defaulting
O!'rner for all preniuurs paid and for reasonable legal fees
expended to collect such premiuns fron the defaulting Or,rner, if
any. Each Owner appoints the Other Or,sner as his Attorney in
Fact to obtain such insurance and agrees that the Other Owner
has an insurable interest sufficient, to obtain and maintain'such
insurance coverage on the Parcel of the defaulting Owner.
L2. Utilities. Easernents for the location, installation,
rnaintenance, repair, renoval, and/or replacement of utility
facilities (including but not limited to systems, lines, tanks,
neters and distribution devices for gas, water, sewer,
electricity, telephone and television purposes) are hereby
granted to Each oltrner, together with the right of ingress and
egress on, above, over and through each Parcel and the
inprovernents constructed thereon, it being understood however
that (a) any work done shall be subject to the obligation to
restore the land and inprovement as nearly as possible to the
condition prior to said work and (b) afl such work with respect
to said utilities shall be at the joint expense of both owners,

unless wlthin a dwelling unit or a line for the exclusive use of
a dwelling unit. The Iocations of such easements are sho!'tn on
the subdlv.ision nap but the said locations nay be changed or
added to if and as required by future circunstances'
13.The easements and
restrictions hereby created are and shall be perpetual and
construed as covenants running with the land and each and every
person who shall succeed to title of any portion of the subject
premises shall be deened to have accepted the sarne with the
understanding that he is bound hereby and that each and every
other purchaser is also bound hereby, and that he is tikewise
entitled to the benefits hereof and that any other present or
future onner is sinilarly entitled to the benefits hereof, all
to the same extent as if such persons had signed this
instrurnent. The undersigned, and future owners, in executing
and delivering Deeds to the respective Parcels, rnay provide by
reference in said conveyances that the sane are subject to the
ter"ns, conditions, reservations and covenants herein contained,
but all said conveyances shall be subject to the terms hereof
whether or not they expressly contain any such reference.
14. Riqht of First Refusal. Each of the original parties
to this agreement, before selling his parcel' shall obtain a
contract fron the proposed purchaser, together with such deposit
on contract that shall be acceptable to said seller, but shall

not consummate sucl)transaction until first s'Iittins to the
Other Onner a photoEtat of the said contract anE deposit ctreck
and not until at least thirty (30) days shall have passed
foltowing such notice to such other oltner. If during said
thirty-day period, the other owner shall elect to execute an
identical contract and provide an identical deposit, then the
Seller shall , instead, seIl to the Ottrer'Oltner. If, however,
the other owner shall not, within said thirty-day period,
execute an identical contract and provide an ldentical deposit,
then ttre selling owner may proceed to consumate the
transaction, but only with the contract purchaser and only on
the terms contained in the contract, and no otbers except for
reasonable extensions of closing date. In the event of a gift
of either parcel , whether inter vivos or upon death, or sale to
an innediate fanily menber, the option contained in this
paragraph shall not apply, but the donee(s), or i'nrnediate fanily
purchaser(s) and subsequent donee(s) and i'nmediate fanily
purchaser(s) shall renain subject to this option unlil the fj,rst
sale and offer to the Other owner-
15. Anendnents. These easenents, restrictions and
agreernents may. be amended or revoked only by instrument in
writing duly executed and acknowledged by aII Owners of the
subject premises at the tine and all holders of all nortgages
and other interests therein at the same tine.
16. General.
A. The lien of any owner for reinbursernent pursuant

to this agreement shall be subordlnate to the llen of any first
nortgage or fLrst Deed of Trust on the unlt of the other owner
to the extent of disbursements nade on such fLrst lien prior to
the palment to be reirnbursed.
B. should any Owner be required to enforce, by legal
proceedl.ngs or othenise, any provl.sion of th.Ls agreenent, and
l_n such connection lncur reasonable attorneys fees, he shall be
entitled to recover sane fron the Other Ouner provided he shall
prevail in any such action.
c. Each osner shall register his nailing address with
the Other Oitner upon succeeding to ownership and all notices or
denands intended to be served upon owners shall be sent by
registered or certified maLl , postage prepald addressed to the
addressi thus provided.
D. Prospective purchasers or encunbrancers of units
shall be entitled to deternine if a selling or encurnbering Owner
ls in default with respect to this agreement by delivering a
written inquiry with respect to thereto to the other owner and
if no response is received to such inguiry within thirty days
the other owner shall be deened to have waived any clain or
lien. The existence of a recorded lien, however, shall
constitute notice to a prospective purchaser of a clain by the
Other Owner and shall not be affected by failure to respond to a
request for lnformation.
