General Information: This application is required for all proposals involving minor chan - -
provements, such as roofing, painting, window additions, landscaping, fences, retaining walls, etc. Applicable Vail
Town Code sections can be found at www.vaiictov.com under Vail Information - Town Code Online. All projects re-
quiring design review must receive approval prior to submitting a building permit application. An application for Design
Review cannot be accepted until all required information is received by the Community Development Department, as

Maximum Comfort Pool & Spa,lnc. herein identified as "MCPS", is pleased to submit this spa sales order for the equipment,
materials, and services detailed or described in the following terms and conditions, to the general contractor or owner herein
identified as "contractor" or "owner". MCPS proposes to supply and install one portable moveable spa according to the
specifications, terms, and conditions listed herein. Spa must sit on a level surface.
The spa will be a lint Spring Spa brand model - "Vanguard"
manufactured by Watkins Manufacturing, Inc of Vista, C'A
In accordance with the plans and specifications for the ( omse~ Residence and the requested specifications
provided by the owners and the specifications provided herein by MCPS and the preliminary delivery and installation
schedule to be determined According to the terms of this Spa Sales Order MCPS proposes to furnish
the products, and services as specified herein for the following sum:
TOTAL PROPOSED INSTALLED PRICE: $ 12,464.70
Credit card transactions will be assessed the appropriate card transaction fee.
This price offered is based only on the specifications, terms and conditions listed herein this document.
The use of this price by the purchaser in a transaction between MCPS and the purchaser signifies
acceptance of all of the specifications, terms, and conditions listed herein this document. Any
subcontract agreements offered by the purchasing party will only be agreed to if this document In its
entirety is included as part of the contract documents.
This sales order only includes the supply and installation of the herein listed manufactured products. There are no
construction labor procedures involved or offered in this sales order. If the purchasing party requires a construction
subcontractor agreement to execute an order to purchase the proposed products then MCPS will withdraw this sales
order and will renegotiate different specifications, terms, and pricing.
THE PRICES STATED HEREIN ARE ONLY VALID FOR 30 DAYS FROM ISSUE DATE. ACCEPTED PROPOSALS
WITH DOWNPAYMENTS RECEIVED WILL REMAIN VALID FOR 90 DAYS UNLESS OTHERWISE AGREED

Items specifically NOT INCLUDED in this sales order, are the following:

4 Locations of utility lines i.e., telephone, cable TV, water, sewer, electrical.

Any and all other items specifically not included in this spa sales proposal are not included and no terms or
language shall be interpreted otherwise
This proposal is predicated on the following assumptions and clarifications :
`should any of these assumed conditions change then the price listed may change*
We assume the structure provided or supporting soil fill is capable of supporting the installation of the proposed spa.
We assume there is reasonable access to delivery site during normal working hours.
The owner or contractor will be responsible for sizing and supply of electrical service as required by the name plate
rating on the electrical appliances and equipment supplied by MCPS.
Installation specified herein will be done in accordance with applicable industry specifications and standards as well
as required local codes and regulations. MCPS will only he responsible for code compliance regarding the items
specifically listed as included in the proposed spa sales order. Any items that may be required by any applicable
codes that are specifically listed as not included, not listed, or not stated in this spa sales order are considered to be
work above and beyond the offered products and services. With proper authorization this new work will commence
on a time and materials charge basis.
Delays to the delivery date may be, and are not limited to (1) Unusual and extreme weather (2) Inability to access
delivery location beyond the control of owner, contractor, or MCPS (3) Request by owner or contractor to vacate
delivery location. (4) Delays in shipping or delivery of materials beyond the control of 11CPS. Delays that occur for
reasons beyond the control of MCPS will be fair and reasonble cause to change the delivery date by at least the
actual time of the delay. When a delay occurs MCPS will notify the contractor or owner of the delay and the change
of scheduled delivery date.
CHANGES TO SALES ORDER

The Owner or General Contractor, with out nullifying the terms of this proposal may direct MCPS in writng to make changes
to the sales proposal. Adjustment, if any, to the agreed total price and the delivery schedule of the Spa Sales Proposal shall
be set forth in a written change order. All Charge Orders must be in writing and approved by the General Contractor and or
Owner and MCPS before intiating the changes. Backcharges not approved by MCPS proir to the occurance of the backcharge
are not valid in any way.
INSURANCE
MCPS will carry adequate insurance in force for the following types of coverage Workmens comensation, General liabilty,
and Commercial Automobile. A request to provide more insurance than listed here will be provided at the cost of the
additional insurance plus a 15 % handling and overhead fee. Certifiates of Insurance are available upon request by the
General Contractor or Owner.

LIMITED WARRANTY INFORMATION AND DISCLAIMERS
Manufacturer's component equipment limited warranty:
All manufactured products sold and installed by MOPS carry the manufacturer's warranty as stated on their warranty cards.
These warranties are the sole responsibility of the manufacturer and there are no additional warranties either implied or
expressed by MCPS.
Acts invalidaling MCPS limited warranty:
Structural and surface limited warranty void if pool or spa is shut down and winterized. Surface limited warranty is void if
chemical water balance is incorrect as determined by the Langilier Saturation Index. Weekly records of water chemical balance
must be kept contemporaneously to validate saturation index measurements. Limited warranty is void if unauthorized persons
components, and equipment that make up systems constructed and installed by MCPS during the limited warranty period.
Unauthorized personsattempt service or repair of parts, materials, are defined as anyone not in the employ of MCPS providing
work to the product under limited warranty or anyone not obtaining written authorization from MCPS prior to attempting
service, installation, or modification procedures to the facility or system under the limited warranty. Components or
equipment installed by others may invalidate part or all of this limited warranty. MCPS must be advised in writing of any
changes in advance and will determine any effect on the limited warranty. This limited warranty is void if the product is
subjected to alteration, misuse or abuse. Misuse and abuse shall include: Any operation of the system other than in a
ccordance with the printed operating - maintenance instructions provided in the owners manual.
Extent of limited warramt,:
This limited warranty extends only to the original consumer purchaser of the constructed products provided by MCPS.
Limited warranty performance:
In the event of any malfunction or defect covered under the terms of this limited warranty, an authorized service technician
of MCPS will repair the malfunction or defect. Items needing repair or replacement not covered under the limited warrantv
will be charged to the customer at normal technical service labor rates and parts and materials prices including applicable
taxes and travel time.
Disclaimers:
MCPS shall not be liable for loss of use of the pool or spa or any other incidental or consequential costs, expenses or
damages, which may include but are not limited to the removal of permanent decks, walls, or other custom fixtures and
charges for the use of heavy equipment or specialized tools necessary to access the area or component requiring warranty
service, repair, or replacement. Under no circumstances shall MCPS or any of its representatives be held liable for injury to a
ny person or damage to any property, however arising.
ANY UNKNOWN, UNFORESEEABLE OR UNDETECTABLE DAMAGE, SUBSURFACE OR OTHERWISE CONCEALED
CONDITIONS, MALFUNCTIONS, OR DEFICIENCIES THAT MA Y BE DISCOVERED DURING THE REPAIR,
INSTALLATION, OR CONSTRUCTION PROCESS THA T A D VERSEL Y A FFECT THE, PROPOSED WORK WILL BE
CONSIDERED WORK ABOVE AND BEYOND THE DEFINED SCOPE OF THIS WORK AND WITH PROPER

Important Notice:
This spa is built with high-density, closed cell urethane foam. When empty of water and left in the direct sun on a hot day
without the insulating spa cover in place, the spa is vulnerable to solar heating damage. This damage occurs because the spa is
insulated so well that heat cannot penetrate into the foam core and is therefore concentrated in the Spa surface. Temperatures in
excess of 250 degrees Fahrenheit can occur in the seating area. No spa material can withstand this temperature. This abuse and
damage is not covered under warranty. The spa cover must be kept on and secure while the spa is empty of water. At delivery of
the spa it is the responsibility of the owner or owner's representative to protect and secure the spa surface and structure.

ACCEPTANCE, SCHEDULE, AND PAYMENT TERMS
Upon signing by the general contractor or owner signifying acceptance of this spa sales order, installation and delivery details and
submittal documents will be provided fully illustrating the design, materials, and procedures to be utilized in supplying and delivering
the spa defined herein. These details and submittal documents, once accepted by the owner or general contractor. shall be the basis
for installing the spa as well as inspecting and approving the actual installation.

Maximum Comfort Pool & Spa, Inc. will not agree to withholding of retainage funds on progress payments.
In the event that it is necessary for MCPS to employ legal counsel to enforce any of the terms of this agreement purchaser/
contractor/owner agrees to pay MCPS's costs and reasonable attorney's fees incurred in connection therewith.

Although the sums set forth for each payment are specific, the dates '4 completion of each phase or task are based on
the schedule set forth at the start of the work. Those dates may change. The due date for the invoice provided to the owner
or general contractor will be 5 calendar days from date of receipt of invoice. Payment will be deemed to be late one day
after the fifth day. Delay of payment fees will begin on the sixth day and accumulate each day until payment is received.
Failure to make payments as defined and agreed upon will cause a suspension of the delivery of these products until
payment is made. Maximum Comfort Pool & Spa, Inc. will not agree to withholding of retainage funds on progress payments.
