Hi Warren:
I got your message on Friday about some changes to the agreement. We are happy to make whatever changes
you feel are necessary, however as drafted the agreement includes 8 permanently reserved spaces and up to 7
additional spaces within the campus.
It sounds as though with the renovation of the library, there will need to be additional parking beyond the 8
reserved spaces. I am sure WMC will be able to make whatever accommodation is necessary but again, I
think the agreement already allows for use of 15 spaces total as necessary.
Please give me a call and let me know what we can do or if you want to change the language for our review that
would be acceptable as well.

We could also have a nicely crafted condition of approval on the plan that creates this understanding as
well. At the end of the day, the Town owns the land and if the Town ever decides its not happy with the
arrangement or wants use its property differently, it can do whatever it wants.
I think the VVMC does a nice job of trying to create new and improved systems and plans to meet everyone's
goals.
I am also available to work with Matt and Warren to put something together either as a letter or condition.

Darryl has asked me to work on this re-stripe plan for the VVMC in hopes of getting a plan that works for `
everyone. I met with Warren on Thursday of last week. We have determined that we do not need to amend the 4

Hi Warren:
I had an opportunity to review the recent materials submitted on behalf of VVMC to re-stripe the parking
lot. We would like to meet with you and see if we can get on the same page with this project. We would like to
take a huge step backwards and clarify a few things.
As you are aware WMC is always striving to maximize parking count,utilizations, and efficient flow within
the parking lot for the many different types of users of the facility.
We don't believe that we need to revisit the 1986 agreement and see no need to amend that document (approval
would be just as the 2009 approval).
We don't believe we need to revisit snow storage. Last time we just dealt with no net loss of landscape area and
believe we can continue with that here.
We will sign the same number of parking spaces as we did with the 2009 approval in an easy and convenient
location for the Town staff. I'd like to review this with you.
I also see the other comments with regard to fire staging and ambulance district signoff. I think the fire turn
radius issue is simply a matter of widening of the shaded area on the plans. There appears to be enough room. I
am uncertain what has changed in the access for the ambulance district that warrants a need for their signoff
(although I am sure we can obtain that).
Let me know if you have some time this week to meet and review the plan and come up with a list of issues to
address. Maybe 10:00 on Thursday before the EV meeting?

You need to break down the amount of parking for the Howard head facility specifically,that is the use
that enacts this provision. If the policy of the hospital is to valet Howard Head patients please provide
the written policy.This provision of the building code that may be appealed at the town level to the
Board of Appeals but you will still be in violation of federal law(ADA).The appeal process at that level is
the Attorney Generals office.
For the ADA, please see section F208.2.2 of the ADA 2004.
May I suggest that you and your team assemble the aforementioned information and we can discuss
alternatives that may help you achieve compliance without having to meet the total 20%. I can review
the approach with the AG office to insure the solution is acceptable to them as well.

regarding the amount of code required accessible parking. The end result of the 20%accessible
requirement along with the compliance with the Middle Creek easement results in a net loss of

plan. They have requested to have the Ambulance district sign off on the new plan with regard

Pam Brandmeyer and myself spoke in depth yesterday about the document you provided us with. In general,we,the
Town are amenable to the creation of an agreement which would largely result in an update of the May 1986
agreements. In order to move forward with working with you to craft an acceptable agreement we would request that
you provide us with the Exhibits which were attached to the May 1986 agreement. We were unable to locate these
attachments in our records. Pam and I were unaware that such an agreement existed and need to understand this
agreement to a greater degree.
In reading the May 1986 agreement we developed several questions. It is clear that the hospital is to provide a
minimum of 220 parking spaces.The agreement identifies several methods for obtaining this requirement. The
agreement identifies 85 on site, 29 off-site leased spaces from Sun Vail of Manor Vail, and the use of the Town's Lot 10
(believed to be 17 parking spaces). This only totaled 131 spaces. Where were the remainder to be located? It is
imperative that we identify where the hospital is satisfying the 220 parking space requirement. What are the parking
counts in the garage, surface lot,off-site leased spaces, and the Town lot?
Any agreement to which the Town would sign needs to clearly identify that Lot 10 is Town owned and will contain
assigned parking space for our employees (estimated currently to be 10 parking spaced of the 17 we own)the
remainder could be signed potentially as short term parking. There are discussions about expansions to the library
which will also need to be contemplated with regard to the Town's ability to access its parking spaces on Lot 10(if we
needed to sign more than 10 parking spaces). It will not be acceptable for Town employees to valet park or be
potentially left to wonder the larger parking area looking for a parking space. These are some of the elements we need
to work through.
We look forward to working with you on developing an agreement. Please provide the exhibits and responses to the
questions above so that we might move forward.

REASSIGNMENT OF PARKING SPACES
This Reassignment of Parking Spaces is made effective as of this 20`h day of
Julv, 2011 (the"Effective Date") by and between the Town of Vail, Colorado, a Colorado
municipal corporation (the"Town") and the Vail Clinic, Inc., d/b/a Vail Valley Medical
Center, a Colorado non-profit corporation (the "Hospital").
WHEREAS, the Town and the Hospital are parties to that certain Agreement dated_�
5, 1986 the"Agreement") and that certain Lease Agreement dated May 5, 1. 9��(the"Lease");
and
WHEREAS, pursuant to the Agreement and the Lease, the Town leases certain real
property known as Lot 10, Vail Village Second Filing ("Lot 10") to the Hospital for use as
above-ground parking ; and
WHEREAS, in accordance with Paragraph 11 of the Lease, the Hospital is required to
provide fifteen(15)parkin s a e within the Hospital's main parking area for use by the Town,
its agents an employees; and I�
WHEREAS, neither the Agreement nor the Lease specify any particular location for the
Town's parking spaces so long as they are located within the Hospital's main parking area and
accessible by the Town and it agents and employees; and
WHEREAS, the Hospital and the Town have verbally agreed to reassign the parking
spaces currently assigned for the Town's use, and now wish to memorialize the reassignment.
NOW THEREFORE,the Town and the Hospital agree that the fifteen(15) parking
spaces provided by the Hospital for the Town's use shall be as set forth on Exhibit A, which is
attached hereto and incorporated herein by this reference.
Except as specifically modified herein, all of the terms and conditions of the Agreement
and the Lease shall remain in full force and effect. Neither party is in default of the Agreement or
the Lease as of the Effective Date.
IN WITNESS WHEREOF, this Reassignment of Parking Spaces has been executed by
each party's duly authorized representative effective as of the date first above written.

LEASE AGREENfENT
THIS LEASE AGREEMENT is made and entered into by and between
the TOWN OF VAIL, COLORADO, a Colorado municioal corporation ( "the
Town" ) a,nd VAIL CLINIC, INC. , d/b/a VAIL VALLEY MEDICAL CENTER, a
Cvlorado nan-pro�it corporation ( "the Lessee" ) .
WHEREAS, the Town wishes to lease �o the Lessee and the
Lessee wishes to �ease from the Town certai.n property more
particularly described below to enable and to assist the Lessee in
meeting its parking requirements as required by the Town of Vail
zoning ardinances in connection with the Lessee ' s proposed
expansion of the Med ical Center.
NOW, THEREFORE, in consideration o£ the mu�ual promises and
covenants contained herein, the par�ies agree as follows:
1 . Lease Premises
The Town leases to the Lessee and the Lessee hereby leases
from the Town the property described as Lot 10, Vail Village Second
Fil ing, situated in the Town of VaiJ. , County of Eagle and State of
Colorado. ("the Premises" ) This property is shown on the diagram
attached hereto as Exhibit A. �
2. Term
� The term of �he lease shall be for one year commencing on
, 1986 and ending on ' �Q , 1987, unless
so er terminated as hereinafter rovided . Thzs�lease shall be
automatically renewed for subsequent one year terms unless either
party gives written notice to the other of its intent not to renew

lease.

5. Altezations .
After entering into possession of the Premises, the Lessee
shall make no alterations, additions or improvements in or to the

consent. The Lessee shall pay or cause to be paid all costs for ;`
work done or caused to be done by it in or to the Premises and
Lessee shall keep the Premises free and clear of all rnechanics'

6. Condition o� Premises
The Lessse agrees to keep the leased Premises in a clean, �
sate and orderly condition at all times and will so use the
Premises as not to injure it or damage it except as such c�amage may �
arise out of ordinary wear and tear resulting from law�ul use in ''
accord ance with the terms of this lease agreement. ;
7. Expenses and Costs
During the term of this lease the Lessee shall pay all costs
and expenses relating to the Lessee's use of the Premises or the
improvements thereon which may axise or becorne due.
8 . Sndemniticatian
The Lessee ag rees to release , indemnify and save harmless
the Town, its officers, agents, employees and Counci]. members from
and against any and all loss of or damage to property or injuries
to or death of any person or persons , including property and
employees or agents of the Town, for which the Lessee may be held
legally responsible in connection with its operation af or a.ts use
or occupancy of the leased Premi.ses . The Lessee shall defend ,
indemnify and save harmless �he Town, its of�icers , agents ,
employees and Council members, from any and all claims , damages,
suits, costs including attorneys fees, expenses , li.ability, actions
or proceedings of any kind or nature whatsoever ox by anyone �
whomsoever in any way resulting from ar ar�sing out of, directly or
indirectly, any ac� or ornission of the Lessee a.n conneCtion with `
its operation of or its use or occupancy of the � leased Premises and

9. Insurance
Lessee covenan�s and agrees that it will , during the term of
this agreement, extend and maintain its existing comprehensive
general liability coverage in amounts not less than five hundred
thousand dollars ($500,000) far bodily injury to or death of any
person or persons or damage to property in connection with the
Premises. The Lessee shall furnish the Town a certified cvpy of
said policy or policies. Said policy or polici.es shall include the
Town as an additional insured with respect to the Premi.ses. All
such policies shall contain a provision that the same may not be
cancelled or materially changed or altered wi,th respect to the
Premises without first giving thirty ( 30 ) days ' prior written
notice sent by registered mail to the Town.
10. Use of Premises
The Lessee agrees not to use or permit the Premises to be
used for any purposes prohibited by the laws of the United States
or the State of Colorado or ordinances of the Town of Vail ,
provided that, during the term of this lease , the Town of Vail
shall not pass any orc3inance which would restric� or prohibit the
Lessee from using the Premises for the purposes contemplated by
�his lease. �
1 '[. Town Parking Spaces .
The Lessee agrees to provide fifteen ( 15) spaces for the
Town, its agents and empl.oyees to use within the main parking area
of the Hospital . Lessee shall develop a systern assuring that Town
of Vail employees, officers and agents shall have access to the
cars parked in the main parking area which system shal� be reviewed
and apprdved by the Towri of Vail prior to the issuance of a
building permit for the proposed addition to the Vail Val].ey
Medical Center.
12. Lessee' s Default and Termination of the Lease
A. If the Lessee is in default in the performance af any of
the covenants , terms or conditions of this J.ease the Town shall
give the Lessee written notice of default, speci.fying the default.
If such default is not cured within thirty (30 ) days after written
notice thereof is received by the Lessee, the 2'own shall give the
Lessee £ifteen ( i5) days ' written notice of termination. A� the
expiration of such €ifteen ( � 5 ) c3ay period , this lease shall
terminate as completely as if it were the date definit�ly fixed for
the expiration of the term of this lease and the Lessee shall then

formal demand or notice of any kind , to reenter the leased property

16. Entire Agreement
This document and its Exhibits contain the entire agxeement

I. RECITALS
1 . The Hospi�al is the owner and operator of a hospital
facility located within the public use zone district of the Town of
Vail and wishes to expand said hospital facility.
2 . In or8er for the Hospital to expand , it must first

3. As a part of the issuance of the conditional use permit
the Town is obligated to establish off-street parking and loading

4. The Town has established a total parking requirement for
the Hospital of two nundred twenty ( 220 ) parking spaces .
5. In order to help the Hospital ful f ill �he o£f-street
parking requi.rements established by the Town, the Town is willing
to lease certain property owned by it to the Hospital under certain
terms and conditions set forth herein.
� 6. To further enable it to meet the parking requirements
�he HospitaZ wi31 provide for a certain amount af valet parking at
the on-si�e parking lot and in addition will lease a certain number
af off-site parking spaces .
II . AGREEMENT
:
1 . The Town hereby issues the Hospital a conditional use
permit for the construction of a nospital facility to be
constructed as set forth in the plans on file in the Community
Development Bepartment of the Town in accordance with the terms and
canditions hereof.
2 . As a candition to the i.ssuance of the conditional use
permit the Nospital agrees to provide a total of two hundred twenty
( 220 ) parking spaces to meet the parking c3emands of the existing
hospital facility as well Gs t�is proposed hospital expansion. _

3 . In order to help the Hospital meet its p�arking
requirements pursuant to this Agreement, the Town hereby agrees to
lease to the Hospital Lot 10, Vail Village Second Filing , County of �
Eagle, State of Colorado. The parties shall enter into a lease in
the fozm of Exhibit A at�.ached hereto and made a part of this
agreement by reference prior to the issuance of any building permit f
for this hospital addition. Upon termination of the lease for any
reason whatsoever, the Hospital will be responsible for replacing
a7.1 par king spaces leased from the Town of Vail within the time
frame set £orth in Paragraph 6 so that the total number of parking
spaces available to �he Hospital is not dimini.shed .
4. The Hospital hereby agrees to provide eighty five { 85)
on-site spaces which would be utilized exclusi.vely for "valet" type
parking , as more particularly set forth in the diagram filed with
the Planning and Environmental Commission and at�ached hereto as
Exhibit B and made a part of this agreement by reference.
5. The Hospital agrees to lease twenty-nine (29) oft-site �
parking spaces from the Sun VaiZ Condominium Iassociation until such
time �hat said twenty-nine ( 29) spaces may be provided on--site. At
its option, the Hospital may initially lease these �wenty-nine (29)
spaces from Manor Vail Lodge, or any other .entity instead of Sun
vail provided that any ].ease of parking spaces other than at Sun
VaiJ. must be contingent upon the approva]. of the Town pursuant to
Sectivn 18-52-170 of the Town's zoning ordinance ana approved by
the Planning and �nvironmental Commission. Any such decision of
�he Planning and Environmental Commission may be appealed to the
Town Caunci7. within �en ( 10 ) days by wri��en no�ice of appeal .
This appeal shall be heard by the Town Counci.l within thirty ( 3�)
days , unl.ess cantinued for additional information. ,
The off�si.te parking spaces shall be used only by employees
of the Hospital and neither patients nor visitors to the Hospital.

6. The valet parking service and the use of the off-site
parking spaces shall only be required' for employees working the day
shi.£t of the Hospita �- Additionally, neither the off-site parking
nor the valet parking service shall be required during the months
when Vai3. Mountain is not in operation for the use of skiers.
Should the Hospital fail to provide either the off-site parking as
well as the valet parking service as set forth and required by this
agreement it shall, withi.n one year, commence constructa.on of a
parking structure , or provic3e an alterna�ive plan for on-site
parking to be approved by the Town in accordance with existing
orclinances and criteria.
7 . The Hospita], agrees that it wa.11 not provide any
compensation to its employees for �he purchase of a Town of Vail
parking pass . Further , the Hospital agrees to assume sole
responsibility for the monitoring and controlling their employees '
use of on-site parking .
8. The Hospi�al agrees that should it proceed with an
additional expansion beyond that indicated an the plans submitted
by Fisher Reese and Johnson dated October 25, 1985, all required
parking including �he two hundred twenty (220) spaces required for
the presen� expansion as well as any additional spaces required
from further expansion shall be provided on-site.
9. Attached hereto as Exhibit C is the formula used to
arrive at �he two hundred twenty (220 } parking space reauirem ent
for the hospital. expansion. The parties understand that this
formula shall be evaluated from time to time during the term of
zhis agreement to determine whether the parking requirement is
appropriate . Consequently, this formula may not be the one
utilized when determining the parking requi.rements for any future
hospital expansions or ad8itions.
10. Failnre of the Iiospita]. to perform, keep and preserve
any of the terms , covenants or conditions contained in this
agreement which shaZl continue for ninety (90) days after written
notification thereof shall constitute a default of this agreement.
11 . Because of the uncertainly and di�ficulty of ineasuring
actual damage for each day the Hospital is in default hereunder ,
�he parties agree that the Hospital sha1.1 pay to the Town as
liguidated damages and as a penal.ty the sum of fifty ( $50 . 00 )
dollars per day for each day the �iospital a.s in default under the
terms of this agreement.

In an effort to respond to guest and patient needs and improve the efficiency of the
parking operations on the campus of the Vail Valley Medical Center (WMC),WMC
has developed a revised parking layout and flow that maximizes usage and
efficiency. We have submitted plans to the Community Development Department to

implement these changes.
I� For years the Town of Vail has graciously allowed WMC to implement it's parking
operations within the Town owned parcel located on the southwest corner of the
campus known as Lot 10. We appreciate the cooperation the Town has afforded
WMC by allowing WMC to control parking spaces that would otherwise be
restricted to use by the Town and its employees. Lot 10 has the capacity to hold
approximately�par ing spaces.
In discussions with you and the Library staff, the primary user of the Town's
parking, it was indicated that the Library staff finds that on any given day they need
six arking spaces plus two overflow spaces for a total current need of e�ht,
reserved and dedicateT pa+rking spaces. �`e�� .� ,�,
The Town has agreed to allow WMC to d dicate and reserve eight parking spaces
on Lot 1 (i.e.,these spaces are restricted f�TOV seven ays a week), as shown on
the approved plan attached hereto, in exchange for the use of Lot 10 for parking and
circulation and any additional parking spaces the revised parking plan affords to
WMC. WMC agrees to allow an additional seven Town of Vail cars within the other
parking areas of the site for periodic day use (but not overnight storage of vehicles)
as the need arises and upon notice from the Town of Vail. These additional seven
parking spaces are anticipated to be used heavily for the next ths while the
library ' being renovated and therefore WMC should anticipate nd accommodat�

The Town of Vail and WMC agree that should either party wish to discontinue this
understanding and parking arrangement they may do so by providing at least 60-
day notice to the other party. Once the parking arrangement is terminated,the
Town of Vail may take full control of Lot 10 in any manner it sees fit and in
accordance with the Town Code. For as long as the parking lot on Lot 10 is laid out

Here are the comments from the review of the plans dated March 2011,submitted on June 15. Please review and let us
know if you have any questions.
Fire Department:
• Sheet FG-102 shows a conflict between an identified accessible parking space and the truck turning movement
to exit the parking lot. Please revise to eliminate this conflict.
• Ambulance District sign-off will be required prior to final approval of the DRB application.
Public Works Department:
• Prior to approval a plan shall be submitted identifying the strategy to accommodate parking needs while the
work is occurring. This plan will need to be reviewed and approved.
Building Department:
• The required number of accessible parking space is 10% of the total provided for this Occupancy Type. 5
accessible spaces are shown which is below this minimum requirement. This requirement can be addressed
through the adoption of a policy which will provide a method of parking those in need. A policy which may be
successful would be to provide valet service. Please put in writing how you plan to address this
requirement. Should you have questions or wish to discuss solution please contact Martin Haeberle at 970-479-

• Please include pedestrian path (could be flagstone or poured concrete)from the southwest corner of the
parking lot on the Town property to Meadow Drive to provided employees of the library more direct access.
• Please provide a landscaping plan for the new planters. Provide location, quantity, size, and species.
• Please provide details on the plan to prevent the plowed snow from entering the creek(ie.fence). t
• Please show the steel pipe in the bollard/sign mounting detail being painted a brown complementary to the °
colors on the WMC building. Consider using a brown powder coated pipe for all sign mounting applications. �
• Is there a formal adopted agreement for the use of the Town's property for combined parking? Please provide a ;
