Subject to THE CONSTRUCTION CONTRACT, the requirements of the Contract Documents and Divisions 00 and 01 govern the Work of this Section. 2. Specifications and Drawings are intended to agree and be mutually explanatory and shall be accepted and used as a whole and not separately. Should any item i be omitted from the Drawings and be included in the Specifications, or vice - 1 i versa, it shall be executed the same as if shown and contained in both, at no II additional cost to the Owner. Should anything be omitted from the Drawings and Specifications necessary for the proper construction of the Work, or should any error or disagreement between the Specifications and Drawings exist, or appear I to exist, the Contractor shall not avail itself of such manifestly unintentional error or omission, but must have same qualified or adjusted by the Owner prior to undertaking the Work. It is the intent of the Contract Documents for the Contractor to provide complete working systems unless noted otherwise. 1 a. It is the intent that the Work included under each category of the Drawings shall cover the Scope -of -Work in conjunction with the Specification Sections, and vice - versa, and as required for a complete 1 Project, meeting all Codes and Regulations set by Federal, State and local municipalities (together known as "Authorities Having Jurisdiction "). 1 Lionshead Transit Center 00 0101 - 1 PROJECT TITLE AND Vail, Colorado GENERAL INFORMATION For Construction 30 June 2010 3. Neither the Architect nor the Owner will be responsible for, or have control or charge of, construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the Work, in accordance with the Contract Documents. Neither the Architect nor the Owner will be responsible for, or have control or charge over, the acts or omissions of the Contractor, subcontractors, or any of their agents or employees, or any other persons performing any portion of the Work. 4. It is to be understood by the Contractor that the Project, including during the course of construction, is required to meet all aspects of Codes and Regulations of the Authorities Having Jurisdiction. 5. If on occasion the Contractor feels the Owner or its Consultants are requiring Work beyond the Contract Documents, it shall be immediately brought to the Owner's attention, per the provisions of the General Conditions, so that a prompt resolution may be determined with the Owner. Without such notification, any claims for additional compensation based on excessive construction material or quality standards, shall be waived. 6. It is to be understood by the Contractor that in accordance with industry practice, it is probable that all specific construction field conditions are not detailed on the Contract Documents. In the event of such occurrence, the Contractor shall submit a proposed detail in accordance with acceptable industry standards and governing Codes, as well as the Design Intent of the Contract Documents. The Owner and /or its Consultants will review said detail for approval or necessary alternate equal industry standard. The Owner and its Consultants will not be responsible for additional costs or claims to the Work within the aforesaid policy. 7. The Contractor is cautioned that when a "Work Included" or "Section Includes" paragraph is included, it is intended to be general and in no way limits or qualifies the Contract requirements. B. Specification: The Specifications are generally divided into trade sections in accordance with the Construction Specifications Institute (CSI) Master Format, 2004 Edition, for Construction Specifications for the purpose of convenience and reference only; though not all categories are applicable to every Project; refer to Section 00 -0110 — Table of Contents for actual Specification Sections issued. 1. I 1.02 GENERAL I A. Subject to THE CONSTRUCTION CONTRACT, the requirements of the Contract Documents and Divisions 00 and 01 govern the Work of this Section. B. The General Contractor interested in bidding the job, and it's bidding subcontractors and I suppliers, are expected to review the Drawings and Specifications, including any supplements in their entirety. 1. Any conflict or inconsistency between the Contract Documents, and any 1 discrepancies within the Contract Documents, shall be submitted by the interested General Contractor directly to the Architect for review and written interpretation. I C. The bidding General Contractor, along with bidding subcontractors and suppliers, shall visit the construction site and familiarize themselves with the existing conditions that may be encountered in performing the Work. I 1. The bidders shall include any costs associated with the findings in the process quoted in the proposal. D. The bidding General Contractor shall be responsible and ensure that bidding I subcontractors and suppliers provide fully functional and operational systems and equipment. I E. The bidding General Contractor shall review the complete set of Contract Documents and be responsible for inclusions and exclusions, and coordination between all bidding subcontractors and suppliers, to ensure that all related Work for each building system and operational system and equipment are complete and fully operational. I 1. The bidding General Contractor shall include in the Work, cost of material and installation of such related Work. a. Example: Providing electrical service for appliances that may not be I shown in the Electrical drawings. Example: Providing a drinking fountain that is shown in the Architectural drawings but it is not shown or scheduled in the Plumbing drawings, or specified in the Specifications. F. Bidders are expected to familiarize themselves with the Project - related laws and acts, and Codes and Regulations of the Federal, Sate and local municipality in which the Project is located. G. Bidders shall base their bid upon the use of the items specifically named in the Contract Documents, or as accepted in Addenda issued by the Architect. H. Bidders are required to submit a Bid Bond in the amount of 5 percent of the proposed total price, together with the proposal. 1. The successful bidder shall provide a Bond in the amount of 100 percent of the contract price. 1. Successful bidders shall be required to submit proof of insurance at the time of executing the Agreement. 1.03 DEFINITIONS A. AIA Documents: Various Documents and Forms prepared by the American Institute of Architects (AIA). B. Bidder: A person or entity who submits a bid for a prime contract with the Owner (Ref: AIA Document A501). For the purpose of this Project, a bidder is anyone or entity who submits a bid for the Work or portion thereof. C. FTP Site: File Transfer Protocol (FTP) is a standard network protocol used to exchange and manipulate files over the Internet. D. Guaranteed Maximum Price (GMP): Sum established in an Agreement between the Owner and Contractor as the maximum compensation to be paid by the Owner to the Contractor for performing specified Work on the basis of cost of labor and materials, plus overhead expenses and profit. (Ref: AIA Document A111) E. Internet: The Internet is a Y lobal system of interconnected computer networks that use g the standardized communications protocols used for the Internet and other similar networks. F. Website: A collection of related images, videos or other digital assets that are addressed with a common digital domain name; document or resource of information that is suitable for the World Wide Web and can be accessed through a web browser and displayed on a computer screen. 1.04 CONTRACT DOCUMENT AVAILABILITY A. A complete set of Drawings and Specifications and project - related supplements (Contract Documents) are available through the Town of Vail, and may be obtained on July 6, 2010 from the Town of Vail website in PDF format at www.vailgov.com /transitcenter. B. The cost of copies of Contract Documents is the sole responsibility of the bidders. 1.05 INTERPRETATION OF DOCUMENTS A. All bidder questions shall be submitted in writing. All subcontractors and suppliers shall submit their questions to the bidding General Contractor. 2. The bidding General Contractor shall collect, analyze and coordinate the I questions prior to sending them on to the Owner and Architect for response. a. Electronic mailing (email) of the questions in digital electronic Adobe Acrobat PDF format is acceptable. I B. Questions shall be submitted by the bidding General Contractor to the Owner and Architect. Questions may not be transmitted directly to the Architects professional Consultant(s). 1. Questions shall be submitted to the Owner and Architect no later than 12:00 noon, 10 working days before the date set for receipt of Bid Pricing. C. Any such interpretations and supplemental instructions provided by the Architect and I professional Consultant(s) will be in the form of written Addenda that will be sent to the bidding General Contractor, who shall be responsible for distributing the documents to the appropriate parties. 1. All issued Addenda will become a part of the Contract Documents. 1 1.06 CHANGES AND SUBSTITUTIONS I A. Items herein specified under manufacturers' names and catalog numbers are intended as a basis of quality and not as a closed specification, unless noted otherwise. B. Items other than those specifically named in the Specifications, or as indicated in the Drawings, will be considered by the Owner, provided a Substitution Request of such items is received by the Architect in writing no later than 12:00 noon, 10 working days before the date set for receipt of Bid Pricing. I C. Each Substitution Request shall be submitted in accordance with Section 01 -6000 — Product Requirements. Substitution Requests received after the above time and date will not be considered. 1. Bidding subcontractors and suppliers shall be responsible for notifying the bidding General Contractor and advice the Contractor of all associated changes affecting others Work. 2. The biddin g p General Contractor shall be responsible for coordination of acceptable Substitutions with bidding subcontractors and suppliers. D. Changes or Substitutions will not be considered after the award of the Contract, except 1 those that result in a better quality of work, a savings to the Owner, or both. 1.07 PROPOSALS I A. All bid proposals shall be submitted by subcontractors and suppliers to the potential General Contractor for collection, assembly and analysis. Proposals sent to the Architect or Owner will not be accepted. I B. Bidders shall submit their quoted price in writing and shall include the cost of materials, labor, equipment, delivery to the jobsite, incidental work and applicable sales and use taxes, if any, to provide fully complete and functioning products and system assemblies. I C. Bidders shall submit their bids according to the referenced Project Documents and the following: I 1. Itemize cost by each Specification Section. 2. List any Specification item exclusion separately. 3. Indicate the number of working days required to complete the Work. If Work is phased, provide time schedule for each phase of Work, such as roughing -in and finishing work. D. Incomplete bids submitted by a bidding General Contractor, including any and all information requested herein, will be rejected upon such determination by the Owner. E. Along with bids, bidders shall submit written evidence of financial position and previous experience as stated in each appropriate Section, current Work commitment and license to perform Work in the State and the municipality, if required, where Project is located. 1. Evidence shall be written on company letterhead and signed by the bidding owner or company executive. a. Submit evidence to the bidding General Contractor for collection and assembly and submission to the Owner. • F. Bidder's proposal shall be submitted on the company letterhead and in accordance with the following: 1. Incorporated bidder's proposal shall include president and secretary's names and be signed by the president and secretary, or a duly authorized agent, and be accompanied by the corporation seal or stamp, including the name of the State in which the company was formed. 2. Partnership bidder's proposal shall include all partner's names and note proportion of the partnership and be signed by all partners. 3. Sole Proprietor bidder's proposal shall include owner's name and social security number, and be signed by the owner or duly authorized agent. G. The proposal form and all attached documents together with any required proposal guaranty shall be placed in a sealed envelope marked for identification and delivered to the location indicated by the Owner, prior to the date and hour stipulated. 1.08 TYPE OF CONTRACT A. The following documents have been provided as reference documents for informational and reference purposes only. Neither the Owner nor Architect make any warrantees or guarantees as to the exact boundaries of the Project site, setback, or easement locations. I 1. A s provided in the Drawings. 1.04 GEOTECHNICAL REPORT I A. The following documents have been provided as reference documents for informational and reference purposes only. Neither the Owner, Architect, nor the Geotechnical Engineer providing the Report make any warrantees or guarantees as to the exact I subsurface geological or hydrological conditions present at the Project site. 1. As provided by the Owner and included in the Project Manual. See Section 02 3200 — Geotechnical Investigations. 1 1.05 CONTRACT DOCUMENTS A. The Contractor shall be provided with one set of unbound, full -size bond originals of the I Contract Drawings, and one set of unbound, double -sided bond originals of the Specifications, upon Notice to Proceed. Any additional sets required to complete the Project shall be the responsibility of the Contractor, unless otherwise provided by the Construction Contract. 1.07 DIGITAL DATA DRAWING FILES I A. The Architects and professional Consultants Computer Aided Design (CAD) or Building Information Model (BIM) drawing files shall be made available under the following conditions: 1.
