kind whatsoever, attorne�►'s fees, and anq costs and e�penses whiah are directly or indirectly caused or
contributed to, ox claimed to be caused or contributed, by any act of omission, fault or negligence, whether �

showing in force the following insurance for comprehensi�e generalliability,automobil�liabilaty, and
�vorkers compensation�`:
• comprehensive general liability with limits of not less than$1 million per occurrence;
• automobile liability in comprehensive fonn with eoverage for owned, hized, and non-o�vned automobiles; I
• workers compensation insurance in statutory form.
* All written binders must contain a clause indication that certificate holders be given a mininium of 10
da�'s r�vritten notice prior to cancellation of Subcontracto�''s insura.nee. Subcontractor must�urnish the
insurance binder referred to above as an express condition precedent to the Contractor's duty to make
any�rogress payments to Subcontractior pursuant to this Agreement,
F. EXPRESS WARI2ANTY
At the request of Contractor, Subcontractor will promptly replace or repair any work,equip�ent, or
materials that fail to function properly fox a period of one year a{�er completion of the project, at
Subcontractor's own expense, Subcontraetor�vi11 also repair any surrounding parts of the structure that
are damaged due to an��failure in Subcontractor's work during tlae warranty period.
The completion of the project is identified as tihe date of receipt of Certificate of Oeeupancy from the
governing building department.
G. LA'VVS,�GU�ATIONS & SAFETY
Subcontractor wi11 comply�vvith all sta,tutes and regulations that establish safety requirernents(ineluding,
but not lim.ited to those of OST�A and a.ny state agency regulating job-site safety), B�►sigr�ing this
Agreement, Subcontractor kno�ovingl�' and vvillingly accepts full responsibility for the safe operation of
� 'all of its acti�ities and the protection of other persons and propert� during the course of this projeet,•
T�. DYSPYJ'TE RESOI,UTION c� ATTORNEY'S F��+S
Any controversy or claim atising ou�of or related to this Agreement involving an amount less than
$5,000(or the ma�cimurn limi�of the court) must be heard in the Small Claims Division of the 1Viunicipal
Cout�t county where the Contta,ctor's office is located(Eagle Coun�'y, CO). Anq controversy or claim
arising out of or related to this AgreemEnt which is o�er the maximum dollar limit of the Sma11 Claims
Court must be settled by Binding Arbitration administered by the American Arbitration Assoeiation in -
accordance with the Constzvction Industry Arbitration Rules. ]'udgment upon the a�vard may 6e entered
in any Cou�t ha�ving jurisdiction thereof.
� Subcontractor agrees to contractually make this AAA Arbitration Dispute�esolution Clause irrevocably
bind and"flow down"to a111o�vver-tier Subcontractors. This Agreement is not assignable.
The prevailing party in an�'leg�l proceeding related to this Agreement sha�l be en�itled to payment o�'
I reasonable attome�'s fees, costs, and expenses.

This Subcontract Agreement represents the entire agreem�nt o�the parties. Prior discussions or ve�bal
representations that are not contained in this Agreement aze not a part o�this Agreement. This
Agreement caru�ot be modified by oral agreements but can only be modified by a written agreementi
whieh is signed by both partied.
