I was self employed in commercial real estate for 30 years with my last major endeavor involving repurposing century old industrial buildings into office and retail uses. I currently work part time (mostly remote) managing family properties in the RiNo neighborhood in Denver. I've owned property in Vail for 11 years and have recently made Vail my permanent home. Which Boards would you like to apply for? Art in Public Places: Submitted Why are you interested in serving on this board? This opportunity is ideal for me because it brings together my passion for public art with my desire to connect with and contribute to the Vail community. Barry Danielsen N/A Retired Barry Danielsen 6 • What unique and particular qualifications do you bring to the position? Please provide specific examples. Commitment to Artists and Public Art: - My family carved out about 4,500 sq. ft. of our Bindery on Blake project and built out 14 art studios that we rented on a MTM basis to artists at deeply discounted rents. We ran these studios for two years until our biggest tenant expanded into the studio space. To keep the studios open, we rented a 4,500 sq. ft. space down the street at market rents, re-built the 14 studios, subsidized the rents and moved our artist community in for another 5-years. The RiNo Art District took over the operations after that and the studios live on today. - We have happily ‘contributed’ many large and small walls to the various street art festivals over the years. What is your experience serving on other Boards? Board Experience: - 6 years on the board of the Colorado Consumer Health Initiative as Treasurer. CCHI advances the consumer voice to improve access to health care for all Coloradans by working statewide for progress toward equity, affordability, and quality. - 9- years on the board for St. Anne’s Episcopal School (PK-8) in Denver which included 5-years as Treasurer and co-chairing the Strategic Planning Committee. - 4-years on the Board of for the High Mountain Institute (HMI) in Leadville as chair of the Committee on Trustees and later as Treasurer. HMI is primarily an academic and wilderness semester school for motivated college-bound juniors. - 3-years on the board of Big City Mountaineers, a non- profit organization that offers wilderness mentoring expeditions for under-served urban youth. What skills and experiences do you have to advance the mission of the Board? While I don't have an education in art or art history I truly appreciate all the richness public art brings to communities. Besides my board experience set forth above, I have a background in finance which may or may not be useful. I'm used to serving on working boards and I'll show up and do the work. I'm a quick study and am good at playing with others in our side of the sandbox - once I figure out how that works. What do you see as the primary role of this Board? To curate, expand and maintain Vail's public art collection. What do you believe is the largest obstacle facing this Board in the upcoming year? I'm not aware of any what I would call obstacles. I'd guess that some of the top major priorities might include the selection and integration of the Dobson public art and any remaining unfinished items from the strategic plan. Also, I've never been involved with a non-profit where funding wasn't a constant priority. Public art enhances and transforms public spaces with aesthetic appeal, reflects Vail's history and values, and offers educational, interactive, and entertaining experiences. I'd say I enjoy AIPP’s robust collection of art that can surprise with sometimes unexpected locations and a wide variation of art and subject matter ranging from playful and whimsical to commemoration of the valley’s history. Will you be able to bring concepts for programs, artists, and installations forth for Board discussion and consideration? I think your Strategic Plan outlines many of the things I would like to see such as continuing to develop diversity within the artists, their styles and materials pertaining to both the Artist in Studio and Residency programs. I like the idea of bringing art to outlying communities and developing community engagement and temporary installations to promote awareness of AIPP’s programs. He earned a B.S. of Business Administration from the University of Colorado in addition to an M.B.A. in Finance from the University of Denver. Following his graduation from college, Barry embarked on a career in commercial real estate, spending eight years at Boettcher & Company and two years with CBRE. Subsequently, he founded and ran a solo consulting practice for twenty years, advising REITs, investors, owners, and brokers on financial aspects related to acquisition, disposition, and development opportunities within the commercial real estate sector. I am finally a resident of Vail and now qualify to serve on the boards and committee here, but I have been an engaged participant in civic on goings for the last two years. I want to serve my community, and I want to utilize my professional and personal skills and passions to continue growing and expanding the amazing work that has been done in this town to support art and culture. I work for the community and the town's largest arts & culture nonprofit. I serve on the Town of Avon's CASE committee which I have developed relationships with local artists, representatives from the Vail Valley Art Guild, and other stakeholders in the larger arts community here in Eagle County. I also wrote a Grant for a mural at Homestake Peak School. Sadly, we weren't selected but it was a great learning experience in arts funding. What is your experience serving on other Boards? For the last year I have been a committee member on the Town of Avon's Culture Arts & Special Events Committee. I am Co-Chair of the Board of Directors of Bodykind Vail. I serve on the Executive Committee for Eagle County Gives. Finally in my fulltime job with Bravo! Vail Music Festival I am a staff representative on both our Community Relations Committee and our Marketing & Development Committee What skills and experiences do you have to advance the mission of the Board? In being part of a mural jury selection committee, I learned about the process of selection. Additionally following the selection process for Dobson art was interesting to hear the questions on longevity, upkeep, and preservation of art especially art we intend to place outside in the mountains. I'm also a connector and this community needs more of that. We need people to connect the dots between the various organizations and municipalities to make this a vibrant and beautiful place to live. I would further the mission of this board by continuing to support and advocate for additional and lasting public art in our community. What do you see as the primary role of this Board? To continue on the path ahead and promote, grow, build more public art and art events in our community. To advocate for more art in every piece of public development going forward. Activate the Vail Art Studio with local & visiting artists. What do you believe is the largest obstacle facing this Board in the upcoming year? There are no obstacles only opportunities, it's all about perspective. "No mistakes just happy accidents" -Bob Ross. The biggest obstacle facing this board would be in a Town so busy and full of exciting growth and difficult challenges advocating that art and culture are crucial parts of our continued development as a community. In a town and county which we constantly discuss housing (rightfully so) it's important to remember that even as we develop more places to live we continue to make this town a place people WANT to live through cultural vibrancy. Art is expression, art is resistance, art is representation, art is community, art is suicide prevention, art is joy, pain, beauty, grief, art is the human experience. Art is important to vail for the community building and space creation. It allows community members a place to gather, relate, discuss, and connect. Art can be a safe place and safe vehicle to express the challenges in our life and find comradery in those challenges. Vail can be a hard place to live. Art can be the bridge that connects people. Aside from the personal, community, and mental health benefits of art. I believe that art & cultural events can be one of the ways this community begins developing a more year-round economy. Investing in art and culture could unlock more art museums as year-round tourist destinations. Imagine a Leaf Peeping Art Festival in October or a Mural Festival in May as we fill the village with visitors and locals alike celebrating art in our community. Question applies to Art in Public Places What do you most enjoy about Vail's Art in Public Places program? I love the new Vail Art Studio and I'm so excited for the future of it. I see that being a real launching pad for more artists in residencies in this community. As well as an exciting creators space that have seen some grassroots activations with the new Vail Drawing Club. We're starting to build some real momentum in this community around art and we can keep that excitement going, I want to be part of that. My pipe dream is to host an arts festival in May or October to better activate our mud & shoulder season, respectively. There's a mural festival down in Greely, CO called Weld Walls Mural Festival. I’ve been interested in serving on a Town of Vail board for several years, and the Art in Public Places board aligns closely with my personal interests. When I moved to Vail in 2007, I came from a thriving arts community in North Carolina. At first, the arts here felt quieter and less visible to me, but over time that changed as I discovered the library, the Vail Dance Festival, and the many pieces of public art woven throughout town. As I got to know and love the nooks and crannies of Vail, I began to appreciate how much creativity and culture already exists here. In recent years, it has become even more apparent how art helps bring our community together, not just aesthetically, but socially. I would love the opportunity to contribute to that continued growth and help support the many ways art, music, and creative expression enrich the Vail experience. Vail is known for skiing and luxury, but it is also a dynamic community that values the outdoors, creativity, passion, and a uniquely vibrant local culture. Please provide specific examples. I thrive in analyzing feedback about the employee experience and have extensive experience doing so through a variety of methodologies which I think could relate to taking in the perspectives and feedback on installations and considering new art to bring to the community. I view feedback as valuable data for decision-making, and I believe those skills could be helpful to the board when considering priorities and opportunities, whether that’s understanding what residents and visitors want to see, what the town hopes to showcase, or even identifying ideas people may not yet realize they’re excited about. I’m also a creative thinker and problem solver, which I enjoy bringing to collaborative environments. And on a more personal note, I simply love art. Visiting museums and experiencing public art is one of the primary things I seek out when I travel, so I bring the perspective of an enthusiastic “art tourist” as well. I think that lens, alongside my analytical and creative approach, could be a helpful addition to the board’s work. What is your experience serving on other Boards? I was the President of High County Human Resources Association, a local SHRM branch that brought HR training to the high country. What skills and experiences do you have to advance the mission of the Board? Project management, people management, analysis, and conflict management. What do you see as the primary role of this Board? I see the primary role of the board as helping making sure that art is thoughtfully woven into the Vail experience for both residents and visitors. Public art has a unique ability to surprise and delight people as they move through a community. Someone may come to Vail for skiing or the outdoors and unexpectedly encounter a piece of art that sparks curiosity, reflection, or joy. I see the board’s role as helping foster that sense of discovery while supporting artists and keep art as an integrated part of the town’s identity. As a board member, I would see my role as helping promote that vision by thinking creatively, dreaming a bit about what’s possible, and finding ways to thoughtfully incorporate art into both the local and visitor experience. I see the biggest problems around art being no different than what they have been since the dawn of time: money and politics. I live at the bottom of Red Sandstone Road and used to run up the hill at Potato Patch during COVID to spy on the Logan family collection of statues. When I saw TO THE EXTENT OF HOW DEEP THE VALLEY IS AT SOME GIVEN TIME, I was struck and thought about it for days. I was so happy when I saw it moved to the parking structure and hoped that the exposure of having that installation there would inspire the same pondering in others. That is why art is important in general, the lightning bolt effect. There are a ton of busy and driven people here and art has the power to stop you in your tracks (or on the way to go make tracks in the snow) to ponder and wonder. That's a beautiful thing. That it is accessible and that there have been more recent opportunities for the public to participate like the art talks and drawing club. I am writing to express my interest in serving on the Art in Public Places Board for the Town of Vail. I have lived in Vail since 2007 and have long been interested in finding a way to serve the community through a Town board. The mission of Art in Public Places aligns closely with my personal interests and with what I value about living here. Over the years, I’ve come to appreciate how art quietly enriches the Vail experience, whether through installations throughout town, the library, or events like the dance festival. Public art has the ability to surprise and delight people who may not expect it, creating memorable moments for both residents and visitors. I would enjoy contributing to the board’s work in continuing to weave art into the fabric of the community and helping people discover something new each time they explore Vail. On a personal note, I own my home in Vail and am raising my three-year-old son here. While Vail is known for skiing and the outdoors, it’s important to me that he grows up experiencing a community where the arts are also visible and valued. My main reason for my application is to try to move toward all new construction to be built with fire resistant features and non-combustable materials. The risk and frequency of spontaneous wildfires is increased especially this summer with the unprecedented low snowfall. We must review the California Fire Codes and adopt additional measures to prevent fires. Additionally, in the most recent Vail Homeowner’s Association meeting there was considerable time discussing the inability of condo associations to secure a reasonably priced insurance policy unless the buildings had fire resilience features. Most of the buildings in the Town of Vail do not. On March 9th, 2025 I was walking to my home at 3225 Katsos Ranch Rd from the Booth Falls bus stop with my niece in late afternoon. When we got closer, I could see nothing but smoke and a fire behind the Vail Mountain School. Vail Fire and Emergency was dispatched to a three story duplex at 3265 Katsos Ranch Rd. There was major damage. The home was built out of logs. It lit up as quickly as a match. Emergency vehicles were there through the night to monitor for hot spots. Fortunately, the new construction of 3225,3230, 3232, 3235 Katsos Ranch Road, which were built by my design and build firm are clad with Nichiha non-combustible exterior fiber cement materials and interior sprinklers. But the remainder of the homes on the street are not and most of Vail Village is not. The construction of the Vail Art Studio (formerly advertised as the Artist in Residence building) in Ford Park, which cost the taxpayers $1.33 million to build (the land was already owned by the TOV), at a cost to build of nearly $2,000 a sq ft for a 700 sq ft very basic shed which was not required to be built with non-combustible materials or sprinklers. Really??? It has fire- resistant wood and vegetation planted within 3 feet of the building, tree limbs cantilevered over the roof. With all of our buildings in Vail Village made of wood, if there was a fire we could lose all of Vail Village!!! A site visit with Greg Hall, former head of Public Works and letter to the Town Council with my concerns did result in the siding and roof non-combustible but not the front porch - yikes. Which brings me to my next reason for wanting to be on DRB. The controversial redevelopment of the Red Lion and adjacent buildings. I agree that those buildings are old and not code compliant any longer by todays standards. They need to be rebuilt . But the entire vibe of Vail Village could change completely. I want to keep a pulse on this project by being a member of DRB. This is my third attempt at becoming a part of DRB. The first time, an attorney was appointed, the second time someone was sworn in before the application deadline, and even this attempt is unsuccessful, at least my concerns will have been expressed. The US and the State of Colorado have put a lot of resources into the overall celebration of the Semi-quincentennial for the US and the Sesquisemiquincentennial combining the 250/150 efforts. Purpose The purpose of this memorandum is to introduce council to a greenhouse gas reduction program for high energy consumption exterior uses including snow melting, pools, and spas. II. Background Goals: The Vail Town Council has a strategic goal to reduce emissions communitywide by 50% by 2030 and 80% by 2050. In many mountain communities including the Vail Valley, exterior energy systems for luxury amenities including snowmelting, pools, and spas have been identified as an outsized contributor to greenhouse gas emissions due to their use of natural gas as fuel and the relatively high amount of energy usage these uses demand. In Vail, exterior energy is estimated to be responsible for ten times the emissions compared with buildings per square foot. The code gap: Unlike new homes and buildings in Vail, exterior energy is not addressed comprehensively in the 2024 IECC (the International Energy Conservation Code). In the Eagle Valley and other mountain towns across the state programs that address the impact on emissions of exterior energy use. These programs are initiated by building permit applications and require the anticipated emissions from exterior energy systems to be accounted for and balanced by mitigation or offset strategies. The Strategy: Mitigation is the use of on -site renewable energy such as solar or geothermal to balance predicted emissions from fossil fuels over time. On -site renewables typically produce a return-on-investment for owners through energy credits offered by utilities such as sola r net-metering. Offsets are local emissions reductions through fee-in-lieu funds which are invested in programs and projects that increase sources of clean energy and efficiency. Examples include local energy efficiency programs that are shown to reduce energy in the community by improving buildings and homes. Installing insulation and air sealing, for example, reduce the amount of energy required to heat a home and thus reduce their associated greenhouse gas emissions and energy bill. 77 Town of Vail 2 The two pathways can also be combined to enable a project owner to choose the right approach for their given project. For example, a roof may not support the full amount of solar required so an owner can choose to maximize solar and then make up the difference in the offset pathway. Program Outcome: An exterior energy program is typically implemented by ordinance through local building/energy codes. By placing a requirement on high -consumption exterior energy systems, these programs aim to encourage sustainable design choices and generate funding for clean energy projects such as solar on workforce housing or rebates to residents or businesses to invest in clean energy upgrades. The program typically gives compliance choices to the project owner but does require participation to ens ure that greenhouse gas emissions are accounted for and reduced proportionately over the lifetime of the equipment. RECITALS: WHEREAS, Owner is purchasing the real property and improvements known as 3921 Bighorn Road #3B, Vail, CO 81657, and more particularly described in Exhibit A, attached hereto and incorporated herein by reference (the "Subject Property"); and WHEREAS, in exchange for payment as set forth in a Deed Restriction Purchase Agreement of even date herewith, and pursuant to the Eagle County Good Deeds Program, Owner has agreed to place certain restrictions on the occupancy . and resale of the Subject Property for the benefit of the Beneficiaries by requiring occupancy of the Subject Property by an Eligible Household, as that term is defined below. NOW, THEREFORE, in consideration of the foregoing, the Parties hereby represent, covenant, and agree as follows: 1. Definitions: A. "ECHDA" means Eagle County Housing and Development Authority. Unless expressly stated otherwise in this Deed Restriction, "ECHDA" shall refer to the Eagle County Housing and Development Authority, except that if the Eagle County Housing and Development Authority is replaced by some other entity, "ECHDA" shall refer to the replacement entity; in the event the ECHDA ceases to exist and is not replaced by another entity, "ECHDA" shall refer to the Town of Vail. B. "Eligible Household" means Households that will (i) use the Subject Property as their Primary Residence, (ii) are qualified employees, and (iii) own no other real estate. Each of the criteria are further defined below: i. Employment Qualification: 1. At least one member of the Household must meet one or more of the following criteria: a. A member earns a living primarily in Eagle County, ·Colorado by having worked an average of at least thirty (30) hours per week on an annual basis at a business INith an officeor job site physically located in Eagle County (multiple Jobs in Eagle County may be-combined -to reach 30 hours per week); or b. All members of the Household cumulatively earn at least 75% of the Household's Gross Household Income in Eagle County; or c. A member of the Household has been hired for a job in Eagle County on a permanent basis to work at least thirty (30) hours per week; or d. Meets other employment classifications (i.e. retirees, telecommuters) in accordance with the Eagle County Affordable Housing Guidelines, as may be amended from time to time; or e. Is a Qualified Employer who will rent to an Eligible Household. ii. Limits on owning other real estate: 1. No member of an Eligible Household, including, but not limited to, natural persons and children under 18 years of age, may own other real estate either individually or in conjunction with others as of the date of purchase or during the period of ownership of the Subject Property. Notwithstanding the foregoing, a Qualified Employer may own other real estate as of the date of purchase of the Subject Property; however, the lessee of a Qualified Employer may not own other real estate as of the date the lessee enters into a lease for the Subject Property. 2. A member of an Eligible Household that owns commercial property for business use or vacant land may request an exemption from the requirement in subsection 1.A.ii., which may be granted at the sole discretion of ECHDA or its assigns. 3. Real estate that is owned by a prospective Eligible Household may not be deeded to another person, corporation or other legal entity except at fair market value nor may real estate be deeded to a corporation or other legal entity in which any Household member has any financial interest in order to meet the requirements in this subsection 1.A.ii. iii. Title. Except for a Qualified Employer or where a variance is sought from and approved by the ECHDA, title to the Subject Property shall be held in the name of the natural person(s) who are members of the Household which qualifies under criteria 1.A i. and ii. above. For example, title may be held jointly by two natural persons who are members of an Eligible Household. 1. Notwithstanding the foregoing, an Eligible Household may seek a variance from the ECHDA to allow title of the Subject Property to be held in trust for the benefit of a natural person who also qualifies as an Eligible Household. Approval of such variance is at the sole discretion of the ECHDA, or its assigns. 2. To be eligible for a variance, the following conditions must be met: (i) the beneficiary of the trust may not own other real property; and (ii) the beneficiary of the trust must be of the age of majority to qualify for this variance. 3. To request a variance, the applicant shall submit a written request to ECHDA, or its assigns, establishing that the beneficiary of the trust meets the conditions set forth in subsection 1.A.iii.2. herein. Upon receipt and review of •• a request for a varfance and any requested information and documentation, ECHDA, or its assigns, may grant the request with or without conditions. C. "Qualified Employer" means an individual or entity that regularly conducts business in Eagle County. Individuals or entities that regularly conduct business in Garfield and Pitkin Counties may be considered Qualified Employers for purposes of qualifying employees who apply to purchase or rent affordable housing in Eagle County in the Roaring Fork Valley. Qualified Employers may hold title to the Subject Property and lease to employees who qualify as an Eligible Household. Qualified Employers may not impose additional restrictions on the Subject Property without written consent of the ECHDA. D. "Gross Household Income" means the total amount of income a Household earns in one year from all sources before taxes. E. "Household" means all individuals who will occupy the Subject Property regardless of legal status or relation to the owner or lessee. 3 104 ~ HOUSING ~EAGLE COUNTY Eagle County and Town of Vail Good Deeds Community Partner Program Price Capped For Sale Deed Restriction F. "Initial Sales Price" means an amount equal to the purchase price of the Subject Property, together with any capital improvements. G. "Owner" means the owner of record of the Subject Property according to the Clerk and Recorder of Eagle County, it being understood that that such person or persons shall be deemed an "Owner" hereunder only during the period of his, her, or their ownership interest in the Subject Property and shall be obligated hereunder for the full and complete performance and observance of all covenants, conditions and restrictions contained herein during such period. H. "Primary Residence" means the residence in which an Owner lives for at least 9 out of any 12 months. Determination of Eagle County residency status shall be based on criteria including, but not limited, to 1) copy of deed or property tax statement, or 2) utility statements from service providers, or 3) other documentation that ECHDA, or its assigns, deems necessary to make a determination, such as voter registration information, place of automobile registration, driver's license address and income tax returns. I. "Price Capped For Sale Housing" means housing with a deed restriction recorded against it requiring that it be owned and occupied by an Eligible Household as its Primary Residence and sold subject to the Maximum Sales Price, as those terms are defined herein. J. "Short Term Rental" means a non-Owner providing compensation to lodge in the Subject Property for periods of less than thirty (30) days. Owner shall not advertise any part of the Subject Property for short term lease on an open, public forum such as Airbnb, VRBO, Homeaway or equivalent. K. "Town" means the Town of Vail. 2. Use and Occupancy Restrictions: A. The use and occupancy of the Subject Property is restricted as follows: (i) the Subject Property shall be owned and occupied by an Owner who either qualifies as an Eligible Household or is a Qualified Employer who leases the Subject Property to an employee who qualifies as an Eligible Household; (ii) the Owner or the lessee of the Qualified Employer shall own no other real property, subject to the exceptions set forth in the definition of Eligible Household, in Section 1 above, and (iii) the Owner or the lessee of the Qualified Employer uses the Subject Property as its Primary Residence. B. The Subject Property may not be sold or otherwise transferred to or occupied by any person other than an Eligible Household in accordance with the procedures for prior verification contained in Section 3 below. Notwithstanding the foregoing, title to the Subject Property may be held from time to time by the ECHDA or its assigns in the event of a foreclosure or as permitted by this Agreement or the Eagle County Affordable Housing Guidelines. Further, it is understood and agreed to by the parties that notwithstanding the foregoing, the Subje~_!__ Property may be held-from ffme-to Hme by certain districts or gove-rnmental entities which qualify as a Qualified Employer. C. An Owner of the Subject Property is subject to annual certification confirming and verifying the Owner's continued eligibility as an Eligible Household and its compliance with this Agreement. To confirm such eligibility, the Owner of the Subject Property shall submit the following information to ECHDA: (i) a verification that the Owner or the lessee of a Qualified Employer uses the Subject Property as its Primary Residence; (ii) verification that the Owner continues to meet the definition of an Eligible Household or Qualified Employer as set forth in Section 1.A. above; and (iii) a statement that the Owner or lessee of a Qualified Employer owns no other real property, subject to the exceptions set forth in the definition of Eligible Household, in Section 1 above, and other documentation that may be required by the Eagle County Affordable Housing Guidelines, as may be amended from time to time. 4 105 ~ HOUSING Eagle County and Town of Vail ~ EAGLE Good Deeds Community Partner Program COUNTY Price Capped For Sale Deed Restriction D. Neither an Owner or the lessee of a Qualified Employer may engage in any business activity on or in such Subject Property, other than as permitted within the zone district applicable to the Subject Property. E. The Short Term Rental of all or any portion of the Subject Property is prohibited. F. An Owner of the Subject Property may not permit any use or occupancy of the Subject Property except in compliance with this Agreement. G. Owner, other than a Qualified Employer, may not, except with prior written approval of ECHDA and subject to the most current Eagle County Affordable Housing Guidelines, and Eagle County Affordable Housing Guidelines: Administrative Procedures, rent the Subject Property for any period of time. H. Any subsequent Owner of the Subject Property must execute an Acknowledgement of this Deed Restriction Agreement for Price Capped For Sale Housing, in the form set forth in Exhibit C attached hereto and incorporated herein by this reference. I. All sales of the Subject Property shall be subject to the Maximum Sales Price as calculated in Section 4 below. 3. Resale Restrictions: The Subject Property may not be sold or otherwise transferred to any person other than a member of an Eligible Household, or a Qualified Employer, and subject to the calculation of the Maximum Sales Price in accordance with Section 4. A. In the event that an Owner desires to sell the Subject Property, the sale or transfer of the Subject Property shall be administered exclusively by The Valley Home Store, as designee of the ECHDA, in accordance with the most current Eagle County Affordable Housing Guidelines, and Eagle County Affordable Housing Guidelines: Administrative Procedures. B. Upon sale or transfer of the Subject Property by Owner to any subsequent Owner, the subsequent Owner shall be subject to the same occupancy and use requirements set forth in this Agreement. 4. Maximum Sales Price: In no event shall the Subject Property be sold for an amount ("Maximum Sales Price") in excess of the Initial Sales Price plus the percentage increase (simple interest calculation) per year of the average wage for Eagle County as determined by the Colorado Department of Labor and Employment. The Maximum Sales Price shall be calculated as follows: A. If the percentage increase in the average wage for Eagle County as determined by the Colorado Department of Labor and Employment is greater than three percent (3%) in a given year, the percentage increase which an Owner may claim for purposes of determining Maximum Sales Price shall be three percent (3%) for that year. i. In the event that an Owner owns a Subject Property for only a portion of any year, the perCentage increase shall be prorated quarterly, from purchase date, and the Owner shall. be given credit through the quarter in which the sale is initiated. ii. If there is no increase in the average wage for Eagle County as determined by the Colorado Department of Labor and Employment, the percentage increase which an Owner may claim for purposes of determining Maximum Sales Price shall be zero percent (0%) for that year. iii. The parties agree that there may be a delay in the publication of statistics from the Colorado Department of Labor and Employment. Therefore, the calculation of Maximum Sales Price shall be based upon the most current available data. If data for the year of sale is not available, then the Owner shall rely on the most current full year's data that is available for purposes of calculating the Maximum Sales Price. iv. In the event that the Colorado Department of Labor and Employment no longer publishes the average wage for Eagle County, the ECHDA Board or its designee shall identify a 5 106 HOUSING EAGLE COUNTY Eagle County and Town of Vail Good Deeds Community Partner Program Price Capped For Sale Deed Restriction similar indicator from a reliable source and shall provide notice to all Owners of the change. B. Permitted Capital Improvements shall not increase the Owner's Initial Sales Price. For the purpose of determining the Maximum Sales Price, the Owner may add the following amounts: i. The cost of permitted capital improvements as set forth in the most current Eagle County Affordable Housing Guidelines, and Eagle County Affordable Housing Guidelines: Administrative Procedures. ii. The cost of any permanent improvements constructed or installed as a result of any requirement imposed by any government agency or special assessment by a homeowner's association for such permanent improvements, provided that written certification is provided to the ECHDA. C. Real estate sales fees as identified in the most current Eagle County Affordable Housing Guidelines, and Eagle County Affordable Housing Guidelines: Administrative Procedures shall be included in the Maximum Sales Price. • D. The Owner shall not permit any prospective buyer to assume any or all of the Owner's customary closing costs nor accept any other consideration which would cause an increase in the purchase price above the bid price so as to induce the Owner to sell to such prospective buyer. E. NOTHING HEREIN SHALL BE CONSTRUED TO CONSTITUTE A REPRESENTATION OR GUARANTEE BY ECHDA THAT ON RESALE THE OWNER SHALL OBTAIN A PARTICULAR PRICE INCLUDING BUT NOT LIMITED TO THE MAXIMUM SALES PRICE. 5. Default by Owner: If the ECHDA or its assigns has reasonable cause to believe that the occupancy or use of the Subject Property is in violation of any provision of this Agreement, ECHDA or its assigns may inspect the Subject Property between the hours of 8:00 a.m. and 5:00 p.m., Monday through Friday after providing the Owner and occupants with at least twenty-four (24) hours written notice. Notice to the occupants may be given by posting notice on the door to the Subject Property. This Agreement shall constitute permission to enter the Subject Property during such times upon such notice without further consent. A default by Owner shall include breach of the covenants set forth in this Deed Restriction, including without limitation any of the following: A. Transfer or conveyance of the Subject Property to a person or entity that is not a member of an Eligible Household or a Qualified Employer. B. Failure to follow resale procedures as outlined in Section 3.A. above. C. Acceptance of the Subject Property by a person or entity that is not a member of an Eligible Household or Qualified Employer. _ D. An-y ownersh1p, use or occupancy of the Subject Property in violation of Section 2 above. E. Failure to submit an annual certification of occupancy and use as described in Section 2.C above. F. Failure to make payments and comply with the terms of any deed of trust placed on the Subject Property. Owner must notify the ECHDA or its assigns, in writing, of any notification received from a lender or its assigns, of past due payments or default in payment or other obligations due or to be performed under a promissory note secured by a first deed of trust, as described herein, within five (5) calendar days of Owner's notification from lender, or its assigns, of said default or past due amounts. G. Any action by the Owner to encumber the Subject Property in a manner that conflicts with the terms of this Agreement or renders compliance with the terms of this Agreement impossible or impractical. H. Permitting the use of the Subject Property as a Short Term Rental. 6 107 ~HOUSING ~ EAGLE fl1 (;I;, COUNTY 6. Notice and Cure: Eagle County and Town of Vail Good Deeds Community Partner Program Price Capped For Sale Deed Restriction A. In the event of a violation of this Agreement, the ECHDA or its assigns shall send a written notice of default to the Owner detailing the nature of the default and providing sixty (60) days for the Owner to cure such default. Notwithstanding the foregoing or any other term of this Agreement, a default for lease or use of the Subject Property as a Short Term Rental shall be cured by the Owner immediately. The notice shall state that the Owner may request an appeal of the violation finding in writing within ten (10) days of such notice, in which event the ECHDA or its assigns shall administratively review the finding. If the violation finding is upheld, the Owner may request in writing within ten (10) days of such administrative decision a hearing before the ECHDA Board of Commissioners ("ECHDA Board"). If no administrative or ECHDA Board appeal is timely requested in writing and the violation is not cured within sixty (60) days of mailing the notice of default, the Owner shall be deemed to be in violation of this Agreement. If an administrative or ECHDA Board appeal is requested, the decision of the ECHDA Board (or administrative decision if such decision is not timely appealed to the ECHDA Board) shall be final for the purpose of determining if a violation has occurred and, if such violation is not cured within sixty (60) days of such final determination, the Owner shall be deemed to be in violation of this Agreement. If a decision of the ECHDA Board is judicially appealed, an order of the Court confirming the violation shall be final for the purpose of determining if a violation has occurred and, if such violation is not cured within sixty (60) days of such final determination, the Owner shall be deemed to be in violation of this Agreement. In the event of any lease to a person or use of the Subject Property as a Short Term Rental, any amounts collected or receipt of other things of value by the Owner or assigns under such leases shall be paid to the ECHDA as a material requirement of curing the notice of default. B. Upon receipt of notice as provided in Section 5.F. above, the ECHDA shall have the right, in its sole discretion, to cure the default or any portion thereof. In such event, the Owner shall be personally liable to the ECHDA for past due payments made by the ECHDA together with interest thereon at the rate specified in the promissory note secured by the deed of trust, plus one percent ( 1 % ) and all actual expenses of the ECHDA incurred in curing the default. In such event, the Owner agrees to execute a promissory note on commercially reasonable terms acceptable to ECHDA together with interest thereon at the rate specified in the promissory note, plus one percent (1 %) and all actual expenses of the ECHDA incurred in curing the default. Such note shall be secLJred by a deed of tru:;t encll_m_l>ering the Subject Prop~rty in favor of the ECHDA for the amounts expended by the ECHDA as specified herein, including future advances made for such purposes. The ECHDA shall be entitled to all rights and remedies under the deed of tn,ist including rights of foreclosure. The Owner may cure the default and satisfy the obligations to ECHDA under this subsection at any time prior to execution of a contract for sale, upon such reasonable terms as specified by the ECHDA. Otherwise, Owner's indebtedness to ECHDA shall be satisfied from the Owner's proceeds at closing. 7. Remedies and Enforcement: In the event of violation, non-performance, default or breach of any term of this Agreement by the Owner, ECHDA, or its assigns, shall have the right to enforce Owner's obligations herein by an action for any equitable remedy, including injunction or specific performance, as well as pursue an action to recover damages. In addition, any amount due and owing to the ECHDA or its assigns shall bear interest at the rate of one percent (1 %) per month 7 108 ~HOUSING ~ EAGLE fl, ~ COUNTY Eagle County and Town of Vail Good Deeds Community Partner Program Price Capped For Sale Deed Restriction (12% per annum, compounded annually) until paid in full. The ECHDA or its assigns shall be. entitled to recover any costs related to enforcement of this Agreement, including but not limited to attorney's fees, court filing costs and recording costs. In the event of a transfer or conveyance of the Subject Property which violates the terms of this Agreement and constitutes a violation of this Agreement, both the granter and grantee shall be jointly and severally liable for any damages and costs due under this Agreement. Penalties which the ECHDA or its assigns may assess against the Owner include, but shall not be limited to, eliminating resale gain, requiring sale of the Subject Property, assessing penalties, and seeking remedies set forth in the Eagle County Land Use Regulations or the most current Eagle County Affordable Housing Guidelines. In the event of a breach of any of the terms or conditions contained herein by the Owner, its heirs, successors or assigns, the Maximum Sales Price of the Subject Property as set forth in Paragraph 4 of this Agreement shall, upon the date of such breach as determined by the ECHDA or its assigns cease to increase and shall remain fixed until the date of cure of said breach. The remedies provided herein are cumulative and not exclusive, of all other remedies provided by law. 8. Foreclosure: A. In the. event of a foreclosure or acceptance of a deed in lieu of foreclosure by the holder (including assigns of the holder) of the promissory note secured by a first deed of trust on the Subject Property, and subject to the issuance of a public trustee's deed to the holder following expiration of all statutory redemption · rights, or issuance of a deed in I·ieu of foreclosure to the holder, the ECHDA or its assigns shall have the option to purchase the Subject Property as provided in the Option to Purchase, attached hereto as Exhibit B and incorporated herein. B. Notwithstanding any provision herein to the contrary, except for persons or entities having a valid lien on the Subject Property, only Eligible Households or Qualified Employers may acquire an interest in the Subject Property at a foreclosure sale or in lieu of foreclosure. C. Notwithstanding the foregoing, in the event of foreclosure or acceptance of a deed in lieu of foreclosure by the holder (including assigns of the holder) of the promissory note secured by a first deed of trust on the Subject Property, if the holder of such deed of trust is the grantee under the public trustee's deed or deed in lieu of foreclosure and ECHDA or its assigns does not exercise its Option to Purchase as provided in Section 8.A., then ECHDA or its assigns agrees to release the Subject Property from the requirements of this Deed Restriction. D. It is specifically agreed that nothing contained herein shall require the ECHDA or its assigns to release and waive its ability to enforce this Agreement in the event of a foreclosure of a lien secured in second or subseq-uent position. ------ E. If ECHDA or its assigns exercises the Option to Purchase described in Section 8.A. above, and acquires title to the Subject Property, the ECHDA or its assigns may sell the Subject Property_ to an Eligible Household or rent the Subject Property to qualified tenants who meet the income, occupancy and all other qualifications, established by the Eagle County Affordable Housing Guidelines, as amended from time to time, until such time that the Subject Property can be sold to an Eligible Household or Qualified Employer. F. All obligations recorded of record against the Subject Property and subsequent to this Agreement shall be subordinate to the terms hereof. 9. Choice of Law: This Agreement and each and every related document is to be governed and construed in accordance with the laws of the State of Colorado. 14. Waiver: No claim of waiver, consent, or acquiescence with respect to any provision of this Agreement shall be valid against any party hereto except on the basis of a written instrument executed by the parties to this Agreement. However, the party for whose benefit a condition is inserted herein shall have the unilateral right to waive such condition. 17. Gender and Number: Whenever the context so required herein, the neuter gender shall include any or all genders and vice versa and the use of the singular shall include the plural and vice versa. 18. Personal Liability: By taking title to a Subject Property, an Owner agrees that the Owner shall be personally liable for compliance with the applicable terms and conditions of this Agreement. 19. Further Actions: Any Owner of the Subject Property and the ECHDA and the Town agree to execute such further documents and take such further actions as may be reasonably required to carry out the provisions and intent of this Agreement, or any agreement or document relating hereto, or entered into in connection herewith. 20. Modifications: Any Owner of the Subject Property, and the ECHDA and the Town agree that any modifications of this Agreement shall be effective only when made by an instrument in writing and executed by the parties and recorded with the Clerk and Recorder of Eagle County, Colorado. The ECHDA or its assigns reserves the right to amend this Agreement unilaterally where deemed necessary to effectuate the purpose and intent of this Agreement, and where such unilateral action does not materially impair an Owner's rights or any lender's rights under this Agreement. 21. Perpetuities Savings Clause: If any of the terms, covenants, conditions, restrictions, uses, limitations, obligations or options created by this Agreement or any of its Exhibits shall be unlawful or void for violation of: (a) the rule against perpetuities or some similar statutory provision, (b) the rule restricting restraints on alienation, or (c) any other statutory or common law rules imposing like or similar time limits, then such provision shall continue only for the period of the lives of the then-current duly elected and seated Eagle County Commissioners, • and the then-current Eagle County employees, their now living descendants, if any, and the survivor of them, plus twenty-one (21) years. 22. Assignment: The ECHDA may in its sole discretion assign the benefits and delegate the responsibilities hereunder to a nonprofit private entity or public agency or authority organized or operated in whole or in part to provide housing programs in Eagle County. 23. Prior to the issuance of the first certificate of occupancy for the project, the applicant shall have executed a use of public right-of-way agreement with the Town of Vail for that portion of the outdoor patio encroaching upon the Town of Vail's right-of-way. The applicant shall maintain a revocable license agreement with the Town of Vail Town Clerk for the use of the right-of-way. 5. Prior to the issuance of the first certificate of occupancy for the project, the applicant shall have caused an Amended Red Lion Inn Condominium Subdivision map, and any associated governing documents, to be duly approved and recorded with the Eagle County Clerk & Recorder’s Office. 6. PURPOSE The Finance Department seeks to explain the process regarding short-term rental complaints and resolutions to Town Council and understand if the Council is pleased with the current process or if improvements should be explored. II. BACKGROUND The Short-Term Rental department utilizes a 24-hour complaint hotline in tandem with a short-term rental specific software to field, monitor, and record complaints. This hotline serves as a tool that harkens back to the purpose of the short-term rental program, per Town Code 4-14-1, “to safeguard the public health, safety, and welfare by regulating and controlling the use, occupancy, location, and maintenance of short-term rentals in the Town.” The hotline process allows Town staff to be made aware of a complaint and track it while remaining neutral and not determining which party is at fault or whether one account is more truthful than the other. It helps keep the process objective and straightforward, rather than turning it into a “he said, she said” situation with the Town being in the middle. 133 Town of Vail Page 2 III. DISCUSSION The STR department takes all complaints seriously and reviews each complaint in detail. The LODGINGRevs software captures the specifics, including caller name, STR address, time stamps, call notes, and recordings of the complaint and resolution calls. Once all facts are gathered from the software, the STR department follows up as needed with the party who made the complaint and the STR local representative and/or property owner. In 2025 the department received 99 separate complaints through the software and issued 8 violations, 7 of which were issued because the local representative failed to resolve the complaint within the required timeframe (30 minutes between 11PM and 7AM, 60 minutes otherwise). 2025 Complaint Type / Reason # Complaints Called # Violations Issued Illegal Rental 4 1 Lighting 1 0 Noise 42 3 Occupancy 2 0 Other 29 2 Parking 7 0 Trash 14 2 Total 99 8 *of total complaints, 8 involved non-STR properties Also in 2025, the STR department hosted a lunch and learn session with local property managers, many of whom act as local representatives. Attendees were educated about code requirements, including responding to complaints, and had the opportunity to ask questions. The department’s original software, LODGINGRevs was acquired by GovOS in 2022, and in 2024 and 2025 staff noticed that complaint recordings were taking longer to upload to the software. This made following up on complaints in a timely manner more difficult. It is imperative for staff to listen to each recording when reviewing complaints and resolution calls to understand the issue in full. Staff also dealt with customer service delays with GovOS and could not easily edit the hotline script. The 24/7 hotline would occasionally not answer, even during business hours, and staff would leave a voicemail, which was generally returned within a few hours. Fortunately, these frustrations have been handled by the vendor and customer service has improved during Q4 2025. 134 Town of Vail Page 3 There are enhancements planned for later 2026. LODGINGRevs will be transitioning to Neumo, a new company that utilizes Avenu Insights and Analytics for its STR compliance. Enhancements should provide quicker access to recordings, data-driven compliance, improvements to the hotline, and tools for Vail staff to easily edit hotline script should changes need to be made. For example, the script could be edited to have the hotline representative remind complaint callers to call the hotline back if the complaint is not resolved within the required 30 or 60 minute timeframe. IV. SUMMARY Staff believes the current process to be working well, allowing staff to review both sides of each account to remain neutral. The department looks forward to enhancements the software updates should bring; however, the overall process is not planned to change through the upgrade. Staff seeks to balance the enjoyment of the STR by guests and neighbors alike, and the hotline serves as a tool to assist staff in objectively enforcing Town Code requirements. POLICIES AND GUIDELINES A. ADVISORS The AIPP Board may consult advisors for specific projects. Advisors may recommend and/or provide professional guidance to the AIPP Board or to a project selection jury. 137 2 Advisors may include, but are not limited to, art and architecture professionals, appraisers, engineers, contractors, maintenance and conservation specialists. B. PROJECT SPECIFIC SELECTION JURY The AIPP Board together with the AIPP Coordinator will determine if a Selection Jury is needed; if not, the AIPP Board shall serve as the selection jury. Selection jurists may include, but are not limited to, art and architecture professionals, community representatives and AIPP Board members. Each juror has one vote. If a consensus cannot be reached, a majority vote carries the decision. The jury has the right to make no selection if no proposal is judged to be of sufficient merit. Voting members of selection jury: Art Selection Committee, composed of the Town’s Art in Public Places Board and staff member, a staff and board member from the Vail Recreation District Board, and a resident of the Town of Vail; including advisement from, a representative from Populous, and a representative of Black Cube Nomadic Art Museum, as well as an art conservator. This group ensures a balance of aesthetic, architectural, civic, and community perspectives. Evaluation Criteria: ● Quality and Innovation: Proposed artworks should demonstrate artistic excellence and innovation. While Dobson Arena is largely used for athletic purposes, the Art Selection Committee is not explicitly seeking sports or mountain themed art proposals. ● Compatibility with Site: Proposed artworks should be compatible in style, scale, material, and form with the Dobson Arena. Preference will be given to artworks that emphasize durability and longevity. Preference will also be given to artworks that thoughtfully relate in design to the specific location Dobson Arena—i.e. through the architecture, geography, light qualities, physical attributes, etc. ● Feasibility: The proposed production timeline and budget should be appropriate for the artwork. Molly recaps next steps as a result of the Jan. 22 RFP meeting: Present two selected artist proposals and locations at Feb. 17 Town Council meeting so that we may enter into the contract; not to move forward above the stairs as a public art location and Molly is looking at alternate opportunities; and requesting a refined proposal for the West Vestibule. Kathy comments that Lindsea called members of the Art Board to reconsider their decisions from Jan. 22 and has called for a coalition to change the jury decisions. Kathy’s concerns are that the entire selection committee was not contacted for this discussion. Lindsea believes the RFP selection process was rushed and not making decisions was irresponsible given the committee’s time and expenses spent thus far. Susanne comments that most artists were willing to have open dialogue in reviewing their proposals and that should be pursued. Kathy remarks that the selection committee was not prepared in advance about the site limitations and reviewing the proposals using the stated evaluation criteria as representatives of the community versus their personal wants. Kirk agrees that the group needs to come together to make decisions. 138 3 Courtney believes in an obligation to the whole community and is open to revisit spaces, artists, and media. Molly’s reservations about the stairwell are the constraints of the space given the low ceiling height, proposed suspended artworks extending over the stairwell railings, physical reach, maintenance, conservation, and the fiscal responsibility with those considerations, as well as the adjacent location of Lewis’ memorial bench. Jared remarks on the perspective he has from physically being in the space. There is an artistic side to the architectural design which should be considered. He confirmed the stairwell is extremely tight at only 5 feet width and any suspended art will be hidden behind an existing support beam. He recommends the committee have a site visit now that the spaces can be seen. Molly shares updated images of the Dobson Arena from Populous: Dobson Updated Construction Images - Populous Molly comments that now as the building takes shape public art opportunities arise and it is worth reevaluating how the space flows with egress from a visitor and operational standpoint. It will be worthwhile to reevaluate locations as a responsibility to the community with the consideration of not pursuing an artwork valued at $70,000 that will not physically work within the space. Tom agrees a site visit is important and given it is a significant project for the Town of Vail we should not feel rushed in making selections. The Selection Committee would like to see additional refined proposals from artists for the West Vestibule which Molly will discuss with Black Cube as to how best proceed. Kathy requests an understanding of the glass, reflectivity and glazing products from the Populous for the West Vestibule for both daytime and evening visibility. Molly will arrange a site visit to Dobson. 3.5 Art Studio programming The “Conversation with Jen Stark” moderated by Ben Belgard went very well. The Drawing Club is convening for the first time this Wednesday. May – necessary facility maintenance so will likely not have any programs. Coordinator Updates Winterfest has been going well and has been embraced by the public. Molly compliments Alpine Ice’s flexibility with the temperatures and changing dates. Other Topics. 150 Town of Vail Page 4 151 February 23, 2026 Attn: Eagle County Commissioners Eagle County 500 Broadway Eagle, CO Dear Commissioners, Subject: Opposition to Requested Variance from Eagle County Dual-Access Road Requirements – Berlaimont Project On behalf of the Vail Town Council, we write to express our opposition to the requested variance from Eagle County’s dual-access road requirement for the Berlaimont development. The County’s dual-access standard exists to protect public safety and ensure reliable emergency response and evacuation routes for residential communities in mountain environments. This requirement reflects long-standing recognition that single-access developments create elevated risk during wildfire, severe winter conditions, accidents, and other emergencies that may block or compromise a single road. For this reason, the standard has been a critical component of Eagle County’s land-use regulations. Granting a variance to this requirement for the Berlaimont project would undermine t he purpose of this safety standard and expose future residents, emergency responders, and surrounding communities to unnecessary risk. Public Safety and Emergency Access The Berlaimont proposal would rely on a single access road serving a substantial new residential development located in steep, forested terrain. In mountain communities like ours, road blockages from wildfire, avalanches, fallen trees, vehicle accidents, or severe winter conditions are not hypothetical risks—they are well-documented and ever-increasing realities. Without a secondary access route, any disruption along the sole road could delay emergency response or restrict evacuation during critical events. As wildfire risk and extreme weather events increase across the region, redundancy in access routes becomes even more essential. Allowing this development to proceed without meeting the County’s dual-access requirement would reduce system resilience precisely when communities must be strengthening it. 152 In our view, the public safety objectives of the County’s access standards cannot be met without compliance with the dual-access requirement. Purpose of the Variance Process Variances are intended to address unique physical constraints or hardships while preserving the intent of adopted regulations. In this case, the requested variance would effectively waive a fundamental public safety requirement rather than provide a minor adjustment. Approving this request would signal that large-scale developments may proceed without meeting one of Eagle County’s most important safety standards, which risks creating a precedent that could weaken the County’s ability to enforce similar requirements for future developments. Environmental and Community Impacts The Berlaimont access road(s) and the development itself would introduce additional environmental impacts in a landscape that provides one of the most important remaining wildlife habitat and movement corridors in the Eagle Valley. Elk, deer and numerous other species in the Eagle Valley have already suffered irreparable population declines. Road construction and associated development fragment habitat, increase wildlife-vehicle conflicts, and introduce long- term disturbance from traffic, lighting, and human activity. Road construction and residential development in steep mountain terrain also present risks to nearby streams and downstream water quality. Vegetation removal, grading, and increased impervious surfaces can elevate sediment, nutrient, and pollutant runoff during both construction and long-term operation. In mountain watersheds, even relatively small increases in erosion and stormwater runoff can degrade aquatic habitat, impair water quality, and increase flood risk downstream. While these environmental impacts are concerning on their own, they underscore the importance of ensuring that any development in such sensitive areas meets the County’s full set of safety and infrastructure requirements. Granting a variance in this context would allow both increased environmental disturbance and reduced infrastructure resilience. Conclusion Eagle County’s dual-access requirement exists to safeguard residents, emergency responders, and the broader community. The Berlaimont proposal does not meet this standard, and the requested variance would undermine the purpose of the regulation while introducing unnecessary public safety risks. For these reasons, we respectfully urge the Board of County Commissioners to deny the requested variance and uphold the County’s established access requirements. Our social media in 2025 saw big gains across just about every channel. The Town of Vail and vailgov channels specifically had a 120% increase in impressions from the previous year, reaching 3.4 million. The Town Council preview videos have become a standard of the Town of Vail f eed, with the 22 videos we create in 2025 receiving over 65,000 impressions and 1,339 engagements across Facebook and Instagram. Interestingly, while the Town of Vail Facebook page's posts tend to out perform Instagram, the council videos saw higher viewership on the younger-eschewing Instagram page - an exciting metric for reaching our younger community members.
