THIS POOL DECK SNOW REMOVAL COVENANT (the "Covenant ") is made and entered
into this 8' day of April, 2009, by LANDMARK -VAIL CONDOMINIUM ASSOCIATION, INC., a
Colorado non -profit corporation, hereinafter sometimes referred to as the "Association ".
WITNESSETH•
WHEREAS, the Association is the association of condominium unit owners for the existing
condominium units and appurtenant common elements known and described as Landmark -Vail
Condominiums ( "Landmark - Vail ") and created pursuant to The Declaration of Covenants, Conditions
and Restrictions Establishing a Plan for Condominium Ownership of Landmark -Vail Condominiums was
recorded on July 17, 1973 in Book 230 at Page 129, as amended and supplemented by the (i) Amendment
to Declaration of Covenants, Conditions and Restrictions recorded on September 17, 1973 in Book 231 at
Page 11 l; (ii) the Second Amendment to Declaration of Covenants, Conditions and Restrictions recorded
on February 8, 1974 in Book 233 at Page 335; (iii) the Third Amendment to Declaration of Covenants,
Conditions and Restrictions recorded on September 23, 1974 in Book 236 at Page 573; (iv) the Fourth
Amendment to Declaration of Covenants, Conditions and Restrictions recorded on September 13, 2006 as
Reception No. 200625045, (v) the Fifth Amendment to Declaration of Covenants, Conditions and
Restrictions recorded on October 21, 2008 under Reception No. 200822616; (vi) The Declaration of
Covenants, Conditions and Restrictions for the Expansion Property recorded on October 21, 2008 under
Reception No. 200822618; and (vii) the election of the Owners to be treated as a Common Interest
Community subject to the provisions of the Colorado Common Interest Ownership Act, § 38- 33.3 -101,
C.R.S., et seq., as it may be amended from time to time (the "Act "), and towards that end and to
effectuate such election the Association, through its authorized officers, executed and caused to be
recorded a Statement of Election on April 13, 2000 as Reception No. 727195, (collectively, the
"Landmark -Vail Declaration "), and the Condominium Map recorded on November 1, 1974, in Book 237
at Page 177, the Supplement thereto recorded on March 11, 1975, in Book 238 at Page 918, and the
Amended Condominium Plat recorded on October 21, 2008 under Reception No. 200822617
(collectively, the "Map "), each as recorded in the office of the Clerk and Recorder of Eagle County,
Colorado.
WHEREAS, Landmark -Vail is undergoing a major expansion and improvement project which
includes proposed modifications and upgrades to the existing pool/hot tub facilities and area. Such
proposed upgrades and renovation includes installation of certain elevated decks, an in -floor snow melt
system, planters, and additional hot tubs (collectively, the "Pool Improvements").
WHEREAS, the Association, through its general contractor, has applied to the Town of Vail (the
"Town ") for approval of the construction of the Pool Improvements. The Town has conditioned its
approval of the Pool Improvements upon the Association entering into and recording this Covenant
whereby the Association agrees and covenants to cause snow to be removed from the improved pool deck
in accordance with that certain plan for Allowable Snow Loading dated April 3, 2009 prepared by Martin
/ Martin Consulting Engineers (the "Snow Removal Plan"). A copy of the Snow Removal Plan is
attached hereto as Exhibit A.
NOW THEREFORE the Association hereby declares as follows:
ARTICLE I
SNOW REMOVAL FROM POOL AREA
Section 1. Upon completion of the Pool Improvements, the Association covenants and
agrees to comply with and to cause snow to be removed from the pool area in accordance with the Snow
Removal Plan.
Section 2. Commencing upon completion of the Pool Improvements, the in -floor snow melt
system shall at all times be operable so as to prevent the accumulation of snow in those areas designated
on the Snow Removal Plan. In the event that the snow melt system is inoperable, the Association shall
employ other means to cause the snow to be removed from those designated areas within 48 hours of any
snow fall event. The Association shall cause snow to be removed from the planters indicated on and in
accordance with the Snow Removal Plan within 48 hours of any snow fall event. Under no circumstances
shall snow deeper than four feet be allowed to accumulate on those areas designated on the Snow
Removal Plan at any time. Storing or piling snow from other areas is not permitted at any location on the
pool deck in accordance with the Snow Removal Plan.
ARTICLE II
MISCELLANEOUS PROVISIONS
Section 1. Binding Effect, Termination This Covenant will be recorded in the Eagle
County real property records. This Covenant is intended to and shall bind the Association and its
successors and assigns. This Covenant shall be deemed to be a covenant running with the land and shall
serve to benefit the Town and only the Town and burden Landmark -Vail until terminated as provided
herein. This Covenant shall not be amended or modified except upon the express written consent of the
Town and the Association, acting by and through its Board of Directors. The Town shall be the only
person or entity who has the right to enforce or to claim a breach of this Covenant. There are no other
beneficiaries (third -party or otherwise) of this Covenant besides the Town.
Section 2. Attorneys Fees If the event of any litigation with respect to the enforcement,
interpretation or construction of this Covenant, the prevailing party in such action shall be awarded his,
her or its reasonable attorneys fees as well as all costs incurred in the prosecution or defense of such
action.
Section 3. Term The restrictions, covenants and easements described herein shall remain
in full force and effect unless they are amended or revoked by the written agreement of the Town and the
Association, acting by and through its Board of Directors. Notwithstanding the foregoing, this
Declaration shall automatically terminate and become fully null and void upon the destruction, demolition
or replacement of the Pool Improvements.
Section 4. Severability If any term or provision of this Covenant shall be invalid or
unenforceable, the remainder of this Covenant and the terms and provisions thereof shall not be affected
thereby and all other terms and provisions of this Covenant shall be valid and enforceable to the full
extent permitted by law.
Section 5. Captions The headings and captions contained in this Covenant are inserted for
the convenience of reference only, and are not to be deemed a part of, nor to be used in construing this
Declaration.
