Re: The Vail Corporation Tracking of Parking Replacement per No Net Loss policy
Dear Dominic:
This letter is intended to affirm and document the Lionshead Redevelopment Master Plan (the
"LRMP ") requirement ensuring no net loss of parking spaces available in Lionshead at the time
the LRMP was adopted (the "Parking Policy ") and confirm that The Vail Corporation has fulfilled
its obligations as documented in the agreement letter dated April 14, 2010.
In the case of The Vail Corporation and its affiliates ( "Vail Corp ") the Parking Policy affects the
redevelopment of the properties formerly known as the North Day Lot ( "NDU) and the West Day
Lot ( "WDL ") now developed or being developed as First Chair and The Ritz - Carlton Residences,
respectively. When the Parking Policy was adopted, 394 parking spaces existed within the
Lionshead properties then held by Vail Corp. Therefore, pursuant to the Parking Policy, Vail
Corp. is obligated to maintain 394 parking spaces to ensure no net loss of parking.
The table below shows the history of the 394 parking spaces on the Lionshead properties held
by Vail Corp. As indicated, Vail Corp. has maintained the 394 parking spaces by providing
parking spaces on the Holy Cross Lot, North Day Lot, and the site of the former BP gas station
(the "old BP site "), respectively. A total of 415 parking spaces have been provided by Vail Corp.
This results in a surplus of 21 parking spaces. The 21 surplus parking spaces, or any other
surplus Lionshead parking furnished by Vail Corp. in excess of 394 spaces, are not subject to
the Parking Policy or any future replacement obligations unless otherwise allocated pursuant to
Chapter 10 of the Town's Zoning Regulations.
Please note, the accounting in the table below recognizes 8 Arrabelle parking spaces previously
approved by the Town of Vail to be counted towards the Parking Policy which are no longer
required for that purpose. This change was precipitated by the replacement of the 29 parking
spaces being developed at the NDL to replace the skier drop -off.

This letter confirms that Vail Corp. has fulfilled the Parking Policy obligation for 105 Employee
Parking spaces associated with the NDL as contained in the letter agreement between Vail
Corp. and the Town of Vail dated April 14, 2010, which will be supplemented and modified by
this letter and documents the presence of 21 surplus parking spaces as of the date of this letter.
