Project: Construction Observation and Testing, Deck Replacement, Sullivan Residence, Lot 3, Block
2,Vail Intermountain,2645 Larkspur Lane,Vail,Colorado
Professional Services: Hepworth Pawlak Geotechnical, Inc. (HP GEOTECH) agrees to perform the
services outlined below. The CLIENT may subsequently amend the scope of services with the
concurrence of HP GEOTECH. Services provided by HP GEOTECH will be consistent with the
engineering standards prevailing at the time and in the area that the services are performed; no
watranty, express or implied, is intended. CLIENT is responsible to provide the information known to
be existing regazding the project as it applies to the execution of HP GEOTECH's services_ Please
� note the attached Terms and Conditions are a part of this Agreement and contain a limitation of
liability clause.
Scope of Services:. Perform part time observation and testing of earthwork operations, reinforcement
placement and sampling and testing of fresh concrete as directed by the client or his designated
representative. Present the results of the services performed in daiiy reports.
Additional scope of services may be added upon request and fees will be based on the unit charges and
Terms and Conditions of the attached fee schedule.
Fee: Our fee will be based on the unit costs listed on the attached Fee Schedule and other costs needed
to perform our services.
Termination: This Agreement may be terminated by either party upon reasonable written notice. Our
services will be stopped and fees will be calculated to include all services performed and materials
used or ordered.
Acceptance: We are proceeding with the above scope of services based on the verbal authorization by
Sheila Sullivan on June 10, 2011. Unless notified otherwise, we assume that you accept this
Agreement. Prior to issuing our report, one copy of this Agreement must be signed and returned
to us.

STANDARD OF CAR.E: Services perforcned by H$PWORTH-PAWLAK GEOTECHNICqI,,INC..(also refenred to as HP GEOTECI�
under this Agreea�ent will be conducted in a manner consistent with that level of case and skill ur�inarily pcer�ised by�mbp�s of the
Pi'O�1OII�y P��g��similar conditions in the same locale. No warranty,express or implied,is made or intended by the
lnoposal for congulting aervices or by fiiraiahing oral or written reporrs of die 5ndings made. The client recogniz�s that subsurface
conditions may vary from thosc encount�d at�he location where borings,tests or explorations are made by Hp GgpTECH and tbat the
dar�,inteaPretabions and m,commendations of HP GEOTECH are based soIely upon the dats available to HP GBOTECH. HP GE01�CH
will be responsible fior th�e data,interpretations,and recommendations,but shaIl not be m.spons�ble for the interpretatians by others of the
information deveIoped.
LII�IITATION OF LIABII,ITy The client agrees to limit the]iability of HP GEOTECH and its e�ioyees, directors, u�icers and
subconaultants(collectivety`�iP GEOTECEi'�to the client,arising from ar ia any way related to tlie Project,the Agreement or the services
Performed,sucb that die tatal aggregate tiability of HF GEOTECH to the client shall not exceed the greater of$50,000 or HP GEOTECR's
total fee receive�for the savices rendered on this Pmject. Client hereby releases HP GEOTECH irom any liability above such amoum.
This limitation of liability shail apply to any and all claims for relief made or wltich could be made.

UTILITIES: 7n the performance of its services,HP GEOTECH will take reasonable precautions to avoid damage or injury to subterranean
st�uctures or utilities. The client agrees to hold HP GEOTECH harn�less and ir�demnify gp GEOTECH for auy claims,payme.nts or uther
liability,including attomey's fees and costs,incurred(ry Hp GEOTECH for any damages to subterranean sh�uctu�+es ar utilities which are
not calied to HP GEOTECH's attention and coirectty shown on the plans furnished to Ap GgpTECI;,
[JNANTICIP�►TED HAZARDOUS MATERIALS: It shall be the duty of the owney the cIi�t, or their representative to advise Hp I
GEOTECH of any lmown or suspected hazarclous snbstances which may exist on or near any premises u�m y�,}uch �;�� ��6e
performed by HP GEOTECH's employees,agents or subcontractors. If HP GEOTECH obsecves or svspects the existence of unanficipated
hazardoas materials during the course of providing seivices,HP CrE01�?CH may at its option terminate.further services on the project and
notify client of t�e conditian. Services will be resumed oniy after a renegotiafion of acope of services and fees. In the event that such
renegotiation cannoY oocur to the satisfaction of HP GEOTECH,HP GEOTECH may at its opt}ctn.termiaate tlus coah�act,
MOLD or OTi�R BIOLOGICAL CONTAMII�IANTS (MOBC): HP GEO'TECH's services do not include determiaing the presence,
prcvmtioa or poss�bility of MOBC developing in the fudue. If tbe cIie.nt is ooncerned abont 11+IOBC,then a professiona(ia this specia(

INVOICES: HP GEOTECH will submit invoices to the client montLly aad a final bilI upon compl�ion of services. Unless otherwise
aoted,fees will be based oa the prevailing Fee Schedule in effe�t whw the services are performad. Payment is due upoa presentation of
iavaice aad is past due tliirty(30)days&om the invoice date. Client agrees to pay a late fee of$30.00 or oaie and oae halfpercent(1'/z%)
Per month(whichever is the great�)on past due accovnt�inciuding a11 costs of a collectioa agency. Client also agrees to pay,in addition to
judgemeut or settlement sums due, alI costs and expenses inciuding court oosts, reasonable auorney's fees and staff time computed
according to HP GE01'ECH's prevailing Fee Schedule incurced by AP GEOTECH relating to coue�tion pmcedure��overdue accounts.
