LEASE AGREEMENT
THIS LEASE AGREEMENT made and enfered into this �day of ����/�i�/ , by and
between the State of Colorado acting by and through the Colorado Department of Transportation, CDOT,
hereinafter referred to as "Lessor", and RCR Vail, LLC thereinafter referred to as "Lessee".
WITNESSETH:
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree
as follows:
1. PREMISES, Lessor hereby leases and demises unto Lessee the Premises, hereinafter referred
to as"Premises"located at along the south side of the I-70 South Frontage Road between Forest Road
and West Lionshead Circle in Vail, Colorado. The Premises, known and described as Parcel 29, of
Project I 70-2(7)183 includes approximately 0.204 acres of land area which will be used for the sub-
surface soil nails, approximately 0.227 acres of land area which will be used for the surface portion of the
lease and approximately.649 acres of land which will be used for the airspace portion of fhe lease.The
leased Premises being as shown on the plats and legal descriptions attached hereto, made a part hereof
and marked"Exhibit A: Sub-Surface, Exhibit B: Surface and Exhibit C: Airspace".
2. TERM,The te�m of this lease for the sub-surface, for the soil nails portion of the lease, shall
begin upon full execution of this lease and remain in effect for no less than sixteen months,. After a
period of sixteen.months CDOT may snap or remove the soil nails if necessary. For surface, construction
staging, po�tion of the lease, the term of the lease will begin upon full execution of the lease and remain in
effect for a duration of forty months. Far the airspace, crane related activities port'ron of the lease, the
term of the lease will begin upon full execution of the lease and remain in effect for a duration of twenty-
five months. All three portions of the lease are subject to the cancellation and termination provisions
herein.
3. RENT. Payments shall be made payable to the Colorado Department of Transportation at:

or at such place as Lessor from time to time designates by notice as provided herein.

(a)Tlie rent payment for this lease will consist of three parts: ,
(i)The first part of the payment consists of ONE PAYMENT of$19,350.00 due upon
� signing of the lease by the tenant,which is the�alculated current cost of removing the
°soil nails"during excavation and is based on 258 nails at$ 75.00 per nail.Any addition
or subtraction of the number of nails shall be reflected in the total amount of this payment
on the basis of$ 75:00 per nail. This payment is agreed upon between the parties to be

the total amount to be paid by the Lessee to offset any future costs of removal of the°soil
nails"by the Lessor.
(ii)The second part of the payment is for the surface portion of the lease and consists of
40 monthly payments of$8,240.10 (total payment of$329,604.00 for the ferm of the
lease),for the.227 acres to be used for consfruction staging.
(iii)The third part of the payment is for the airspace portion of the lease and consists of
ONE PAYMENT of$5,000.00, due upon signing of the lease by fhe tenant, for the .649
acres to be used for crane swings.
In the event Lessor has not received the rental installment hereunder on or before the tenth (10)day of
the monfh when due, a late charge of five percent.(5%)of the total installment will be assessed to the
Lessee for that month and each succeeding month the payment is not received on or before the 10th day
of that month. In the event the Lessee for a rental installment tenders a check, and it is returned to
Lessor for insufficient funds, Lessee agrees to pay administrative charges to Lessor of Twenty Dollars
($20.00). Both Lessor and Lessee agree that acceptance by the Lessor of the late payment does not
waive Lessor's right to declare Lessee in default of this Lease Agreement.
4. USE. It is understood and agreed that the Lessee intends to use the Premises only for the
purposes set forth in the attached RCR Vail letter dated November 3, 2007(Exhibit D)and crane usage
of both temporary mobile cranes and swing radii for the tower crane as set forth in the attached RCR Vail
letter of September 17, 2007(Exhibit E)with attachment Tower Crane Information Letter by PCL
Construction dated September 12, 2007(Exhibit F), including the crane Elevation Plans drawings (Exhibit
G)and Crane Swing Plans (Exhibit H)attached hereto. These uses which describe the features of the
sub-surface, su�face and Airspace use includes installation of 258"soil nails", staging area for daily
delivering, unfoading and transferring construction materials and temporary set up of mobile cranes for
removal and reconfiguration of tower cranes located on lessee's property and overhead movement of finro
tower cranes as set forth in the above referenced documents. The Premises may not be used for any
other purpose without the specific written prior permission of the Lessor. Any other use of the Premises.
shall constitute material breach of this Lease and may cause this lease to terminate imrnediately at the
Lessor's option.
5. TAXES, UTILITIES, MAINTENANCE AND OTHER EXPENSES. It is understood and agreed that
this Lease shall be an absolute Net Lease with respect to Lessor, and that all taxes, assessments,
insurance, utilities and other operating costs and the cost of all maintenance, repairs, and improvements,
and all other direct costs, charges and expenses of any kind whatsoever respecting the Premises shall be
borne by Lessee and not by the Lessor so that the rental return to Lessor shall not be reduced, offset or
diminished directly or indirectly by any cost or charge. Lessee shafl maintain the Premises in good repair
and in tenable condition free of trash and debris during the term of this lease. Lessor shall have the right
to enter the Premises at any time for the purpose of making necessary inspections.

7. OWNERSHIP. The State of Colorado is the owner or the Premises. Lessor warrants and
represents himself to be the authorized agent of the State of Colorado for the purposes of granting fhis
Lease.

8. LEASE ASSIGNMENT. Lessee shall not assign this Lease and shall not.sublet fhe demised
Premises without specific written permission of the Lessor and will not permit the use of said Premises to
anyone, other than Lessee, its agents or employees, without the prior written consent of Lessor.
9. APPLICABLE LAW. The laws of the State of Colorado and rules and regulations issued pursuant
thereto shall be applied in the interpretation, execution and enforcement of this Lease. Any provision of
this Lease, whether or not incorporated herein by reference, which provides for arbitration by any extra-
judicial body or person or which is otherwise in conflict with said laws, rules and regulations shall be
considered null and void. Nothing contained in any provision incorporated herein by reference which
purports to negate this or any other special provision in whole or in part shall be valid or enforceable or
available in any action at law whether by way of compliant, defense or otherwise. Any provision rendered
nulf and void by the operation of this provision will not invalidate the remainder of this Lease to the extent
that this agreement is capable of execution.
10. CANCELLATION. Both parties understand that at any time before the scheduled expiration of
the term of this Lease, Lessor has the right to cancel the lease without liability by giving the Lessee 90-
day written notice of its intention to cancel the Lease. The notice shall be hand delivered, posted on the
Premises, or sent to the Lessee, at the address of the Lessee contained herein by Certified Mail, return
receipt requested. This Lease may also be canceled by the Lessee by giving the Lessor 90-day written
notice of their intent to do so. After receiving permission of the Lessor to remove, and having removed all
soil nails.
11. COMPLETE AGREEMENT. This Lease, including all exhibits, supersedes any and all prior
written or oral agreements and there are no covenants, conditions or agreements between the parties
except as set forth herein. No prior or contemporaneous addition, deletion,.or other amendment hereto
shall have any force or affect whatsoever unless embodied herein in writing. No subsequent novation,
renewal, addition, deletion ar other amendment hereto shall have any force or effect unless embodied in
a written contract executed and approved pursuant to the State Fiscal Rules.
12. CAPTIONS, CONSTRUCTION,AND LEASE EFFECT. The captions and headings used in this
Lease are for identification only, and shall be disregarded in any construction of the lease provisions. All
of the terms of this Lease shall inure to the benefit of and be binding upon the respective heirs,
successors, and assigns of both the Lessor and the Lessee. If any provision of this Lease shall be
determined to be invalid, illegal, or without force by a court of law or rendered so by legislative act then
the remaining provisions of this Lease shall remain in full force and effect.
13. NO BENEFICIAL INTEREST. The signatories aver that to their knowledge, no state employee
has any personat or beneficial interest whatsoever in the service or property described herein.
14. NO VIOLATION OF LAW. The Lessee shall not commit, nor permit the commission of, any act or
thing, which shall be a violation of any ordinance of the municipality, City, County, or of any law of the
State of Colorado or the United States. The Lessee shall not use the Premises for any manner, which
shall constitute a nuisance or public annoyance. The signatories hereto aver that they are familiar with
18-8-301, et seq., (Bribery and Corrupt Influences)and 18-8-401, et seq., (Abuse of Public Office);
C.R.S., as amended, and that no violation of such provisions is present. The signatories aver that to their
knowledge, no state employee has any personal or beneficial interest whatsoever in the service or
property described herein.

registered or certi�ed mail, return receipt requested, to the party at the address as hereinafter provided,
and if sent by mail it shall be effective when posted in the U.S. Mail Depository with sufficient postage

Notice of change of address shall be treated as any other notice. T'he Lessee warrants that the address
listed above is the Lessee's current mailing address and that the Lessee will notify the Lessor in writing of
any changes in that address within ten (10)days of such change.
16. HOLDING OVER..If the Lessor allows the Lessee to occupy or use the Premises after the
expiration or sooner termination of this Lease, the Lessee becomes a Holdover Tenant and shall be a
month-to-month Lessee subject to all the laws of the State of Colorado applicable to such tenancy. The
rent to be paid by Lessee during such continued occupancy shall be the same being paid by Lessee as of
the date of expiration or sooner termination. Lessor and Lessee each hereby agree to give the other
party at least thirty(30)days written notice prior to termination of this holdover tenancy.
17. CHIEF ENGINEER'S APPROVAL. This Lease shall not be deemed valid until it has been
ap{iroved by the Chief Engineer of the Colorado Department of Transportation and by the Lessee.
18. HAZARDOUS MATERIALS. The Lessee agrees to defend, indemnify and hold harmless the
Lessor and any employees, agents, contractors, and officials of the Lessor against any and all damages,
claims, liability, loss,fines or expenses, including attorney's fees and litigation costs, related to the
presence, disposat, release or clean-up of any contaminants, hazardous maferials or pollutants on, over,
under, from or affecting the property subject to this Lease, which contaminants or hazardous materials
the Lessee o�its employees, agents, contractors or officials has caused to be located, disposed, or
released on the property. The Lessee shall also be responsible for all damages, claims and liability to the
soif, water, vegetation, buildings or personal property located thereon as well as any personal injury or
property damage related to such contaminants or hazardous materials.
19. NO NEW PERMANENT STRUCTURES OR IMPROVEMENTS. No new permanent structu�es or
improvements of any kind, other than those described in Section 4 of this lease, shall be erected or
moved upon the Premises by the Lessee without the express written prior permission of the Lessor. Any
such structure or improvement erected or moved upon fhe Premises virithout the express written consent
of the Lessor may be immediately removed by the Lessor at the expense of the Lessee. Further, any
structures, improvements or items of any kind remaining on the Premises at the termination of the Lease
will be corrsidered abandoned by the Lessee and may be immediately removed by Lessor at the Lessee's
expense; provided, however, that abandonment of the soil nails is anticipated by this agreement and is
provided for in Section 23 below, and such abandonment of the soil nails shall not in and of itself require
the immediate removal of the soil nails by Lessor.
20. BINDING AGREEMENT. This Lease shall be binding upon and inure to the benefit of the
partners, heirs, executors, administrators, and successors of the respective parties hereto. .
21. DEFAULT. If: (1) Lessee shall fail to pay any rent or other sum payable hereunder for a period of
10 days after the same is due; (2)Lessee shall fail to observe, keep or perform any of the other terms,
agreements or conditions contained herein or in regulations to be observed or performed by Lessee and
such default continues for a period of 30 days after notice by Lessor; (3)This Lease or any interest of
Lessee hereunder shall be levied upon by any attachment or execution, then any such event shall
constitute an event of default by Lessee. Upon the occurrence of any event of clefault by Lessee

hereunder, Lessor may, at its option and without any further notice or demand, in addition to any other
rights and remedies given hereunder or by law, do any of the following:
(a) Lessor shall have the right, so long as such default continues, to give notice of termination to
Lessee. On the date specified in such notice (which shall not be less than 3 days after the giving of such
notice)this Lease shall terminate.
(b) In fhe event of any such termination of this Lease, Lessor may then or at any time thereafter,
re-enter the Premises and remove there from alf persons and property and again repossess and enjoy
the Premises, without prejudice to any other remedies that Lessor may have by reason of Lessee's
default or of such fermination.
(c)The amount of damages which Lessor may recover in event of such termination shall include,
without limitation, (1) the amount at the time of award of unpaid rental earned and other sums owed by �.
Lessee to Lessor hereunder, as of the time of termination, together with interest thereon as provided in
this Lease, (2) all legal expenses and other related costs incurred by Lessor following Lessee's default
including reasonable attorneys' fees incurred in collecting any amount owed hereunder (3) any damages
to the property beyond its present condition.
(d) Upon the Lessee's failure to remove its personal property from the Premises after the
expiration of the term of this Lease, Lessor may in its sole discretion, without notice to or demand upon �
Lessee, remove, sell or dispose of any and all personal property located on the Premises. Lessee waives
all claims for damages that may be caused by Lessor's removal of property as herein provided.
22. INSURANCE. (Revised 2006 per State Controller Requirements)
A. The Lessee shall cause insurance in the kinds and amounts detail below to be obtained and
maintained at all times during the duration of this Lease. The Lessee shall require any .
independent Contractor working for them on the Leased Premise to obtain like coverage. The
following insurance requirements must be in effect during the entire term of the Lease. Lessee
and any Contractor shall, at it sole cost and expense, obtain insurance on its inventory,
equipment and all other personal property located on the Leased Premises against loss resulting _
from fire, theft or other casualty.
1) Workers' Compensation Insurance as required by state statute, and Employer's Liability
Insurance covering all employees acting within the course and scope of their employment
and work on the activities authorized by this Lease.
2) Commercial General Liability Insurance written on ISO Occurrence Form CG 00 01
(12/04) or equivalent, covering premises operations, fire damage, independent
Consultants, products and completed operations, blanket contractual liability, personal
injury, and advertising liability with minimum limits as follows:
a. $1,000,000 each occurrence;
b. $2,000,000 general aggregate;
c. $2,000,000 products and completed operations aggregate; and
d. $50,000 any one fire.
If any aggregate limit is reduced below$1,000,000 because of claims made
or paid, the Lessee, or as applicable, their Contractor, shall immediately

obtain additional insurance to restore the full aggregate limit and furnish to
CDOT a certificate or other document satisfactory to CDOT showing
compliance with this provision.
3) Automobile Liability Insurance covering any auto (including owned, hired and non-owned
autos)with a minimum limit of$1,000,000 each accident combined single limit.
4) If any operations are anticipated that might in any way result in the creation of a pollution
exposure, Lessee shall also provide Pollution Legal Liability lnsurance with minimum
limifs of liability of$5,000,000 each Claim and$5,000,000 Annual Aggregate. CDOT
shall be named as an additional insured to the Pollution Legal Liabi(ity policy. The Policy
shall be written on a Claims Made form,with an extended reporting period of at least two
year following finalization of the Lease.
5) Umbrella or Excess Liability Insurance with minimum limits of $10,000,000. This policy
shall become primary in the event the primary Liability Policy limits are impaired or
exhausted. The Policy shall be written on an Occurrence form and shall be following
form of the primary. The following form Excess Liability shall include CDOT as an
Additional Insured.
B. CDOT shall be named as Additional Insured on the Commercial General Liability and Automobile
Liability Insurance policies. Coverage required by the Lease will be primary over any insurance
or self-insurance program carried by the State of Colorado. .
C. The Insurance shall include provisions preventing cancellation or non-renewal without at least 30
days prior notice to CDOT by ce�tified mail at the address contained in this document.
D. The insurance policies related to the Lease shall include clauses stating that each carrier will
waive all rights of recovery, under subrogation or otherwise, against CDOT, its agencies,
institutions, organizations, officers, agents, employees and volunteers.
E. All policies evidencing the insurance coverages required hereunder shall be issued by insurance
companies satisfactory to CDOT.
F. In order for this lease to be effective, the Lessee, or as applicable, their Contractor, shall provide
certificates showing insurance coverage required by this Lease to CDOT prior to the execution of
this lease. No later than 30 days prior to the expiration date of any such coverage, the Lessee or
Contractor shall deliver to CDOT certificates of insurance evidencing renewals thereof. At any
time during the term of this Lease, CDOT may request in writing, and the Lessee or Contractor
shall thereupon within 10 days supply to CDOT, evidence saCisfactory to CDOT of compliance
with the provisions of this section. Insurance coverage must be in effect or this lease is in default.
G. If the Lessee engages a Contractor to act independently from the Lessee on the Premises, that
Contractor shall be required to provide an endorsement naming CDOT as an Additional Insured
on their Commercial General Liability, and Umbrella or Excess Liability policies.
23. ADDITIONAL PROVISIONS.
A. The Lessee proposes to install "soil nails" in the parcel described above and set fo�th in the -
construction plans provided by Lessee to Lessor as part of the Quality Control and Quality
Assurance documents attached hereto as Exhibit I. The purpose of the proposed installation is to

shore up fhe Lessor's property subsequent to excavation of the Lessee's adjoining property and
� fo preven�water seepage into the excavated area. The"soil nails"shall remain in the subsurface
of the Lessor's property until they are removed by or with the permission of the Lessor; but in no
event shall the soil nails be removed prior to the end of the term of the Sub-Surface portion of this
Lease Agreement. Also, Lessee agrees to adhere to all provisions and requirements set forth in
the Quality Control and Quality Assurance for Soil Nails and Dewatering document attached
hereto as Exhibit L
B. The Lessee has represented to the Lessor that their building is freestanding and not dependent
upon the"soil nails"for support. The Lessee therefore agrees that they will have no legal
recourse against the Lessor, its agents or Permittees if during the responsible removal of the"soil
nails"the Lessee's property is damaged due to lack of support.
C. The Lessee further agrees that it will indemnify the Lessor for any damages incurred by
Permitfees of the Lessor, if during the normal course of their business their equipment or facilities
are damaged in connection with the installation of the°soil nails"on the Premises.
(i)The Lessee acknowledges that it is aware of the existing utilities in the area to be
leased and agrees that it will submit plans of its proposed installations to the affected
utility companies for review and concurrence. The Lessee further agrees that it will
provide the Lessor with copies of written documentation from each utility thaf they have
reviewed the proposed installation and concur with the plans to avoid and protect the
existing utilities and to mitigate any damages. Such documentation will be submitted to
the Lessor prior to any work being.conducted on the Premises by Lessee.
(ii)The Lessee agrees that it will not damage utility facilities presently existing and will
repair at its cost such facilities if damage occurs due to its work within the right of way.
Lessee further agrees that it will indemnify and hold harmless the Lessor and all utility
companies presently occupying the right of way as a consequence of Lessee's action. In
the event any utility shall need repairs/maintenance, the Lessee agrees that,excavation
and access to all utilities will never be precluded on the Premises..

Per our recent discussions and meeting, we have assembled copies of our subsurface,
surface, and air space lease documentation together in four individual binders for your
use as requested. � .

The following information will answer your questions and'comments regarding the lease
for all three uses. �
The Ritz Carlton Residences are located at 728 West Lionshead Circle,just north of Gore
Creek Place Town Homes, adjacent to the Marriott Mountain Resort and Spa in
Lionshead. The projeci consists of seventy-one whoie ownersnip luxury condominiums
on the west side and foriy-five Ritz Club or"fractional"units on the east. The building is
prirnarily pre-cast, cast in place, and post-tensioned concrete with a structural steel roof.
The building lay out consists of three levels of under ground parking and six above grade
residential floors for a combined 565,000 square feet.
SUBSURFACE
� The minimum property line set-backs allowed by the Town of Vail (TO� do not allow
for sufficient soil nail length to support the temporary shoring system. The project
maximizes those set-backs. The temporary soil nail shoring system will not affect the
public or the Right of Way(ROV�. The nails will enter the ROW area at a depth of :
. approximately 12— 15 feet deep angling downward at I S to 25 degrees under an area that
is currently a bike/pedestrian path and green space. The soil nails will not extend under
the traveled way. The area impacted under ground is slightly smaller than that proposed �
for staging on the surface.

THE RITZ-CARLTON RESIDENCFS°
VAIL
There will be less impact on the public by use of the soil nail system by avoiding the
noise and disruption associated with a driven or drilled soldier pile shoring system. The
time to complete the soil nail shoring is about 50% less than the aIternative. The driven
or drilled pile system would also require soil nail tie-backs,just not as many.
All the nails will be placed below existing utilities. Excavation access to alI of the
utilities will never be precluded in the event that any repairs/maintenance would be
needed.
The soil nails will be abandoned in place. All back fill of the building will be completed
by February 2009, at which time the nails will no longer be retaining the temporary
, shoring. At that point in time the nails could be excavated through and/or removed, if
needed, by others.
We have had third party peer review of the Yenter proposed shoring system completed by
Koechlein Engineering and the report is included in the binders.
� The contractor will comply with the CDOT QA/QC guidelines at all times. Survey
points on the temporary shoring wall will be monitored per the QA/QC guidelines or
more frequently during construction and then as required by the QA/QC thereafter. All
surveying information will be submitted in both tables and graphs to CDOT weekly.
CDOT will be notified immediately of any suspected instability or potential for failure.
There is a ground water removal system in place entirely within our property. This
system will operate continuously to remove ground water in and around the excavation.
Ground water levels will be continuously monitored by use of transducers placed in
peizometers and visually on the face of the excavation. Excavation and shoring
operations will proceed as long as ground water is at an acceptable level. Those levels
are defined as ground water not impeding any soil nail, micro pile grouting, or shotcrete
operations.
The work will proceed in compliance with CDOT-Revised Section 107-Project 5afety
Planning and Revised Section 101-Safety Critical Work.
An immediate stand down of all work will be initiated at any sign of shoring wall
instability or deflection. Safety of the ROW, shoring system, and all personnel is
paramount.

SURFACE
The primary reason to request approval of a temporary surface lease for staging is to
minimize the impact to the public. This particular site is somewhat five sided. The south
is bounded by the Gore Creek Town Home project and to the east is the Marriott Hotel.
There is no construction access or staging in either of these locations. On the northeast is
west Lionshead Circle and to the west is Forest Road, both TOV roadways. We could
request approval from the TOV to utilize one lane of each of these roads for staging, but
that would create a significant impact to the traveling public for 30 months. The other
available area is the small strip of CDOT ROW adjacent to the South Frontage Road on
the northwest side of the project. �
This area is currently a green space with a paved bike/pedestrian path through it.
Utilizing this area allows us to completely remove all construc�ion staging from all
traveled ways and isolate it behincl a protecrive concrete Jersey bazrier and fence.
Full width of the existi.ng road is maintained along with the CDOT required shoulder and
adequate snow storage area. The bike/pedestrian path will be temporarily relocated
through the Marriott properry(approval in place) and over a snow meIted pathway
through Gore Creek Place (approval in place). This temporary route meets ADA
�equiremz��ts and is only s�ig�tly�onger in ie��h�han�he exis�ing paih rouiing.
The surface lease area will be utilized for staging and loading/unloading of trucks. There
will be no stock piling of materials, long term parking, or office trailers parked in this
area. See clarification letter to Dan Roussin.
The staging area becomes a widened version of the existing paved bike/pedestrian path.
We propose to finish paving this area to minimize or eliminate tracking of mud/dirt onto
the traveled way. A portion of the staging area will be located on our building set back
area between the ROW and the building. The staging area will be in place from approval
through July 2010.
A portion of this area is already approved and impacted by a temporary construction
access under CDOT Highway Access Permit#307046. This access received the Notice
to Proceed and has been constructed.
Another portion of this area is proposed as a turn lane into West Lionshead Circle under
approved CDOT Highway Access Permit#307047 and is proposed for construction in
2009_

The area has been inspected and cleared of environmental hazards by Braun
Environmental, �nc. (see report) in compliance with Form 128 Categorical Exclusion.
Access for utility companies to any emergency repairs or maintenance of their facilities
will always be available by coordinating with our contractor. The area will also be
available to CDOT for public passage in the event of an emergency on the South
Frontage Road,by coordinating with our contractor.
Upon completion of construction, the staging area asphalt will be removed. A new snow
melted bike/pedestrian path will be constructed and maintained by the project. A new
turn lane will be constructed into west Lionshead Circle with a partial over lay of the
South Frontage Road. Extensive landscaping will be installed and maintained between
the path and our building. All costs for this work will be borne by the developer.
As a part of preparing this site for construction and providing utilities to the project,we
have completed extensive upgrades to water, sewer, and telephone, power, and cable TV
utilities all at no expense to the utilities or to the public.
�. This project will accommodate 100% of its paxking requirements and those of the
adjacent Marriott Hotel in the new underground parking structure.
AIRSPACEiCRA1�lE
To utilize the proposed staging area, as we intend to, requires the tower cranes to swing
over this area of ROW to pick their loads off of the waiting trucks.
We have included extensive tower crane specificarions, operating procedures and exhibits
related to crane use in the binders.
At no time will any suspended loads be over any traveled way.
Cranes will be illuminated for night time safety according to the TOV requirements.
� These requirements are more stringent than the FAA.
Crane operations will comply with CDOT-Revised Section 107 -Project Safety Planning
and CDOT—Revised Section 101 - Safety Critical Work.
We agree to provide a general liability insurance certificate in an amount no less than
$10,000,0�0 and to name CDOT as an additional named insured on that certificate.

Tower crane#1 will be in place from January 2008 through June 2009 and#2 wili be in
place from June 2008 through November 2009.
MISCELLANEOUS

Quality Control and Quality Assurance Process for Soil Nails &
Dewatering
Applicable to the Solaris Project and the Ritz Carlton Project
PurUOSe
This Process identifies elements of the quality control(QC) and quality assurance(QA)process
associated with soil nail and dewatering activities within the I70 right of way in Vail. In general,the
Process identifies the specific roles and responsibilities of the private and public sector partners. The
purpose is to provide a comprehensive process that ensures the long-term stability of the fiighway
structure, and ensures safety for users of the state highway system in CDOT Region 3. All activities
must be authorized by CDOT and FHWA under the terms of a subsurface lease agreement. The
specific project plans created as part of this process will be incorporated into the lease agreement.
Applicabilitv
The Process applies soil nail and dewatering activities that are designed and constructed by the Solaris
Project and the Ritz Carlton Project in Vail. These activities aze typically allowed under specific
CDOT permits or land lease agreements. As such,the Process will refer to the Solaris or Ritz Carlton
entities as "applicant." The subsurface activities are limited to soil nails and dewatering. The Process
applies to all elements of the design and construction process, including geotechnical report reviews,
design r�views, construction monitoring, and emergency response to failure conditions.

PRE-CONSTRUCTION

The applicant shall provide an independent review of the site geotechnical report and
recommendations. The review shall be conducted by a Professional Engineer(PE)licensed in the
state of Colorado,who must provide a written statement regarding experience and qualifications
necessary to conduct the review. The PE must be independent of the engineer and/or engineering firm
that created the geotechnical report. The review will check at least 10%of the report and
recommendations. The geotech report must be reviewed to ensure the accuracy of the report and that
the design criteria recommended represent the site conditions. The review should be completed prior
to soil nail and/or dewateri.ng system design. It must be provided to CDOT upon application for
permits and/or leases. It must be approved by the Region 3 Materials Engineer,the Region 3 Resident
Bngineer, and the Sta.ff Geotechnical Engineer before the lease package is submitted to FHWA for
review and approval

Prepare Construction CMonitorin�and Reportin�Plan
The applicant shall provide a specific Construction QC Monitoring and Reporting Plan(QC Plan)that
addresses survey techniques,roles and responsibilities,report contents,timing of monitoring and
reporting. Monitoring points will be installed into the wall and monitored at a frequency deemed
appropriate by the Region Materials Engineer. The QC Plan must be provided to CDOT upon

Region 3 Resident Engineer, and the Staff Geotechnical Engineer before the lease package is

Prepat-e EmerFency Resnonse Plan
The applicant shall provide a specifio Emergency Response Plan(ER Plan)that addresses safety
critical work, as defined by CDOT Revised Specification 101. The ER Plan shall provide information
in general conformance to CDOT Revised Specification 107, including the following elements.
� Applicant responsibilities—overall coordination and communication
• Contractor responsibilities—safety officers and competent persons
� CDOT responsibilities—public and traveler information
• A listing of a11 significant and/or high-risk subsurface construction activities and safety
considerations,including the definition of failures such that a safety stand down would be
required.
� A hazard assessment for each activity, includirig failure recovery plans
• The notification, investigation, and implementation procedures that the Contractor shall follow
in the case of a safety stand down(as defined by Revised Section 107 of the CDOT Standard
Specifications—Project Safety Planning).
• The notification, investigation, and implementation procedures that the Contractor sha11 follow
in the case of a safety stand down.
If dewatering is required for stability of the soil nail wa11,then the ER Plan must identify the procedure
for maintaining stability of the wall in the event of pump failure or interruption of power to the
pumping equipment. The ER Plan must be provided to CDOT upon application for permits andlor
- leases. It must be approved by the Region 3 Traffic Engineer,the Region 3 Materials Engineer,the
Region 3 Resident Engineer, and the Staff Geotechnical Engineer before the lease package is
submitted to FHWA for review and approval,
Information Repuired in the Application Packa�e
As a minimum, the applicant shall provide ten copies of the following information to CDOT when
requesting construction permits andlor lease agreements. CDOT may request more information during
the review process. FHWA review and approval is required if the subsurface activities occur within
interstate ROW.
• A cover letter and attachments explaining the following; 1)Description of project activity;-
specific details on the proposed subsurface activities as well as general activity that affects
right of way and property adjacent thereto (2) length of time right of way would be utilized for
private use(3) location of site(site map andlor specific information to locate and identify site)
When available include photographs of the area to be leased (4) key contact information(5)
Justification as to why improvements cannot be located on applicant's land(6)definition of
subject site, including plan sheet(sketch) of subject area that is clearly defined and liighlighted
and legal description of proposed lease area, (5)All available information for any pending
permits(access,utilities, landscaping etc.)that will affect the lease, such as permit application
or draft of permits). The letter must clearly state that the Applicant understands that they are
responsible to obtain all necessary environmental permits and clearances including but not
limited to; utility, access and landscaping permits and environmental clearance from CDOT.

CONSTRUCTION
A preconshuction meeting shall be held prior to commencement of subsurface activities in the ROW.
The CDOT Resident Engineer shall designate a representative for the project at the preconstruction
meeting.
Qualitv Control(QC)Monito�in�and Reportin�
The Applicant shall provide monitoring and reporting in accordance with the approved QC Plan. The
Applicant sha11 install monitori.ng points fo�baseline and future survey reference. Unless otherwise
stated in the QC Plan, the monitoring frequency shall be weekly and shall commence immediately
after construction of the first cut or lift.
The weekly construction report shall describe the weekly construction progress and p'rovide data
regarding the dewatering wells (if applicable) and wall deflections. The data shall be presented clearly
and concisely with graphs showing vertical and horizontal deformations of the monitoring points
plotted versus the date of the reading. Daily water levels shall be included in the report if dewatering
is required as part of the construction. The Applicant shall send the reports (via exnail) to the CDOT
Resident Engineer(or his representative designated at the start of the project) and the Region Materials
Engineer. If the Contractor fails to provide timely monitoring information or incomplete or
unsatisfactory data, CDOT can issue a stop work order until the reporting deficiencies have been
addressed. If the construction proceeds at a slow pace and weekly reporting is unnecessary then the
reporting frequency may be reduced if requested in writing and approved by the CDOT Resident
Engineer and Region Materials Engineer.
• Qualitv Assurance (QA) Observation and Reportin�
The CDOT Resident Engineer(or representative)will conduct site visits as necessary, usually every
week or two weeks depending on the project schedule and amount of work completed. These visits
will begin when subsurface activities commence and will continue throughout the period when soil
nails and/or dewatering systems are active. During these visits observations will be made regarding
the installation of deflection monitoring points, dewatering equipment(if applicable), face stability,
soil nail pullout tests, and surface cracking within the ROW. Photographs shall be taken at these visits
to enhance the documentation of the construction process and to demonstrate techniques employed
during conshuction.

The CDOT Materials Engineer will conduct monthly site visits. A$er review,the CDOT Materials
Engineer will forward the construction and stability monitoring reports to the FHWA Colorado
Division Operations Engineer for Region 3, and the FHWA Structural Engineer and Materials
Engineer. ,
Control of Work
CDOT andlor FHWA may inspect any part of the work within CDOT Right-of-Way during
construction. CDOT Inspectors are authorized to enforce the conditions of the lease during
construction and to halt anv activities within the Ri�ht-of-Wav that do not comply within the
provisions of the lease, that endanger highway property,natural or cultural resources protected by law,
or the health and safety of workers and the public. This constitutes a stand-down order.
Emer�ency Response
The Applicant shall implement the provision of the ER plan when any of the defined failures are
identified. In the event of wall instability or failure,the applicant shall immediately notify the CDOT
Resident Engineer and�the Region Materials Engineer. In an emergency situation,the Applicant sha11
notify CDOT Maintenance personnel by contacting the Hanging Lake Tunnel at(970) 945-3840. The
Applicant shall cease work immediately if the CDOT ROW is at risk in any way due to instability in
the excavation.
