6. HOLD HARMLESS. The Lessee shai(�ave, indemnify and hold hartnless the Lessor and FHWA
for any liabflity for damage o�loas to persons ar property resulUng from Lessee's xcupancy or use of the
Premises.
7. OWNERSHIP. The Stat�of Colarada Is the owne�or the Pramises. Lessor warrants and
represents h(mself to be the authorized a�ent of the State of Colorado for the purposes of granting this
Lease.
A. LEASE A5SIGNMENT. Lessee shall not assign thls Lease and shall nvt sublet the demised
Premises without speciflc written permission af the Lessor and will not permit the use of gaid Pr�mise5 ta
anyone,other than Lesaee, its agent�or employees,wllheut the prior written consent of Les6o�.
9. ApPLICABL�LAW, The laws of the Skate of Colorado and rules and regulations issued pursuant
thereto shall be applied in the Interpretattan, exvcution and enfarcement of this Lease. Any provlslon of
thls Lease,whether or not Incorperated herein by reference, whieh prvvides for arbltratlon by eny extra-
judicial body or person or whlch is otherwise in conflict with said laws,rules and reguletlons shal!be
consldered null and void. Nothing contained in any provislon Incorporated herein by reference which
pu�portg to negate this or any other special provision In whole or In part shall be velid or enforceable or
avallable in any action at law whether by way ot compliant, defense or otherwlse, Any provi5ion rendered
null and vold by the oper�tlon of this provision will not invalldate the remafnder of thls Lease to the extent
that this agreement is capable of exeoution,
10. CANCELLATIQN. Both parties understsnd that at any time before the sohedu(ed expiration of
the term of this Lease, Leesor has the rlght to cancel the le�se withaut liabllity by gtving the L�ssee
90 days,written�otice of its intention to cancel tt�e Lease. The notic:e shall be hand delivered, posted on
the PremlBes, or sent to the Lessee, at the address of the t,essee contalned herein by Certified Mail,
retum recelpt requested. This Lease may also be canceled by the Lessee by giving the Lessor 90 days
written notice of their intent to do so and after recelving permission af the Lessor to remove, and having
removed all soll noils and filling and cspping all de�watering wells.
11, COMPLETE AGREEMENT. This l,ease, Including all exhibits, supersedes any and all prlar
wrlttsn ot oral egreemenb and there are no covenants,condltlons or agreements between the partias
except as set forth hereln. No prior or contemporaneous additlon, deletlon, or other amendment herete
shell havo any force or affact whatsoever unless embodied herein in writ[ng. No subsequent novatlon,
renewal, addition, dcletion or other amendment hereto shall have eny force or effect unleas embodied in
a wrltten contract executed and approved pursuent to the State Fiscal Rules.
12. CAPTIONS, CONSTRUGTI�N, AND LEASE EFFECT, The captlons and headings used In thls
lease ar�for identificatian only, and shall be disregerded In any oonst�uction of the lease provieions, All
of the terms of thls Lease shatl I�ure to the benefit of and ba binding upon the respective heirs,
succeasors,and assfgns of both the Leagor and the Lesaee. It any provision of thls Lease shall be
determined to be Invalld, lilegel, or without force by a court of law or rendered so by legislative act then
the remalnfng provlslons of thlB Leaee shall remain in full force and effect.

13. NO BENEFICIAL INTEREST. The signatoriea aver that to their kncwledge, no state empioyee
has any personal or beneficial i�rterest whatsoever in the servlce or property described hereln.
14. NO VIOLATION OF LAW. Tho Lessee shall nat commlt, nor permlt the commisslon at, any act or
thing, whlch shall be a violation of any ordinance of the municipal'ity, City, County, or of any law of the
9tate of Colorado or the United StBtas. The Lessee shall not use the Premises for any manner, which
sh�ll constitute a nuiaancx or public annoyance. The sipnatones hereto�vcr that they are familiar with
18-B-301, et seq.,(BMbery and Corrupt Influences)and 18-8-401,et seq., (Abuse of Publlc O�ice),
C.R.S.,as amanded,and that na vlolatlon of such provlalons is present. The slgnatorles aver thst to their

16. HOLDING OV�R. If the Lessor allows the Lesaee to occupy or use the Premtses after the

month-to-month Lessae subject to�II the iawe of the State of Colorado applicable to such tanancy. The
rent to be pafd by Laseee during such continued xcupancy ohall ba the same baing paid by Lessee as of
the date of explraHon or sooner terminatlon. Lessor and Lessee each hereby agree to give the other

17, CHIEF �NGINEER'S APPROVAL. This I.ease sha11 not be deemed vslid untll It hes been
approved by the Chlef Englneer of the Colorado Department of Transportation and by the Lessee. ,
18. NAZARDOUS MATERIALS. The Lassee aprees to dafend, indemnify and hold harmleas the
Lessor and any empl�yees, agents, contractors, and afficials af the Lessor against any and all damages,
claims, liabiiity, Iess, fines or expensea, inoluding �ttorney's fees and 1ltlgatEon casts, relat,ed te the
presence,disposal; release ar clean up of eny eenteminan�, hazardous materfals or pollutants on, over,
under,from or affecting the property subject to this Lease,which cont�minants or hazardous materia►s
the Lessee or fts emplcyees,agents, contractor6 or officials has caused to be located,dlsposed,or
released on the property. The Lessee shall also be responsible for all damages, claims and liability to the
soil,water, vegetatlon,buildings or persona) properry located thereon as well as any personal In)ury ar
property damape related to such contaminantg o�hazardous materlals.
19. NO NEW PERMANENT STRUCTURES OR IMPROVEMENTS. No new permanent structures or
improvements of any kind, ather than those described in Sectian 2 of thls leaee, shall be erected or

moved upon the Premises by the Lessee wfthout the expreas written prio�perrnlsslon of the Leesor. Any
such structure or improvement erected o�moved upon the Premises without the express written consent
of the Lessor may be immedlately r'emoved by the Lessor at the expense of the Lessee, Futther, any
� structures, improvements or items of any kind remaining an the Premises at the terminatlon of the L�a9e
wili be consldered abandoned by the LessBe end may be immediateiy removad by Lesaor at the Lessee's
expense; provided, howver, that abandonment oi the soll nails Is anticlpated by this agreement and
conpensation for any future removeal Is provlded for in Section 23 belvw and such abandonment of the
soil nail�shall not in and of ftself requlre the Immediate removal of the soil nails by Lessor.
20. BINDING AGR�EMENT, 1'his Lease ahall be binding upon �nd inure to the beneflt of the
pertners, helrs, executors, adminigtrators, and succes�ors of the respective parties hereto.
21, DEFAULT. Ii: (1) Leasee shall fall to pay any rent or ether sum payable hereunder for a period of
10 days after the same fs due; {2)Lessee shali fail to observe, keep o�perform any of the ather terme,
agreemants or conditions contalned hereln or In regulatlons to be obsenred or performed by Lessee and
such default cotltinue6 for�perlod of 30 days atter notice by Lesaor, (3)This Lease or any Interest of
Lessee hereunder shall be leviecf upon by any attaahment or executlon, then any such event shall
eonstitute an event ef default by Lessee. Upon the occurrence of any event of detault by Leasee
hereunder, Lesaor may, at its option and without any further natice or demand, in addition to any other
right6 and remedles glven hereunder or by law, do any of the following;
(a) Lessor shall have the right, so long as such default continues, to glve notice of termination to
Lessee. On the d�te speelfied In sueh notice(which shall not be less than 3 days after the glving of euch
natice)this Leaee ehall terminate.
(b} In the event of any such terrninatlan of this Lease, Lessor may then or at any tima thereafter,
re-enter the Premiaes and remove there from all persons and property and agaln repossass and enjoy
the Premises, without prejudice to any ather remedies that Lessor may heve by reason of Lessea�s
defautt or of such tennination.
(c) The amount ot damages which �essor may recover in event of auch termination shall include,
without (imitation, (1) the arnount at the time of eward of unpaid �entul earned and othar sums owed by
Lessee to Lessor hereunder, as of the time of te�mination, together wlth InGerest thereon as provided in
this Lease, (2) all legal expenses and other related costs Incurred by Lessor fnllowing Lessee's default
(ncludfng reasonable attarneys'fees incurred in collecting any amount owed hereunder(3) any damages
to the property beyond its prosent condition.
(d) Upon the Lessee's failure to remove its personal property from the Premises after the
expltation of the term of this Lease, (wfth the axception of the soil nails that witl remaln) Lessor may�n �ts •
sole discretion, wlthout notice to ar demand upon Lessee, remove, sell or dispose of any and all personal
property located on the Premises. l.essee walves all clalms for damages that may be caused by Lessor's
removal of property as herein provided.
22. INSURANCE. {Revised 2006 per State Controller Requlrements)
(a) The Lessee shall obtain and meintain, at all times during the duraticn of thls Lease,
Insurance (n the kind5 and amounts detaifed below. The Lessee shall require any COntfactor working fer
them on the Premises to obtain like coverage, The following insurance requlrements muat be in effect
during the entire term af the Leaee. Lessee sha11, at it sole cost and expense, obtafn Insurance on lts
Inventory, equipment and all ather pereonal property located on the Premiaes against loss resulting from
flre, theR or other casualty.

(by Worke�s'Compensation Insurance as required by 5late statute, and Employer's Llability
Insurance covering all employees acting wlthin the course and scope of their employment�nd work on
the�ctivities authorized by this Lease in Paregreph 4.
(c) Ccmme�cial General Liablllty Insurance written on ISO occurrence form CG 00 01 �0/93
or equivalent, covering Premises operations, fire damage, independent Consultants, blanket oontr�ctual
liability, personal injury, and advertfsing liability with minimum Ilmits as follows;
1, $1,0OO,ODO each occurrence;
2. $2,000,000 general eggregate;
3. �50,000 any one fire,
If any aggregate Iimlt is reduced belaw, $1,400,000 becauae of claims made or paid,the Lessee,
or as applECable, ita Contractor, ahall immedfately obtaln addltlonal Insurance to restore the full
aggregata limit and furnlsh to CDOT a certlflcate or omer document satlsia�tory to CDOT
showing compliance with this provision.
(d) If�ny operetions�re anticipated that might in any way result in the creation af a pollution
• expoaure, Leseee shall also provide Pollutlan Legal I.(ablllty Insurance with minimurn limits of liability of
$1,000,000 Each Claim and$1,000,000 Annu�l Aggregate. CDOT shalt be named as an Addltfonal
Insured to the Pollutlon I.egal Llablllty pollcy. The Policy sh�ll be written on a Claima Made farm,with an
extended reporting period of at least two year following�nallzatEon of the I.ease,
(e) Umbrella or Excess Liablllty Insurance wlth minlmum Ifmlts of$1,000,000. Thls pollcy
shall become prlmary(drop down)In the event the prlm�ry Liability Policy limits are impaired or
exhausted. The Pollcy shall be wrftten on a� Occurrence form and ahall be following form of the primary.
The following form Exceas Liabilit�r shall include CDOT as an Addltlonal Insured,
(� CDOT shall be named as Addition�l Insured cn the Commerclai General Llablllty
lnsu�ance policy. Cove�age required by the Lease wlll be prlmary over eny Insurenoe or self.insurence
program csrrled by the 5tate of Colarado.
(g) The Insurance shall include pravisions prevanting cancellatlon or non-renewal wlthcut at
least 30 days prior notice to CDOT by cerdfled mall to the addreee contained in this document.
(h} The insurance po{icies related to the Lease shall Include alauses staang that eaah c�rrier
will weive aIl�ights of recov�ry, unde�subrogation or atherwlae, agalnst CDOT, Its agencles, instltutlons,
organizations, offrcers, agenb, employees and volunteers.
(ij AU pollc(es evldencing the Insurance coverage requlred hereunder shall be issued by
insurance companies satisfactory to CDOT.
(j) In order for this lease to be executed, the Lessee, or as appltcable, thelr Contractor, shall
provlde certi�lcates showing lnsurance coverage required by thia Leese to CDOT prlor to the executlon of
thiS(ease. No(ater than 30 days prlor to the expiration date of any such coverage, the Lessee or
Contraetor shall dellver to the Notice Address of CDOT certific�tes of insurance evidencing renewals
thereof. At any time during the term of this Leasa, CDOT may raquest ln w�lting, and the Le$see or
Contracto�shall thereupon within 1a days supply to CDOT, evldence satlsfactory to CDOT of complisnce
wlth the provlsions of this seCtion. Insurance coverage must be in effect or thfs lease Is In default,
(k) Notw(thatanding subsectEott (a.)of this section, if the Lessee is a"public entity"within the �
mea�ing of the Colorado Governmental Immuniry Act CR5 241p-101, et sea., as amended("Act'), the

l.essee shall at all tlmes du�ing the term of thls Lease maintain onfy such Il�bility insurence, by
commerclal poliey or self-inaurance, as is necessary to meet its liabilities under the Act Upon reque�t by
CQOT, the Lessee shali show proof of such insurance satisfactory to CDOT. Publle entity lessees ara
not required bp name CDOT as an Additional Insured.
(I) If the Lessee engages a Contracto�to act independently from the Lessse on the Premises,
that Contractor shall be requlred to provide an endorsement naming CDOT as an Additional Insured on
their Commercial Genersl Liabllity, and Umbrelle or Excess Liaplllty policies.
23. ADDITIONAI.PROVISIONS,
The Lesaee propoaes to Install "sail nails" �nd yde-watering" welis in the parcel deacribed above, and a�
shown on Sheets XBS-2 through X8S-6 of the construction plans by Coggins & Sons, Inc. of Littleton,
Colorado, dated 9/9/�6 as attached hereto, The purpos� of the proposed inst�ll��on is to shore up the
Lessors property subsequent ta exaavation of the Lessee's adjoining property and to prevent water
seepage Into the excavated area. The "soil nails" a�s proposed to enter the leased property at various
elevatlons from 8,168 feet te 8,128 feet and extend dewn to the noRh at an approximate 15' angle te
elevations between 6156 feet to 8118 feet based on the �bove referenced constructlon ptans attaehed
hereto_ The preceding sentence notwithstanding, the constructlon plans referenced above shall control.
'fhe°soll nalls" shall remain in the subsurface of the Lesso�'s property untll they are removed by ar w�h
the permiseion vf the Lessor; but In no event shell the soil nails be remaved privr to the end af the term of
the Lease Ageement. The "de-watering" wells shall be fiiled and capped by the Lessee at thelr sale
expense in accordance with local, State and Federel regulations, laws and guldelinesistand�rds before
the end of the term of this Isase.
(a) The payrttent for this lease will conaist of two parts:
(I) The first part is that described In 5ectlon 3 and shall be fixed for a period of one
year.
(ii) The aecond part of the payment con�ists of ONE PAYM�NT af$48,225.00, due upon
e(gning of this lease, which is the calculated current coat of removing the soil nails during
excavatlon end Is based on 643 nails at �76.00 per nafl� Any addition or subtraction of the
number of nails shaN be refleoted in the total amount of thls payment on the ba9is of$75.00 per
nall. Thls payment is agreed upon between the parties to be #he total amount to be paid by the
Lessee to offset any future costs of removal of the seil nails by the �essar.
(b) The Lessee has represented to the Lessor that their building ia freastanding and nct
dependent upon the soll nalls br support. The Lessee therefore agrees that �ey will have no legal
recourse agalnat the Lessar, It's agents or Pemtlteea(f dunng the�esponsiblB removal of tha soil nails the
Leasee's property is damaged due to lack vf suppart �
(c) The Lessse further agrees that it will indemnify the Lessor for any damages incur�ed by
Perrnitteas of the Leseor, if during the normal eourse of their businees their equipment or facilities are
damaged In connaction with the installation of the soil nails or de-watering welfs on the Premises.
i, The Lessee ack�owledges that It Is aware of the existing utilities in the area to be
leased and agrees that It wlll submit plans of its proposed installations ta the effected utility
companiea for review and concurrence. The Lessee ft,rther agrees that it will provide the Lessor
with copies ot written documehtation frorn each utility that they have revlewed the propased
fnstaUatlon and concur wlth the plans to avoid and protect the existing utilitiea and to mitigate any
damages. Such do�ume�tation will be submltted to Lessor prior to any work being conducted on
the Premises by Less�e.

II.The Lessee egrees that It wlll not damage utility facllltiea presently exisUng and will
repair at its cost such facllltles if damage occurs due to it�work within the rlght of way. I.essee
further agrees the�t It will Indemnify and hold harmless the Lessar and al(utility companiea
presently occupying the right of way as a consequence ot l.essee's actian.
(d) The designer of the shoring 9ystem, Coggins& Sons, Inc, of Littlaton, Colorado has�equl�ed
, weekiy monitoring of the excavation for horizontal movement during constructio�and
reporting of the resuits by the contractor to them far�revlew. !n at letter dated February 27,
200'1 and signed by James H, Hart, PE, Ccgglns&Sone, Inc.diacuased minimum and
maximum anHcipated horizontal wall movement and plans if unacceptable movement 6hould
oocur. A copy of this letter is�ttached as an exhibit to this lease, The Lessor Is speclflcally
ralying on the essurencea vf this letter and the Lassee ag��s tv contlnue to employ Coggins
8�Son, Inc. in it's present positian and to promptly implement eil recommendations of that
company.
(e) Lessee agrees to includa the Lessor in the weekly�disuibution Ilst tar the results of the
honzontal wall movement monito�ing. Monitoring rasulta wlll be sent in a�imely manne�to •
