This analysis is based on our conversion of this morning indicating that the unfinished (dirt floor) crawl space at the lower fevel would not be included in the existing

easement for the encroachment and. for the maintenance of the sane so long as the building stands, shall exlst. In the event any building shall be partial-Iy or totally destroyed as a result of fire or other
casualty or as a result of condernnation or eninent domain proceed.ings
and then rebullt, encroachments of parts of the buiJ-ding on the other
parcel , due to such rebuilding, shall be permitted, so long as such
encroachments are of-no greater extent than those previously existing,
and vaLid easenents for such encroachments and the maintenance thereof shall exist so long as the building shall stand.
5. PARTY WAIJJ.
A. The comtnon wall placed egually divided on the sonmon boundary separating Parcel A and Parcel B, the footings underlying and the portion of roof over such wall are collectlvely referred to hereLn as the rrParty Wallrr.
B. To the extent not inconsistent with this Declaration, the general rules of 1aw regarding party walls and liabillty for damage due to negllgence, willful acts or omissions shall apply to the Party Wall.
c. The owners of either unit shall have a perpetual easement in

and to that part of the other unit on which the Party WaLI is located,for party wall purposes, including mutual support, maintenance, repair
and inspection. In the event of damage to or the destruction of the Party WalI from any cause, then the owners shall at joint expense in
equal shares, repair or rebuil-d said party wall, and each olrner, shall
have the right to the ful-l- use of said party wall so repaired and rebuilt. Notwithstanding anythinqr contained above to the contrary, if the negligence, willful act or omission of any owner, his fanily, agent or invitee, shall cause damage to or destruction of, the Party Wall,
suclr owner shall- bear the entire cost of repair or reconstruction (to
the extent that such damage is not covered by insurance), and an ordner
who by his negligent or willful act causes the Party Wal-l- to be exposed to the elements shall bear the full cost of furnishing the necessary protection against such elements.
6. I,ANDSCAPTNG, SERVICE FACILITIES AND PARKING.
A. Each owner shall be primarily responsible for l-andscaping and
snowplowing of his unit. The owners from tine to tirne shall undertake such landscaping and general- outdoor improvernents including but not l-inited to driveway and parking areas as they may nutually and
unanimousJ-y deen proper for the harnonious irnprovement of both units in
a connon theme, and, except for any expense or liabifity caused through the negl-igence or wiIIful act of any orrrner, his family, agent or invitee, which shall be borne solely by such owner, each owner shall
share alJ. expenses, liabi3-ities and general upkeep responsibilities with
respect to such landscaping and outdoor improvements. The olrner of one unit shall not unreasonably darnage the value of the other unit such as by shoddy upkeep outside, but both owners shall make all reasonable efforts to preserve a harnonj-ous conmon appearance of the units.
B. common utility or service connections or lines, conmon facilities or other equipment and property located in or on either of the units but used in comnon with the other unit, if any, shall be owned
as tenants in common of e'qual undivided one-hal-f interests by the olrners of each unit and, except for any expense or liability caused through the negligence or willful act of any ovrner, his faurily, agent or invitee,
which shall be borne solely by such owner, all expenses and liabilities
concerned with such property shall be shared in the proportions set forth in paragraph 8 belovr. The owner of the unit on which such property is not located shall have a perpetual easement in and to that part of such other unit containing suctr property as l-s reasonably
necessary for purposes of maintenance, repaJ.r, and inspection.
C. Conmon access is presently provided on the Access Easenent.
There is hereby created a reciprocal easenent and right-of-way for each owner over, across and through the Access Easernent. The owners shall have egual right to the use of such parking area and no owner shall hinder or permit his invitees to hinder reasonable use by the other

irnprovement of such parking facilities may be required frorn tine to tiroe, and the same shall be undertaken upon the unanimous agreenent of the owners rrho shall share all extrlenses.
7. ALTERATION, MAINTENANCE AND REPAIRS.
A. The owners shall pay their proport,ionate share of the total
cost allocated to each parcel , in order to provide exterLor maintenance
and exterior repair upon the unl-ts and aII portions of the Access
Easement and of the parcel upon which each unLt is located i.ncluding,but not liml-ted to, the exterLor and the roof housLng the unLts;provided, horrever that if the condition requirlng repair onty affects
one of the Units, the owner of that Unit shalL bear the entire.cost thereof. Repal.r, replacenent or cleanLng of exterior wLndos glass shall
be considered interior maintenance. If the need for repair is caused
through the negligence or willful act of any owner, his fanily, agent or invitee, such owner shall bear the entire costs of such repair or reconstruction (to the extent that such damage ls not covered by insurance). Both units nust be painted at the same tirne and wlth the
same naterials and no exterior modlficatLons shall be made wlth the
character of the building without unanirnous approval of both parties.
B. Each owner shall be solely responsible for maintenance and repair of the inside of his unit including fLxtures and inprovements and all utility lines and equipment located therein and serving such unit only. Window glass shal1 be deemed interlor maintenance. In performing
such maintenance and repair, or in inproving or al-tering his unJ-t, no
owner shaLL do any act or work which inpairs the structural soundness of either unit or the Party WalI or which interferes with any easement granted or reserved herein.
c. Utility or service connections or lines, facilltles or other utlllty equipurent and property located in, on or upon either of the units, shich are used sole1y to supply a service or utility to one unit shall be owned by the owner of the unit using such utility or service
and al.l expenses and liabilities for repair and maintenance shall be
borne solely by the oltner of such unit, who shall have a perpetual
easement in and to that part of such other parcel or unit containing
such property as ls reasonabty necessary for purposes of maintenance,repair and inspection.
D. No owner shall make or suffer any structural or design change (including a color sclreme change), either pernanent or temporary and of
any tlpe or nature whatsoever to the exterl-or of his unit or construct
any additional building structure of any tlpe or nature whatsoever upon
any part of his parcel without flrst obtainlng the prior written consent thereto fron the other ordner, such consent shall not be unreasonably withhel-d. In case of danage or destruction of any unit or any part
thereof by any cause whatsoever, the onner of such unit shall cause with

due diligence the unLt to be repaired and restored, applying the proceeds of lnsurance, if any, for that purpose. Such unit shall be restored to a conditlon conparable to that prior to the damage and in a
harlnonious manner to promote the common thene of both units.
8. MECHANIC,S LIENS: TNDEMNIFICATION:
A. Except for l-tens incurred as a common expense as provided for herein, if any owner shall cause any material to be furnished to his lot or unit thereon or any labor to be performed therein or thereon, the other o$rner shalI not under any circunstances be liable for the palment of any expense incurred or for the value of the work done or materl-al furnished; all such work shall be at the expense of the onner causing Lt to be done, and such owner shall be solely responsible to contractors,laborers, rnaterialnen and other persons furnishing labor or naterials to his parcel or any J-mprovements therein or thereoni nothing herein
contained shall authorize either owner or any person dealing through,nith or under either owner to charge the unit of the other owner with
any mechanic's lien or other lj.en or encurnbrance whatever; and, on the contrary (and notlce is hereby given) the right and power to charge any Iien or encumbrance of any kind against one owner or against one owner's parcel for work done or rnaterials furnished to the other ownerts parceJ.is hereby extrlressly denied.
B. Except as provided for below, if, because of any act or
omission of any owner, any nechanic's or other l-ien or order for the palment of money shall be filed against the other owner's parcel or any
improvenents therein or ttrereon or against any other olrner (whether or not such lien or order is valid or enforceable as such), the owner whose act or omission forms the basis for such lien or order shall at his own cost and expense cause the same to be cancelled and discharged of record or bonded by a surety conpany reasonably acceptable to such other owner,within 30 days after the date of flling thereof, and further shall
indennify and save the other olrner harmless from and agalnst any and all costs, expenses, clairns, losses or darnages, incJ-uding reasonabLe attorney's fees resulting therefrom.
9. INST'RANCE.
A. Eactr owner shatl keep his unit and aII fixtures thereLn insured against loss or danage by fire and extended coverage perils
(including vandalLsm and. nalicious mischief) for the naximum replacenent
value thereof. Any owner may on 3o days' written notice, but not nore frequently than once every two years, obtain a written estimate of the
replacement cost of the Units by a licensed contractor, and the anount.
Such contractor shall be a disinterested and independent third party who is unrelated in any manner to either owner whether through Joint business adventures or otherrrise.

B. Each owner shall provide and keep in force, for the protection of himself, general public liability and property darnage insurance against claims for bodiLy injury or death or property danage occurring in, on or upon, his parceL owned in fee sinple and the improvenents thereon, ln a lirnit of not Less than $3ooro00.o0 in respect of bodily injury or death to any number of persons arising out of one accident or disaster, or for damage to property, and if higher linits shall at any tine be customary to protect against possible tort liability, such
higher limits shal1 be carried and each owner shall name the other owner
as an additional insured party under such policy.
C. Each oelner shal-I deliver to the other orrner certificates
evldencing aJ.I insurance reguired to be carried under this paragraph,
each containing agreenents by the insurers not to cancel or rnodify the policies without giving the other owner written notice of at least 30 days. Each owner shall have the right to inspect and copy all such
insurance poJ-icies of the other owner and require evidence of the
palment of preuiums thereon.
D. Nothing provided in this paragraph shall prevent the orrrners fron jointly acguiring a single policy to cover any one or more of the
hazards reguired in this paragraph to be separately insured against by
each owner.
E. Al-1 insurance policies obtained by either owner shalL
expressl.y waive aJ-J- rights of subrogation as against all other olrners
and their respective farnilies and invitees.
10. DESTRUCTION OF IMPROVEMENIS ON PARCEIJ. In tbe event of daroage or destruction to a unit by fire or other disaster, the insurance proceeds shall be deposited into a bank account which reguires, for
withdrawals, the signatures of both the owners, or disbursed directly by the insurance carrler. The owners shall then promptly authorize the
.necessary repair and reconstruction work and the insurance proceeds will be applied by the owners to defray the cost thereof. rrRepair and reconstructionrr of units, as used herein, means . restoring the
Lnprovenents to substantially the same condition in which they existed prlor to the danage with each unlt havLng the sarne boundarLes as before.
11. DAI'{AGE TO COMMON AREA. The onners shall maintain adequate
casualty and publ-ic liabil-ity insurance, the Access Easement, and shal-l-
pay the preniuns therefore in the proportions set forth in paragraph 8 above. In the event of damage or destruction to all or a portion of the Connon Area due to fire or other disaster, the insurance proceeds
shal1 be appJ.ied by the owners to such reconstruction and repair. If the insurance proceeds with respect to such Cornrnon Area damage or
destruction are insufficient to repair and reconstruct the danaged or
destroyed conmon Area, the owners shall consider a special assessment.If such assessment is approved by both owners, the owners shall make
such assessment and proceed to rnake such repairs or reconstruction. ff

such assesEment is not approved, the insurance proceeds shall be applied to restore the common Area to a condition as Like to its condition prior to the damage or the availabl-e insurance proceeds pernit. The
assessment as to each owner and parcel shall be in the proportions set forth in paragraph 8 above. Suclr assessment shalL be due and payable not sooner than thirty (30) days after written notice thereof. The
assessment provided for herein shall be a debt of each ovrner and a lien on his parcel and the improvenents thereon and may be enforced and collected by foreclosure proceedings in the Courts.
L2. RIGHT TO LIEN.
A. If an oh/ner, at any time, shall negLect or refuse to perform or pay his share of any obligation required hereunder, the other onner
may, but shall not be obligated to, after 30 days sritten notice unless the circumstances require innediate action, nake such paynent or, on behalf of such other otrner, expend such sum as may be necessary to perform such obligation including, but not linited to, the palment of
any insurance prerniums reguired hereunder or the undertaking of any work requlred hereunder for repair, restoration or maintenance, and such other or{ner shall have an easeuent in and to that part of such defaulting owner's unit as is reasonably necessary for such repair,restoration or maintenance.
B. A11 sums so paid or expended by an olrner, with interest thereon at the rate of L8 percent per year from the date of such palment or expenditure, shall be payable by the owner so failing to perforn (the rrdefaulting ownerrt) upon demand of the other orrner.
c. All sums so demand.ed but unpaid by the defaulting owner shall constitute a lien on the lot of the defaulting owner in favor of the other owner prior to alL other liens and encurnbrances, except: (1)liens for taxes and special assessmentsi and, (ii) the lien of any fJ-rst
mortgage or first deed of trust of record encumberlng such lot. The l-len shaLl attach from the date when the unpaid sun shatl becone due and
may be foreclosed in like manner as a nortgage on real property upon the recordj-ng of a notice or clain ttrereof executed by the nondefaulting
ouner setting forth the amount. of the unpaid indebtedness, the name of the defaulting owner, and a description of the unit. In any such foreclosure the defauttlng owner shalt be requl"red to pay the costs and
expenses of such proceedlngs, incJ-udlng reasonable attorneyts fees.
D. The l-ien provided for herein shall be subordinate to the lien of any first nortgage or deed of trust, incl-uding all additional
advances thereon. Sale or transfer of either parcel as the result of court foreclosure of a mortgage, foreclosure through the public trustee,or any proceeding in lieu of foreclosure, shal-l extinguish the lien of such assessments as to paytnents thereof which become due prior to such sale or transfer, but shall not relieve any former oyrner of personal Iiability therefor. The mortgagee of such parcel who acquires title by

way of foreclosure or the taking of a deed in lieu thereof, shall not however, be liabl-e for any past due assessment and shall only becone liable for future assessments on the date it becornes the owner or Ls entitled to becorne the owner of such parcel . No sal-e or transfer shall relieve such parcel from liability for any assessments thereafter
becoming due or from the lien thereof. In the event of the sale or transfer of a parcel with respect to which sums shall be unpaid by a defaulting owner, except transfers to a first mortgagee in connection with a forecl-osure of.its lien or a deed in lieu thereof, the purchaser or other transferee of an interest in such parcel shal-l be jointJ.y and severally liabl-e with the seller or transferor thereof for any such unpaid sums.
E. Upon written request of any owner, mortgagee, prospective
mortgagee, purchaser or other prospective transferee of a parcel, the
owner of the other parcel shall issue a written statement setting forth the amount he is owed under this paragraph, if any, with respect to such unit. Such statement is binding upon the executing owner in favor of
any person who may rely thereon in good faith. Unless a request for
such statenent shall be conplied with within fifteen days after receipt thereof, all unpaid surns which became due prior to the date of naking
such request shall be subordinated to the lien or other interest of the person requesting such statement.
13. USE RESTRICTIONS.
A. Each unit sha1l be restricted to a residential dwelling permitted use, and conditional and accessory uses as defined by
Town of Vail- Zoning ordinances.
B. No exterior mounted radio, shortwave, teJ.evision or other tlpe of antenna lrhatsoever or tank of any kin, either elevated or buried, or clothesl.ine or incl-nerator of any kind whatsoever or outside storage of any personal property shall be permitted or maintained on either unit wlthout the prLor wrltten approval of both owners.
C. No anLmals shall be kept or naintained in, on or upon either unit, except that each otrner may keep and naintain within his unit a totaL of two domesticated animals either: two domesticated dogs andr/or
two donesticated catsi provided, hotrever, that such doroesticated animals are kept under controL at aLl tiures, do not present a nuisance to the other oirner and are kept controlled in strict cornpliance with all Town of Vail ordinances that aray apply to such anirnals.
D. In addition to the parking restrictions set forth ln
subparagraph LANDSCAPING, SERVICE FACILITIES AND PARKING above, each
owner may keep no vebicles peraanently on tbe Acsess Easemeat. Parkingt of boats, traiJ-ers, campers, rnotor hones, ATVs or recreational vehicles is expressly prohibited, unl-ess located within an ownerrs garage.

vhereby ownership of a unit is shared by owners on a time basis, shall
be establl-shed on either unit without the prior written approval of both
ohrners and all lienors holding a first mortgage or first deed of trust of record on any portion of Parcel A or Parcel B, which approval shall
be reflected in a document of record.
F. The oitners understand and agree that potential development rights nay exist under present or future Town of Vail regrulations that
nay pernLt er<pansJ.on of the dwelling units, which deveJ-opment rights
have not been utilized to date. The owner of ParceL A shal-l- be deened to have excLusive ownership of and rights to fifty percent (508) of
those developrnent rLghts. The olJner of Parcel B shall be deened to have
exclusLve right to fifty percent (508) of those developnent rights. No
exercLse of those development rlghts shall be made by one owner without flrst obtalning the wrltten consent of the other ovrner, which consent shaLl not be unreastonabty withheld. The other onner, before giving
wrLtten consent, shall be entitled to review the development plans and
any blueprints or surveys prepared in connection with the developnent
plans.

L7. EFFECT oF PROVISIONS OF DECL,ARAIIfON. Each provision of this Declaration, and agreement, promise, covenant and undertaking to conply with each provisl-on of this Declaration, and any necessary exception or reservation or grant of titIe, estate, right or interest to effectuate

].8. ENFORCEMENT AND REMEDTES.
A. Each provision of this Declaration shal1 be enforceabl-e by any
owner by a proceeding for a prohibitive or mandatory injunction or by a suit or action to recover damages. If court proceedlngs are instituted in connection rrith the rights of enforcement and renedies provided Ln this Declaration, the prevailing party shall be entitled to recover its costs and expenses in connection therewith, includJ.ng reasonable attorney fees.
B. Eactr owner hereby agrees that any and all actions in equity or at laht whlch are instituted to enforce any provision.hereunder shall be brought in and only in the District Court of Eagle County, State of
Colorado.

19. EXERCISE OF RIGHTS. Any exercise of any right granted
hereunder by one oltner with respect to the other owner,s unit includlng but not linited to the use of any easement granted herein shall be exercised in a manner which shall not unreasonably hinder, impede or inpose upon such other owner,s use of his unit.
20. SUCCESSORS AND ASSIGNS. Except as otherwl-se provided herein,this Declaration shall be binding upon and shall inure tb tne beneflt of each owner and the heirs, personal representatJ.ves, successors and assigns of each.

Dear Charles,
As we discussed in our phone ccnversa:ion the other evening, Jane
ancj I are planning to do some remoieting wci'K on our part of the 4266
Columbine duplex before we move in next summer, Much of the work is
internai, and there are several changes to ihe exterior as well. According
to the "Pariy Wail Agreement", we need ycur written consent to any
extericr changes before we can proceeci wiih ihe work. Following are an
outline of thele proposed external changes and an elevation drawing to
assist you in reviewing them.
1. entrv - We plan to extend the garage roof line on the one
side to eliminate snow, ice, anc/or waier from falling directly
on the walkwaY.
2. livino rocm/dinino room - The dining i'oom wouid be
extended a few feet to the souih to match the living room wall.
several addiiional windows wculd be aided on that wall to
allow us to enjoy the beautiful view of the mountainside, etc.
3. decks - The existing deck on the south and east sides
(ground level) would be torn out. A new deck would be built,
extending basically toward the east from the dining room. This
would provide us an unobstructed view of the ground nature
from the living and dining rooms, and eliminate the unsightly
deck from both our views.
4. porches - we plan to take off the two somewhat rotted wood
porches on the second level - one off the master bedroom
isouth side), the other off the master bathroom (north side).
We would add a small "French' porch off the master bedroom on
the east side.
5. study - Jane spends much of her day when in town in her
home otfice, and a study which has views to the east and south
will provide a wonderful environment for her work (mine as
well). The additicn would extend to the east from the
breakiast room (essentially out of your view). On the second
flnnlhe m2ster bedroom closet wouli be extended somewhat
in the same direction to provide more siorage room for us. All
roof lines are compatible.
6. larcscaoe - we plan to acd trees alcng the berm berween our
side and thai building to ihe nonh-easi in order to provide
some reeling of privacy. We wculd insiall an irrigation system
and Keep cur siie of the yard in wiic flowers/rocksismall
trees.
7. sui'ace treatment - All new exterior walls and patcning
woulc be the same stuccc finish as currently exists. we would
painr lhe new sunaces io match the existing color. Exterior
wooc inm wouid be cleaned anci ireatec as yours is'
As ycu can see, most of the Changes are ncl within. the view from
your Side; and the changes that you will be able to see either remove
unsightly si:'uctures or add attractiveness to ihe area. There may be minor
mociiicitions to these plans as we get closer to ccnstruction time
(hopefully the end of April). I wiil let you know if there are any
subsiantive changes.

As I toLd you, it is the Lloyd,s intent to use the converted crawl space as storage only. The exact square footage to be determined after walls are finished but l-s approximately 4OO square feet.
The new study is galned by adding approxinately 25 square feet to the existJ-ng floor area.
