The following recitals of fact are material parts of this instrument and control: cribed as (a) The grantor is the owner of a tract of land des- follows and hereinafter referred to as "Parcel A": Lot 32, .Highland Meadows,Filing No. 2, County of Eagle, State of Colorado : (b) The grantor wishes to and desires to grant and the grantee desires and wishes to receive, an easement over and across a portion of Parcel A described as follows, which said easement is identified in two parts, one part identified as the 'Tank Site Easementn and the second part identified as the nRoad Easenent" (both parts are hereinafter sometirnes referred to as the neasement area"). The "Tank Site Easement'r is more particularly described on Exhibit A, which is attached hereto and incorporated herein by this specific reference. The "Road Easenentn is more particularly described on Exhibit B, which is attached hereto and incorporated herein by this specific reference. Both easements are for the use of the property and neither easenent grants a fee simple estate to the grantee, the grantee receiving the right to use the easement area for the purposes expressed herein and on the herein contained terrns, provisions and conditions. When- ever the words, teasenent areat', t'easenent" r. nTank Site Easementn, "Road Easement', or t'Easement Grant" are used hereinr it means the right to use the property on the bases defined herein. NOw, THEREFORE, in consideration of the nutual covenants - herein contained, the premises and other good and valuable con- sideration, Ten Dollars ($10.00) the following grants, agreements, covenants and restrictions are made: L. Grantor does hereby grant to grantee,'its successors and assigns, as an easement appurtenant to Parcel A' a PerPetual and exclusive easement with the right of ingress and egresst to construct, reconstructr. operate, repair and rnaintain a Lank site and tank site facility, located on or under the easement granted herein as "Tank Site Easement" which said uses described herein appfy to Lhe "Tank Site Easenent" ' Exhibit A. 2. Grantor hereby grants to the grantee' its successors and assigns, as an easement appurtenant to Parcel A, a Perpetual and exclusive permanent access road easernent for the purpose of gaining access for installing, constructinQ' repairing and maintaining water distribution lines in and under and, above the parcel of land described as the "Tank Site Easementf and from said parcel described as "Tank Site Easement" to presently exisbing easements containing water distribution lines owned by the granteet together with the right of ingress and egress over said "Tank SiLe Easement" to survey, install, construct, reconstruct, repair I and maintain said wat.er Iines, which exclusive and permanent easement is more fully described above and Labeled "Road Easernentn t Exhibit B. 3. The grantee is receiving herein tero easement use grants, one for the purpose of erecting a water tank upon the irea designated as nTank Site Easement", Exhibit A, and one for the purpote of ingress and egress to the "Tank Site Easenent" area anb for the purposes of-instaIling' constructing, repairing and rnaintaining water distribution Lines in and under said parcel of land nore Parlicularly described as "Road Easenent" area. The grantor retains all fee ownership of the land involved in the "easenent area". GranLee shall not have any use or available expanded use beyond the uses described above and the rule of strict construction shall aPply to this easement grant. 4. The grantee ful1y understands, acknowledges and agrees that the grantor intends to subdivide and develop the property for multiple residential living units and the grantee hereby gives its advance, writ.ten consent to any and all planst specifications or proposed construction efforts of the grantor with .regard to Parcel A and with regard to any matter reasonably related to the construction or development efforts of the grantor. Grantor and grantee agree that grantee does not have jurisdiction over the zoning or development of Parcel A and that the county officials retain such jurisdiction. Further, covenants that if grantor builds any living unit with the lowest floor elevation exceeding 81320 feet, then grantor does at its own risk of not having aiaiiable vrater presiure. Further, if grantor deternines that, in grantorrs opinionr there is not sufficient water Pressuret then grant,or nay install a booster pump at grantorrs cost and exPense. 5. This easement shall run with the land and be binding upon the successors and assigns and heirs 9f either the grantor or the grantee 6. Grantor specifically reserves the right to nake reasonable use of the designated and granted entire easernent area and grantee specifically agrees that the easement area desig- nated as t'Road Easement" shall be available for all ingress and egress to all parts of the property' including Parcel A, not only for grantor, but grantorrs successors, assigns, transferees and/or lessees and/ot purchasers. 7. Grantor reserves the right to place any structure, ingluding a building irnprovement' fence or tree, on Parcel A or any part of Parcel A, including, but not limited to' those areas adjacent to the exace bounded area of the easement areas. Furtherr grantor shalt plage a gate or fence at or about the entrance l-ocation to Parcel A and on top of or relating to the entrance area tO the area known aS "Road Easement" area and grantee freely agrees to the same. Grantor agrees tO give grantee access through any gate or fence as such relates to the easenent area. Grantor shaII not place, erect or construct any permanent structure on the easement-arLa, except for the gate or fence identified above 8. In the event of abandonment of said easement by grantee, granEee shall give written notice to grantor of its intent to-abanclon said easements, whereupon, all of said easement area shalL revert bo grantor and grantor shall thereupon be restored to its first and formcr estate and position, free and clear of any grant of use easenent herein contained, or any rightr interest or-piivilege attaching to the herein-described grant of easements. Furlher, in the event of such abandonment, grantee agrees to -2- restore and reclairn the easement area land to its condition at the time of tbis grant, of easement, or be liabl-e for the cost and expense of the same. Further, all of said easenent area shall revert to grantor upon the terminaLion of the existence of grantee. Grantee shall still be responsible for restoring the property to its forrner condition and for reclarnation of the same. Nothing herein contained shall require grantee to rernove either said water tank facility or the transmission line. 9. crantee agrees that it shal-l bear any and all costs of maintenance for the easenent area and to perform all timely reguired maintenance for the easement area, including, but not limited to, naintenance of the road, which means snow renoval done on a timely basis to naintain a four inch naximum depth of snow on aLl areas of the road and to remove snow in such a fashion as to not interfere with access roads to the other por- tions of Parcel A. Further, grantee agrees to construct the Iines and use the easernent area in such a fashion to not interfere with any paving of the road at any time. Grantee will not, at any time, engage in any activity or refrain frorn engaging in any activity that wilI adversely affect grantorrs construction plans, work or efforts. After the initial construction by grantee, then grantee shall give thirty (30) days' written notice for any and al-l construction work, except for non-scheduled work. Grantee shall' at all tines, allow, without charge, access for grantor, grantorrs agents, representatives, subcontractorsr employees, licensees, invitees, Iessees, purchaiers, successors or assigns, to other portions of Parcel A, over and across any portion of the easement area to any other portion of Parcel A.
