DEVELOPER IMPBOVEMEI..IT AGBEEMENT
THIS AGREEMENT, made and entered into this t3rh day of MAy . 1S_2.---
by and among cronen urznrR (hereinafter called the "Developer,'), and the
TOWN OF VAIL (hereinafter called the "Town") and wnsrsrAR BANK (hereinafter
called the "Bank").
WHEREAS, the Developer, as a condition of approval of the coNsTRucrroN
plans, dated JUNE . 1995_ wishes to enter into a Developer
lmprovement Agreement; and
WHEREAS, the Developer is obligated to provide security or collateral sufficient in the
judgment of the Town to make reasonable provisions for completion of certain improvements set
fo(h below; and
WHEREAS, the Developer wishes to provide collateral to guarantee performance of this
Agreement, including construction of the above-referenced improvements by means of the
following:
Developer agrees to establish a letter of credit with a Bank in Eagle County in a dollar
amount of $(125% ol the total cost of the work shown below) to provide
security lor the following:
IMPROVEMENT
LANDSCAPING -- $20,000.00
DRTVEWAY -- $5,550.00
NOW, THEREFORE, in consideration of the following mutual covenants and agreements,
the Developer and the Town agree as follows:
1. The Developer agrees, at the sole cost and expenses, to furnish all equipment
and material necessary to perform and compiete all improvements, on or before
JuLy r. rq97 The-Developer shall complete, in a good workmanlike manner, all
improvements as listed above, in accordance with all plans and specifications filed in the office of
the Community Development Department, the Town of Vail, and to do all work incidental thereto
according to and in compliance with the following:
a. Such other designs, drawings, maps, specifications, sketches, and other matter
submitted by the Developer to be approved by any of the above-referenced
governmental entities. All said work shall be done under the inspection of, and to
the satisfaction of, the Town Engineer, the Town Building Official, or other official
from the Town of Vail, as affected by special districts or service districts, as their
respective interest may appear, and shall not be deemed complete until approved
and accepted as cornpleted by the Town of Vail Community Development
Department and Public Works Department.
3. The Developer may at any time substitute the collateral originally set forth above
for another form of collateral acceptable to the Town to guarantee the faithful completion of those
improvements referred to herein and the performance of the terms of this Agreement. Such
acceptance by the Town of alternative collateral shall be at the Town's sole discretion.
4. The Town shall not, nor shall any officer or employee thereof, be liable or
responsible for any accident, loss or damage happening or occurring to the work specified in this
Agreement prior to the completion and acceptance of the same, nor shall the Town, nor any
officer or employee thereof, be liable for any persons or property injured by reason of the nature
of said work, but all of said liabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harmless the Town, and nay of its
officers, agents and employees against any losses, claims, damages, or liabilities to which the
Town or any of its officers, agents or employees may become subject to, insofar as any such
losses, claims, damages or liabilities (or actions in respect thereof) that arise out of or are based
upon any performance by the Developer hereunder; and the Developer shall reimburse the Town
for any and all legal or other expenses reasonably incurred by the Town in connection with
investigating or defending any such loss, claim, damage, liability or action. This indemnity
provision shall be in addition to any other liability which the Developer may have.
5. lt is mutually agreed that the Developer may apply to the Town and the Town shall
authorize for partial release of the collateral deposited with the Town for each category of
improvement at such time as such improvements are constructed in compliance with all plans
and specifications as referenced hereunder and accepted by the Town. Under no condition will
the amount of the collateral that is being held be reduced below the amount necessary to
complete such improvements.
6. lf the Town determjnes, at its sole discretion, lhat any of the improvements
contemplated hereunder are not constructed in compliance with the plans and specifications set
forth in this Agreement on or before the date set forth in Paragraph 2, the Town may, but shall
not be required to, redeem the letter of credit as necessary to complete the unfinished
improvements. The Bank shall release such funds upon written request from the Town stating
that the improvements have not been completed as required by this agreement. The Bank shall
not require the concurrence ot the developer prior to release of the funds to the Town nor shall
the Bank be required to verify independently that such improvements have not been completed
as required by this agreement, but shall release such funds soJely upon the Town's written

lf the costs of completing the work exceed the amount of the deposit, the excess,
together with interest at twelve percent per annum, shall be a lien against the property and may
be collected by civil suit or may be certified to the treasurer of Eagle County to be collected in the
same manner as delinquent ad valorem taxes levied against such property. lf the permit holder
faiis or refuses to complete the cleanup and landscaping, ad defined in this chapter, such failure
or refusal shall be considered a violation of the Zoning Code.
7. The Developer warrants all work and material for a period of one year after
acceptance of all work referred to in this Agreement by the Town if such work is located on Town
ol Vail property or within Town of Vail right-of-way pursuant to Section 17.1 6.250.
8. The parties hereto mutually agree that this Agreement may be amended from time
to time, provided that such amendments be in writing and executed by all parties hereto.

WestStar Bank hereby issues this Irrevocable Letter of Credit in your favor for the amount of
Thirty One Thousand Nine Hundred Thirty Seven and 50/100 Dollars ($3 1,937.50), which is
available by drafts at sight for payment accompanied by the follorving document:
Written certification signed by an authorized official with the Town of Vail that the
account party has failed to partially or fully complete and/or pay for any improvements or
pay any outstanding bills for completion of the landscaping and driveway on the property
located at 5030 Main Gore Drive
Once the required improvements to the property located at 5030 Main Gore Drive are completed,
upon completion the appropriate Town official shall inspect the landscaping, and upon approval
and acceptance, he shall authorize the release of this Letter of Credit. George Mizner are in no
tvay relieved of any obligations to make the improvements nor is the Town of Vail obligated to
assume the responsibility for any improvements by reason of the acceptance or any approval of
this Letter of Credit.
This Letter of Credit shall not be transferable and it shall be governed by the laws of the State of
Colorado. This Letter of Credit may be extended or otherwise renewed with the consent of the
Beneficiary and WestStar Bank.

THIS AGREEMENT, made and entered into this l3th day of MAY . 19_l-

WHEREAS, the Developer, as a condition of approval of the CONSTRUCTI0N

the security for the improvements set lorth above if there is a default under the
Agreement by Developer.

3. The Develope( may at any time substitute the collateral originally set forth above

PURPOSE AND SCOPE OF STUDY
This report presents the results of a subsurface study for
the proposed duplex to be located on Lot 1 , Fil lng 'l , ValI
Meadows Subdivision, Vai1, Colorado. The subsurface study was
conducted for the purpose of developing foundation recommenda-
tj.ons. The project slte is shown on Fig. 1. The work was
performed as requested by Bobby Inouye of Designs for Home and
Industry, Inc.
A field exploration progran consisting of drllling two
borings was conducted to obtaln informati.on on subsurface condl-
tions. Materlal samples obtained during the fleld exploration
were tested in the Iaboratory to determine the classlflcation and
englneering characterlstlcs of the on-slbe soi1. The resul.ts of
the fleld exploratlon and laboratory testlng were analyzed to
develope recommendatlons for foundation types, depths and allow-
able pressures for the proposed bullding foundatlon. The results
of the fleld exploration and laboratory testlng are presented
here ln.

PROPOSED CONSTRUCTION
The duplex is proposed to be 4500 square feet' two stories
with a fu11 basement. The structure will be of wood-frame
consLruction. The basement floor w11l be slab-on-grade. Floor
elevations had not been deLermined a! the time of this study.
Building loads are assumed lo be relatively 1ight.
If loadings, locations or conditions are significant,Iy
different from those described above, L,e should be notified to
reevaluate the recommendations contained in this report.
SITE CONDITIONS
The Vall Meadows Subdivision is located on Maln Gore Drive in
East Vail, Colorado. Lot 'l is currently vacant. The site slopes
moderately down to the norbheast with an elevation dlfference
across the proposed bullding area of aboub 6 feet. The gently
ro111ng ground surface of the 1ot glves the appearance of shallow
fill depth in the bullding area. Vegetation conslsts of grass
and weeds across the site.

Free water encounbered in the borings is sha1low, between
about 21/2 feet to 4 feet. Due to the apparent higher density
of the underlying gravels, the water may be a seasonal perched
condition. Monitorj.ng of the 1eve1s through the fall could be
performed to evaluate water level fluctuations. The water levels
should be expected to fluctuate as a result of seasonal runoff'
DisLurbed and undisturbed samples of the subsurface materials
encountered were subjected to laboratory testing. consolidation,
gradation anaLyses, in-situ water contenL and'density tests were
performed. The test results are shown on Figs.4 and 5 and sun-
marized ln Table I.
FOUNDATION RECOMMENDATIONS
The proposed residence can be founded on spread footings
bearing on the upper natural so11s, below all topsoll, loose so11
and f111. The excavatlon shoutd be kept relatlvely shallon to
reduce tbe adverse impact of shallow groundwater leveI on the
bu11dlng. Footings placed on the undisturbed natural soils may

dations should be deslgned to span an unsupported length of at
least l0 feet.Exterior fooLings should be provided wiih

Foundation wa11s and retaining structures which are latera1ly
supported and can be expected to undergo only a moderate amount
of deflection may be designed for a laberal earth pressure
computed on the basis of an equivalent fluid weight of 40 pcf for
granular backfi11. The backfill surface should be graded to
drain away from the building a minimum distance of about
B feet. The on-site predominant granular soils free of topsoil,
vegetation and oversized rock should be suitable for use as back-
filI. An underdrain should be provlded to prevenL buildup of
hydrostatic pressure behi.nd walls.
FLOOR SLABS
The upper natural soils, exclusive of topso1l, should be
suitable Lo support lightly loaded slab-on-grade construction.
We assume that lf slab-on-grade ls used, the slabs will be above
free water level. To reduce the effects of some dlfferentlal
movement, floor slabs should be separated from bearing walls and
coLumns with an expanslon jolnt whlch aIlows unrestrained verfl-

SURFACE DRAINAGE
The followlng drainage precautions should be observed during
construction and maintained at all times after the residence has
been completed.
1) Inundation of the so11s exposed in the foundaLion excavation
and underslab areas should be avoided during construction.
2) Nonstructural exterior backf11l should be moistened or dried
to near optimum and compacted to at least 90X of the maximum
standard ProcLor density.
The ground surface surrounding the exterior of Lhe building
should be sloped to draln away from the foundation in all
directions. We recommend a minimum slope of 6 inches in the
first 10 feet. A swale should be provided upslope of the
duplix to direct surface runoff around the structure.
Roof downspouts and drains should discharge welI beyond the
limits of all backfill.

2) Notice sign offs for utility companies. All utitities must field verify (locate)respective utilities prior to signing application. Some utility companies iequire u[to a 48 hour notice to schedule a locate.
3) A construction traffic controystaging plan must be prepared on a separate sheet of paper.An approved site plan may also be used. '
Tnis plan wifi shbw tocations of all.traffic control devices(signs, cones, etc..) and the work zone, (area of Construction, Staging, etc..). This plan willexpiie on Oct. 1Sth. and riff 'n""0 io be resubmitted for approval through the winter.
Sketch of work being performed must be submitted indicating dimensions (length,width & depth of work). This may be drawn on the tratfic iontror pran or a site plan for the job.
Submit completed application to the Public Works's otfice for review. tf required,locates will be scheduled for the Town of Vail Electricians and lrrigation crew. The rocates take place in the morning but, may requrre up to 4g hou-rs to perform.
The Public work's construction Inspector will review'the application and approve or disapprove the permit. you wilt be contacted as to the siatus and any thai may needed. Most permits are released within 4g hours of being received, out ptease allow up to one week to process.
As soon as the permit is processed, a copy wiil be faxed to community

At the Design Review Board meeting of August 21, 1985 the DegigluRe+icvq

and concersn that they wou'l d like addressed at the final approval stage.
Those issues being; 1. Investigate breaking up or adding another maierial to the building. There js a need for materjal releif because of the annunt of siding used on this building. 2. submit final detail on deck raifings
w'i th a suggestion to maintain an open feeling on the deck by mainta.i ning-
transparency of the rails. 3. submit actual elevations as the two units would be'l ocated on the site.
At this meeting of August 21., the Design Review Board also granted conceptual approval for plan 28 submitted for Lot 1, Filing 1, vajl Meadows subdivjsion with_the following concerns to be addressed at the final approval stage:1. Final details on landscaping 2. Present deta'i ls on stone work to be uti I i zed.
In addition to these concerns of the Design Review Board both of these projects will require fjnal revjew of the Publjc l,lorks Department.
