south (trphill) side of the western cluplex. Ground floor wilL be stnrcturally
supportecl over crawl spa@. The strusEur:e has been designecl to be supported on
16-indl wide continuous spread footirgs assunirrJ an allcmable bear5ng pressure of 2000 psf. A delcris flou deflection wall is proposed abcnre ttre addition on
the hillside supportecl by contiauous spread footirg about 4-1122 feet wide.
At the tire of our visit to the site, footi.rxJ trendl excavation for tJle addition
had beetr cut in one level frorn 3 to 5 feet. belovr tie adjacent gror:rd surface.
The excavation glade was at existirg footjrq elevation. Ihe nnterials ocposed jn tJ:e bottom of the excavaEion consisted of natu::al, neditun dense, clayey sarrl
ard gravel with cobbles. Ihe excavation suhgrade had been conpactecl ard no loose
soils were obsenred in footirq areas. Ihe debris floru wall foundation had been
cut 0 to 3 feet belor^r tJre adjacent grourd surface and oqposecl sjnr-ilar natural
granular soils wiUr man-placecl fill at Ure dqrnhill side. Ilre results of a
gradation anatysis performecl on a sample of the natural clayey sard ard gravel soils (nrinr:s 3-indr fraction) obtained from the site are presented on Fig. 1.
No free water lras obsenred in tl're excavation ard the exposed soils were nrcist to highly ncist adjacent the e><istiry fourdation drain. Itre existirg dupler<
appearecl to be fourded on 16-wide spread footirgs.
Considerirg the corditions exposerl in the excavation and the nabrre of tlre
proposed constnrction, spread footings placed on the natural granular soils
designecl for an allct'uable soil bearing pressure of 2000 psf should be adequate for support of ttre proposed addition and debris flow v,rall. Footfurgs should be
a rdrtimun widtlt of 16 indres for contiluous waLls ard 2 feet for coh-unns. Ioose

Dear Ann:
After reviewing your building permit application, the Community Development staff has
determined that we will be able to "staff approve" the sun room addition and that you will not
need to take this revision to ttre Design Review Board for their approval. There are some details,
however, which must be resolved before the Town can issue the building permit.
First, the addition exceeds the allowable GRFA for the site by 11.7 square feet. Please
reduce the size of any of the additions by this amount. Second, the hazard repon must be
amended to address the sunroom addition. As I understand the report, this portion ofthe project
was not proposed when the rcport was written. Third, please have your architect identify on the
site plan where the hazard rritigation will be constructed. In addition, have him provide the
details of the hazard mitigadon constrcution (such as a cross section) which will be needed to
understand that the requirements of the report have been fulfilled. Lasdy, please complete the
affidavit stating that you have read the hazard repons and understand the risks involved with the
additions you are proposing.

Dear Mr. Schultz:
At your request, this report evaluates the debris-flow exposure
and mitigation at the above-refereneed units. The conclusions
and recommendations are gLEg ry.i.flg, therefore can not
necessarily be applied to other sites. Furthermore, the
conclusions depend on the orientations, sizes and shapes of the 2
proposed additions shown on Figure 1. Substantial changes to
these plans nay invalidate the recommendatLons in this report.
1. DEBRIS-FLOW EXPOSURE
Lot 17 is located at the foot of a large, prinarily inactive alluvial fan which has developed as a result of debris flo\,'rs and other landslides since valley deglaciation some 20r000 years ago.
The fan surface does not appear to be active at present and no
debris flows are known to have occurred at l"east since the
earliest available aerial photos (1939) and probably rnuch longer.
However, flows are possible on this fan and may reach the
building on Lot 17, possibly extending downhill past the building
to Vail valley Drive.
As indicated on Town of Vail debris-flow naps dated 1984, ttre
site is in a rrModerate-Hazardl debris-f'low area which is defined
as follows:
DEBRIS FLOW (MoDERATE HAZARD): These areas can
experience property danage through flooding, erosion
and irnpact of nuddy.vrater, soil, rock, and debris.
The current analysJ.s agrees with this moderate-hazard category
and furthermore suggests that debris flowe at this location have
return periods of more than 100 years (less than 1* annual probability), will have irnpact velocities of less than 5 feet per
second, contain roostJ.y water, mud, and snall rocks.
consequently, the destructive effects can easily be mitigated
(Section 2).

2. DEBRIS-FI,OW MITIGATION
Because debris flows are snall and of moderate velocities,protection can be achleved by building a wall reinforced for
hebris-flow inpact loads on the uphill sides.of 'the."proposed
additions. The locatlons and dlneneions,,;of theEe walls arei.shohtn
on FLgures 1 and 2. The precise,locatlons of '.ther,walls can ,vary
from those shelrn on Figure li the obJectlve isito trEhadeil the
proposed construction from any flows approachlng from uphill.
The following should also be considered ln construction and
evaluation of the adequacy of the nitigation walls:
a. The lateral forces sholdn are static loads that
increase to the rnagnitude shown in several Eeconds and .'persist until they are re:noved.
b. Loads are trhydrostaticrrr,increaslng from a maximum at ground leve1 to zero at the top of the waLl.'
c. The debris-flow wall can be incorporated into the building or can be detached and located uphill'from the buildinq wall, as archl-tectural needs'dlctate. i,
d. After a debrls flow deposlts naterial against the r'1
wall, debris must be excavated so a future flow
encounters a barrier of design height.
e. The rralLs, as shown in Figure t, will not deflect .
debrls toward any adjacent public or private property or increase the haza5d in any other area.'

the following questions, concerns and suggestions.
1. The proposed unlt B, fireplace/chimney do not appear to be deslgnated
as gas only. Is this Ln conpliance with recent changes ln Vall-? The
proposed shi"mney does not appear to bl-end well with the existing structure.
2. The proposed unlt B \rest elevatl-on shows a new sliding glass door.
The plan also shows no topographlcal changes. Where does thls door r go? Is a new patio/deck planned for this area non or in t{ut1}D'
3. Does the exlsting stone retalning wall remaln in place?
4. We would request that landscaping be added (spruces) to the West of

IIT. IMPORTANT NOTTCE REGARDING ALL SUBMISSIONS TO THE DRB:
A. fn addition to rneeting submittal requirements, the applicant must stake and tape the project site to indicate property lines, building fines and building corners. A11 trees to be renoved must be taped. Alt site tapings and staking rnust be completed prior to the
DRB site.visit. The applicant must, ensure that staking done during the winter is not buried by snow.
B. The review process for NEW BUILDINGS normally reguires two separate meetings of the Design Review Board: a conceptual approval and a final approval . Applicants should plan on presenting their development proposal at a ninirnum of tr'ro rneetings before obtaining final approval .
C. Applicants who fail to appear before the Design Review Board on their scheduled rneeting date and who have not asked in advance that discussion on their iten be postponed, will have their iterns removed from the DRB docket until such time as the itern has been republished.
D. The following iterns may, at the discretion of the zoning adrninistrator, be approved by the Community
Developnent Departnent staff (i.e. a forrnal hearing before the DRB may not be required):
a. Windows, skylights and sinilar exterior changes which do not alter the existing plane of the building; and
b. Building addition proposals not visible from any oLher lot or public space. At the time such a proposal is subrnitted, applicants rnust include letters fron adjacent property owners and/or from the agent for or manager of any adjacent
condominiurn association stating the association approves of the addition.
E. If a property is located in a napped hazard area (i.e.
snow avalanche, rockfall, flood plain, debris fJ.ow,wetland, etc), a hazard study rnust be submitted and the owner must sign an affidavit recognizing the hazard report prior to the issuance of a building permit.Applicants are encouraged to check with a Town pl_anner
prior to DRB appllcat,ion to determine the relationship of the property to all mapped hazards.
F. For all residentlal construction:

W I T N E S S E T F:
WHEREAS, Declarant is the owner of certain real property'
hereinafter referred to as the nProperty", situated in the Town of
Vail, County of Eagle, State of Colorado, being nore particularly
described i.n SxniUiL nA' attached hereto, and incorporated herein by
reference; and
WHEREAS, Declarant has constructed a Duplex building
improvement (The "Inprovement") containing. two Re'sidential Dwelling
Units on the ProPertyt and
WEEREAST Declarant deSireS tO SelL, transfer and convey
the Property and Improvement located thereon by - dividin-g the Pro-
perty ana tne Improvements into two (2) seParate fee simple estates;
and
WHEREAS, one of the Residential Dwelling units is located
upon Parcel A, and one of the Residential Dwelling Units is located
upon Parcel B, which Parcels are more particularly described on
gxniUit 'Bn attached hereto and incorporated herein by this refer-
ence; and
WHEREAS, the Residential Dwe.tling Units located ori ilarcels
A and B are connected bY a PartY wall;
WHEREAS, Declarant desires to convey the Property and
t,he Inprovement subject to certain protective covenants, condit-
ions, iestrictions, ;eservations, liens and charges as hereinafter
set forth;
NOW, I|HEREFORE, Declarant does hereby publish and declare
that the Parcels shall be held, sold and coveyed subject to Lhe
following obligations, easements, reservations, restrictions,
covenants, Lerns, conditions and Party wal1 agreement which are for
the purpose of protecting the value ind desirabilit'y of'.and.which
shali r-,r.t with, the PropLrty and be binding on all parties having
any right, title or interest in the ProPerty, or any part lhereof'

ARTICLE I
DIVISION OF PROPERTY
1 .1 The Property and the ImProvement are hereby divided
into two (2) Units as follows:

Parcel A and the easements and right thereon and/or
thereto.
(b) Unit B consisting of a fee simple
and to the Property and the Residential Dwelling Unit
ParceI B and the easements and rights thereon and,/or
thereto.
1.2 Each Unit shall be inseparable and may be conveyed,
leased, devised or encumbered only as a unit.
1.3 Title to a Unit may be held individually or in any
form of concurrent ownership recognized in Colorado. fn case of any
such concurrent ownership, each co-owner shall be jointly..and
severally liable for performance and observance of all the duties
and responsj,bilities of an 'rOwner" with resPect to the Unit in which
he owns an interest. For all purPoses herein, there shall be deemed
to be only two (2) Owners, the Owner of Unit A and the Owner of Unit B. The parties, if more than one, having the ownership of each such
Unit shall agree among themselves how to share the rights and
obligations of such ownership.
1.4 Any contract of sale, deed, lease, deed of trustt
nortgage, will or other instrument affecting a Unit nay describe it by its Unit designation and by reference to the recerding informa-tion regarding this Declaration.
1.5 Each Unit shal1 be considered a separate parcel of
real property and shall be separately assessed and taxed.
ARTICLE II
PARTY WALL
2.1 ithe waIl which is constructed (the "Party WaII") as a
common part cf tbe InProvements located on Parcels A and B and which
is located upon the division line between such Parcels consti-
tuLes a party wall, and to the extent not inconsistent with the
provisions of this Declaration, the general rules of law regarding party walls shaI1 apply thereto
2.2 The Owners of each Unit shall have a perpetual and
reciprocal easement in and Co that part of the other Unit on which
the Party WaIl is located, for Party Wall purposes' including mutual
supportr maintenancer repair and inspection. For the PurPose of
repairing or maintaini.ng the Party WalI, the Owners of each Unit are
licensed to enter onto the other Unit to do work necessary in the
exercise of the rights provided herein.
2.3 The Owners of the Units shall have the fulI right
to use the Party Wall to support joists, crossbeams, studs and other
structural members as required for the support of the Residential
Dwellings Units located upon either Parcel A or Parcel B and for the
reconstiuction or remodeling of such Residential Dwellings Units;
provided, however, that such use shall not injure the Residential
Dwellings Units located uPon the opposite side of the Party WaII and
shall not inpair the structural support to which any such Resident-
iaI Dwellings Units are entitled.
2.4 No extension or nodification of the Party Wall may be
nade by any Ovtner, or Person acting pursuant to such Ownerrs con-
sent, unless prior consent thereto in writing shall first have been
obtained from the Oltner of the Unit sharing the Party WalI' and
provided that such agreement is filed of record in the County of
eagJ.er State of Colorado, and expressly referring to this DecIa-
ration.
2.5 The Owner of each Unit shali have the right to break
through the Party Wal1 for Lhe purPose of repairing or res.toring
sewerige, water br other utilities subject to the obligation to
restore the party Wafl to its previous structural condition at such
Unit Ownerrs sole exPense.
2.6 The cost of reasonable repair and maintenance of the
Party Wal] shalI be shared egually and jointly by the Owners of the
Unit! on either side of the Party Wallr provided that the cost of
repairs and maintenance of the flinished surface of the Party WalI

located within an ImProvement shall be the sole expense of the Owner
of the Unit in which the Inprovement is located.
2.7 If the Party Wall, or any other ImProvement on
Parcels A and B, is damaged or destroyed, such danage or destruC-
tion, shall be promptly repaired and reconstructed. Repair 'and
reconstruction means the restoration of the Party WalI, or other
irnprovements, to substantially the same condition in which it
existed prior to such damage or destruction. To the extent that
such damage or destruction to the Party Wall' or other Improve-
ments, is-covered by insurance, the ful] insurance proceeds shall.
be used and applied to repair and reconstruct the Party Wall' or
other improvements. If the insurance proceeds are insufficient to
repair and reconstruct the Party Wa]I, or other Improvenentsr any
such deficiency shall be the joint and equal exPense of the Owners
of Units A and B, without prejudice, however, to the right of any
Owner to demand a larger contribution from the other Owner under any
rule of law regarding liability for negligent or willful acts or
omissions. Notwithstanding anything contained above to the con-
trary, if the negligence or wiIlful act or omission of.any Owner,
his lgent or invitee, shall cause damage to, or destruction of' the
Party wall, such Owner shall bear the entire costs of repair or
reconstruction.
2.8 Notwithstanding any provision of this Article to
the contrary, an Owner who by his negligent or willful act causes
the Party WaIl to be exposed Co the elements shall bear'the whole
cost of furnishing the necessary protection against such elements.
ARTICLE III
INSURANCE
3.1 ---Each owner shalI keep his unit inclu'rjng the -Party WaIl and all fixtures located therein insured against loss or damage
by fire and extended coverage perils ( including vandalisn and
nllicious mischief) for the maximum rePlacement value thereof, and
covering such other risks, of a similar or dissimilar nature, as are
or shalL hereafter custonarily be covered with respect to sitoilar
properties issued by a responsible insurance comPany or companies
luthorized to do business in the State of Colorado. The insurance
shall provide a standard, non-contributory nortgagee clause in favor
of each first mortgagee of each Unit, and that the policy cannot be
cancelled or substantially rnodified until after thirty (30) dgYs'
prior written notice is first given to each Owner and each first
mortgagee. The policy shaLl contain a waiver of' subrogation.

one (1) year or longer after the last appraisal of the units, obtain
a writtdn appraisal of such Units from a competent disinterested
appraiserr charging both owners for the costs thereof.
3.2 Each Owner shall provide and keep in force for the
protection of hirnself general pubtic liability and Property damage
insurance against claims for bodily injury or death or Property
damage occurring in, on or upon his Unit and the fmProvenents
therdon, in a limit of not less than Three Hundred Thousand Dollars
($30o,ooo.oo) in respect to bodily injury or death to any number of
persons arising out of one accident or disaster, or for damage to
|roperty, and if higher limits shaLl ab any time be customary to
iroiect-against Srossible tort liability' such higher limits shall be
iarried a-na each Orner shall name the other Owner as an additional
insured party under such PoIicY.
3.3 Each owner shall deliver to the other owner certifi-
cates evidencing all insurance reguired to be carried under this
Article upon relsonable request, each containing agreements by the

insurers not to cancel or rnodify the policies without giving the
other owner written notice of at least thirty (30) days. Each Owner
shall have the right to inspect and copy a]t such insurance policies
of tbe other Owner and require evidence of the palzment of premiurns
thereon.
3.4 Nothing provided in this paragraph shall prevent Lhe
Ohrners from jointly acguiring a single policy to cover any one or
more of the hazards required in Ehis Article to be separately
insured against by each Owner.
3.5 Each Owner may obtain additional insurance at his
oern expense for his o\dn benefit provided that all such policies
shall contain waivers of subrogation and provided, further' that the
liability of the carriers issuing insurance covering the Units
hereunder shall not be affected or diminished by reason of any such
insurance carried by any Owner.
3.5 Insurance coverage on any personal Property items
stored within the Improvements located on each Unit shall be the
responsibility of the owner thereof. However, nothing herein shal1
be construed to require such insurance.
ARTICLE IV
EASEMENTS
4.1 Each Unit and the Parcel upon which it is 'situated,
shall be subject tO an easement for encroachments created by con-
strqction, seLtling and overhang, previously existing or as designed
and constructed by the Declarant. A valid easement for such en-
croachnents and for the maintenance of same' so long as they exist,
shall and does exist. In the event any ImProvement is partially or
t.otally destroyed, and then rebuilt, the Owners agree that, minor
encroachments of parts of the adjacent Unit due to construction
shall be perrnitted and that a vaLid easement for said encroachment
and the naintenance thereof shall exist so long as the inrprovements
shal 1 stand.
4.2 Each Unit and Parcels A and B are subject to a
blanket ea€-ement for suPPort and blanket easement for the nainte-
nance of the residences and ot.her structures or inprovements Pre-sently situated, or to be built in the future, on the Parcels.
4.3 There is hereby created a blanket easement upon,
across, over and under the unimproved portion of each of the Parcels
and the property for the benefit of Lhe Units and the structures and
improvements situated thereon including the Party WaIIr for i.ngress'
eg-ress, installation, replacing, repairing and maintaining all
ui.itities, including but not limited to $tater' sewer, gds' tele-
phones and elect.ricity. Said blanket easement includes future
utifity services not presently available to the Units which may
reasonlbly be required in the future. By virtue of this easement'
it shall be expiessly permissible for Lhe companies providing
utilities to erect and haintain the necessary equipment on either of
the parcels and to affix and naintain el-ectrical and/or telephone
wireS, circuits and conduits on, above, across and under the rOofs
and exterior walls of the Improvements located uPon the Units.
4.4 Each Unit is subject to a reciprocal non-exclusive
easemen! for ingress and egress in favor of and for the benefit of
the other Unit upon, across and over established, exterior sidewalks
located on Parcels A or B' or both, and on the parkilg a4q drive-
*ii-urta located on both Parcels for access to public sidewalksr
stieets, roads, alleys, mailboxes and the common garage and parking
area located uPon Parcels A and B.

4.5Acommonparkingslabisprovidedonaportionof
each of the Parcels. Theie is hereby created a reciprocal easement
and right-of-way for eacb owner over, across and through that- Part
of the parking llab located on the other Ownerrs Parcel for vehicu-
lar and pedes[,rian ingress and egress. The Owners shall have equal
right to the use of such access lnd no Owner shall hinder or permit
hi; invitees to hinder reasonable access by the other Owner and his
invitees to the Units and the irnprovements or permit his invitees to
park any vehicle on tbe common parking slab without the consent
irf tne 6ttrer Owner. Each Owner is hereby granted the rigbt to park
one ( 1) automobile upon the portion of the common parking slab
located upon his Parcel .
ARTICLE V
I4AINTENANCE' REPAIR AND REPLACEI'{ENT

genera.l outdoor improvements, including but not limited to main-
iaining the comnon parking slab located on Parcels A and B, as they

units, and, except for any expense or liability caused through the

6.2 If, because of any act or omission of any Owner'
any mechanic's or other lien or or-der for the payment of noney. shall

USE RESTRICTIONS
7.1 The ImProvement located on the ProPerty shall be used

5.5 The selection of contractors or labor to perfonn any
aspec! of exterior maintenance on the ImProvement shall be subject
to the approval of all of the Owners' or if approval of those Owners
cannot bi-obtained sha1l be subject to the arbitration provisions of
this Declaration.
5.5 Each owner sha1l be solely responsible for mainte-
nance, repair and rePlacement of the inside of his Unit including
fixtures -and irnprovlnents and. all utility lines and equipment
located therein lnd serving such Unit only. fn perforninng such
maintenance and repair, or in inproving or altering his Unit, no
Owner shall do any act or \{ork which impairs the structural sound-
ness of either UnIt or the Party Wall or which interferes with any
easement granted or reserved herein-
5.7 No Ovrner shalL nake or suffer any structural or design
change (including a color scheme change), either Permane_nt or
tempdrary and of iny tyPe or nature whatsoever Co the exterior of
the Improvement or construct any additional improvement or structure
of any- type or nalure whatsoever uPon any Part of his Unit without
first oUiiining the prior written consent thereto from the other
Owner, which shal1 noi be unreasonably withheld. In case of damage
or.destruction to any unit or any Part thereof by any cause whatso-
ever, the Owner of srich Unit sha1l cause with due diligence the Unit
to be repaired and restored, applying the proceeds of insurance. if
€rnlr for that PurPose. such unii srlarl be restored to a condition
coilparable to tnaf prior to the danage and in a harmonious manner to
prolnote the common theme of both Units.
5.8 Where the owner of either unit, in conpliance with
the other provisions of this Declaration, desires to build' reno-
vate, excavate, inprove Or otherwise alter the Structures Or Im-
provement located 6n such Unit, and where Lhe Owner has obtained
lhe written consent thereto of the other Owner as provided in this
Article, the owner of the other unit shall cooperate to the extent
necessary solely to enable that Owner to obtain any required
building'permig -or similar permit or license.. Such cooperat'ion
shall not -Ue unreasonably wit,hheld. Any costs or exPensesr however'
associated with the obtaining of a building or sirnilar permit, sball
be the expenses of the Owner desiring said permit and shall not be a
joint expense of the Owners of both Unit.
5.9 In the event that any Unit, or fraction thereof, is
taken by eninent domain or in condehnation, the Owner of that Unit
shall r6ceive any sums payable with respect to such taking' In the
event that both Units, br any fractions thereof, are taken by
eminent donain or in condemnationr the Owners shall divide any sums
payable with respect to such taking in proportion to the relative
values of the Units' or fractions thereof, so taken.
ARTICLE VI
},IECHANICS' LIENS
6.1 ExcePt for items incurred as a common exPense as
provided for herein, if any Owner shalI cause any material..to be
iui"il[.a to his Unit therebn or any labor to be performed therein
or thereon, the other Owner shall not under any circumstances be

days written nbtice to the other Owner unless ttre circumstances
reQuire immediate action, make such pa1'ment' or, ort behalf of such
other Owner, expend such sum as may be necessary to perform such
obligation including, but not limited to, the Palnnent of any in-
surance preniums required hereunder or the undertalling of any work
required hereunder fbr repair, restoration or maint3nance' and such
other Owner shall have an easement in and to th,rt part of such
defaulting Ownerrs Unit as is reasonably necessary for such repair,
restoration or maintenance.
8.2 A1I sums so paid or expended by an Owner, with in-
terest thereon at the rate of eighteen Percent (18t) per annum from
the date of such Pal'ment or expenditure, shall be payable by the
Owner so failing to perforn ( the "Defaulting Owner" ) uPon demand of
the other Owner.
8.3 All sums so demanded but unpaid by the Defaulting
Owner sha1l constitute a lien on the Unit of the Defaulting Owner in
favor of the other Owner prior to aLl- other liens and encurnbrances,
except: (i) liens for taxes and special assessmenE; and, (ii) the
lien- of any first mortgage or first deed of trust of record encun-
bering such Unit. The lien sha1l attach fron the date when the
unpaid sum shall- become due and may be foreclosed in like nanner as
a mortgage on real property. To evidence such a lien, written
notice -of tne lien shall be prepared, setting for':h t,he amount of
the unpaid indebtedness, the name of the Defaulti.ng Owner, and a
Aescriftion of the Unit to which the lien shatl atttrch. Stich notice
shall 6e signed by t,he Owner in whose favor the lierr shall be filed'
and. the liLn sfritt be recorded in the office oE the CIerk and
Recorder of the County of Denver. In any foreclosure the De-
faulting O\dner shall be required to Pay the costs and expenses of
such proceedings, including reasonable attorneyts fees.
8.4 The lien provided for herein shall b'e subordinate to
the lien of any first mortgage or deed of trust, including all
additional advances thereon. SaIe or transfer of e:ither Unit as the
result of court foreclosure of a mortgage' foreclc'sure through the
public trustee, or any proceeding in lieu of forec.Losure, including
Lhe tr-n.fer of a deed in lieu of foreclosure, sha-tl extinguish the
lien as to payments thereof which becone due prior to such sale or
transfer, but- shall not rel.ieve any former Owner of personal ]ia-
bility therefor. The first mortgagee of such Ui:rit who acquires
title by way of foreclosure or the taking of a deed in lieu thereof'
shall iotr- however, be liable for any past due amounts and/ot
obligations due hereunder and sha}l only become liable for future

8.5 UPon written request of any Ownerr mortgageet Pros-
pective mortgagie, purchaser or other prospective transferee of a
ilnit, the Ownei of the other Unit shall issue a written statement
ietting forth the arnount he is owed under this Article, if any.

sonable restraints or alienation shalI continue anC remain in fuIl force and effect for the period of twenty-one (21) years following

Declarant owns both Unit A and Unit B, or (b) uPon llnanimous written
approval in recordable form of aLl Owners and all l.ienors holding a
first mortgage or first deed of trust of record on any portion of
Unit A or Unit B. The covenants and restrictionr; of this Decla-
ration shall be amended or revoked only by an i nstrument which
specifically refers to this Declaration and which J.s signed by each

9.4 Effect of Provisions of Declaration: Each provision of this oeclara ovenant and under-taking to conply with each provision of this Declaration, and any
neeessary exception or reservation or grant of title, estat,e, right or interest to effectuate any provision of this Declaration: (i)shall be deemed incorporated in each deed or other instrument.,. by which any right, title or interest in any portion of Unit A or Unit B is grantedr devised or conveyed, whether or not set forth or referred to in such deed or other instrument; (ii) shall, by virtue of acceptance of any right, title or interest in any portion of Unit A or Unit B by an Owner, be deemed accepted, ratified, adopted and declared as a personal covenant of such Owner and, as a personal covenant, shall be binding on such Owner and his heirs, personal
representatives, successors and assigns; and, shal1 be deemed a personal covenant to, with and for the benefit of each Owner of any portion of Unit A or Unit B and, (iii) shall be deemed a real cove-nant by Dec1aranE, Eor itself, its successors and assigns, and also an equitable servitude, running, in each case, as a burden with and upon the title to each and every por_tion of Unit A and Unit B.
9.5 Arbitration: In the event of any dispute arising
