Agreement; and
WHEREAS, the Developer is obligated to provide security or collateral sufficient in the
judgement of the Town to make reasonable provisions for completion of certain improvements set
forth in the attached estimated bid(s) in accordance with the approved plans and specifications
filed in the office of the Community Development Department of the Town of Vail; and
WHEREAS, the Developer wishes to provide collateral to guarantee performance of this
Agreement, including completion of the all improvements referred to in this Agreement, by means
of the following:
The Developer agrees to establish.g cgsh deposit account with the Town of Vail, as

completion of all improvements refened to in this Agreement, in the event there is a
default under this Agreement by the Developer.
NOW THEREFORE, in consideration of the following mutual covenants and agreements,
the Developer and the Town agree as follows:
1. The Developer agrees, at its sole cost and expense, to furnish all equipment and
materials necessary to perform and complete all improvements referred to in this Agreement. The

manner, all improvements refened to in this Agreement, in accordance with all approved plans
and specifications filed in the office of the Community Development Department of the Town of
Vail, and to do all work incidental thereto according to and in compliance with the following:
a. All said work shall be done under the inspection of, and to
the satisfaction of, the Town Planner, the Town Engineer, the Town Building
Official, or other official from the Town of Vail, as affected by special districts or
service districts, as their respective interest may appear, and shall not be deemed
complete until approved and accepted as completed by the Communill
Development Department and Public Works Department of the Town of Vail, {{

2. To secure and guarantee performance of the obligations as set forth herein, the
Developer agrees to provide collateral as follows:

A cash leposit account with the Town of Vail, as escrow agent, in the amount of

3. The Developer may at any time substitute the collateral originally set forth above
for another form of security or collateral acceptable to the Town to guarantee the faithful
completion of those improvements referred to herein in this Agreement and the performance of
the terms of this Agreement. Such acceptance by the Town of alternative security or collateral
shall be at the Town's sole discretion.
4. The Town shall not, nor shall any ofiicer or employee thereof, be liable or
responsible for any accident, loss or damage happening or occuning to the work specified in this
Agreement prior to the completion and acceptance of the same, nor shall the Town, nor any
officer or employee thereof, be liable for any persons or property injured by reason of the nature
of said work, but all of said liabilities shall be and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harmless the Town, and any of its
officers, agents and employees against any losses, claims, damages, or liabilities to which the
Town or any of its officers, agents or employees may become subject to, insofar as any such
losses, claims, damages or liabilities (or actions in respect thereof) arise out of or are based upon
any performance by the Developer hereunder; and the Developer shall reimburse the Town for
any and all legal or other expenses reasonably incurred by the Town in connection with
investigating or defending any such loss, claim, damage, liability or action. This indemnity
provision shall be in addition to any other liability which the Developer my have.
5. lt is mutually agreed that the Developer may apply for and the Town may
authorize a partial release of the collateral deposited with the Town for each category of
improvement after the subject improvement is constructed in compliance with all plans and
specifications as referenced hereunder and accepted by the Town. Under no condition shall the
dollar amount of the collateral that is being held by the Town be reduced below the dollar amount
necessary to complete all uncompleted improvements referred to in this Agreement.
6. lf the Town determines, at its sole discretion, that any of the improvements
referred to in this Agreement are not constructed in compliance with the approved plans and
specifications filed in the office of the Community Development Department of the Town of Vail or
not accepted by the Town as complete on or before the date set forth in Paragraph 1 of this
Agreement, the Town may, but shall not be required to, draw upon the security refened to in this
Agreement and complete the uncompleted improvements refened to in this Agreement. Pursuant
to Section 12-11-8, Vail Town Code, the Temporary Certificate of Occupancy refened to in this
Agreement may be revoked until all improvements referred to herein are completed by the
Developer or the Town in accordance with this Agreement.

lf the costs of completing the uncompleted improvements referred to in this Agreement
exceed the dollar amount of the deposit, the excess, together with interest at twelve percent
(12%) per annum, shall be a lien against the property and may be collected by civil suit or may be
certified to the treasurer of Eagle County to be collected in the same manner as delinquent ad
valorem taxes levied against such property; lf the Developer fails or refuses to complete the
improvements refened to in this Agreement, such failure or refusal shall be considered a violation
of Title 12 (Zoning Regulations), of the Vail Town Code, and the Developer shall be subject to
penafties pursuant to Section 12-3-10 (Violations: Penalties) and Ghapter 1-4 (General Penalty),
of the Vail Town Code.
7. The Developer shall wananty the work and materials of all improvements refened
to in this Agreement located on Town property or within a Town right-of-way, pursuant to Chapter
8-3, of the Vail-Town Code, for a period of two years after the Town's acceptance of said
improvements.
8. The parties hereto mutually agree that this Agreement may be amended from time
to time, provided that such amendments be in writing and executed by all parties hereto.

I am writing you this letter to summarize the Town of Vail's requirements regarding
Design Review Board applications for Two-Family Primary/Secondary zoned properties,
including the property referenced above. According to Section 12-114 (C) (l): Form
and Fee:
Application form and appropiate fee. lf the property is owned in common (condominium
association) or jointly with other property owners such as diveways, NB parcels or C
parcels in duplex subdrVrsrbns, by way of example and not linitation, the wriften approval
of the other property owner, owners or applicable owners'assocntion shall be required.
This can be either in the form of a lefter of approval or signature on the application.
Therefore, the Community Development Department cannot accept applications for any
additions or modifications to jointly-owner properties without the written approval of all
owners in common. This section was added to the Town Gode by Ordinance No. 24,
Series of 2000, which is aftached for your reference. In addition, I have included a copy
of the Design Review Board application that you will be reguired to submit should you
choose to do any additions or modifications to the above-referenced property. lt
includes all submittal requirements, including the joint-owner signature requirement.

AND SETTING FORTH DETAILS IN REGARD THERETO.
WHEREAS, the purpose of this ordinance is to codify the requirement for co-owner
signatures on development review applications or written letters of approval; and
WHEREAS, on September 5, 2000, the Vail Town Council held a worksession meeting to
discuss the need for co-owner signatures and has directed staff to prepare this ordinance; and
WHEREAS, the Vail Town Council has found that there is a need for co-owner signatures on
development review applications or written letters of approval to insure the reasonable and equitable
implementation of land use regulations on properties with more than one owner; and
WHEREAS, the Planning & Environmental Commission and the Design Review Board have
discussed the need for the co-owner signature requirement on development review applications or
written letter of approval and support this ordinance; and
WHEREAS, the Vail Town Council considers it in the best interest of the public health,
safety, and welfare to adopt this ordinance and require co-owner signatures on development review
applications or written letters of approval.
NOW, THEREFORE, BE IT ORDAINED BY THE TOWN COUNCIL OF THE TOWN OF
VAIL, COLORADO, THAT:
Section 1. Pumose of the Ordinance

The purpose of Ordinance No. 24, Series of 2000, is to amend Sections 12-114(BX1) (d) & (CX1X),
12'154(D),12-15-5(D, and adopt 12-16-2(H), and 12-17-2(G) to add the requirement for co-owner
signatures on development review applications or written letter of approval.
Section 2. Proposed Amendments
The following sections of the Vail Town Code are amended and/or adopted and shall read as follows:
Section 12-11-4GX1Xd): Application form. lf the property is owned in common (condominium
association) or jointly with other property owners such as driveways, 'NB" parcels or 'C' parcels in
duplex subdivisions, by way of example and not limitation, the written approval of the other property
owner, owners or applicable owner's association shall be required. This can be either in the form of a
letter of approval or signature on the application.
Section 12-11-4(CX1Xl): Application form and appropriate fee. lf the property is owned in common
(condominium association) or jointly with other property owners such as driveways, 'A,/B' parcels or
"C" parcels in duplex subdivisions, by way of example and not limitation, the written approval of the
other property owner, owners or applicable owne/s association shall be required. This can be either in
the form of a letter of approval or signature on the application.
Section 12-15-4 (D): Process: Applications shall be made to the Department of Community
Development staff on forms provided by the Department. Applications for interior conversions to
single-family, two-family, primary/secondary or multlfamily dwelling units located in a Special
Development District (SDD) pursuant to this Section shall also be allowed without amending the
GRFA provisions of the SDD. However, properties with GRFA restrictions recorded on the plat for
the development shall be regulated according to the plat restrictions unless the plat is modified to
remove such restrictions. lf the property is owned in common (condominium association) or jointly
with other property owners such as driveways, 'A/B' parcels or'C' parcels in duplex subdivisions, by

way of example and not limitation, the written approval of the other property owner, owners or
applicable owne/s association shall be required. This can be either in the form of a letter of approval
or signature on the application. The planning staff will review the application to ensure the proposed
addition complies with all the provisions of the interior conversion section.
Section 12-15-5(DX1): Application shall be made on forms provide by the Department of Community
Development. lf the property is owned in common (condominium association) or jointly with other
property owners such as driveways or "C" parcels in duplex subdivisions, by way of example and not
limitation, the written approval of the other property owner, owners or applicable owneis association
shall be required. This can be either in the form of a letter of approval or signature on the application.
The application shall also include:
a. A fee pursuant to the cunent schedule shall be required with the application.
b. f nformation and plans as set forth and required by subsection 12-114C of this Title.
c. Any other applicable information required by the Department of Community Development to satisfy
the criteria outlined in this Section.
Section 12-16-2(H): lf the property is owned in common (condominium association) or jointly with other
property owners such as driveways, "A/8" parcels or'C" parcels in duplex suMivisions, by way of
example and not limitation, the written approval of the other property owner, owners or applicable
owneis association shall be required. This can be either in the form of a letter of approval or signature
on the application.
Section 12-17-2(G): lf the property is owned in common (condominium association) or jointlywith other
property owlers such as driveways, "A,/B" parcels or'C' parcels in duplex subdivisions, by way of
example and not limitation, the written approval of the other property owner, owners or applicable
owner's association shall be required. This can be either in the form of a letter of approval or signature

Section 3.
lf any part, section, subsection, sentence, clause or phrase of this ordinance is for any reason held
to be invalid, such decision shall not affect the validity of the remaining portions of this ordinance;
and the Town Council hereby declares it would have passed this ordinance, and each part, section,
subsection, sentence, clause or phrase thereof, regardless of the fact that any one or more parts,
sections, subsections, sentences, clauses or phrases be declared invalid.
Section 4.
The repeal or the repeal and re-enactment of any provisions of the Vail Municipal Code as provided
in this ordinance shall not affect any right which has accrued, any duty imposed, any violation that
occurred prior to the effective date hereof, any prosecution commenced, nor any other action or
proceeding as commenced under or by virtue of the provision repealed or repelaled and reenacted
The repeal of any provision hereby shall not revive any provision or any ordinance previously
repealed or superseded unless expressly stated herein.
Section 5.
All bylaws, orders, resolutions and ordinances, or parts thereof, inconsistent herewith are hereby
repealed to the extent only of such inconsistency. The repealer shall not be construed to revise any
bylaw, order, resolution or ordinance, or part thereof, heretofore repealed.

Plaintlff and the Defendant in Vail, colorado.

taken by the Defendant to obtain approval for construction of
inproverients on the real property. That Defendant submitted
doluments to the Town of Vail, plrtlcularly the Deslgn Review Board
and the Planning Commission in order to obtain approval for the
improvements.
4. That Plaintiff needs to subpoena a representative of the
Tohrn of VaiI to testify to tithat the Defendant submitted to the
Tor,vn, what actLon was ta-ken by the Town, what zoning was -applicable and the impact of the same ln order to obtaln approval from the

On May 1, 1991, approvalwas given by the Design Review Board (DRB) for an addition to the
east unit on the property listed above. At that time, a Z-car garage and other site
improvements were also approved.
It has been brought to the attention of the Town staff that the owners listed on the title report,
submitted as part of fie application, are not in agreement with the approved additions, nor did
both of them sign the DRB application. Until such time that we receive Richard J. Lilienthal's
approval as a co-applicant on the project, the Town will be unable to release any building
permit for the DRB approved additions.

inspector to verify conformance to the specification. Finally it is the contractors responsibility to notify the inspector of various construct j-on stages as marked vrithin this requirement.
1-01 Removal of Existing Roof
The existing two roof surfaces must be removed down to the base
wood roof sheathing material as part of this project. It is
intended that the top roof be removed entirely prior to removing the first roof to prevent interior water damage. The first roof
should be removed in such a fashion to allow placement of the
Bituthane material prior to the end of each days work. In all
cases a weather resistive membrane must be in place at all times or interior water damage will become the responsibility of the
contractor.
I-02 Replacement of Damaged Sheathing
If in the opinion of the inspector sufficient damage is present
in the existing roof sheathing he will direct any replacement.
However if in the inspectors opinion the sheathing was damaged by the contractor the reolacement wilI be made at the contractors
expense.
l-03 Removal of all Debris
It is the contractors responsibility to remove all debris created in removing the roof and applying a new roof. This will include all wood scraps. felt materials, shingle pieces and any other trash created during construction. The owner has taken pho-
tographs of the area surrounding the home and will compare those pictures for final clean-up conformance.
1-04 Bituthane Membrane
A bithuthane ice and snow membrane will be placed directly on the existing or repaired roof sheathing. This membrane should be so installed that no joint will coincide with the 2" x 2" wood spa-cers for the cold roof. Thus the membrane should be installed from the peak or crown to the eave in a recognized standard fashion.

l-05 Cold Roof Details
The 2"x2" wood spacers shall run from the peak or crown to the
eave in a manner which creates no more than 16 inch spacing
center to center. The wood spacers must be of an approved
durable species as outlined in Chapter 25 of the Uniform Building
Code. Fasteners must penetrate the roof sheathing to a depth of
5,/8 inch or L/4 inch more than the sheathing plus spacer thickness. The spacing may be changed if the roof trusses or joists are at a spacing less than 16 inches by approval of the
inspector.
The secondary roof sheathing material to be placed on top of the
spaces will be I/2 Lnch exterior grade plywood constructed with exterior glue. The sheathing shall be installed in such a manner
as to have the end joints staggered between adjacent horizontal runs. The wood sheathing shall be nailed pursuant to the nailing
schedule outlined in Table 23-P of the 1979 Uniform Building
Code.
l-06 New Roof Material and Placement
Prior to the new roofing placement the sheathing shall be covered with one J-ayer of 15 lb roofing felt applied shingle fashion with two layers in place 48 inches inside the eave. The two layer
area must be applied pursuant to section 3202(d) 3 paragraph 2 of the 1979 U.B.C. The exception to the code in that section is
hereby deleted for this project.
The wood shakes for this project must
thick butt and shall be applied with interlacing and fasteners outlined in
Section 3203 (3) H of the 1979 U.B.C.

1-07 Skylights
The owner has several skylights which must be placed in the roof
surface during this contract. The skylights must be placed on a
curb which will have a height above the final roof surface of
eight. inches. Thereafter the skylights must be dried in and
flashed per the requirements below.
