Town of Gypsum Glean Up Day
Saturday, May 19, 2007 from 8:00 a.m. until 12:00 noon
New Location: Eagle Vallev Hiqh School Parkinq Lot
Town of Gypsum will again offer residents the opportunity to dispose of unwanted iiems in large dumpsters lobated at
the Eagle Valley High School Parking lot.
Large appliances, furniture and tires must be taken to the parking lot by'12:00 noon. Tires will be accepted from
residents only - no businesses.
Construction materials will not be accepted, these items must be taken directly to the landfill. Large truckloads must
also be taken directly to the landfill.
The following items will NOT be accepted under any circumstance:
) Refrigeraton (unless proof is shown that Freon has been removed)) Used oil- (Recycle container at 3297 Cooley Mesa Road)

New in 2007: Eagle County Landfill is trying a new program that will replace the one day annual free dump day. Eagle
County residents will now be issued a "Residential Clean-up Free Pass" up to 1600 lbs of trash, lf the weight exceeds
the limit, you will be charged accordingly.
To qualify for a "Free Pass" you must:
1. Be an Eagle County resident (No Commercial Businesses)
2. Provide two (2) forms that show proof of residency (Physical Address)
a) Drive/s license
b) Utility bill (gas, electric, phone, cable, etc.)
c) House payment
d) Property tax receipt

their respective interest may appear, and shall not be deemed complete until
approved and accepted as completed by the Community Development
Department and Public Works Department of the Town of Vail.
2. To secure and guarantee performance of the obligations as set forth herein, the
Developer agrees to provide security as follows:

3. The Developer may at any time substitute the security originally set forth above for
another form of security or collateral acceptable to the Town to guarantee the faithful completion
of those improvements refened to in this Agreement and the performance of the terms of this
Agreement. Such acceptance by the Town of alternative security or collateral shall be at the
Town's sole discretion.
4. The Town shall not, nor shall any officer or employee thereof, be liable or
responsible for any accident, loss or damage happening or occuning to the work specified in this
Agreement prior to the completion and acceptance of the same, nor shall the Town, nor any
officer or employee thereof, be liable for any persons or property injured by reason of the nature
of said work, but all of said liabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harmless the Town, and any of its
officers, agents and employees against any losses, claims, damages, or liabilities to which the
Town or any of its officers, agents or employees may become subject to, insofar as any such
losses, claims, damages or liabilities (or actions in respect thereof) that arise out of or are based
upon any performance by the Develope.r hereunder; and the Developer shall reimburse the Town
for any and all legal or other expenses reasonably incurred by the Town in connection with
investigating or defending any such loss, claim, damage, liability or action. This indemnity
provision shall be in addition to any other liability which the Developer my have.
5. lt is mutually agreed that the Developer may apply for and the Town may
authorize a partial release of the security provided to the Town for each category of improvement
at such time as such improvements are constructed in compliance with all plans and
specifications as referenced hereunder and accepted by the Town. Under no condition shall the
dollar amount of the security provided to the Town be reduced below the dollar amount necessary
to complete all uncompleted improvements referred to in this Agreement.

6. lf the Town determines, at its sole discretion, that any of the improvements
referred to in this Agreement are not constructed in compliance with the approved plans and
specifications filed inlhe office of the Community Development Department of the Town of Vail or
not accepted by the Town as complete on or before the date set forth in Paragraphl of this
Agreement, the Town may, but shall not be required to, draw upon the security refened to in this
Alreement and completeihe uncompleted improvements refened to in this Agreement. Pursuant
tjsection 12-11-8, Vail Town Code, the Temporary Certificate of Occupancy refened to in this
Agreement may be revoked until all improvements referred to herein are completed by the
Developer or the Town in accordance with this Agreement.
lf the costs of completing the uncompleted improvements referred to in this Agreement
exceed the dollar amount of the security provided to the Town, the excess, together with interest
at twefve percent (12%) per annum, shall be a lien against the property and may be collected by
civil suit or may be certified to the treasurer of Eagle County to be collected in the same manner
as delinquent id valorem taxes levied against such property. lf the D-eveloper fails or refuses to
complete the improvements referred to in this Agreement, such failure or refusal shall be
considered a viola1on of Title 12 (Zoning Regulations), of the Vail Town Code, and the Developer
shafl be subject to penalties pursuant to Section 12-3-10 (Violations: Penalties) and Chapter 14
(General Penalty), Vail Town Code.
T. The Developer shall warranty the work and materials of all improvements refened
to in this Agreement located on Town property or within a Town right-of-way, pursuant to Chapter
g-3, of tnJ Vait Town Code, for a period of two years after the Town's acceptance of said
improvements.
8. The parties hereto mutually agree that this Agreement may be amended from time
to time, provided that such amendments be in writing and executed by all parties hereto.

Dear Greg,
The Town of Vail has recently reviewed the Design Review application for the proposed retaining wall at
the Zimmel residence. The following is a summary of the preliminary comments from that review:
Plannins
l. The wall height shall not exceed three t'eet (3'-0") in height within the required 20 foot
front setback.
Public Works
l. A topographic survey, stamped by a licensed surveyor, must be submitted.
2. A site plan showing existing grades and "top of wall" and "bottom of wall" elevations
must be submitted.
3. The existing driveway cross slope must be shown on the site plan and shall not exceed
8%.
4. Identify if the driveway is heated. Identiff if any heated zones are within the street right-
of-way.
5. Identily any plans to change the planter that separates the driveways for 165 and 185
Forest Road.
6. A Revocable Right-of-Way Permit is required for any existing or proposed improvements
within the street right-of-way at the building permit stage.

McAdam Residence will begin immediately upon issuance of the
bui'lding permit. The regrading and revegetation plan shows how the site would be handl ed in the unlikely event that construction 'is de1 ayed beyond thi s bui lding season. An enclosed letter of credit from Mr. McAdam's banker may be used as a bond to make

Developer shall omplete, in a good worlfianllke manner, all improvements es flsted abovs,
in acodanc€ wlth all ptans and spedfications filed in the office ol thB Communlty
Developrnent Department, the Town of Vail, and to do all work incldenhlthereto accotding to
and h compliance with fte followlng:
a. Such other dee'lgns, drawings, maps, speciflcatlons, sketches, and olher matbr
submitted by the Developer to be approved by any of lhe above-referencecl
govemmental sntities. Alt said work shall be done under ths inspsclion of, and
to the satlsfactlon of,lhe Town Engineer, the Town Euilding fficlal,0t olher
offlclal lrom the Town of Vail, as atlected by sp€cial districts or seivice dlsbictE,
as their resps€tive Interest may appear, and shall not be deemed compl€lg until
approvsd and accepted as completed by the Town of VallCommunity
Development Departmsnt and Publlc Works Departmenl

agenl, shall provue the security for the improvemenls set forfi above if there is a
defautt under the Agreement by Devoloper. This cash escrow shall be held in
accordanoe with the terms and conditione hereof untll September 1, 1092.
3. Tha Oeveloper may at any time subsutute tho collaleral originally set lorth
above lor another form ot collateral acceptable to the Town to guarante€ fie faithful
comgleuon of hose improvements referred to herein and the performance ol thE tems of thls
Agreemen[ Such acrepUnce by fre Town of alternative collateral shall be at thE Tofn's eole
dlscretion.
4. The Town shall not, nor shall any officer or employeo thereof, be liable or
responeible for any accident, loss or damage happening or occurrlng to ths work speclfied in
thle Agreement prior to ho completion and acceptance ol the same, nor shall the Town, nor
any officer ot employeo thsreof, be liable for any persons or property lnjured by reason ol the
nature of said work, but alf of said llabilities shall and are hereby assumed by th6 Developor.
The Dweloper hereby agrees to indemnify and hold harmless lhe Town, and any of its
officers, agent8 and employees against any losses, claims, damages, or liablllties to which he
Town or any of lb oflicers, agents or employees may become subject to, insofer as any euch
lo8ges, claime, clamages or llabllltl€B (or action8 in respect thereof) that arlse out ol or are
based upon any performance by the Developer hereunder: and the Developer $rall relmburse
the Town for any and all legal ot other sxpenses reasonably incurred by the Town In
@nnestion with investigating or defending any such loss, olalm, damage, liability or action.
Thls indemnity provision shall bs in additron to any other liability which the Developer may
have.

6. lf the To$,n determlnes that any of the improvements contemplated herein ere
not oonstruc,ted in complianc€ with the plans and specifications set forth hereh by the date set
lorh in puagraph 1, the Town may wlthdraw from the cash escrow such funds as may be
nscgssary to completa the unfinished improvements, the bank shall release such funds upon
lhe writen request of the Town stating fiat the improvements have not been completed as
required by thls agreement. The bank shall not require tlre concunence 0f the developer prlot
to he release of the funds to lhe Town, nor shall ttre bank be required to verfi indepen&ntly
that the improv€ments have not been completecl as required by lhis agreemenl, but ohall
raleagE such tunds, solely upon the Town'6 wntten request,
7. The Developor warranb all work and material lor a period of one year after
accephnco of allworlt relelred to in this Agreement by the Tolvn il such work ls-located on
Town of Vail or road rlght-oFway.
8. The parties hereto mutually agree that this Agreement may be amended from
lime to time, provided hat such amendments be in writing and executed W all parties herato.

As you will notice on the building fiernit, t6e- fee was baEed on a plunbing valuation of g72,ooo. This figure, supplied by me was intended to cover both pluurbinq and mecf,aniial irbrk for-the residence and was based-on prelininary cost estimates. The plunbing and mechanical wori< was awarded to Black Diamond Mechanical for a contract amount of 968,400. Also enclosed is a copy of our contract with Black Dianond. The point of all of this is that I do not believe any valuation shbuld be added for the_ nechanical- pernit, since our-contract for plunbing and nechanical work- combined is less than the valuition aiready included in our building perrnit application

effective the 15th day of October 1992, by and between
GEORGE SHAEFFER CONSTRUCTION COMPANY (GSCC) (Contractor) and
BLACK DIAMOND MECHANICAL. INC. (Subcontractor) to perform the
Work identified in Article 2 in accordance w'i th the Project's
Contract Documents.

ARTICLE 1
CONTRACT PAYMENT. The Contractor agrees to pay Subcontractor for
satisfactory performance of Subcontractor's Work the sum of
SIXTY-EIGHT THOUSAND FOUR HUNORED AND OOI1OO DO].IATS ($ 68.400.00 ).
Progress payments, less retainage of 0 X, sha'll be made to the
Subcontractor for Work satisfactorily performed no'l ater than (7)
days after receipt by Contractor of payment from Owner for
Subcontractor's Work. Final payment of the balance sha'll be made
to Subcontractor no later than seven (7) days after receipt by
Contractor of final payment from Owner for Subcontractor's Work.
These payments are subject to receipt of such lien waivers'
affidavits, warranties and guarantees required by the Contract
Documents or Contractor.
A1 1 request for payment must be received by GSCC by the 25th of
the month in order to be considered for payment.
ARTICLE 2
SCOPE OF WORK. Subcontractor agrees to commence Subcontractor's
lVork herein described upon notjfication by Contractor, and to
perform and comp'l ete such Work in accordance with Contractor
Documents and under the general direction of Contractolin accord
with Contractor's schedule. This sha'l'l include a] I'l abor and
materia'l necessary or incidental to comp'lete the:

ARTICLE 3
SCHEDULE OF WORK. T'ime is of the essence. Subcontractor shal'l
provide Contractor with any requested schedu'l ing informat'i on of
Subcontractor's Work. The Schedu'l e of Work, including that of this Subcontract sha'll be prepared by Contractor and may be
revised as the Work progresses.
Subcontractor recognizes that changes may be made in the Schedu'l e
of Work and agrees to comply wj th such changes without additiona'l
compensati on .
Subcontractor shall coordinate its work with a] 'l other
contractors, subcontractors, and supp'liers on the Proiect so as
not to de'l ay or damage their performance, work, or the Project.
ARTICLE 4
CHANGES. Contractor, without nu'l l ifying th'i s Agreement, may
direct Subcontractor in writing to make changes to
Subcontractor's Work. Adiustment, if any, in the contract pri ce
or contract time result'ing from such changes sha'll be set forth in a Subcontract Change Order pursuant to the Contract Documents.
Al l Subcontractor's Change Orders and (or) Backcharges must be
submitted in writing and approved prior to init'iating said
changes. A] 1 Change orders and (or) Backcharges not approved are
subject to disqua'lification at Contractor's option.
ARTICLE 5
FAILURE OF PERFORMANCE. Shou'l d Subcontractor fail to satisfy
contractua'l deficienc'ies within three (3) working days from
receipt of Contractor's written notice, then the Contractor,
without prejudice to any right or remedies, sha'll have the right to take whatever steps it deems necessary to correct said
deficienc'ies and charge the cost thereof to Subcontractor' who
shal I be liab]e for payment of same, inc]uding reasonab'le
overhead, profit and attorneys fee.
ARTICLE 6
INSURANCE. Prior to the start of Subcontractor's Work,
Subcontractor shall procure and maintain in force for the
duration of the Work, Worker's Compensation Insurance, Employer's

INDEMNIFICATION. To the ful'l est extent permitted by law,
Subcontractor shal l indemn'i fy and hold harm'l ess Owner, Architect,
Architect's consultants, and Contractor from al 1 damages, losses,
or expenses, including att,orneys fees, from any claims or damages
for bodi 1y injury, sickness, disease, or death, or from c] aims
for damage to tangible property, other than the Work itse'l f. This
indemnif ication sha'l 'l extend to claims resu'lting f rom performance
of this Subcontract and shal l apply only to the extent that the
claim or'loss is caused'i n who'l e or in part by any negligent act
or omission of Subcontractor or any of its agents, employees, or
subcontractors. This indemnity sha'l 'l be ef fective regardless of
whether the c'l aim or'loss is caused in some part by a party to be
indemnified. The ob'l igation of Subcontractor under this Article
sha'l 'l not extend to c'l aims or'l osses that are primarily caused by
the Arch'i tect, or Architect's consultant's performance or fai'lure
to perform professional responsibilities.
ARTICLE 8
WARRANTY. Subcontractor warranLs its work against al'l
deficienc'i es and defects in materials and/or workmansh'ip and
agrees to satisfy same without cost to Owner or Contractor for a
period of one (1) year from the date of Substantial Comp'l etion of
the Project or per Contract Documents, whichever is longer. A
minimum of 1 year's warranty from the date of Certificate of
occupancy on all materia] and 'labor is inc]uded.
ARTICLE 9
SPECIAL PROVISIONS.
GSCC must have copies of workmens comp. & general'l'iability
certificates before work starts.
Subcontractor is responsib1e for al'l cleanup after his trade.
A]l draw requests must be submitted with a completed GSCC payment
deta'i 'l sheet.
Accompanying OSHA Memorandum must be signed and returned to GSCC prior to starti ng work.
A plumbing fixture a]lowance of $16,000 is included in the
contract sum. P'l umbi ng f i xtures w'i I I be bi 'l 'l ed at markup of 20x;'if cost of fixtures with 20% markup is less than $16,000, the
fina'l contract sum wi'l I be decreased by the difference. Labor

1.Two mylar copies of the duplex subdivision plat following the
requi rements of Section 17. 16. 130 (C), 1,2,3,4,6,7,8,9,.|0, 1 1, l3 and l4 of the Subdivision Regulations.
The p'l at must contain the following statement:
"For zoning purposes, the two lots created by this subdjvision are to be treated as one entity with no more than one two-fam'i 1y
residence allowed on the combined areas of the two lots." The
statement must be modjfied according to the number of lots created.
A copy of the declarations and/or covenants proposed to assure the
maintenance of any cornmon areas. The declaratjon and/or covenants shall specifica'lly address the painting of the exteriors of the
units so that the units will be painted the same color and
maintained in the same manner.
APPROVAL PROCESS, REVIEt,l CRITERIA
These can be found in Chapter 17.24 of the Subdivjsion Regulations.

Recitals
WHEREAS, Steven G. Zorichak and Barbara C. Mooney, whose address is 165 Forest Road, Vail, Colorado 81657, hereinafter referred to as trDeclarantsro are the owners in fee simple of the foJ-lowing described real estate, hereinafter "subject propertyrn situate in the County of Eagle and State of Colorid.o, lo wit:-
. Lot 29, Block 7, Vail Village First Filing, Town of Vail, Eagle County, Colorado.
.WHEREAS, Declarants have eonstructed two (2) single family residential units on Parcel 29-A and parcel 29-B; and
WHEREAS, Declarants wish to provide for separate ownership of said Parcels, as well as the ownership of the Common parcel,
and certain separately owned property.
NOW THEREFORE, Declarants do hereby publish and declare that the following terms, covenants, conditions, easements,restrictions, uses, reservations, limitations and obligations shall be deemed to run with the land described herein, shall be a burden and a benefit to Declarants, their successors and assigns, and any person acquiring or owning an interest in the real property which is described herein and improvements built therein, their granteesr personal representatives, heirs,successors and assi_gns.

Townhouse Unit 29-A consisting of Parcel 29-A, together with
all inprovements thereonr all easements and rlghts-of-way
appurtenant thereto and as provided herein, and further
consisting of an undivided one-half (l/21 interest in Common
Parce1 29-Ci
Townhouse Unit 29-B consisting of Parcel 29-8, together with
all improvements thereon, all easements and rights-of-way
appurtenant thereto and as provided. herein, and further
consisting of an undivided one-half (L/21 interest in Common
Parce1 29-C.
. 3. Description of Townhouse Unit.
(a) Each Townhouse Unit shall be inseparable and may be
Ieased, devised or encumbered only as a Townhouse Unit.
(b) Title to a Townhouse Unit rnay be held individually or in
any form of concurrent ordnership recognized in Colorado. In
case of any such concurrent ownership, each co-owner shall be jointly and several-ly liable for performance and observance of all the duties and responsibilities of an 'ownern with respect
to the Townhouse Unit in which he owns an interest. For all
purposes herein, except for paragraph 12(c), there shall be
deemed to be only two owners, the owner of Townhouse Unit 29-A
and the owner of Townhouse Unit 29-8. The parties, if more than
one, having the ownership of each such Townhouse Unit shall
agree among themselves how to share the rights and obligations of such ownership, but all such parties shall be jointly and severally liable for performance and observance of all of the duties and obligations of an 'rowner" hereunder with respect to the Townhouse Unit in which they own an interest.
(c) Any contract of sale, deed, lease, deed of trust,
mortgage, will or other instrument affecting a Townhouse Unit
may describe it by its Townhouse Unit number and by reference to the Plat entitled Pinal Plat and Resubdivision of Lot 29, Block 7, Vail Village First Filing, Town of Vail, Eagle County,Colorado (the "Plat").
(d) Each Townhouse Unit shall be considered a separate Parcel of real property and shall be separately assessed and
taxed.
4. Landscaping, Service Facilities and Parkinq.
(a) The owners from time to time shall undertake such
landscaping and general outdoor improvements as they rnay mutually and unanimously deem proper for the harmonious
improvement of both Townhouse Units in a common theme and,

except for any expense or liability caused through the
negligence or willful act of any owner, his fanily' agent or
invitee, each owner shaLl pay all exPenses, liabilities and
general upkeep responsibilities with respect to such
landscaping, and outdoor improvements located on his Parcel' and
the responsibility for one-haLf ll/21 of the cost of landscaping
and outdoor improvements located on the Common ParceL. Both
parties shall be responsible for one-half (L/21 of the cost of
reasonable repair, maintenance and replacement for any sidewall ,driveway, or other improvement located in or on Common Parcel
29-C. The cost of reasonable repair, maintenance and
replacement for any sidewalk or other improvement located in or
on .either Parcel 29-A or Parcel 29-B and used separately without
the use by the other Townhouse Unit shall be paid by each
owner. The cost of reasonable repair, maintenance and
replacement for any improvement located in or on the line
dividing Parcel 29-A and Parcel 29-B and used in common by both
o\dners shall be shared as follows: The owner of Townhouse Unit
29-A sha1l pay one-half (l/21 ot such costs, and the owner of
Townhouse Unit 29-B shall pay one-haLf (l/21 of such costs,
except for any expense or liability caused through the
negligence or willful act of any oelner, his familyr agent or
invitee, which shall be borne solely by such owner. The owner
of the Parcel on which the common property is not located shall
have a perpetual easenent in and to that part of such other
Parcel containing such conmon property for the purpose of
ingress, egress, maintenance, repair, replacement or
inspections. The owner of one Townhouse Unit shall not
unreasonably damage the value of the other Townhouse Unit such
as by shoddy upkeep outside, but both owners shall make all
reasonable efforts to preserve a harmonious common appearance of
the Townhouse Units.(b) Conunon utility or service connections, conmon facilities
or other equipment and property located in or on either Parcel
29-A, Parcel 29-8, or Parcel 29-C, but used in cormnon with the
other Townhouse Unit, if any, sha1l be owned as tenants in
cotnmon in the same percentages as set forth in paragraph 4 (a)
above; and, except for any expenses or liability caused through
the negligence or willful act of any owner, his fanily, agent or invitee, which shalL be borne solely by such owner, each owner shall be responsible for one-half (L/21 of all expenses and
liabilities concerned with such property. The owner of the
Parcel on which such property is not located shall have a perpetual easement in and to that part of such other Parcel
containing such property for purposes of rnaintenance, repair and inspection. The o$rners, if necessary, shall designate one oyrner to receive all utility bills which are used j-n common with both

Townhouse Units and that designated owner shall be responsiblet
subject to reasonabLe contribution fron the other owner' for the
payment of such utility. The designated owner shall notify the
ippropriate utility comPany and inform them of the common
lilfing address. Where seParate meters for measuring costs or _expenses for such utility service are available, such cost shall
be-an individual exPense and not a joint exPense of the owners.
Expenses for construction and future maintenance, replacement
and repair of future conmon utility services to the ProPerty shalt be allocated among the owners of the units in the manner
as set forth above for replacementr repair and maintenance
expenses of existing utilities. Notwithstanding the above' if a
utility is separately netered but such service or any portion
thereof, is for the benefit of both Parcel 29-A and Parce1 29-8,
then the cost of such service shall be equitably adjusted
bet!'reen the owners. Both owners shall have a perpetual easement
for common utility and service connections and cormon facilities
or other equipment improperly located on Common Parcel 29-C.
5. Party WalI.
(a) Each owner of a separate Parcel shall have a perpetual
reciprocal easement in and to that part of the subject ProPerty
owned by the other owner and on which the Party Wall is located,
for party wall purposes, including maintenance, repair, and __inspection; neithei owner shall alter or change the Party WaIl-
in lny manner, interior decoration excepted, and the Party Wall
shall always remain in the same location as when erected. The
costs of miintaining the Party WaIl shall be borne equalLy by
both owners.
(b) In the event of damage or destruction of said wall from
any cause, other than the negligence of either party thereto,,
thE then owners shall , at joint expense, repaLr or rebuild said
walI, to its previous condition which specifically includes the
previous sound transmission coefficient, and each party, their
luccessors and assigns shall have the right to the full use of
said wall so repaired and rebuilt. If either parties'
negligence shall cause damage to or destruction of said wal-l'
suih negligent party shall bear the entire cost of repair and
reconstruction.
(c) Either party shall have the right to break through the
Party Wall for the purpose of repairing or restoring sewage,
water, utilities, etc., subject to the obligation to restore
said wall to its previous structuraL condition, which specifically includes the previous sound transmission

coefficient, at his own exPense and the payment to the adjoining
owner of any damage caused thereby. Either party shall have the
right to make use of the Party wall Provided such.use shal1 not
impair the structural support or the sound transmission
coefficient of the PartY Wa11.
5. Alteration, Maintenance and Repair.
(a) If any improvement on Parcel 29-A or Parce1 29-B is
damaged or destroyed, such damage or destruction shall be
promptly repaired and reconstructed. The cost to repair and
reconstruct any improvement on Common Parcel 29-C shall be borne
one-half (L/21 by the orpner of Townhouse Unit 29-A and one-half
(l/21 by the owner of Townhouse Unit 29-8. Repair and
reconstruction means the restoration of the improvements, to
substantially the same condition in which it existed prior to
such damage or destruction. The cost to repair and reconstruct
any improvement on Parcel 29-A or Parcel 29-B shall be the sole
expense of the o\dner of said Townhouse Unit except as nodified
by paragraph 4(a) above and without prejudice, however, to the
right of any rule of law regarding liability for negligence or
willful acts or omissions. Notwithstanding anything contained
above to the contrary, if the negligence or willful act or
omission of any ownerr his agent or invitee, shall cause damage
to, or destruction of any improvement on the other Parcel, such
owDer shall bear entire costs of repair or reconstruction.
(b) Each owner shalt be solely responsible for all
rnaintenance and repair of the exterior and interior of his
Townhouse Unit, inctuding all fixtures and improvements and all
utility lines and equipment located therein or in, on or uPon
his Parcel (Parcel 29-A or Parcel 29-B on the PIat), and serving
such unit only. Each owner shall be responsible for one-half (l/21 of the costs of maintenance and repair of any improvements
and alt utility lines and equipment located on Common Parcel
29-C.
(c) Utility or service connections, facilities or other
utility equipnent and property located in, on or upon either of
Parcel 29-A, Parcel 29-8, or Common Parcel 29'C, which is used
solely to supply a service or utility to one Townhouse Unit
shal-l be owned by the owner of the Townhouse Unit usinq such
utility or service and all expenses and liabilities for rePair
and maintenance shall be borne solely by the o$tner of such
Townhouse Unit who shall have a perpetual easement in and to
that part of such other ParceL containing such property for
purposes of maintenance, repair and inspection.

(tl) No owner shall make or suffer any structural or design
change (including a color scheme change) r either permanent or
tenporary and of any type or nature whatsoever to the exterior
of his Townhouse unit or construct any addition or improvement
on his Townhouse Unit, without first obtaining the prior written
consent thereto from the other owner, which consent shall not be
unreasonably withheld or delayed.
(e) Where the owner of either Townhouse Unit, in compliance
with the other provisions of this Declaration, desire to build'
renovate, excavate, improve or otherwise alter the structures or
improvement located on his Parcel, and ldhere the owner has
oblained the written consent thereto of the owner as provided in
paragraph 5(d) above, the ortner of the other Townhouse Unit
sha}l cooperate to the extent necessary to enable that owner to
obtain any required building permit or similar permit or
Iicense. - It fs understood and agreed, however, that should the
Town of Vail allow an addition or modification to be made to
either Townhouse Unit 29-A or Townhouse Unit 29'B , the owner of
the Townhouse Unit not making such addition shall not
unreasonably withhold his consent Pursuant to this paragraph
6 (e). Notwithstanding anything contained herein, no o\dner may
nodify any improvemenl which would utilize more than that Unit's
Fraction (trereinatter defined) of the available zoning density
or other zoning rights available to the Subject Property. - The
Fraction for townhouse Unit 29-A shall be 508 and for Townhouse
Unit 29-B shall be 50t. Any costs or exPenses, however,
associated with the obtaining of a building or slmilar permit
shall be the expense of the owner desiring said permit and shall
not be a joint expense of the owners of both Townhouse Units.
(f) In the event that either Tottnhouse Unit, or fraction
thereof, is taken by eminent domain or in condemnation, the
ohtner of that Townhouse Unit shall receive any sums payable with
respect to such taking. In the event that both Townhouse Units,
or any fractions thereof are taken by eminent domain or in
condemnation, the oldners shall divide any sums payable with
respect to such taking in proportion to the relative values of
the Townhouse Units, or fractions thereof, so taken.
llechanic I s Liens Indennification.
(a) Except for itens incurred as
provj-ded for herein, if either owner be furnished to his Townhouse Unit or
a conmon exPense as
shall cause any material to
any labor to be Performed

therein or thereon, the other or.rner shall not under any
circumstances be liable for the Payment of any expense incurred
or for the value of any work done or material furnished; all
such work shall be at the expense of the owner causing it to be
done, and such owner shalt be solely responsible to contractors,
laborers, materialmen and other persons furnishing labor or
materials to his Townhouse Unit or any improvements therein or
thereon. Nothing herein contained sha1l authorize either ottner
or any person dealing through, with or under either owner, to
charge the Townhouse Unit of the other owner with any mechanic's
lien or other lien or encumbrance whatever; and, on the contrary
(and notice is hereby given), the right and po\ter to charge any
Iien or encumbrance of any kind against the other owner or the
other ownerrs Townhouse Unit for work done or material furnished
to one ownerrs Townhouse Unit is hereby expressly denied.
(b) Except as provided for in paragraph 10 below, if because
of any act or omission of either owner, dnY mechanic's or other
lien or order for the payment of rnoney shalL be filed against
the other orvnerrs Townhouse Unit or any improvements therein or
thereon, or against the other owner (whether or not such lien or
order is valid or enforceable as such) ' the owner whose act or
omission forms the basis for such lien or order shall, at his
ovrn cost and expense, cause the same to be cancelled and
discharged of record or bonded by a surety company reasonably
acceptable to the other owner, within twenty (20) ttays after the
date of filing thereof, and further shall indennify and save the
other ovrner harmless from and against any and all costs,
expenses, claims, losses or damages, including reasonable attorney's fees resulting therefrom.
8. Use Restrictions.
(a) The improvement located on the subject property shall be
used for residential purposes only as a permitted user and
conditional and accessory uses shall be as defined by the Town
of Vail Zoning Ordinance. No structures of a temporary character, trailer, tent, shack, lJarage, barn or other
out-building shall be used on any portion of any of the property
at any time as a residence, either temporarily or permanently.
(b) No animals, livestock or poultry of any kind shall be
raised, bred or kept on any of said property, except that dogs,
cats or other household pets may be kept provl-ded that they are
not kept, bred or maintained for any connercial purposes and provided further that they do not unreasonably interfere with
the quiet enjol'ment of the other Townhouse Unit by its owner.

(c) No advertising signs (excePt one "For Rentr or 'For Sale" of not more than three (3) square feet per Townhouse Unit), billboards, unsightly objects or nuisances shall be
erected, placed gr permitted to remain on the subject property,
nor shall any Townhouse Unit be used in any \ilay or for any
purpose which may endanger the health or unreasonably disturb
the owner or resident of the adjoining Townhouse Unit.
(tl) All rubbish, trash or garbage sha1l be regularly rernoved
from each Townhouse Unit and shalL not be allowed to accumulate thereon. A11 such expenses are the expenses of each individual
owner, and are not a joint expense of the owners.
(e) An owner shatl do no act nor any work that will impair
any easement or hereditament or do any act or allow any
condition to exist which will adversely affect the other
Townhouse Unit.
9. Insurance.
(a) Each owner shall keep his Townhouse Unit' and all
fixtures located therein insured against loss or damage by fire
and extended coverage perils (including vandalisrn and malicious
rnischief) for the maximum replacement value thereof, and
covering such other risks of a similar or dissimilar nature as
are or shalt hereafter customarily be covered with respect to
similar properties issued by a responsible insurance comPany or
companies authorized to do business in the State of Colorado.
The insurance for each Townhouse Unit, shal1 provide that the policy cannot be cancelled or substantially nodified until after
thirty (30) days prior written notice is firet given to each
owner and each first mortgagee.
(b) Each owner shall provide and keep in force for the
protection of himself general public liability and property
damage insurance against claims for bodily injury or death or
property damage occurring in, on or upon his Townhouse Unit and
the improvements thereon, in a lirnit of not less than Three
Ilundred Thousand Dollars ($300r000.00) in respect to bodily
injury or death to any number of persons arising out of one
accident or disaster, or for damage to property, and if higher
limits shall at any time be customary to protect against tort
liability, such higher limits shaLl be carried and each owner
shall name the other o\rner as an additional insured party under
such policy.

(c) Each owner shalL deliver to the other owner certificates
evidencing all insurance required to be carried under this
paragraph 9 upon reasonable request, each containing agreements
by the insurers not to cancel or modify the policies wlthout giving the other o!{ner written notice of at least thirty (30)
days. Each owner shall have the right to inspect and copy all such insurance policies of the other onner and require
evidence of the palzments of premiums thereon.
(tl) Nothing provided in this paragraph shall. prevent the
owners from jointly acquiring a single policy to cover any one or more of the hazards required in this paragraph 9. Such
premiums shall be apportioned according to the relevant coverage to each Townhouse Unit.
(e) Each owner may obtain additional insurance at his own
expense for his own benefit provided that all such policies shall contain waivers or subrogation and, provided further, that
the liability of the carriers issuing covering the Townhouse
Units hereunder shall not be affected or diminished by reason of
any such insurance carried by any owner.
(f) Insurance coverage on any personal property items stored
within the improvements located on each Townhouse Unit shall be
the responsibility of the ortner thereof. However, nothing
herein shal-l be construed to require such insurance.
10. Enforcement.
(a) If an owner, at any time, shall neglect or refuse to
perform or pay his share of any obligation required hereunder,the other owner may, but shall not be obligated to, after tltenty (20) days written notice to the other o\rner unless the
circumstances require immediate action, make such payment, ort
on behaLf of such other owner, expend such sun as may be
necessary to perform such obligation, including' but not limited to, the payment of any insurance premiums required hereunder for repair, restoration or maintenance, and such other owner shall
have an easement in and to that part of such defaulting ownerrs
Parcel as is reasonably necessary for such repair, restoration or maintenance.
{b) A11 sums so paid or expended by an olrner' \tith interest
thereon at the rate of eighteen percent (188) per annum from the
date of such payment or expenditure, shall be payable by the
ovtner so failing to perform (the "defaulting owner") upon demand of the other owner.

(c) All sums so demanded but unpaid by the defaulting or.rner
shall constitute a lien on the Townhouse Unit of the defaulting
owner in favor of the other owner prior to all other liens and
encurnbrances, except: (i) liens for taxes and special
assessments; and (ii) the lien of any first mortgage or first
deed of trust of record encunbering such Townhouse Unit. The
lien shall attach from the date when the unpaid sum shall become
due and may be foreclosed in like manner as a mortgage on real
property. To evidence such a lien, written notice of the lien
shall be prepared, setting forth the amount of the unpai-d
indebtedness, the name of the defaulting o\,tner' and description
of the Townhouse Unit to which the lien shall attach. Such
notice shall be signed by the o\rner ln whose favor the lien
shall be filed, and the lien shall be recorded in the office of
the Clerk and Recorder of the County of Ea91e. In any
foreclosure or other collection proceedings, the defaulting
owner shall be required to pay the costs and expenses of such
proceedings, including reasonable attorneyrs fees.
(d) The lien provided for herein shalL be subordinate to the
lien or any first mortgage or deed of trust, including all
additional advances thereon. SaIe or transfer of either
Townhouse Unit as the result of court foreclosure or a mortgage,
foreclosure through the Public Trustee, or any proceeding in
lieu of foreclosure, shall extinguish the lien as to payments
thereof which become due prior to such sale or transfer, but
shall not relieve any former owner of personal llability
therefor. The first mortgagee of such Townhouse Unit who
acquires title by way of ioieclosure or the taking of a deed in
lieu thereof shall not, however be liable for any past due
amounts and/or obligations due hereunder and shall only become
1iab1e for future amounts and/or obligations on the date it
becomes the owner of such Townhouse Unit. No sale or transfer
shal-I relieve such Townhouse Unit from liability for any amounts
and/or obligations thereafter becoming due or frorn the lien
thereof. In the event of the sale or transfer of a Townhouse
Unit with respect to which sums shall be unpaid by a defaulting
owner, except transfers to a first mortgage holder in connection
with a foreclosure of its lien or a deed. in lieu thereof, the
purchaser or other transferee of an interest in such Townhouse
Unit shatl be jointly and severally liable with the seller or
transferor thereof for any such unpaid sums.
(e) Upon written request of any o\dner, mortgagee,prospective mortgagee, purchaser or other prospective transferee
of a Townhouse Unit, the owner of the other Townhouse Unit shall

issue a written statement setting forth the amount he is owed
under this paragraph 10, if any. Such statement is binding upon
the executing owner in favor of any person who may rely thereon
in good faith. Unless a request for such statement shall be
cornplied with within fifteen (15) days after receipt thereof,
all unpaid surns which become due prior to the date of making
request shall be subordinated to the lien or other interest of
the person requesting such statement.
(f) Each provision of this declaration shall be enforceable
by any owner by a proceeding for a prohibitive or mandatory
injunction or by a suit or action to recover damages. If court
proceedings are instituted in connection with the rights of
enforcement and remedies provided in this Declaration, the
prevailing party shall be entitled to recover its costs and
expenses in connection therewith, including reasonable
attorneyts fees.
(S) Each owner hereby agrees that any and all actions is
equity or at law which are instituted to enforce any provision
hereunder shall be brought in and only in the courts of the
County of Eagle, State of Colorado.
(h) Failure to enforce any provision of this Declaration
shalL not operate as a waiver of any such provision' the right
to enforce such provision thereafter' or of any other provisi-on
of this Declaration.
(i) Any exercise of any right granted hereunder by one ovrtner
with respect to the other owner's Townhouse Unit, including, but
not limited to, the use of any easement granted herein, shall be
exercised in a manner which shall not unreasonably hindert
impede or impose upon such other o\dnerts use of his unit.
11. Easements.
(a) Each unit and the Parcel which it is situated shall be
subject to an easement for encroachments created by
construction, settling and overhang, previously existinlt or as
designed and constructed by the Declarants or as a result of any
addition or improvement pursuant to this agreement. A valid
easement for such encroachments and for the maintenance of samet
so long as they exist, shall and does exist. fn the event any
improvement is partially or totally destroyed, and then rebuilt,
the owners agree that minor encroachments of Parts of the
adjacent unit due to construction shall be permitted and that a
vatid easement for said encroachment and the maintenance thereof
shall exist so long as the improvements shall stand.

(b) Each Townhouse Unit and Parcel 29'At Parcel 29-Br and
Common Parcel 29-C are subject to a blanket easement for supPort
and blanket easement for the maintenance of the residences and
other structures or improvements presently situated, or to be
built in the future, on the Parcels.
(c) There is hereby created a blanket easement upon, acros-s,
over and under the unimproved portion of each of the Parcels for
the benefit of the Townhouse Units and the structures and
improvements situated thereon, including the party waI1, for
inlress and egress, installation, replacing, repairing and
maintaining all utilities, including, but not lirnited to, water'
sevrer, gas] telephone, cable t.v. and electricity. Said blanket
easemenl includes future utility services not presently
available to the Townhouse Units which may reasonably be
required in the future. By virtue of this easement, it shau be
expressly pernissible for the companies providing utilities to
erict and iaintain the necessary equipnent on any of the Parcels
and to affix and rnaintain electrical and/or telephone wires,
circuits and conduj.ts on, above, across and under the roofs and
exterior walls of the improvements, all in a manner customary
for such companJ.es in the area surrounding the Subject
Property. ttotwitnstanding the foregoing, all such utility
equiprnent, wires, circuits and conduits will be placed on the parcet benefited thereby, or the Conunon Parcel, to the extent
practicable, and if pla-ed on the other Parcel, will be placed
underground if possible, and to the extent practicable will be
placed as close to the ParceL line as practicable. Either_gvtner
itratt have the right to relocate within his Parcel any utility
at his sole cost and expense.
(d) The ParceLs shalL have a cornmon driveway, and there is
granted hereby a non-exclusive easement for ingress and egress
purposes over and across those portions of such Parcels which
ire used as a driveway and which are more particularly noted-on
the Plat. No owner shall hinder nor permit his guest to hinder
reasonable access by the other oltner and his guest to the
building and parking areas and, further, no owner shall take or
prevent his guest to take more than one-half (1/2) of the
parking spaces provided without the consent of the other o\rner.

The coit of said snowplowing shall be borne egually by both
owners. Other maintenance, repair or improvement of such
parking and access facilities inay be required from time to time'

72. General Provisions.
(a) Notice. Each owner shalr register its rnaiting address with the-6TfrE? owner and alL notices-or demands intended to be served upon owners shall be sent by certified mall, postage prepaid, addressed in the name of the owner at such iegisfered mailing address. rn the alternative, notices may be d6livered if in writing, personally to olrners.
(b) Duratiqn. Each provision in this Declaration which is subject 6-EhF-raws or rirles sometimes referred io ." the Rure Against Perpetuities or the Rule prohibiting unreasonable Restraints or Alienation shall continue and remain in full force and effect for the period of twenty-one (21) years following the death of either Declarant, or until this Decliration is terminated as hereinafter provided, whichever first occurs. All other provisions contained in this Declaration shall continue and remain in full force and effect untir this Declaration is amended or revoked by recorded instrument signed by all oerners and all lienholders hotding a first mortgage or first deed of trust of record on any portion of Townhouse Unit 29-A or Townhouse Unit 29-B.
(c) - Amendmept or Revocation. This Declaration may be amended @pon unanimous written approval in recordable form of arl o\ ners and all rienholders troihing a fl-rst mortgage or first deed of trust of record on any portlon of Townhouse unit 29-A and Townhouse unit 29-8. The covenants and restrictions of this Declaration sharl be amended or revoked.only by an instrument which specifically refers to this Declaration and wlrich is signed by each-of the then existl.ng ohtners and first Ii_enors. Any ealement made must be properiy recorded at the offLce of the crerk and Recorder of tire touniy of Eag1e, State of Colorado.
(d) Effect of Provisions of Declaration.
