The following are some comments that need to be addressed prior to the project bescheduled for a Design Review hearing. It is my hope that if these comments are addressed satisfactorily, that I will be able to staff approve your application not have to schedule you for a hearing. The following are my comments: • Are the dumpster enclosures proposed to be remodeled to match the new materials proposed for the residential structures? • Are any of the units proposing to replace their windows while this work is in progress? I noticed that it looked like a few units have replaced their windows. It is important that any new windows match those in the rest of the project in color and style. • Please provide details on the chimney cap material and color? • Please confirm that there will be no vegetation/landscaping removal. • Please confirm that the proposed stone is not a culture or manufactured stone. Natural stone veneers are permitted; however, man-made faux stone is not permitted by the design guidelines. • Please confirm that all privacy fences will be reconstructed per the plans and be made uniform. In some instances the fences are slightly different and some have lattice on top. All privacy fences should be the same design and material. • Please confirm whether or not new light fixtures will be installed on the units. If new light fixtures to be installed please provide a cut-sheet for the fixture. • Please provide physical material and color samples. For example a piece of roof shingle, stucco paint colors, etc. A picture of stone is acceptable. • Staff would suggest that the remodel of the exteriors would be more successful if there were slight variations in the paint colors on the RECYCLED PAPER different structures. Three or four slightly different color pallets could be used throughout the development with a material like the stone giving them a common element. This has been quite successful in other developments where the structures are relatively identical. Please look into the possibility of doing this. In my own case, I 've experienced a number of folks visiting on my deck and even picnicking on my front lawn by the creek. Then it came to our attention that several of the Racquet Club's improvements encroach on the separating property line, i.e. two of the maintenance buildings, the East-end sidewalk and garden. Frank Johnson, your former General Manager and I also discussed the eye sore of the maintenance buildings with items either "tarped" or simply piled-up here and there, that all this would be cleaned up and better kept in time. This year he assured me that it would be done by late summer as part of an overall understanding. Just recently, it was cleaned up and hopefully can be maintained so as to avoid the need for a solid fence. We've always enjoyed a relationship of goodwill and desire to be good neighbors. As such, we had a verbal agreement this summer to build a combination fence from the road to the creek except in impractical areas such as the dividing berm, etc. of the split rail fence and railroad tie planters (where sun light permits) , much like the one in front of your building 3, and to split the cost or the Racquet Club provide the labor and Riverbend the materials, at the option of Riverbend, and that such fence division would be acceptable in design to both sides. Also, there was the consideration if Town of Vail approval would be required. . .I just checked, and it is. . .although very likely perfunctory. Frank and I also discussed the problem of some of our people parking on the Racquet Club side which we both agreed we would monitor and eliminate as best as possible, especially during heavier times. Riverbend would need to agree to an easement for the East-end sidewalk and maintenance buildings for ingress and egress for Racquet Club residents, visitors and personnel obviously from the parking lot. "Residential Real Property Interest" shall mean and refer to the Residential Lot, together with the Residence thereon owned in fee simple , together with the interest in the Conuuon Area as evidenced by membership in the Homeowners ' Association and all rights incident and ap- purtenant thereto as provided in this Declaration. Section 8 . "Residence" shall mean and refer to the free-standing residential dwelling unit improvements situate upon the Residential Lot. Section 9 . "Side Yard Fence" shall mean and refer to any fence erected along the property line of a Residential Lot as part of the original construction, or as a subsequent replacement therefor, which on one side faces an open area. "Side Yard Fence Owner" shall mean and refer to the Owner of a Residential Lot appurtenant to which is a Side Yard Fence. Section 10 . "Common Fence" shall mean and refer to any fence erected along the dividing line between two or more Residential Lots as part of the original construction, or as subsequent replacement therefor. "Common Fence Owner" shall mean and refer to the Owner of a Residential Lot appur- tenant to which is a Common Fence. ARTICLE II Ownership of Residential Real Property Interests Section 1 . Ownership. Each Owner of a Residen- tial Real Property Interest shall be entitled to exclusive -2- ownership and possession thereof, including the Residential Lot, subject to the covenants and restrictions contained in this Declaration and the Articles of Incorporation and Bylaws of the Homeowners ' Association. Section 2 . Separate Taxation. Each Residential Real Property Interest shall be deemed to be a parcel and shall be subject to separate assessment and taxation by each assessing unit and special district for all types of taxes authorized by law, including ad valorem levies and special assessments. The lien for taxes assessed to any Residential Real Property Interest shall be confined to that Residential Real Property Interest. No forfeiture or sale of any Res- idential Real Property Interest for delinquent taxes , assess- ments or other governmental charges shall divest or in any way affect the title to any other Residential Real Property Interest. In the event that such taxes or assessments for any year are not separately assessed to each Owner, but rather are assessed on the Property as a whole , then each Owner shall pay his proportionate share thereof in accord- ance with his ownership interest and, in said event , such taxes or assessments shall be an assessment in accordance with Article VIII hereof. Without limiting the authority of the Homeowners ' Association provided for elsewhere herein, the Homeowners ' Association shall have the authority to collect from the Owners their proportionate share of taxes or assessments for any year in which taxes are assessed on the Property as a whole. ARTICLE III Homeowners ' Association Section 1. General Purposes and Powers . The Homeowners ' Association, through its Board of Directors , shall perform functions and hold and manage property as provided in this Declaration so as to further the interests of the Owners of the Residential Real Property Interests . It shall have all powers necessary or desirable to effec- tuate such purposes. Section 2 . Membership. The Owner of a Residen- tial Real Property Interest shall automatically become a member of the Homeowners ' Association. Said membership is appurtenant to the Residential Real Property Interest of said Owner and the ownership of the membership shall auto- matically pass with fee simple title to the Residential Real Property Interest. Each Owner shall automatically be entitled to the benefits and subject to the burdens relating to the membership for his Residential Real Property Inter- est. If the fee simple title to a Residential Real Property Interest is held by more than one person, each Owner of a Residential Real Property Interest shall be a member of the Homeowners ' Association. Memberships in the Homeowners ' Association shall be limited to Owners of Residential Real Property Interests . Section 3 . Board of Directors. The affairs of the Homeowners ' Association shall be managed by a Board of Directors which may by resolution delegate any portion of its authority to an executive committee , or to a director or managing agent for the Homeowners ' Association. There shall be not less than three nor more than ten members of the Board of Directors, the specific number to be set forth from time to time in the Bylaws , all of whom shall be Owners elected by Owners. Regardless of the number of members of the Board of Directors , the terms of at least one-third of such Board shall expire annually. Notwithstanding anything -3- Directors may be removed and vacancies on the Board of Directors shall be filled in the manner provided in the Bylaws . The initial Board of Directors shall consist of three persons and the names , addresses and terms of the members of the initial Board of Directors who shall serve until their successors are duly elected and qualified, are as follows : Name Address Term John D. Notwithstanding anything to the contrary provided for herein, however, until the Declarant has sold 100% of the Residential Real Property Interests or December 31 , 1982 , whichever first occurs , the members of the Board of Directors shall be appointed by Declarant, its successors or assigns , unless such right is relinquished earlier . ARTICLE VII Officers The Board of Directors may appoint a President, one or more Vice Presidents , a Secretary, a Treasurer , and such other officers as the Board , in accordance with the provisions of the Bylaws , believes will be in the best interest of the corporation . The officers shall have such duties as may be prescribed in the Bylaws and shall serve at the pleasure of the Board of Directors . ARTICLE VIII Conveyances and Encumbrances Subject to any restrictions set forth herein, in the Bylaws or in the Declaration, corporate property may be conveyed or encumbered by a»i-rority of the Board of Directors . Conveyances or encumbrances shall be by instrument executed by the President or a Vice President and by the Secretary or the Treasurer or an Assistant Secretary or Assistant Treasurer or executed by such other person or persons to whom such authority may be delegated by the Board. ARTICLE IX Initial Registered Office and Agent The initial registered office of the corporation shall be at 410 Seventeenth Street, Suite 1880 , Denver , Colo- (directors and officers) of the Homeowners ' Association, together with the address of the managing agent, if any Such certificate shall be conclusive evidence thereof in favor of any person relying thereon in good faith regardless of the time elapsed since the date thereof. ARTICLE VII Property Rights Section 1. Easements in Common Area Subject to the provisions of Section 2 below, every Association Member shall have a perpetual and non-exclusive right and easement of enjoyment and access over, in and to the Common Area and such easement shall be appurtenant to and shall pass with the title to every Residential Real Property Interest. Section 2 . Easements for Parking. Every Residen- tial Real Property Interest shall have a perpetual and exclusive right and easement of use and occupancy of one parking space situate in the Common Area for the benefit of the Owner of such Residential Real Property Interest, which parking space shall be established and designated by Declarant, and every such easement shall be appurtenant to and shall pass with the title to the Residential Real Property In- terest to which it relates. In addition to the above as- signed parking spaces , Declarant will establish and designate various unassigned parking spaces situated upon the Common Area which shall be for the non-exclusive use of any person entitled to park within the Property, subject to such rules and regulations as may from time to time be adopted by the Homeowners ' Association. Section 3 . Delegation of Use of Common Area. Any Association Member may delegate, in accordance with the Homeowners ' Association Bylaws , his right of enjoyment of the Common Area and facilities to the members of his family , his tenants , or contract purchasers who reside in his Res- idence, subject to the following provisions pertaining to any recreational facilities : (a) the right of the Homeowners ' Association to limit the number of guests of Association Members ; (b) the right of the Homeowners ' Association to charge reasonable admission and other fees for the use of any recreational facilities situated upon the Common Area; (c) the right of the Homeowners ' Associa- tion, after notice and hearing, to suspend the voting rights and right to use of any recreational facilities situated upon the Common Area by an Association Member for any period during which any assessment against him remains unpaid; and for a period not to exceed 15 days for any other in- fraction; (d) the right of the Homeowners ' Association to dedicate or transfer all or any part of all or any of its rights into the Common Area to any public agency, authority, or utility for such purposes and subject to such conditions as may be agreed to by the Association Members . No such dedications or transfer shall be effective except upon the assent of at least two-thirds of the votes of the Association Members . - - Section 4 . Title to the Common Area . The Declar- ant hereby covenants that it will convey fee simple title to the common area to the Homeowners ' Association , free and clear of all encumbrances and liens , except property taxes for 1979 and subsequent years , prior to the conveyance of the first Residential Real Property Interest . ARTICLE VIII Covenant for Assessments By Homeowners ' Association Section 1. Creation of the Lien and Personal Obligation for Assessments . Declarant, for each Residential Real Property Interest owned within the Property , hereby covenants and each Owner of any Residential Real Property Interest owned within the Property by acceptance of a deed therefor, whether or not it shall be so expressed in any such deed or other conveyance, is deemed to covenant and agree to pay to the Homeowners ' Association: (a) annual assessments or charges for common expenses (which the Homeowners ' Association may collect in monthly installments) ; and (b) special assessments for capital improve- ments . Such assessments shall be fixed, established , and collected from time to time as hereinafter provided . The annual and special assessments, together with such interest thereon and costs of collection therefor, as hereinafter provided, shall be a charge on each Residential Real Property Interest and shall be a continuing lien upon the same against which each such assessment is made. Each such assessment , together with such interest and costs, including reasonable attorneys ' fees , shall also be the personal obligation of the person who was the Owner of such Residential Real Property Interest at the time when the assessment fell due. The personal obligation shall not pass to his successors in title unless expressly assumed by them. Section 2 . Purpose of Assessments . (a) Common Area. The assessments levied by the Homeowners ' Association shall be used for the purpose of promoting the recreation, health, safety and welfare of the Owners of Residential Real Property Interests and in particular for the maintenance and improvement of the Common Area , and for services and facilities devoted to this purpose and related to the use and enjoyment of the Common Area, including, but not limited to , taxes and insurance thereon, repair , replacement and additions thereto, trash removal , landscape maintenance and snow removal and for cost of labor , equipment, materials , management and super- vision thereof. (b) Exterior Maintenance of Residences and Residential Lots. The Homeowners ' Association shall have the exclusive right and duty to provide the hazard insurance and the exclusive right and duty to provide all of the materials and labor for exterior maintenance and repair to the Residences and Residential Lots , including , but not limited to, painting, care of roofs , gutters , downspouts -6- and general exterior building surfaces and the maintenance of trees, shrubs , grass and other exterior Residential Lot improvements , but not including walks, porches, steps , window glass or screens located on a Residential Lot. In the event an Owner fails, neglects or refuses to repair or maintain any such excluded items , the Homeowners ' Association shall give the Owner thirty days ' notice to repair the same, and if not repaired or maintained, the Homeowners ' Assoc- iation shall cause the same to be repaired or maintained at the expense of the Owner . Such expense shall have the character of a Homeowners ' Association lien. No Owner may perform the main- tenance provided herein to be done by the Home- owners ' Association without the written consent of the Homeowners ' Association, which if given shall not reduce the amount of any assessment and which consent may be withdrawn at any time by the Home- owners ' Association. Section 3. Notice of Assessments . The Board of Directors of the Homeowners ' Association shall fix the amount of any assessment required under this Declaration. Upon adoption by the Board of Directors of the Homeowners ' Association of a resolution levying the assessments , which assessments shall be based upon the estimated cash require- ments deemed to be such aggregate sum as is determined to be paid by all of the Owners in order to provide for payment of all estimated expenditures consistent with the purposes set forth in this Declaration, including any deficit , the Sec- retary of the Homeowners ' Association shall give notice thereof in writing. The notice shall set forth the name of the Homeowners ' Association, the location of its principal office, the date of the Directors ' meeting at which the resolution levying the assessment was adopted, the fact of adoption, the amount of the assessment, to whom the assess- ment is payable and where, the date on which the assessment , if unpaid, will become delinquent, the fact that if the assessment is not paid the amount shall become a lien on the Residential Real Property Interest, and that the assessment shall be collectible either by an action at law to recover the amount thereof or by judicial foreclosure. The notice shall further state that in the event of court action or foreclosure, the Homeowners ' Association shall be entitled to recover a reasonable attorneys ' fee and court costs , if any, in addition to the amount of the assessment and in- terest thereon. The notice of assessment shall be served on each Association Member personally not less than 30 days prior to the delinquent date. In lieu of personal service , however , the notice may be sent by mail addressed to each Association Member at his address as it appears on the books of the Homeowners ' Association. Section 4 . Liability and Lien. Any assessment not paid within 30 days after the due date shall bear inter- est from the due date at the rate of 18% per annum. In the event of a default or defaults in payment of any assessment , and in addition to any other remedies herein or by law provided, the Homeowners ' Association may enforce each such obligation as follows : (a) By suit or suits at law to enforce each such assessment obligation. Any judgment rendered in any such action shall include, where permissible under any law, a sum for reasonable attorneys ' -7- r .. r. fees in such amount as the court may adjudge against such defaulting Owner. Upon full satis- faction of any such judgment, it shall be the duty of the Homeowners ' Association by any authorized officer thereof to execute and deliver to the judgment debtor an appropriate satisfaction there- of. (b) At any time within 90 days after the delinquency of any assessments , the Homeowners ' Association may give a notice to the defaulting Association Member, which notice shall state the date of the delinquency, the amount of the delin- quency, and the interest charge for such delin- quency, and make a demand for payment thereof. If such delinquency and interest is not paid within 10 days after delivery of such notice, the Homeown- ers ' Association may elect to file a claim of lien against the Residential Real Property Interest of such delinquent Association Member. Such claim of lien shall state : (i) the name of the delinquent Association Member or reputed Association Member; (ii) a description of the Residential Real Property Interest against which such claim of lien is made; (iii) the amount claimed to be due and owing (with any proper off-set allowed) ; (iv) that the claim of lien is made by the Homeowners ' Association pursuant to the terms of this Declaration (giving the date of execution and the date , book and page reference of the recording hereof in the office of the Clerk and Recorder for the County of Eagle) ; and (v) that a lien is claimed against said described Residential Real Property Interest in an amount equal to the amount of the stated delinquency plus interest. Any such claim of lien shall be signed and acknowledged by an authorized officer of the Homeowners ' Association. Upon recordation of a duly executed original or copy of such claim in the County of Eagle, the lien claimed therein shall immediately attach and become effec- tive subject only to limitations hereinafter set forth. Each delinquency shall constitute a separate basis for a claim of lien or a lien. Any such lien may be foreclosed by appropriate action in court or in the manner provided by law for the foreclosure and sale of real estate on execution issued out of any court of record of the State of Colorado. In the event of such foreclosure and sale , any sheriff or other authorized officer conducting said sale shall be entitled to actual expenses and such fees as may be allowed by law or as may be prevailing at the time the sale is conducted. A certificate of sale and a deed upon fore- closure shall be executed by the sheriff or other person authorized by law to perform such acts. The amount of the assessment assessed against each Residential Real Property Interest shall be the per- sonal and individual debt of the Owner or Owners thereof at the time the assessment is made. Suit to recover a money judgment for unpaid assessments and costs of suit and attor- neys' fees shall be maintainable without foreclosing or waiving the lien securing same . No Owner may exempt himself from liability for his contribution towards the assessments by waiver of the use or enjoyment of the Common Area or by abandonment of his Residential Real Property Interest. Section 5 . Notice to Mortgagee of Nonpayment. The Homeowners ' Association shall report to the holder of a first mortgage of a Residential Real Property Interest -8- any unpaid assessment installment remaining unpaid for longer than 25 days after the same is due. Any encumbrancer holding a lien on a Residential Real Property Interest may pay, but shall not be required to pay, any unpaid assessments payable with respect thereto, and upon such payment such encumbrancer shall have a lien on such Residential Real Property Interest for the amounts paid of the same rank as the lien of his encumbrance. Section 6. Special Assessment for Capital Improvements. In addition to the annual assessments auth- orized above, the Homeowners ' Association may levy in any assessment year, a special assessment applicable to that year only, for the purpose of defraying, in whole or in part, the cost of any construction or reconstruction, un- expected repair or replacement of a described capital im- provement upon the Common Area, including the necessary fixtures and personal property related thereto, provided that any such assessment shall have the assent of at least 51% of the votes of the Association Members . Section 7 . Uniform Rate. Both annual and special assessments must be fixed at a uniform rate for all Residen- tial Real Property Interests. Section 8 . Action by Membership. Written notice of any meeting of the membership called for the purpose of taking action under Section 6 of this Article VIII shall be sent to all' Association Members , not less than 30 nor more than 60 days in advance of the meeting. The presence in person or by proxy of Association Members entitled to cast 60% of all the votes shall constitute a quorum. If such quorum is not so present, another meeting may be called, subject to the notice requirements set forth above, and the required quorum at such subsequent meeting shall be one-half of the quorum required at the preceding meeting. No such subsequent meeting shall be held more than 60 days following the preceding meeting. Section 9. Date of Commencement of Annual Assessments -- Due Dates. The annual assessment provided for herein shall commence as to all Residential Real Prop- erty Interests on the first day of the month following the conveyance of the Common Area to the Homeowners ' Associa- tion. The first annual assessment shall be adjusted accord- ing to the number of months remaining in the calendar year . The Board of Directors shall fix the amount of the annual assessment against each Residential Real Property Interest as soon as practicable in advance of each annual assessment period. The due dates shall be established by the Board of Directors. The Homeowners ' Association shall upon demand at any time furnish a certificate in writing, signed by an officer of the Homeowners ' Association, setting forth wheth- er the assessments on a specified Residential Real Property Interest have been paid. A reasonable charge may be made by the Board for the issuance of these certificates . Such certificates shall be conclusive evidence of payment of any assessment therein stated to have been paid. Section 10 . Subordination. The lien of the assessments provided for herein shall be subordinated to the lien of any first deed of trust or mortgage . Sale or trans- fer of any Residential Real Property Interest shall not affect the assessment lien. Sale or transfer of any Res- idential Real Property Interest pursuant to foreclosure or -9- any proceeding in lieu thereof shall extinguish the lien of such assessments as to payments which became due prior to such sale or transfer. No such sale or transfer shall relieve such Residential Real Property Interest or the Owner thereof from liability for any assessment thereafter becom- ing due or from the lien thereof. Section 11 . Assessment Reserves . Each Owner, other than the Declarant, shall be required to deposit and to maintain with the Homeowners ' Association up to three times the amount of the current estimated monthly common assessment, without interest, which sum shall be used by the Homeowners ' Association as a reserve for paying such Owner ' s monthly common assessments, for purchase of equipment and supplies and for working capital. Such advance payment shall not relieve an Owner from making the regular monthly installments of the current common assessments as the same come due. Upon the sale of his Residential Real Property Interest, an Owner shall be entitled to a credit from his grantee for any unused portion thereof . ARTICLE IX Fences Section 1. Repair and Maintenance of Side Yard Fences. Each Side Yard Fence shall be maintained in good and neat condition and repair. The responsibility for and the cost of maintenance, repair and restoration of a Side Yard Fence shall be borne by the Side Yard Fence Owner whose Residential Lot is appurtenant thereto. In the event that any Side Yard Fence Owner shall fail to discharge his obligations hereunder within 30 days following written notice of such failure from the Homeowners ' Association, the Homeowners ' Association may take such action as is reason- ably necessary to maintain, repair or restore such Side Yard Fence and the cost thereof shall be a debt of such Side Yard Fence Owner and a lien on his Residential Real. Property Interest and may be enforced and collected as is provided in Article VIII hereof. Section 2 . Repair and Maintenance of Common Fences. Each Common Fence shall be maintained in good and neat condition and repair. The responsibility for and the cost of maintenance, repair and restoration of a Common Fence shall be borne by the Common Fence Owners of Res- idential Lots to which such Common Fence is appurtenant in proportion to the portion of such Common Fence which is appurtenant to such Residential Lots . In the event that any Common Fence Owner shall fail to discharge his obligations hereunder within 30 days following written notice of such failure from the Homeowners ' Association, the Homeowners ' Association may take such action as is reasonably necessary to maintain, repair or restore such Common Fence and the proportionate cost thereof attributable to such Common Fence Owner shall be a debt of such Common Fence Owner and a lien on his Residential Real Property Interest and may be en- forced and collected as is provided in Article VIII hereof . Section 3 . Damage or Destruction of Fences . Should a Side Yard Fence or Common Fence be damaged or destroyed by the act, default or negligence of one of the Owners of a Residential Lot, such guilty Owner shall rebuild said fence and shall compensate the other Owners for any damage to their property. In the event of damage or de- struction of a fence by fire or other casualty, to the extent that damage to a fence is covered by insurance, the -10- full insurance proceeds shall be used and applied to repair, restore and replace the same. Any deficiency shall be the joint expense of the Owners of the Residential Lots to which such fence is appurtenant, without prejudice , however , to the right of an Owner to demand a larger contribution from any other Owner under any rule of law regarding liability for negligent or willful acts or omissions . Section 4 . Right to Contribution Runs with Land. The right of any Owner to contribution from any other Owner under this Article IX shall be appurtenant to the land and shall pass to such Owner ' s successors in title. Section 5. Arbitration. In the event of any dispute arising concerning a fence, or under the provisions of this Article IX, each party thereto shall choose one arbitrator, and such arbitrators shall choose one additional arbitrator, and the decision shall be by a majority of all the arbitrators, which arbitration shall otherwise be con- ducted in accordance with the then prevailing rules of the American Arbitration Association. The decision of the arbitrators shall be binding and may be enforced by any court having jurisdiction in the State of Colorado. Section 6. Encroachments . If any portion of a Residence encroaches upon an adjoining Residential Lot , a valid easement for the encroachment and for the maintenance of same shall exist. Any such encroachment shall not be considered or determined to be an encumbrance on a Residen- tial Lot, Residence, or Residential Real Property Interest. ARTICLE X Insurance Section 1. Types of Insurance. The Homeowners ' Association shall obtain and maintain, to the extent pos- sible, for the benefit of all Owners and others , the follow- ing insurance : (a) fire insurance with extended coverage, vandalism and malicious mischief endorsements insuring the entire residential improvements and any other real or personal property, the nature of which is Common Area (but not including any im- provements, fixtures , decorating, furniture , furnishing, appliances or other property, real or personal , supplied by or installed by Owners) for the maximum insurable value of such improvements , which, to the extent possible, shall mean the full replacement value, without deduction for deprecia- tion and which shall contain a standard non- contributory mortgage clause in favor of each mortgagee of a Residential Real Property Interest , which shall provide that the loss , if any, shall be payable to such mortgagee as its interest may appear, subject, however, to the loss payment provisions in favor of the Homeowners ' Association as set forth in Article XI hereof; (b) public liability insurance in such limits as the Board of Directors may , from time to time determine, covering each member of the Board and each Owner. To the extent possible , such public liability insurance shall also cover cross liability claims of one insured against the other and against the Homeowners ' Association ; -11- (c) workmen' s compensation insurance in at least such amounts as may from time to time be required by law; and (d) fidelity bonds to protect against dis- honest acts on the part of officers , directors and employees of the Homeowners ' Association respon- sible for handling the funds of the Homeowners ' Association. Section 2 . Waiver of Subrogation. All policies of insurance, as appropriate, shall contain waivers of subrogation and waivers of any defense based on co-insurance or of invalidity arising from any acts of the insured and shall provide that such policies may not be cancelled or substantially modified without at least 30 days prior writ- ten notice to all of the insured parties , including mort- gagees. Duplicate originals or certificates of all policies and renewals thereof together with proof of payments of premiums shall be delivered to all mortgagees at least 30 days prior to expiration of the then current policies . The insurance shall be carried in blanket form naming the Home- owners ' Association as the insured, as attorney-in-fact for all of the Owners of Residential Real Property Interests , which policy or policies shall identify the interest of each Owner (Owner' s name, Residence number or symbol and building designation) . Section 3 . Replacement Value . Prior to obtaining any policy of fire insurance or renewal thereof , the Board of Directors of the Homeowners ' Association shall make a determination of the full replacement value of the entire improvements, without deduction for depreciation, for the purpose of determining the amount of the insurance to be effected pursuant to the provisions of this Article X. In no event shall the insurance policy contain a co-insurance clause for less than 90% of the full replacement cost . Determination of maximum replacement value shall be made annually by one or more written appraisals to be furnished by a person knowledgeable of replacement cost, and each mortgagee shall be furnished with a copy thereof within 30 days after receipt of such written appraisals . Section 4 . Owner ' s Insurance . Each Owner may carry other insurance for his benefit and at his expense , provided that all such policies shall contain waivers of subrogation and provided, further, that the liability of the carriers issuing insurance obtained by the Board of Direc- tors of the Homeowner' s Association shall not be affected or diminished by reason of any such additional insurance car- ried by any Owner. Insurance coverage on furnishings and other items of personal or other property belonging to an Owner and public liability coverage with respect to each Residential Real Property Interest shall be the sole and direct responsibility of the Owner thereof, and the Board of Directors and the Homeowners ' Association shall have no responsibility therefor. ARTICLE XI Destruction or Damage; Association as Attorney-in-Fact Section 1. This Declaration does hereby make mandatory the irrevocable appointment of an attorney-in-fact to deal with improvements situate upon the Property upon destruction or damage of all or any portion thereof , for -12- their repair and reconstruction or to maintain, repair and improve the same. Title to any Residential Real Property Interest is declared and expressly made subject to the terms and conditions hereof, and acceptance by any grantee of a deed or other instrument of conveyance from the Declarant or from any Owner or grantor shall constitute appointment of the attorney-in-fact herein provided. All of the Owners irrevocably constitute and appoint the Homeowners ' Associa- tion their true and lawful attorney in their name , place and stead for the purpose of dealing with the Property upon its damage or destruction as is hereinafter provided. As attorney-in-fact, the Homeowners ' Association, by its Pres- ident and Secretary or Assistant Secretary or its other duly authorized officers or agents , shall have full and complete authorization, right and power to make, execute and deliver any contract, deed or other instrument with respect to the interest of an Owner which are necessary and appropriate to exercise the powers herein granted. Repair and reconstruc- tion of the improvements as used in the succeeding sub- paragraphs means restoring the improvements situate upon the Property to substantially the same condition in which they existed prior to the damage, with each Residence having substantially the same vertical boundaries as before. The proceeds of any insurance collected shall be available to the Homeowners ' Association for the purpose of repair , restoration, reconstruction or replacement as is provided hereinafter. (a) In the event of damage or destruction due to fire or other disaster, the insurance proceeds, if sufficient to reconstruct the im- provements situate upon the Property, shall be applied by the Homeowners ' Association, as at- torney-in-fact, to such reconstruction , and the improvements situate upon the Property shall be promptly repaired and reconstructed. The Home- owners ' Association shall have full authority , right and power , as attorney-in-fact , to cause the repair and restoration of the improvements situate upon the Property. Assessments for common ex- penses shall not be abated during the period of insurance adjustments and repair and reconstruc- tion. (b) If the insurance proceeds are insuffi- cient to repair and reconstruct the improvements situate upon the Property, such damage or destruc- tion shall be promptly repaired and reconstructed by the Homeowners ' Association, as attorney-in- fact, using the proceeds of insurance and the proceeds of a special assessment to be made a- gainst all of the Owners and their Residential Real Property Interests. Such deficiency assess- ment shall be a common expense and made pro rata and shall be due and payable within 30 days after written notice thereof. The Homeowners ' Associa- tion shall have full authority, right and power, as attorney-in-fact, to cause the repair , replace- ment or restoration of the improvements situate upon the Property using all of the insurance proceeds for such purpose notwithstanding the failure of an Owner to pay the assessment . The assessment provided for herein shall be a debt of each Owner and a lien on his Residential Real Property Interest and may be enforced and col- lected as is provided in Article VIII hereof . In addition thereto, the Homeowner ' s Association, as -13- attorney-in-fact, shall have the absolute right and power to sell the Residential Real Property Interest of any Owner refusing or failing to pay such deficiency assessment, within the time prov- ided, and if not so paid, the Homeowners ' Associa- tion shall cause to be recorded a notice that the Residential Real Property Interest of the delin- quent Owner shall be sold by the Homeowners ' Association, as attorney-in-fact, pursuant to the provisions of this paragraph. Assessments for common expenses shall not be abated during the period of insurance adjustment and repair and reconstruction. The delinquent Owner shall be required to pay to the Homeowners ' Association the costs and expenses for filing the notices , in- terest at the rate of 18% per annum on the amount of the assessments and all reasonable attorneys ' fees. The proceeds derived from the sale of such Residential Real Property Interest shall be used and disbursed by the Homeowners ' Association , as attorney-in-fact, in the following order : (i) for payment of taxes and special as- sessment liens in favor of any assessing entity and the customary expenses of sale; (ii) for payment of the balance of the lien of any first mortgage; (iii) for payment of unpaid common expenses and all costs , expenses and fees incurred by the Homeowners ' Association; (iv) for payment of junior liens and encumb- rances in the order of and to the extent of their priority; and (v) the balance remaining, if any , shall be paid to the Owner. ARTICLE XII Architectural Control Section 1. No building, fence, wall or other structure shall be commenced, erected or maintained upon the Property, nor shall any exterior addition to or change , including paint or alteration therein, be made until the plans and specifications showing the nature , color, kind , shape, height, materials , and location of the same shall have been submitted to and approved in writing as to harmony of external design and location in relation to surrounding structures and topography by the Board of Directors of the Homeowners ' Association, or by an architectural committee composed of three or more representatives appointed by said Board. In the event said Board, or its designated commit- tee, fails to approve or disapprove such design, materials and location within 45 days after said plans and specifi- cations have been submitted to it in duplicate, approval will not be required and this Article will be deemed to have been fully complied with. ARTICLE XIII Use Restrictions The Property shall be occupied and used as follows : -14- Section 1. Each Residential Lot shall be used only for residential purposes. Section 2 . No business of any kind shall be conducted on any Residential Lot with the exception of the business of Declarant and its successsors or assigns in developing all of the Residential Lots as provided in Sec- tion 10 hereof. Section 3 . No noxious or offensive activity shall be carried on, in or upon any Residential Lot or on the Common Area nor shall anything be done therein which may be or become an annoyance or nuisance to other Owners . No open fires or outdoor trash burning shall be permitted. Section 4 . No sign of any kind shall be displayed to the public view on any Residential Lot or the Common Area without the prior written consent of the Homeowners ' Associa- • tion, except customary name and address signs and a lawn sign of not more than five square feet in size advertising the Residential Real Property Interest for sale or rent . Section 5. No animals , livestock or poultry of any kind shall be raised, bred or kept on any Residential Lot or on the Common Area, except that dogs , cats and other common household pets may be kept on Residential Lots , subject to rules and regulations adopted by the Homeowners ' Association, provided that they are not kept, bred or main- tained for any commercial purpose. Section 6 . No rubbish, trash, garbage or other waste material shall be kept or permitted upon any Residen- tial Lot or on the Common Area except in sanitary containers located in appropriate areas screened and concealed from view and maintained in a manner so as not to constitute a fire hazard. Section 7 . No outbuilding, basement , tent , shack, garage, trailer, shed or temporary building of any kind shall be used as a residence either temporarily or permanently. Section 8 . No trucks , trailers , mobile homes , truck campers, detached camper units, boats or commercial vehicles shall be kept, placed, stored or maintained upon any Residential Lot or upon the Common Area (including parking areas) in such manner that such vehicle, boat or unit is visible from other Residential Lots , the Common Area or adjacent roadways . The provisions of this Section 8 shall not apply to vehicles or units temporarily maintained and used exclusively in connection with the construction and development activities of Declarant or with respect to any improvements being made to a Residence as permitted by this Declaration. Commercial vehicles engaged in delivering goods or performing services shall be excluded from the provisions hereof to the extent they do not remain on the Property beyond the reasonable time required to make such deliveries or perform such services. Section 9 . Nothing shall be altered or con- structed in or removed from the Common Area except upon the written consent of the Homeowners ' Association. No fire- arms, fireworks, explosives, arrows , air rifles , BB guns , or similar devices, shall be discharged on any part of the Property. Section 10 . Nothing in this Declaration shall be understood or construed to : -15- (a) prevent Declarant, or its contractors or subcontractors, from doing on the Property or any part thereof whatever they determine to be reason- ably necessary or advisable; (b) prevent Declarant, or its represen- tatives, from erecting, constructing and main- taining on any part or parts of the Property owned or controlled by Declarant, or its contractors or subcontractors, such structures as may be reason- ably necessary for the conduct of its business ; or (c) prevent Declarant, or its contractors or subcontractors, from maintaining such sign or signs on any Residential Lots owned or controlled by it or them as may be necessary in connection with the sale, lease, or other use thereof. ARTICLE XIV Easements Section 1. Common Area Encroachments . If any portion of the Common Area encroaches upon a Residential Lot, a valid easement for the encroachment and for the maintenance of the same, so long as it stands , shall and does exist. In the event any structure is partially or totally destroyed, and then rebuilt, the Owners agree that minor encroachments of parts of the Common Area due to construction shall be permitted and that valid easements for such encroachments and maintenance thereof shall exist . The Common Area is and always shall be subject to easements for minor encroachments thereon of the Residential Lots ; and a nonexclusive easement for ingress and egress and the support through the Common Area is appurtenant to each Residential Lot, and the Common Area is subject to such easements . Section 2 . Boundary Changes . An easement shall exist for use and maintenance as Common Area over any por- tion of a Residential Lot which, because of a change in the boundary of a private structure, including fence , wall or patio, at the time of original construction lies between that boundary and a lot line abutting the Common Area. Section 3 . Easements of Encroachment. There shall be reciprocal appurtenant easements for the main- tenance and repair of fences, overhanging architectural appendages, and roofs and eaves; together with the right of ingress and egress for purposes of repair and maintenance . Section 4 . Master Television Antennas . To avoid the necessity of a separate television antenna for each Residential Lot, the Declarant or Homeowners ' Association may elect to install master antennas upon certain Residen- tial Lots with connections thereto being located within or upon the roof structure of the various Residences . If so installed, said antennas and connections shall be maintained in good order and repair by the Homeowners ' Association. To the extent required to effectuate the foregoing plan, there shall be an easement in favor of each Residential Lot for the purpose of providing connection of that Residential Lot with the master antenna most convenient thereto. Each Residential Lot shall be subject to easements in favor of all the other Residential Lots providing for the passage through the roof structure of television connections from all said Residential Lots to the master antenna most con- venient thereto. Each Residential Lot shall be subject to a -16- further easement for the placement thereon by the Home- owners ' Association of a master antenna and appurtenances . All of the foregoing easements are granted and reserved subject to the condition that their use and enjoyment shall not interfere with the use, occupancy or enjoyment of all or any part of the Residential Lot servient to them or to which they are appurtenant. The Homeowners ' Association may, in lieu of a master television antenna system, contract for and pay a master monthly charge for cable television service to all Residential Lots within the Property and the proportionate share of such charge shall be part of the annual assessment heretofore set forth in Article VIII hereof. Section 5. Other Easements. (a) Any utility line, pipe, conduit or system (for brevity referred to as a "utility" ) located beneath a Residence or located on or in the Property, which utility serves more than one Residence, is declared to be an easement for the use and benefit of all of the Owners of Residences served by such utility. Such easement (s) shall not be considered or determined to be an encum- brance (s) for purpose of marketability of title or for any other purpose. Any expense for main- tenance of such utility shall be treated as a common expense as provided in Article VIII hereof. (b) A nonexclusive easement for ingress and egress is hereby granted to all police, sheriff , fire protection, ambulance and other similar emergency agencies or persons , now or hereafter servicing the Property, to enter upon all streets , roads and driveways located on the Property in the performance of their duties . ARTICLE XV Mortgages Section 1. Mortgaging a Residential Real Prop- erty Interest -- Priority. Any Owner shall have the right from time to time to mortgage or encumber his Residential Real Property Interest by deed of trust, mortgage or other security instrument. The Owner of a Residential Real Prop- erty Interest may create junior mortgages (junior to the lien, deed of trust or other encumbrance of the first mort- gagee) on his Residential Real Property Interest on the following conditions : (a) that any such junior mortgages shall always be subordinate to all of the terms , con- ditions , covenants , restrictions , uses , limita- tions , obligations, liens for assessments , and other obligations created by this Declaration and the Bylaws; and (b) that the mortgagee under any junior mortgage shall release, for the purpose of re- storation of any improvements upon the mortgaged premises , all of its right, title and interest in and to the proceeds under all insurance policies upon said premises which insurance policies were effected and placed upon the mortgaged premises by the Homeowners ' Association. Such release shall -17- be furnished forthwith by a junior mortgagee upon written request of the Homeowners ' Association, and if not furnished, may be executed by the Homeowners ' Association as attorney-in-fact for such junior mortgagee. Section 2 . Protection of Encumbrancer. No violation or breach of, or failure to comply with, any provision of this Declaration, and no action to enforce any such provision shall affect, defeat, render invalid or impair the lien of any first mortgage , or other lien on any Residential Real Property Interest taken in good faith and for value and perfected by recording in the office of the Clerk and Recorder of the County of Eagle , Colorado, prior to the time of recording in said office of an instrument describing the Residential Real Property Interest and giving notice of such violation, breach orfailure to comply; nor shall such violation, breach, or failure to comply or action to en- • force, affect, defeat, render invalid or impair the title or interest of the holder of any such first mortgage or other lien, or the title or interest acquired by any purchaser upon foreclosure of any such first mortgage or other lien, or result in any liability, personal or otherwise , of any such holder or purchaser. Any such purchaser on foreclosure shall, however, take subject to this Declaration; provided, however, that vio- lations or breaches of, or failures to comply with, any provisions of this Declaration which occurred prior to the vesting of fee simple title in such purchaser shall not be deemed breaches or violations hereof or failure to comply herewith with respect to such purchaser, his heirs , personal representatives , suc- cessors or assigns. ARTICLE XVI General Provisions Section 1. Enforcement. The Homeowners ' Associa- tion or any Owner shall have the right to enforce , by any proceeding at law or in equity, all covenants and restric- tions , now or hereafter imposed by the provisions of this Declaration. Failure to enforce any covenant or restriction herein contained shall in no event be deemed a waiver of the right to do so thereafter. Section 2 . Severability. Invalidation of any one of these covenants or restrictions by judgment or court order shall in no way affect any other provision which shall remain in full force and effect. Section 3 . Amendment. The covenants and re- strictions of this Declaration shall run with and bind the land, and shall inure to the benefit of and be enforceable by the Homeowners ' Association or the Owner of any Residen- tial Lot subject to this Declaration, their respective legal representatives , heirs , successors , and assigns , for a term of 50 years from the date this Declaration is recorded, after which time said covenants shall be automatically extended for successive periods of 10 years each, unless at the end of such 50-year period or any of the said 10-year per- iods, the Owners of 60% of the Residential Lots subject to this Declaration execute and record a document repudiating these covenants and restrictions . The covenants and re- strictions of this Declaration may be amended or revoked, at any time, by an instrument signed by not less than the Owners of 75% of the Residential Lots . Any amendment must be properly recorded. Section 4 . No Partition. There shall be no par- tition of the Common Area, nor shall a grantor or any person acquiring an interest in a Residential Lot or any part thereof seek any partition thereof; provided, however, than if any Residential Lot shall be owned by two or more people as ten- ants in common, or as joint tenants , nothing herein contained shall be deemed to prevent a judicial partition as between such co-tenants.
