Dear Michael:
As requested, I have observed the soils conditions in the area of
your proposed duplex excavatj.on. The purpose of rny observatlons is to recommend
speclflc design requirements for foundations and slab support for your
proposed duplex to be constructed on the site.
The subsoils conslst of I foot of topsoil above 2 to 4 feet of soft,
low densiEy and organic s11t overlying mediurn dense silty sandy gravel
with cobbles and occasional boulders.
Considering the general type construction and subsoil conditioos,
spread footings placed on the coarse granular subsoils should be used for
support of the structure. The following design and construction details
should be observed:
1. FooEings should be placed entirely on the natural coarse granular
subsoils below any topsoll and silt and designed for a maximum bearing
pressure of 3,000 psf. Settlements should be wlthin tolerable llmlts,
approximately I inch total and 3/4 inch differential.
2. Mlnimuur footing width should be 16 inches for wa1ls and 2 feet
for columns.
3. Contlnuous foundation walls should be adequately reinforced to
span an unsupported length of at least l0 feet. Basement r,ralls acting
as retalnlng structures should also be designed to resist lateral earth
pressures as dlscussed below.
4. A1-1 topsoil and any local soft poekets of so11 found at the base
of the footing excavation should be removed and the excavation extended
to the lower firm solls.
5. A11 footings should be provided with adequate soil cover above
thelr bearing elevatl-on for frost protection.

Basement walls actlng as retalning structures should be designed
to resist an equivalent lateral earth pressure of 45 psf per foot of
depth. An underdrain systen shoul-d be provided to prevent hydrostatic
Dressure build-uo.
The on-site granular subsoils below all topsoil and low density
silt are suitable to support slab-on-grade construction. To reduce the
effects of some differential movement, slabs should be separated from
bearing members with a positive expanslon joint and adequately relnforced,
A mimimum 4 inch 1-ayer of free draining gravel should be provided irmedlately
beneath slab-on-grade floors to distrj-bute loading and provi-de a uniform
surface for concrete placement. Gravel should consist of a maximum 2 inch
slze.
The underdraln system for basement wal-1s acting as retalning
structures should consist of a perforated pipe installed in a gravel ftlled
trench placed at least 1 foot below adjacent floor slab or crawl space
grade leading to sultable gravlty outlet.
The on-site soils, excluslve of topsoil and organic si1t, can be used
for structural fill-. Compaction should be to at least 952 of the maximum
standard Proctor density at a moisture content near optlmum.

CONDITIONS AND STIPULATIONS
1. The term mortgage, when used herein, shall include deed of trust, trust deed, or
other security instrument.
2. lf the proposed Insured has or acquires actual knowledge of any defect lien,
encumbrance, adverse claim or other matter affecting the estate or interest or
mortgage thereon covered by this Commitment other than those shown in
Schedule B hereof, and shall fail to disclose such knowledge to the Company in
writing, the Company *rall be relierred from liability for any loss or damage
resulting from any act of reliance hereon to the extent the Company is prejudiced
by failure to so disclose such knowledge. lf the proposed Insured shall disclose such
knowledge to the Company, or if the Company otherwise acquires actual
knowledge of any uch defect, lien, encumbrance, adverse claim or other matter,
the Company at its option may amend Schedule B of this Commitment
accordingly, but zuch amendment shall not relieve the Company from liability
previously incurred pursuant to paragraph 3 of these Conditions and Stipulations.
Liability of the Company under this Commitment shall be only to the narned
proposed lncrred and zuch parties included under the definition of In$red inthe
form of policy or policies committed for and only for actual loss incurred in
reliance hereon in undertaking in good faith (a) to comply with the requirements
hereof, or (b) to eliminate exceptions shown in Schedule B, or (c) to acquire or
create the estate or interest or mortgage thereon covered by this Commitment. In
no event shall such liability exceed the amount stated in Schedule A for the policy
or policies committed for and such liability is subject to the insuring provisions and
the Conditions and Stipulations and the exclusions from coverage of the form of
policy or policies committed for in favor of the proposed Insured which are hereby
incorporated by reference and are made a part of this Commitment except as
expressly modif ied herein.
Any claim of loss or damage, whether or not based on negligence, and which arises
out of the status of the title to the estate or interest or the lien of the insured
mortgage covered hereby or any action asserting such claim, shall be restricted to
the provisions and Gonditions and Stipulations of this Commitment.

divided into trtownhouse unitsrr as follows:
(i) The rrWest Townhouse Unitrr consisting of a fee
sinple estate in the l{est Parcel and an appurtenant thereto
one-half undivided interest in and to the common Parcel,
together with the improvements, easements and rights located
thereon or appurtenant thereto in the same respective
interests;
(ii) The trEast Townhouse Unitrr consisting of a fee
sinple estate in the East Parcel and an appurtenant thereto
one-half undivided interest in and to the common Parcel ,
together with the improvements, easements and rights located
thereon or appurtenant thereto in the same resPective
interests.
(b) Each townhouse unit shall be inseparable' and may
be leased,-devised or encumbered only as a townhouse unit. No
olrner (rtownerrr) of a townhouse unit shall assert any right of .partition with respect to the Conmon Parcel and each owner waives
iny and all rights of Partition he may hoJ-d by virtue of his
ownership of an undivided interest in and to the Common Parcel as
a tenant in cornmon with the other owner.
(c) Title to a townhouse unit nay be held individually
or in "ny ioi- of concurrent ownership recognized in Colorado. In
case of any such concurrent ownership, each co-oltner shall be

the townhouse unit in wtrictr he owns an interest' For all
purpo="! herein, there shall be deeured to be only two owners, the
ownlr of the West Tormhouse Unit and the owner of the East
Torrnhouse Unit. The parties, Lf more than one, having the
ownership of each such townhouse unit shall agree among
thenselvLs how to share the rights and obligations of such
ownership; provided, however, tnat ir a corporation,
partnership, association or other legal entity_ shall become an
owner or the parties, if rnore than one, have-the concurrent
ownership of I townhouse unit, then such entity or concurrent
owners shatl from tirne to tine designate one individual who shall
represent such entity or concurrent owners in all matters
co-ncerning all right- and obligations pursuant to this
Declaration. Any such entity or concurrent owners.shall give
written notice to ttre other olfner designating the individual to
act on its or their behalf and such notice shall be effective
until revoked in writing by such entity or owners. Any act or
omission by such designated individual shall be binding on the
entity or owners having designated hin in favor of the other
owner or any person who nay rely thereon.
(d) Any contract of sa1e, deed, lease, deed of trust,
mortgage, will or other instrument affecting a townhouse unit
shall describe it by the legal description of the parcel
constituting such townhouse unit and as an undivided one-tralf
interest in-the common Parcel described by its legal description,
with such lega1 descriptions being set forth in Exhibit A.
(e) Each townhouse unit shall be considered a separate
parcel of real property and written notice shall be given to the
lssessor of Eagle bounly, Colorado, so that each townlrouse unit
shall be separately assessed and taxed.
2. ENCROACHMENTS. If any portion of one of the three
above described parcels now encroaches upon any of the other
parcels as a result of the construction of any building, or if
any such encroachment shalt occur hereafter as a result of
settting or shifting of any building, a valid easement for the
encroachrnent and for the rnaintenance of the same so long as the
building stands, shall exist. In the event any building shall be
partially or totally destroyed as a result of fire or other -asualty or as a reiult of condemnation or eminent donain
proceedings and then rebuilt, encroachments of parts of the
building on any other parcel , due to such rebuilding, shall be
perrnitted, so long as such encroachnents are of no greater extent
than those previously existing, and vatid easements for such
encroachrnents and the maintenance thereof shall exist so long as
the building shall stand.
3. PARTY WALL. (a) The common waII placed equally
divided on tfre comrnon boundary separating the west apartment unit
and the east apartment unit, the footings underlying and the
portion of rool over such wall is collectively referred to herein
as the rrParty Wallrr.
(b) To the extent not inconsistent with this
Declaration, the general rules of law regarding party walls and
liability for damage due to negligence of willful acts or
omissions shall apply to the Party WaIL.
(c) The o!,tners of either apartrnent unit shall have a
perpetual easement in and to that part of the other apartment
unit on which the Party WaIl is located, for party wall purposes,
including mutuaL support, maintenance' rePair and inspection. In
the event of danage to or destruction of the Party Wall fron any
cause, the owners shall, at their joint expense' repair or
rebuild the Party wall' and each owner shall have the right to
the full use of the Party I{alI so repaired and rebuilt.
Notnithstanding anything-contained aLove to the contrary, if_the
negligenc" or iittiuf a6t or ornission of any owner, his fanily,
ag6nt-or invitee, shall cause damage to, or destruction ofr the
eirty WalI, such owner shall bear the entire costs of repair or
recoirstrucfion, and an owner who by his negligent or willful act
causes the pariy l{all to be exposed to the elements shall bear
the full cost of furnishing the necessary protection against such
elenents.
4. BREEZEWAY EASEMENT. A covered breezeway (the
trBreezewaytr) with an eight foot high ceiling is to be constructed
upon and across adjoining portions of the West Parcel and the
Elst parcel to supply pedestrian ingress and egress from the east
end of the West Parcel to the southeasterly deck of the West
Townhouse Unit. There is hereby created and granted to the owner
of the West Townhouse Unit a non-exclusive, perpetual easement
and right of way across and through that portion of the Breezeetay
built and located on the East Parcel , for the purpose of
providing to the owner of the west Townhouse Unit and his guests
ind invitees pedestrian ingress and egress across and through
such portion of the Breezeway. The Breezeway shall be
controlled, naintained, repaired and replaced in the same manner
as set forth herein for any other exterior item of the apartnent
units.
5. I,ANDSCAPTNG, SERVTCE FACILITIES, ACCESS AND PARKING.
(a) Except as otherwise specifically provided in writing and
except for any expense or tiability caused through the negligence
or willful act of any ohtner, his farnily, agent or invitee, which
shall be borne solely by such owner, each owner shall share one-
half of all expenses, liabilities and general upkeep
responsibilities with respect to the common Parcel and all
inprovenents thereon. The owners frorn tine to time, shall
undertake such landscaping and general outdoor improvements as
they may mutually and unanimously deem proper for the haruronious
irnprovernent of both townhouse units in a cornmon thene. The owner
of one townhouse unit shall not unreasonably danage the value of
the other townhouse unit such as by shoddy upkeep outside, but
both owners shalI rnake all reasonable efforts to preserve a
harmonious conmon appearance of the apartment units and Comnon
Parcel. Each owner may use the Common Parcel and improvements
located thereon in accordance with the Purposes for which they
are intended, inctuding, but not lirnited to, access to his
apartment unit, parking, landscaping, trash storage and open
space, without hindering or encroaching upon the lawful rights of
the other owner.
(b) Common utility or service connections or lines'
conmon facilities or other equiprnent and property located in or
on the Common Parcel or either of the apartment units or the
parcels upon which such apartment units are located but used in
conmon for the benefit of the Common Parce1 or for both the West
Parcel and the East Parcel and the apartment units located
thereon, shall be owned as tenants in conmon of equal undivided
one-half interests by the owners of each townhouse unit and,
except for any expense or liability caused through the negligence
or wiltful act of any owner, his finily' agent or invitee, which
shall be borne solely by such owner, aII expenses and liabilities
concerned with such property shaLl be shared proportionately with
such ownership. The owner of the parcel and the apartment unit
thereon on which such property is not located shall have a
perpetual easement in and to that part of such other parcel and
apartrnent unit thereon containing such property as is reasonably
n-cessary for purposes of maintenance, repair and inspection.
(c) It is expected that common parking and access
facilities will be provided on a portion of the Common Parcel.
The owners shall have equal right to the use of sucb access and
parking facilities and no owner shall hinder or permit his
invj-tees to hinder reasonable access by the other owner and his
invitees to the parking areas or suctr other ortnerrs apartment
unit, and furthei, the-owner of the west apartment unit shall not
take or pennit hi! tnvitees to take more than one-half of the
parking -space= fron time to tine provided on the conmon Parcel
irttnouf tire consent of the other owner, and the oltner of the east
apartment unit shall not take or pernit his invitees to take nore
than one-half of the parking spacLs fron time to tine provided.on
the Conmon Parcel witlout the consent of the other owner. It is
presumed that snowplowing will be reguired from time to tine' the
Losts of which shall be shared egual-ly by the o\tners. other
naintenance and repair of such parking and access facilities, as
may be reasonably required from tine to time, shall be undertaken jointly by the owners, the costs of which shall be shared equally
by the olrners.
6. ALIERATIONS, !,IAINTENANCE AND REPAIRS. (A) IN
addition, to naintenance provided for in Paragraph 5 above, the
onners shall, at their joint and equal expense' provide exterior
maintenance and exterior repair (maintenance, repair and
replacement of items required from ordinary use and on a periodic
lasisl upon each apartment unit and the irnproved and unimproved
portions of the parcel upon which located including, but not
liroited to, the exterior walls, decks and staircases, and the
roof housing the apartnent units and the parking and access
facilities located on such parcels. If the need for repair is
caused through the negligen-e or willful act of any owner, his
fanily, agent or invitee, such owner shall bear the entire costs
of such repair or reconstruction.
(b) Each owner sha11 be soleIy responsibl'e for
maintenance and repair of the inside of his apartment unit
including, without lirnitation, fixtures and J.mprovements and all
utility lines and equipment located therein and serving such unit
only. In perforning such naintenance and repair, or in inproving
or altering his apartnent unit, no owner shall do any act or work
which inpairs the structural soundness of either apartnent unit
or the Party wall or which interferes with any easement granted
or reserved herein.
(c) Utility or service connections or lines,facilities or other utitity equiprnent and property located in, on
or upon either parcel contlining an apartment unit, in such unit,
or in on or upon the Connon Parcel , which are used solely to
supply a service or utility to one apartment unit or the parcel
upon which it is located shall be owned by the owner of the
apartment unit using such utiJ.ity or service and all expenses and
liabilities for repair and maintenance shall be borne solely by
the owner of such apartment unit, who shall have a perpetual
easenent in and to that part of such other parcel or apartment
unit containing such property as is reasonably necessary for
purposes of maintenance, repair and inspection.
(d) No owner shall make or suffer any structural or
design change (including a color scheme change), either pernanent
or temporary or of any type or nature whatsoever to the exterior
of his apartment unit or alter any present exterior improvernent or construct any additional exterior imProvement or additional
building or structure of any type or nature whatsoever upon any part of the parcel containing his apartment unit or the Conmon
Parcel without first obtaining the prior written consent thereto
fron the other ortner. In case of damage or destruction (other
than as provided for in subparagraph 5(a) above) of any apartnent unit or any part thereof or of any inrprovement upon any part of
the parcel containing an apartment unit by any cause whatsoever'
the owner of such apartment unit or improvernent shall cause with
due ditigence the apartment unit or inprovement to be repaired
and restored, applying the proceeds of insurance, if any, for
that purpose. If the cost of repair or reconstruction exceeds
such insurance, the excess shall be paid for by the owner of the
damaged apartment unit or improvement. Such apartment unLt or
lnprovenent snatt be restored to a condition comparable to that
pr-ior to the damage and in a harnonious manner to pronote- the
Lommon therne of both apartrnent units and improvements on the
parcels containing the apartuent units.
7. MECIIANfCTS LfENS; INDEMNIFICATIoN. (a) Except for
iterns incurred as a comnon expensJ as provided for herein, if any
oirner shaLl cause any nateriat to be furnished to his parcel or
apartment unit thereon or any labor to be performed therein or
thereon, the other owner shall not under any circumstances be
Iiable for the palment of any expense incurred or for the value
of any work done or material furnished; all such work shall be at
the expense of the owner causing it to be done, and such owner
shall be solely responsible to contractors, laborers, naterialnen
and other persons furnishing labor or materials to his apartment unit or the parcel on which located or any improvements therein or thereoni nothing herein contained shall authorize either owner or any person dealing through, with or under either owner to
charge the Connon Parcel or any apartment unit or parcel on wtrich
Iocated of the other osrner with any mechanicrs lien or other lien or encumbrance whateveri and, on the contrary (and notice is
hereby given), the right and power to charge any lien or
encumbrance of any kind against the Couunon Parcel or one oltner or
against one ownerts apartment unit or parcel on which located for
work done or materials furnished to the other ownerrs apartment unit or parcel on which located is hereby expressly denied.
(b) Except as provided for in Paragraph I below, if'
because of any act or ornission of any oetner, any mechanicrs or
other lien or order for the payrment of noney shall be filed
against the Cornmon Parcel or against the other ownerrs apartment unit or parcel on which located or any improvenents therein or
thereon, or against any other owner (whether or not such lien or
order is valid or enforceable as such), the owner whose act or
onission forms the basis for such lien or order shall at his own
cost and expense cause the sarne to be cancelled and discharged of
record or bonded by a surety company reasonably acceptable to
such other owner, within 20 days after the date of filing thereof, and further shall indemnify and save the other oltner
harmless from and against any and all costs, expenses, claims,
losses or damages, inctuding reasonable attorneyrs fees resulting
therefron.
8. INSURANCE. (a) Each owner shall keep his apartment
unl.t and all fixtures therein insured against loss or damage by fire and extended coverage perils (including vandalism and
malicious nischief) for the maximurn replacement value thereof.
Any onner may on 3O daysr written notice, at any time one year or
Ionger after the last appraisal of the apartment units, obtain a written appraisal of such units fron a competent appraiser,
chargj.ng both owners with the costs thereof. Such appraiser shall be a disinterested and independent third party wbo is
unrelated in any manner to either owner whether through joint
business ventures or otherwise.
(b) Each owner shall provide and keep in force for the protection of himself general public liability and property
damage insurance against clairns for bodlly injury or death or property damage occurring in, on or upon his parcel owned in fee
simple, the inrprovernents thereon, and the common Parcel and the
improvenents ttrereon, in a lirnit of not less than $5001000 in
respect of bodily injury or death to any number of persons
arising out of one accident or disaster, or for damage to property, and if higher linits shall at any time be customary to protect against possible tort liability, such higher lirnits shall
be carried and each owner shall narne the other olrner as an
additionaL insured party under such policy.
(c) Each owner shall be separately responsible for all
insurance covering loss or danage to lersonal property in his
apartnent unit and liability for injury, death or damage
oicurring upon his parcel oi inside-his apartroent unit thereon.
(d) Each owner shall deliver to the other ouner
certificates- evidencing all insurance required to be carried
under this Paragraph 7, each containing agreemeTts by tle.
lnsurers not to ca-ncet'or nodify the poticies without giving the-
other owner written notice of aL least 30 days. Each owner shall
have the right to inspect and copy alt such insurance policies of
the other owner and riquire evidlirce of the payment of premiums
thereon.
(e) Nothing provided in this Paragraph 7 shall
prevent the'owners fron jointly acquiring a single policy to
cover any one or more of the hazards required in this ParagraPh 7
to be separately insured against by each owner.
g. RIGHT To LIEN. (a) If an owner' at any time, shall
neglect or refuse to perform'or pay his share of any obligation
required hereunder, the other owner nay, but shall not be
obligated to, after 20 days written notice unless the
circurnstances require imurediate action, make such palnnent, or, on
behalf of such other oetner, expend such suut as may be necessary
to perform such obligation including, but not linited to, the
paytnent of any insurance premiums reguired hereunder or the
undertaking of any work required hereunder for repair,
restoration or maintenance, and such other owner shall have an
easenent in and to that part of such defaulting ownerrs townhouse
unit as is reasonably ne-essary for such repair, restoration or
maintenance.
(b) AII sums so paid or expended by an owner, with
interest thereon at the rate of 18 percent per annum from the
date of such payment or expenditure until paid in fuII, shall be
payable by thL owner so failing to perforrn (the rrdefaulting
ownertr) upon demand of the other oldner.
(c) AIl suuts so demanded but unpaid by the defaulting
owner shaLt constitute a lien on the townhouse unit of the
defaulting owner in favor of the other owner prior to all other
Iiens and encumbrances, except: (i) liens for taxes and special
assessment; and, (ii) the lien of any first mortgage or first
deed of trust of record encurnbering such towntrouse unit. The
lien shall attach fron the date when the unpaid surn shall become
due and nay be foreclosed in like manner as a mortgage on real
.property ufon the recording of a notice or clain thereof executed
by itt" ironhefaulting owner-setting forth the amount of the unpaid
iiraeUteaness, the nirne of the defiulting owner, and a description
of the townhouse unit. If any such lien is recorded' the
defautting owner shalt be required to pay the costs and expenses
of the preparation and recording of the nondefaulting ownerrs
lien, iircfuaing reasonable attorneyrs fees, or $L50.00, whichever
is greater. fi any such foreclosu-re the defaultinq olrner.shall
be iequired to pay the costs and expenses of such proceedings,
including reasonable attorneyrs fees.
(d) The lien provided for herein shall be subordinate
to the fiei of any first mortgage or deed of trust, including all
additional advances thereon. Sale or transfer of any townhouse
unit as the result of court foreclosure of a mortgage,
foreclosure tlrrough the public trustee, or any proceeding in lieu
of foreclosure, including the transfer of a deed in lieu of
foreclosure, shall extinguish the lien of such assessnents as to
payments thereof which become due prior to such sale or transfer,
LuL shall not relieve any former owner of personal liability
therefor. The mortgagee of such townhouse unit who acquires
title by way of foreclosure or the takinq of a deed in lieu
thereof, shall not, hohtever, be liable for any past due
assessment and shall only become liable for future assessments on
itre aate it becomes the -owner of such tonnhouse unit. No sale or
transfer shall relieve such townhouse unit fron ljability for any
assessments thereafter becoming due or frorn the lien thereof. In
the event of the sale or transier of a townhouse unit with
respect to which suns sha1l be unpaid by a defaulting-owner,
exclpt transfers to a first nortglgee in connection with a
Coreitosure of its lien or a deed in lieu thereof, the purchaser
or other transferee of an interest in such unit shall be Jointly
and severally liable with the sell.er or transferror thereof for
any such unpaid sums.
(e) Upon written request of any owner' mortgagee,
prospectivd rnortgagee, purchaser or other prospective transferee -of a-townhouse unit, thl owner of the other townhouse unit shall
issue a written statenent setting forth the amount he is owed
under this paragraph, if any, with respect to such townhouse
unit. Such statenent is ninaing upon the executing owner in
favor of any person who may rely thereon in good faith. unless a
reguest for-such statement-shal1 be coroplied with within fifteen
dafs after receipt thereof, al1 unpaid sums which becarne due
pr-ior to the date of naking such request shall be subordinated to
the lien or other interest of the person requesting such
statement.
10. UsE REsTRIcTIoNs. (a) Each aPartment unit shall be
restricted to a residential dwelling as a pernitted use, and such
use as ltell as conditioned and accessory uses shall be as defined
by the Town of Vail Zoning ordinance.
(b) No exterior mounted radio, shortwave, television
or other tipi of antenna whatsoever or tank of any kind, either
elevated ol-buried, or clothesline or incinerator of any kind
whatsoever or outside storage of any personal property shall be
pernitted or maintained on either townhouse unit without the
prior written approval of both owners.
(c) No anirnals shall be kept or maintained in, on or
upon eithei townhouse unit, except that each owner may keep-and
nlintain within his apartnent unit two domesticated dogs and two
domesticated cats; provided, however, that such donesticated
animals are kept under control at all times, do not present a
nuisance to th-e other owner and are kept and controlled in strict
cornpliance with all Town of Vail ordinances that rnay apply to
such anirnals.
(d) In addition to the parking restrictions set forth
in subparagriph 5(c) above, the owner of the west apartment unit
nay kelp no more than three automotive vehicles permanently on
ttri West Parcel , and the owner of the east apartment unit shall
keep no more than three automotive vehicles permanently on the
EasL Parcel . Parking of boats, trailers, campers, notor homes,
ATvs or recreational-vehicles on either townhouse unit is
expressly prohibited. Parking of more than three automotive
veirictes-by either owner or his farnily, agent or invitee on such
ownerrs townhouse unit for more than a 48 hour period is
expressly prohibited.
(e) No rrtime sharingr!, rrinterval ownershiptt oT sinilar
interest, whereby ownership of a townhouse unit is shared by
onners on a time-basis, stratt be established on either townhouse
unit without the prior written approval of both ol'fners and all
Iienors holding a first mortgage or first deed of trust of record
on any portion of the Property which approval shall be reflected
in a document of record.
11. NOTTCE. Each owner shall register his.rnailing address
with the other owner and all notices or demands intended to be
serviced upon owners shall be sent by certified nail, postage
prepaid ad-clressed in the name of the owner at such registered
nailing address. In the alternative, notices may be delivered if
in writinqt, personally to ottners.
L2. DURATION OF DECLAR;ATfON. Each provision contained in
thl.s Declaration nhich-Is "qbi""t to the laws or rules sometimes
referred to as the rule against perpetuities or the rule
lr-niUiting unreasonable iestraiirts- or alienation shall continue
ind rernain-in full force and effect for ttre period of 21 years
following the death of the last survivor of Michael Lauterbach'
or until-this Declaration is terninated as hereinafter provided,
whichever first occurs. AII other provisions contalned in this
Declaration shall continue and remain in fuII force and effect
until January 1 in ttre year 2Ol-8 A.D., and thereafter for
successive p6riods of 10 years eachi unless at least 1 year prior
to January L,2OLg A.D., or at least l year prior to the
expiration oi any such 1O year period oi extended duration, this
oellaration is terninated by recorded instrunent, directing
ternination, signed by all owners and all lienors holding a first
mortgage or first deed of trust of record on any portion of the
Property.
13. AMENDMENT oR REvocATIoN. This DecLaration nay be
amended or revoked only (a) by Declarant so long as Declarant
owns all of the Property, or (b) uPon unanimous written approval
in recordable form oe aff ortners and aII lienors holding a first
mortgage or first deed of trust of record on any portion of the
Property.
14. EFFECT oF PROvIsIoNS OF DECLARATION. Each provision of
this Declaration, and agreement, promise, covenant and
undertaking to conply with each provision of this Declaration,
and any necessary exception or reservation or grant of title,
estate, right or- interest to effectuate any provisi.on of this
Declaration: (i) shall be deened incorporated in each deed or
other instrurnent by which any right, title or interest in any
portion of the Property is granted, devised or conveyed, wtrether
or not set forth or referred to in such deed or other instrumenti (ii) shall, by virtue of acceptance of any right' title or
interest in any portion of the Property by an owner' be deemed
accepted, ratified, adopted and declared as a personal covenant
of such owner and, as a personal covenant, shall be binding on
such gwner and his heirs, personal representatives, successors
and assigns; (iii) shall be deerned a personal covenant to, with
and for the benefit of each owner of any portion of the Property;
and, (iii) shall be deerned a real covenant by Decl.arant, for
themselves, their personal representatives, heirs, successors and
assigns, and also an equitable servitude, running, in each case'
as a-burden with and upon the title to each and every portion of
the Property.
15. ENFoRCEMENT AND REMEDIES. (a) Each provision of this
Declaration stralL be enforceable by any owner by a proceeding for
a prohibitive or mandatory injunction or by a suit or action to
recover darnages. If court proceedings are instituted in
connection wittr the rights of enforcenent and rernedies provided
in tbis Declaration, the prevailing Party shall be entitled to
recover his costs and expenses in connection therewith, including
reasonable attorneysr fees.
(b) Each owner hereby agtrees that any and all actions
in equity or at law which are instituted to enforce any provision
hereunder shall be brought in and only in the courts of Eagle
County, State of Colorado.
(c) Failure to enforce any provision of this
Dectaration shall not operate as a waiver of any such provision,
the right to enforce such provision ttrereafter' or of any other
provision of this Declaration.
16. EXERCISE OF RIGHTS. Any exercise of any rlght granted
hereunder by one ovrner with respect to the other ownerrs
townhouse unit inctuding but not linited to the use of any
easenent granted herein shall be exercised in a nanner whj.ctr
shall not unreasonably hinder, inpede or impose upon such other
ownerrs use of his townhouse unit.
L?. SUCCESSORS AND ASSIGNS. Except as otherttise provided
herein, thme binding upon and shall inure to
the benefit of Declarant and each o!{ner and the personal
representatives, heirs, successors and assigns of each.
18. SEVERABILITY. fnvalidity or unenforceability of any
provision of tnis Declaration in whole or in part shall not
lffect the validity or enforceability of any other provision or
any valid and enforceable part of a provision of this
Declaration.
19. cAPTIoNs. The captions and headings in this
Lnstrument are for convenience only and shall not be considered
in construing any provisions of this Declaration.
20. CONSTRIICTfON. When necessary for proper construction,
the masculine of any word used in this Declaration shall include
the feninine or neuter gender, and the singular the plural , and
vice versa.
