valuable consideration, hereby commits to issue its policy or policies of title insurance, as identified in
Schedule A, in favor of the proposed Insured named in Schedule A, as owner or mortgagee of the estate
or interest covered hereby in the land described or referred to in Schedule A, upon payment of the
premiumsand charges therefor; allsubjectto the provisions of Schedules A and B and to the Conditions
and Stipu lations hereof.
This Commitment shall be effective only when the identity of the proposed Insured and the amount
of the policy or policies committed for have been in$erted,in Schedule A hereof by the Company,
either at the time of the issuance of this Commitment or by subsequent endorsement.
This Commitment is preliminary to the issuance of such policy or policies of title insurance and all
liability and obligations hereunder shall cease and terminate six months after the effective date hereof
or when the policy or policies committed for shall issue, whichever first occurs. provided that the
failure to issue such policy or policies ia not the fault of the Company. This Commitment shall not be
valid or binding until countersigned by an authorized officer or agent.

't.The term mortgage, when used herein, shall include deed of trust, trust deed, or
other security instrument.
lf the proposed lnsured has or acquires actual knowledge of any defect, lien,
encumbrance, adverse claim or other matter affecting the estate or interest or
mortgage thereon covered by this Commitment other than those shown in
Schedule B hereof, and shall fail to disclose such knowledge to the Company in
writing, the Company shall be relieved from liability for any loss or damage
resulting from any act of reliance hereon to the extent the Company is prejudiced
by failure to so disclose zuch knowledge. lf the proposed Insured shall disclose zuch
knowledge to the Gompany, or if the Company otherwise acquires actual
knowledge of any such defect, lien, encumbrance. adverse claim or other matter,
the Company at its option may amend Schedule B of this Commitment
accordingly, but such amendment shall not relieve the Company from liability
previously incurred pursuant to paragraph 3 of these Conditions and Stipulations.
Liability of the Company under this Commitment shall be only to the named
proposed Insured and such parties included under the definition of Insured in the
form of policy or policies committed for and only for actual loss incurred in
reliance hereon in undertaking in good faith (a) to comply with the requirements
hereof, or (bl to eliminate exceptions shown in Schedule B, or (c) to acquire or
create the estate or interest or mortgage thereon covered by this Commitment. In
no event shall such liability exceed the amount stated in Schedule A for the policy
or policies committed for and such liability is subject to the insuring provisions and
the Conditions and Stipulations and the exclusions from coverage of the form of
policy or policies committed for in favor of the proposed lnsured which are hereby
incorporated by reference and are made a part of this Comm itment except as
expressly modif ied herein.
4. Any claim of loss or damage. whether or not based on negligence, and which arises
out of the status of the title to the estate or interest or the lien of the insured
mortgage covered hereby or any action asserting such claim, shall be restricted to
the provisions and Conditions and Stioulations of this Commitment.

On 919192,I visited the above referenced site to observe the condition of the timber retaining
wall along the street side of the property. The proposed new construction on the site would add
an upper retaining wall rurging from approximately six feet to ten feet awa)' from the existing
wall and retaining approximately three feet of earth. The existing timber retaining wall varies
from approximately three feet to six feet in height.
The condition of the existing wall is poor. Some of the timbers have rotted to the extent where
I could pull them apart with my hand. The complete construction of the wall could not be
ascerlained because of the existing baclfill, so a design check is not possible. Thc new reaining
wall above will add some lateral load to fis existing wall, and it is unlikely that it will be able
to withstand any mor€ pressur€.
It is recommended that the existing reaining wall be replaced with a similar wall designed to
support the loads imposed from the new construction. The new wall may have the same overall
dimensions as the existing wall, and must be constructed of treated timbers.
Our proposed fee for design of a new timber retaining wall is $250.00. We will await your
approval to b€gin design.

On9t9tV2,I visited the above referenced sit€ to observe the condition of the timber retaining
wall along the street side of ttre Foperty. Ttre proposed new construction on the site would add
an upper ietaining wall ranging from approximately six feet to ten feet away from the existing
wall-and retaining approximately three feet of earth. The existing timber retaining wall varies
from approximately three feer to six feet in height.
The condition of the existing wall is poor. Some of the timbers have rotted to the extent where
I could pull them apart with my hand. The completc construction of the wall could not be
ascertained because of the existing backfill, so a design check is not possible. The new retaining
wall above will add some lateral load to this existing wall, and it is unlikely that it will be able
to withstand any more pressure.
It is recommended that the existing retaining wall be replaced with a similar wall designed to
support the loads imposed from the new construction. The new wall may have the same overall
dimensions as the existing wd, and must be constructed of treated timbers.
Our proposed fee for design of a new timber retaining wdl is $250.00. We will await your
approval !o begin design.

Wilkins, Diana's signature must be notarized. I hrow there was a request to notarize
her signaturc in Vail, however, I was not comfortable witb the risk that would have been
created. Moreover, I was not going to jeopardize oomsone's notary for want of a few
days extra.

Dear Andy;
Pursuant to a request from my client, Mr. F.D. Wilkirrs,I would like to request a 10-15 minute session in front of
Planning Comnission relative to the retaining wafl- for Lot 12 in Glen Lyon. As you and I have discussed, it appears the
Town has made a reouirement of Mr. wilkins to rebuild the retaining wall or -reach an agreenent with the Tovtn for rebuilding the retaining wa1l prior to receiving a building pernit for the proposed improvements.
The reason for the request, is none other than to seek the approval of the plannj-ng conmission to have this
requirement become one of the issuance of the certificate of
occupancy and not the i-ssuance of the building perrniti and,
secondly to seek a pro rata share from the Town of Vail for the redevelopment of that retaining waIl. The pro rata share
would be based on the percentage of ownership given the Iocation of the retaining waLl. fn other words, if 60E of the retaining waII is on the Town of VaiL property, we would
expect the Town of Vail to pay 608 of the rebuilding of the retaining waII.

As we discussed on the telephone October 1, 1992, the following issues need to be resolved
before issuing a building permit. Please provide:
1. an affidavit form the property owner stating that he acknowledges the
geologic hazards and is willing to accept the risls associated with them;
2. the engineer's drawings for the retaining wall adjacent to the road;
3. a revised site plan showing the driveway with the four foot wide pan at
the bottom:
4. a revised driveway plan, showing the slope, which should not exceed
1lo/oi
5. a roof plan documenting the ridge heights of every gable that extends to
the north as well as the primary ridges.
I have also attached a copy of the conditions of approval. I consolidated all of the comments
ihat had been made on the project and put them together for the file, and I may not have
provided you with a copy.

3. Landscaoing.-Scnvieeiacilities and Parkins.
(a) Each owner shall be responsible for the expenses, liabilities anl general upkeep
responsibilities witl] rcspect to the tandscaping and outdoor improvctnents located in or on his own parcel '
Eaih owner.shall be responsible fqr thcir respective sprinkler systems, including thc repairs and
maintenance thereof, urd tlre costs of water for the sprinkler system itself. The owners from time to tLne

(b) Common utiliry or service connections, comnron facilities, or other equipment and
property, if any, shall be owned as tenants in comsron a[d, except for any expenses or liability caused

allocated equally among the owners of the parcels for replacement, repair and maintetrance experues of

portion thercof is for the bcncfit of both Parccl A and Parcel B, thcn thc cost of suclt scnrico shall be

for thejoiut driveway is located in Parcel B and is on a separate rneter. The expenses related th€reto

basis.
(c) If any of the drains or piping serving one parcel cros.ses over to the septic/sewer
system primarily serving the other parcel, sucb drains aud piping shall be permitted t,r remrin in place
and tbe owner of such drains and piping shall not be responsible for the maintenanur or repair of the
septic/scwer systcm primarily sewing the othor parcel.

5. Alreration-Maintelance and Repair,
(a) If any intprovement on Parcel A or Parcel B is damaged or destro5,sd, such damage
or destruclion shall bc promptly repaired and reconstncted. Repair and recorrstnrction means the
restoration u[ the inrprovenents to substantially thc samc condition in which it exis':ed prior to such
danrage or destruction, The cost to repair and reconstruct any improvement on Parcel A or Parcel B shall
be the sole expense of the owner of said parcel except as modifled by paragraph 4(a) above and without
prejudice, however, to the right oli anlt ru1s of law regarding liabilify for negligence or willtul acts or
omissions, Notwithstanding anything contained above to the contrary, if the negligencr: or willful act or
omissi<;n uf any uwrrer, his agent or invitee, shall cause damage to, or destruction of rny improvemeflt
on any parcel, such 0wner shall bear entire costs of repair or reconstruction,
(b) Each owner shall be solely responsible tbr all maintenatrce arld reprir of the exterior
and intcrior of his residencc, including sll frxtures and improvements and all utility lines rrld equipment

to each adjoining unit.
(c) Utility or service connections, facililies or other utility equipruent and property
inclurliug, without linritatiou, scparate septic systerns located in, on or upon eitlrer qf l'ucel A or Parcel
B which is used solely to supply a service or utility to one parcel shsll be owned by thc owner of the
parcel using such utility or service anrl all expenses and liabilities for repair and maintenance shall be
borne sotely by the olner ofsuch parcel who shall have a perpetual easement in and t0 that part ofsuch
other parcel containing such property for purposes of nraintenance, repair and inspection.
(d) No owner shall rnirke or suffel any structural or design changc (including a color
scheme change), either permanent or temporary and of any rype or nature whatsoever to the exterior of
his reeidencaor construct any addition or improvement on his parcel, without first o'ttaining the prior
writtcn comcnt thereto from the other owner, which consent shall not be unreasorably withheld or
delayed.
(e) Where rhe owner of either parcel, in compliance with the othcr provisions of this
Declaration, deske to build, renoverte, excavate, inrprove or otberwise alter the structurt:s or improvement
locatcd on his parcel, and where the owner has obtained the written consent thereto of thc owner as
provided in paragraph 5(d) above, thc owtrer of the other purcel shall cooperate to thl: extent necessary
io enable that owrer to obtain any required building permit or similar permit or license. It is understood
and agreed, however, that should the Town of Vail allow an addition or modificatiorl to be nlade to either
Parcel A or Parcel B, the owner of the parcel not making such addition shall not unreimonably witlthold
his ccnsent pursuilnt to this prragr:aph 5(e). Notwithsturding anything contained ltere in, tro owner mfly
modify any improvement which rvould utilize more than fifiy percent (50%) of the available zoning
density or other zunirtg rights availablc to the sub.iect property. Any costs or exPenses, hgwever,
associaterl with the ohtaining of a building or similar permir sltall be the expenses of the ownof desiring
said perrnit and shall not be ajoint expense oflhe owners ofboth parcels,

(a) Except for items incurred es a coffiflon expense as provided fot herein, if either
owner sha[[ carrso any material to be fumished to his parcel or my labor to be per(ormed theein or
thereou, the uther owner shall not under any circumstances be liable for the paymerf of any cxpcnse
incurrecl or for the value of any work done or rnaterial furnished; all such work shall be at the expense
of the owner causirrg ii to be done,, and such owner shall he solely responsible to conlractors, laborers,
materialmen and other pers0rl6 furnishing labor or materials to his parcel or any imptovements therein
or thereon. Nothing hcrcin contained shatl authorize either owner or sny person dealmg through, with
or undcr cither owner, to charge thc parcel ofthe other owner with aly rnechanic's licn or othcr lien or
encumbrance whatever; and, on the contrary ('rnd notirn is hereby given). the right antl power to shargc
any lien or cncumbrance of any kind against the other owfler or the other owler's partnl for work done
or material furnished to one owner's parcel is hereby expressly denied.
(b) Except as provided for iu parrgraph 9 bclow, if because of nny sct or omission of
cithcr owner any mechanic's or other lien or order for the payment of mouey shall br: filed agdnst the
other owner's parcel or any improvements therein or thereon, or against the other ownlr (whether or not
such lien or order is valid or enforceable as such), the owoer whose act or omission forus the basis for
such lien or order shall, at his own cost and expeose, cause the same to be cancelled rmd discharged of

7. Use Restridiqps.
(a) The improvement located on ttre subject property shall be us:d for residential
purposes only as a permitted use, and conditional and accessory u.ces shall be as deiined by the Vail'
Colorado MunicipalCode. No Ehuctures of a temporary cha-racter, trailer, tent, shack, garage, barn or
other out-building stgll be used on any portion of any of the subjeu property at any tirne as a residence,
either temporarily or pentnnently"
(b) No animats, li.vestock or poultry of any kind sball be raised, bred or kept on any of
the subject properry, except that dogs, cats or other household pets may be kept prorided that they are
not kept, bred or maintrined for any conmercial purposes and provided further that they do not
unreasonably intcrfere with the qlict cnjoyment of the othcr parcel by its owner.
(c) No advertising signs (except one *For Rent" or "For Sale " of not more han three
(3) squarc feet perparcel), biltbouds, uosightly objects or nuisances shall be creeted, placed or pertritted
to rernain on the subject property, nor shall rny parcel be used in any way or tbr any purpose which may
endarger tho health or unreasonatrly disturb the owner or resident of the adjoining p:rrcel.

(d) All rubbish, tmsh or garbage shall be regularly removed frorn each parcel and shall
not be allowed !o ascumulale thereon. All such expeoses are the expenses of each individual owner, and
are not ajoint expense of the owncrs,
(e) An owncr shall do no act nof any work that will impair any easemer or hereditunent
or do any act or allow any conditiou to exist which will adversely affect the other pucel.
(0 An gwner nuy park no more than two (2) automotive vehicles in the designated
parking areas of their respective parcel. This limitation shall not apply to parking withi o the garage etea,
and is not inteuded to limit rcasonable fiucst or family use of the parking areas. l'arking of boats,
trailers, campers, motorhomes or other recreational vehicles is expressly prohibited.
8. Insq{ance.
(a) Each owncr shall kcep his parcel, and all improvements and fixhur:s located thereon
or therein insured agairut loss or damage by fire iurd extended coverage perils (irtcluding vanddisrn and
lralicious mischiefl for the maxintum replacement value thereof, and covering such other risks of a
similar or dissimilar nature as are or shall hereafter customarily be covered with t'espect to similar
properties issued by a responsible itrsurance company or conrpanies authorized to do business in the State
of Colorado. The insurance for each parcel sha.ll provide that the policy cannot be cancelled or
substandalty modified until after thirty (30) duys prior written notice is first given to each owller and each
first nnrtgagee.
@) Each owner sball provide and keep in force for the protection cf hirnself general
public liability and propcrty danurge insurance against claims for bodily injury or rlcath or property
damagc occurring in, on or upon his parcel and tbe improvenrents thereon, in a liurit of not less than Five
Hundred Thousand Dollars ($500,r)00.00) in respecr to bodily injury or death to any number ofpersons
arising out of one accident or <lisartcr, or for danuge to property, and if higher limits shall et any time
be customary to protect against tort liability, such higher limits shall be carried,
(c) Each owner shall deliver to the other owner certiftcatcs evidcncing all insurance
rquired to be carried under this ltaragraph 8 upon reasonable request. each containi:rg agreements by
rhc insurers not to cancel or modify the policies without giving the other owner writtett notice of at least
thirty (30) days. Each owner shall have the right to inspect and copy
all such insurancc policies of the othcr owncr and rcquire evidence qf the payments of premiums thereotr.
(d) Nothing provided in this paragraph shall preve the owners fronrjointly acquiring
a single policy to covcr any one or IEore of the hazards required in this Paragraph 8 Sucb premiuns
shall be apportioned according to the relevartt coverage to each parcel.
(o) Each owner may obtain additional insurance at his own expense frrr his own benefit
provided that all such policies shall contain waivers or subrogation and, provided further, that thc liability
of the carriers issuing covering the parcels hereunder shall not be affccted or dininisherl by reason of any
such insurance carried by any omler.

9, Enforceme,nt.
(a) If an owtrer, a[ any time, shall neglect or refrue to perform or pa1' his s]rare of any
obligafion required herzunder, the other owner may, but shall not he ohligeted to' after twenty (20) days
written nolicc to the other owner udess the circumstances require immediate aclion, make such payment,
or, on behalf of such other owner. expeud such sum as may be necessary to perforrn such obliguion,
including but not limited to, the payrnent of any insurance premiums required hetertnder, for repair,
rcstoration or maintenancc, and srtch other ownpr shall have au easetnent in and to that Pafi of such
dethulting owner's parcel as is reat;onably necessflry for such repair, restoration or mrintenance.

fornrer owncr of personal liebiliry therefor. The person who acquires title by way o1i foreclosure shsll

become due prior to the dste of ru,king request shall be subordinated to the lien or other ilterest of the
person reguesting such statement.
(f; Each provision of rhis Declaration shall be enforceable by any owne r by a proceeding
for a prohibitive or mandatory injunction or by a suit or action to recover damages. If t:ourt proceedings
arc instituted in connection with the rights of enforcement and remedies provided in thi:; Declaration, tlte
prevailing party shall be entitlcd to recover its costs and expenses in connection therewith, including
reasonable attorney's fees,
(g) Each owner hereby agrees that any and all actions irr equity or at law which are
instituted to enforce any provision hereunder shall be brought in and only in the courts ofthe County of
Eagle, State of Colorado.
(h) Failure to enforcc any provision ofthis Declaration shall not oper;rte as a waiver of
any such provision, tre right to r:nforce such provision thereafter, or of eny other provision of this
Declaratiou.

10. Easements.
(a) Each parcel shall be subject to an easement for encroachrnents created by
construction, settling and overhang, previously existing or as a result of any addition or improvefienl
pursuant to this Dcclaration. A valid easement for such encroachments and for the maintenance of same,
so long as they exist, shall and does exist. In thc cvent any inrprovement is partially or totally destroyed,
and then rebuilt, the owners ugrtre tlrat ntiuor encroachments of parts of an adjac:nt parcel due to
construction shall be permitted and that a valid easement for said encrorchneut antl the maintenance
thereof shall exist so long as the improvements shall stand.

1 OBJECTTVES AND LIMITATIONS
This analysis of debris-flow exposure, potential hazard, and mitigation w^s comPleted in
response to a request from Mr. John Railton, project architect, and has the following objectives:
a. Description and analysis of the debris-flow process as it may affect the
proposed buildiug on Lot 12;
b. Quantification of the debris flow design Parameters (velocity, impact height);
and
c. Recommendation of structural protection from debris flows.
The results and recommendations of this study have the following limitations which must be
understood by all those using the results:
a. The study is site specific and cannot necessarily be applied to other sites;
b. Any substantial changes to building layout, shape, or orientation may invalidate
the recommendations; and
c. Other geological or soil-mechanics constraints to building design are beyond
the scope of this study.
2 DEBRIS FLOW CHARACTERISTICS AND DYNAMICS
According to Town of Vail maps, the north-eastem portion of the proposed building locatiou lies
within a high-hazard debris flow area defined as follows:
"These areas can experiencc severc structural damage and possible loss of life
through impact and deposition of mud, rock, and debris"'
2.1 FLOW CFIARACTERISTICS
A site inspection completed on May 7, 1992 indicates that the alluvial fan, upon which the
northcastern comer of the building will be located, has been formed by debris flows. Such flows
at this location are a rclatively low-velocity mixture of water, mud, rocks, and entrained
vegetative debris, including trees. Rows often move as distinct sutges uP to seveial fect thick
and transport large rocks near the flow surfaces that can contribute to impact loading.
2.2 FLOW FREQUENCY AND HAZARD
Although geologic evidence clearly indicates debris flows have occurred, evidence also indicates
they are not frequent events at this site. Limestone bouiders on the alluvial fan have been in
place for at least several decades (probably centuries), as evidenced by the well-developed soil
surrounding the boulders. A frequency or "return period" for debris flows cannot be specified
because the events on one year affect the probability of future events. ln other words, debris
flows are starrstically interdependent, therefore a random distribution of flows thrcugh time (such
as is assumed for floods), cannot be assumed for debris flows.
However, because the geological evidence indicates flows are possible exposed building surfaces
should be designed for debris-flow loading. Bccause the geological evidence also suggest flows
are ftrre events, the hazard to persons outside the building and on the driveway is negligible.
2.3 FLOW VELOCITY AND LOADING PARAMETERS
Debris-flow velocity and loading parameters were based on observations of flows in similar
tenain throughout North America, Europe, and New Zealand, and on the assumption tbat flow
energy is dissipated linearly with distance traveled on the alluvial fan.
The impact-loading parameters at the buiLding site, which were used to derive the loads applied
to walls shown on Figures 1 and 2, were based on the data provided in Table 1'

2.4 IMPACT OF ROCKS IN FLOW
In addition the flow parameters specified in Table 1, the flow may also contain rocks up to 2 feet
in diameter (assumed weight of 691 pounds; mass of 21.5 "slugs"). lmpact of a boulder on a
semi-rigid structural surface will differ from the "hydrostatic loads" shown on Figure 2. Point
loads from the boulders can be estimated bv Eqs. I and 2:

where P is the impact force, M is boulder mass (2t.5 slugs), V is velocity (8 ft/sec), and K is
a stiffrress factor. For a simple beam stiffness, K, can be calculated by Eq. (2), where EI is bcem
bending stiffness and L is beam length. The relationships expressed in (1) and (2) indicate that
flexible structural members are more efficient in resisting impact than stiff ones. The actual
expression for stiffness, il will probably be different than (2), depending on final-desigg details.
3 STRUCTURAL MITIGATION FROM FLOWS
Thc proposcd building can bc protccted frorn debris flows by rcinforcing walls labeled "A,n "B,"
and ;C; shown in Figurc 1 to a height of 5 feet above finished grade. Wall nC,' (also 5 fcet
high), is rcquircd to pr€vent thc building from deflccting thc flow laterally onto other proPcrty'
as rcquircd by Town of Vail ordinancc (Section 4).
Figure 2 shows lateral loads on the debris flow walls. Thcse loads are nhydrostatic" and mrrst
bJconsidered in dasign. tmpact loads from th€ fluid dcbris matrix at this location will bc less
than tbc hydmstatic loads.
Thc irnpact of rocks produce point loads discussed in Scction 2 of this report. These rock impact
loads must also bc considercd in design and will probably excced thc hy&ostatic loads ncar the
top of the flow.
