NOW, THEREFORE, in consideration of the following mutual covenants and
agreements, the Developer and the Town agree as follows:
'1.The Developer agrees, at ils sole cost and expenses, to furnish all equipmenJ
necessary to perform and complete all improvements, on or before l/",vr.^ (., /, tqgf
The Developer shall complete, in a good workmanlike manner, all
im/r6vements as listed above, in accordance with allplans and specifications filed in the
office of the Community Development Department, the Town of Vail, and to do allwork
incidental thereto according to and in compliance with the following:
a. Such other designs, drawings, maps, specilications, sketches, and other matter
submitted by the Developer to be approved by any of lhe above-referenced
governmentat entities. All said work shatl be done under the inspection o(, and
to the satisfaetinn nf. thA Tnwn Engineer, the Tourn Building Official, cr other
official from the Town of Vail, as affected by special districts or service districts,
as their respective interest may appear, and shall not be deemed complete until
approved and accepted as completed by the Town of Vail Community
Development Department and Public Works Department.
2. To secure and guarantee performance of its obllgatlons as sei lorth hereln, the
Dovclopcr agrceo to provide securily and cullaleral as follows:

A cash deposit account in the amoun t ot SlE azz 'Z-to be held by the Towri, as
escrow agent, shall provide the security for the improvements set forth above if there is
a default under lhe Agreemenl by Developer.
3. The Deveioper may at any time substitute the collateral originally set forth
above lor another form of collateral acceptable to the Town to guarantee the faithful
completion of those improvements referred to herein and the performance of the terms 0f this
Agreement. Such acceptance by the Town of alternative collateral shall be at the Town's sole
discretion.
4. The Town shall not, nor shall any officer or employee thereof, be liable or
responsible for any accident, loss or damage happening or occurring to the work specified in
this Agreement prior to the completion and acceptance of lhe same, nor shall the Town, nor
any officer or employee thereol, be liable for any persons or property injured by reason of the
nature of said work, but all of said liabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harmless the Town, and any of its
'oflicers, agents and employees against any losses, claims, damages, or liabilities to which the
Town or any of its officers, agents or employees may become subject to, insofar as any such
losses, claims, damages or liabilities (or actions in respect thereof) that arise out of or are
based upon any perlormance by the Developer hereunder; and the Developer shall reimburse
the Town for any and all legal or other expenses reasonably incurred by the Town in
connection with investigating or defending any such loss, claim, damage, liability or action.
This indemnity provision shall be in addition to any other liability which the Developer may
have.
5. lt is mutually agreed that lhe Developer may apply to the Town and the Town
shall authorize for partial release of the collateral deposited with the Town for each category
of improvement at such time as such improvements are constructed in compliance with all
plans and specifications as referenced hereunder and accepted by the Town. Under no
condition will the amount of the collateral that is being held be redubed below the amount
necessary to complete such improvements.
6. lf the Town delermines that any of the improvemenls contemplated herein are
not constructed in compliance with the plans and specifications set forth herein by the date set
forth in paragraph 2, the Town may, but shall not be required to, withdraw from the cash
deposit such funds as may be necessary to complele the unfinished improvements. The
Town shall release such {unds upon the written request of the statf of the Community
Development Department stating that the improvements have not been completed as required
by the agreement. The Town shall not require the concurrence of the developer prior to the
release of the funds, nor shall the Town be required to verify independently that the
improvements have not been completed as required by this Agreement, but shall release such
lunds solely upon the request of the Community Development Department,
lf the costs of completing the work exceed the amount of lhe deposit, the excess,
together with interest at twelve percent per annum, shatt be a lien against the property and
may be collected by civil suit or may be certified to the treasurer of Eagle County to be
collected in the same manner as delinquent ad valorem taxes levied against such property. lf
the permit holder fails or refuses to complete the cleanup and landscaping, as defined in this
chapter, such lailure or refusal shall be considered a violation of the Zoning Code.
7. The Developer warrants all work and material lor a period of one year after
acceplance of all work referred to in this Agreement by the Town pursuant to Section
17.16.250 if such work is located on Town of Vailproperty orwithin Town of Vailright-of-way.
8. The parties hereto mutuallv aoree that this Agreement may be amended lfon
tlme to tlme, provided that sueh emendmenis be in wtltlng and oxecuted by atl parttes hereto.

The structural framing of the above residence was observed by Monroe & Newell
Engineers, Inc. during construction.
It is our opinion, based on our limited visual observations, that the framing of the
residence is constructed substantially in compliance with the intent of the construction
documents prepared by our offrce. To the best ofour knowledge, any deficiencies found
during our observations have been conected.
We have reviewed the installation of TJl-joists manufactured by Truss-Joist McMillan,
Inc. in lieu of BCI-Joists manufactured by Boise Cascade Corporation. The installed
joists' specifications showed them to be of equal or greater strucfiual capacity.

I have enclosed revised building elevations for the Lohre Residence, and have enclosed a check for
$20.00 for the ^ ,inor alteration fee.
I have cided the changes in red. These involve minor window changes on the East, South, and
West; the addition of two skylights and a roof opening on the South; the movement of some slone
from the East to the North; the changing of the cladding of the master bedroom bay from copper to
siding; and the replacement of the concrete and stone retaining wall on the uphill side of the entry
stairs with a boulder wall.
This last item was implemented as the best way minimize excavation in the area of the three large
fi€es on the North side of the house. Saving these hees was a mandate of the original DRB
approval, and we have accomplished this.
I would be happy to discuss any of this with you further if you feel that it is necessary. If this
cannot be staff approved, please notify me right away, and schedule us for the next possible
meeting.

A. fn addition to meeting submittal requirements, the applicant must stake and tape the project site to indicate property lines, building lines and building corners. A11 trees to be removed must. be taped. A1l_site tapings and stakj-ng must be completed prior to t.he
DRB site visit. The applicant must. ensure that staking done during the winter is not buried by snow.
B. The review process for NEW BUILDINGS normally requires two separate meetings of the Design Review Board: a conceptual approval and a final approval. Applicants should plan on presenting their development proposal at a minj-mum of t,wo meetings before obtaining final approval.
C. Applicants who fail to appear before the Design Review Board on their scheduled meeting date and who have not asked in ailvance that discussion on t.heir itern be postponed, will have t.hej-r items removed from the DRB docket until such time as the item has been republished.

I would like this project placed on the agenda for the April 6, 1994 meeting for conceptual review.
The submittal is nearly complete for final approval, with the exception of the utility verification
form and the zone check sheet. These will be submitted on next Monday which is the required
submittal date for the design review board meeting on April 20, 1994. I would like to be placed on
the agenda for that meeting for final approval.

In addition to meeting submittaL requirenents, the applicant. must st.ake and tape the pioject site to indicate property lines, building fines and build.ing corners. The review process for NEW BUILDINGS normally requires tvto separate meetings of the Design Review Board: a conceptual approval and a final approval . Applicant.s should plan on presenting their dbvelopment pioposal at a minimum of two meetings before obtaihing final approval.
Applicants who fail to appear before the Design Review Board on their scheduled meeting date and who have not asked in advance that discussion on their itern be postponed, will have their items removed from the DRB docket until such t.ime as the item has been republished.

nation by a court of competent jurisdiction and expressly reserves the right,
in its sole discretion, to appeal from any adverse judgment or order

ceeding. the insured hereunder shall secure to the Company the right to so
prosecute or provide defense in such action or proceeding, and all appeals

4. Notie of Loss-Limit:ation of Action
ln additjon to the notices required under paragraph 3(b) of these Conditions
and Stipulations, a statement in writing of any loss or damage for which it
is claimed the Comoanv is liable under this oolicv shall be furnished to the
Company within 90 days after such loss or damage shall have been deter-
mined and no right of action shall accrue to an insured claimant until 30
days afier such statement shall have been fumished. Failure to furnish
such staternent of loss or damaqe shallterminate anv liability of the
Company under this policy as to such loss or damage.

the Company shall have the option to pav or otherwise settle for or in the
name of an insured claimant any claim insured against or to terminate all
liability and obligations of tre Company hereunder by paying or tenderrng
payment of fie amount of insurance under this poliry together with any

ment or tender 0f payment, by fre insured claimant and authorized by

It is expressly understood that the amount of insurance under this policy
shall be reduced by any amount the Company may pay under any policy

which is a lien on the estate or interest covered by this policy, or (b) a
mortgage hereafter executed by an insured which is a charge or lien on the
estate or interest described or refened to in Schedule A, and the amount
so paid shall be deemed a payment undel this policy. The Company shall
have the option to apply to the payment of any such mortgages any
amount that otherwise would be payable hereunder to the insured owner
of the estate or interest covered by this policy and the amount s0 paid
shall be deemed a payment under this policy to said insured owner
10. Apprtionnnt
lf the land described in Schedule A consists of two or more parcels which
are not used as a single site, and a loss ls established affecting one or
more of said parcels but not all, the loss shall be computed and settled on
a pm rab bases as if the amount of insurance under this policy was
divided pro rata as to the value on Date of Poliry of each separate parcel
t0 the whole, exclusive of any improvements made subsequent to Date ot
Policv, unless a liability or value has otherwise been agreed upon as to
each such parcel by the Company and the insured at the time oi the
issuance of this policy and shown by an express statement herein 0r
by an endorsement attached hereto.
ll. Subrogation UWn Paynent ot Settlement
Whenever the Comoanv shall Fave setiled a iiaim under this policv, all
riqht of subroqation shall vest in the Company unaffected by any act of the
inlured ctaimant. The Company shall be suorogated to and be entitled t0
all riqhts and remedies wnich sucn insured claimant would have had
aoaiist anv oerson or orooerty rn respect to such claim had this poliE not
b6en issuel. and if requested by the Company, such insured clalmant shall
transfer to the Company all righs and remedies against any person 0I
property necessary in order to perfect such right of subrogati0n and shall
permit the Company to use the name o{ such insured claimant rn any
transaction 0r litigati0n involving such rights or remedies. lf the payment
does not cover th-e loss of such insured c-laimant, the Company shall be
subrogated to such rights and remedies in the pmportion which said pay-
