7. DETERMINATION, EXTEI{T OF LIABILITY AND COINSTJRANCE.

8. APPORTIONMENT.

LIMITATION OF LIABILITY.
(a) Ifthe Company establishcs the titlc, or rcmoves the alleged defect, lien or encumbrance, or cures lhe lack ofa right ofaccess tro or fmm the land, or cures the
ciaim of unrnarketability of title, all as insured, in a reasonably diligent manner by any method, including liligation and the completion of 8ny appeals therefiom, it shall
have fully performed its obliSations with respect to that matter and shall not be liable for any loss or damage caused thereby.
(b) In the event of any litigation, inctuding litigation by the Compony or with the Company's consent, the Company shall have no liabi.lity for loss or damage until
there has been a final determination by a cout"t of competent jurisdiction, and disposition of all appeals thereftom, adverse to the title as insured.
(c) The Company shall not be liable for loss or damage to any insured for liability volunt rily assumed by the insured in settling any claim or suit without the prior
written consent of thc Company.
10. REDUCTION oF INSURANCE; REDUCTIoN oR TERMTNATIoN oF LIABTLTTY.
All payments under this policy, except paymenls made for costs, anomeys' fees and expenses, shall reduce the amount ofthe insurance pro umo.
11. LIABILITY NONCIIMULATIYE.
It is expressly understood that the amount of insurance under this policy shall be r€duced by any amounl the company rxry pay undcr any policy insuring a moftgage
to which exception is taken in Schedule B or !o which the imurcd has agreed, assumed, or taken subjecr, or which is hereafter executed by an insured and which is a
charge or lien on the eshte or int€rest described or referred to in schedule A, and the amount so pairt shalt be deemed a payment under this poticy !o the insured owner.
12. PAYMEI{T OF I,OSS.
(a) No payment shall be made without producing this policy for endorsement of the payment unless the poliry has been lost or destroyed, in which case pmofof loss
or destruction shall be fumished to the sitisfaction of the Company.
@) When liability and the extent of loss or damage has been defmitely fixed in accordance with these condilions and stipulations, the loss or damage shau be payable
within 30 days thereafter.
13- ST]SROGATION TJPON PAYMEM OR SETTLEI\,IENT.
(a) The Company's Right of Stbrogation.
Whenever the Company shall have settled and paid a claim under this policy, all right of subrogation shall vest itr the company unaffected by any act ofthe insured

(b) Th€ Company's Rights Against Non-inmred Obligorc.
The compaoy's right of subrogation against non-insured obligors shall exisl and $hall include, without limitalion, the rights of thc insurcd to indemnities, guaranties,
other policies of iNurance or bonds, notwithstanding any terms or conditions conhined in those instruments which pmvide for subrogation rights by reason of this policy.14. ARBITRATION

Atbitration Association Arbitrable matt€rs may include' but are not limited to, any controversy or claim between the company and the insured arising out ofor relating
io this policy, any servicc of the company in connection with its issuance or the breach ofa policy provision or other obligation. All arbitrable matters when the Amount
of Insurancc is $1'000,000 or less shall be arbitratad at the option of either the company or the insured. All artitrable matters when the Amount of Insurance is in excessof s1'000'000 shall be arbitrated only when agreed to by both the company and the imured. fubitralion pursuant to rhis policy and under the Rulcs in effect on the datethedemard for arbitration is made or' at the option of the insured, the Rules in effect atDate ofPolicy shalt be binding upon the parties. The award may include

a contractual condition requiring the delivery of marketable title.
2. CONTINUATION OF INSURANCE AFIER COIWEYANCE OF TITLE.
The coverage of this policy shall continue in force as of Date of Policy in favor of an insured only so long as the iasured retains an
est'ate or interest in the laud, or holds an indebtedness secured by a purchase money mortgage given by a purchaser from the insured,
or only so long as the insured shall have liability by reason of covenanm of warranty made by the insured in any transfer or conveyanceof the estate or interest. This policy shall not continue in force in favor of any pu.rchaser from the insured of either (i) ar estrate or lnterest
in the land, or (ii) an iadebtedness sesured by a purchase money mortgage given to the insured

encumbrance or other matler inzured against by this policy. The Company shall have the right to select counsel of its choice (subject to the
right of the insured !o object for reasonable cause) to represent the insured as !o those stated causes of action and shall not be liable for andwill not pay the fees of any other counsel. The conpany will not pay any fees- cosrs or expenses incurred by the insured ia the defense of
those causes of action which allege matters not iosured against by this policy.
O) The company shall have the righr, at i6 own cost, to institute and prosecute any action or proceeding or to do any other act \trhich
tn its opinion may be aecessary or desirable to establish the title to the esiate or interest, as insured, or to prevent or reduce loss or damage
to the inswed. The company may take any appropriate action under the terms of this policy, whether or not it shall be liable hereunder,
and shall not thereby concede liability or waive any provision of this policy. If the Company shall exercise its rights under this paragraph, it
shall do so dilrgently.
(e) Whenever the Compaly shaii have brought an action or interposed a defense as required or permitted by the provisions of this
poliey, the Company miy pursue any litigation to final determination by a courr of competenr jurisdiction and expressly reserves the right,
rn is sole discretion, to appeal from any adverse judgnent or order.
(d) In all cases where this policy permits or reqqires the Company to prosecute or provide for the defeose of any action or proceed_
ing, the insured shall secure io the company the right to so prosecute or provide defense in the action or proceeding, and allappeals
therein, and permit the company to use, at its option, the name of the insured for this purpose. whenever requested by the company, the
insured' at the Company's exPerrse, shall give the Company all reasonable aid (i) in any action or proceeding, securing evidence, obtaining

I am still awaiting comments from lhe Public Works Department and Fire Department regarding the
Paftison Residence, but here are the Planning Departments.
'l ) Please place a note on sheet L-2 stating that there will be a separate zone for the heated driveway
within the ROW. Please note the plan will be constructed per TOV standards. Show a snow storage area
of a minimum of 124 sf.
2) On Sheet A2.3 place a note in each vaulted room identifiing that the ceiling vaulted height is less than
16 feet.
3) While you comply with GRFA you have actually shown that you are using more GRFA than I believe
you are. You identiff that there is 4,710 sf of livable space and 709 sf of garage. Yorl then added ihese
together and state that 5,419 sf of GRFA are used. I believe you did not acount for the 600 sf credit for
garages resulting in your GRFA actually being 4,819 sf. lf my interpretation is corect make this conection
and submit all necessary revised sheets.
I will hopefully have any other comments by Monday.
To stay on the Dec. 20th agenda please have revised sheets addressing lhese comemnts to me by no
later than Dec15th.
