Hall, Closet - Install one (l) 4" duct to the exterior for a future dryer vent.
Bedroom - Enclose the three (3) exhaust ducts passing through this room to the exterior ofthe building.
General Construction -
Kitchen - Build a2 x 4 wall parallel to the existing common wall. Hold the new framing 1" from the
existing sheetrock wall face. Insulate the new wall stud bays. Sheet rock the room side ofthe new wall
and finish the surface.
Kitchen - Remove the existing cabinets and replace with new cabinets and counter tops.
Kitchen - Remove the existing appliances and replace with new appliances.
Bathroom - Remove the existing vanity, sink and faucet. Replace with new units.
Hallway - Remove the dropped ceiling and over framing. Sheetrock and finish the existing ceiling
rafters.
General - Remove the existing interior doors and baseboards and replace with new units.
Living Room - Frame, sheetrock and finish a new entry coat closet.
BedroonL Closet - Reduce the door opening size to the closet.
Bedroom - Frame. sheetrock and finish a chase to cover the new exhaust ducts and recessed fixtures.
Bedroom - Install a new attic access door to the attic. Door specifications shall be submitted with the
permit application.
Living, Kitchen, Hallway and Hall Closet - Remove the existing carpet floor covering and install new
wood flooring.

($ 2c). Buyer shall cooperate with Seller and lender to obtain loan approval, diligently and timely pursue same in good faith,
execute all documents and fumish all information and documents required by lender, and, subject to $ 4b (l) and (2) and $ 4c,

objection to such items.
f. Right of First Refusal or Approval. Ifthere is a right offirst refusal on the Property, or a right to approve this contract,
Seller shall promptly submit this contract according to the terms and conditions of such right. Ifthe holder ofthe right offirst
refusal exercises such right or the holder ofa right to approve disapproves this contract, this contract shall terminate. Ifthe right
offirst refusal is waived explicitly or expires, or the contract is approved, this contract shall remain in full force and effect. Seller
shall promptly noti! Buyer of the foregoing. lf expiration or waiver of the right of first refusal or contract approval has not
occurred on or before the Right of First Refusal Dcadline ($ 2c), this contract shall terminate.g. Title Advisory. The Title Documents affect the title, ownership and use of the Property and should be reviewed

9. LEAD'BASED PAINT. Unless exemp! if the improvements on the Property include one or more residential dwellings
for which a building permit was issued prior to January | , | 978, this contract shall be void unless a completed Lead-Based Paint
Disclosure (Sales) form is signed by Seller and the required real estate licensees, which must occur prior to the parties signing
this contracl.
10. PROPERTY DISCLOSURE, TNSPECTION AND INSURABILITY; BUYER DISCLOSURE.
On or before Seller's Property Disclosure Deadline ($ 2c), Seller agrees to provide Buyer with a Seller's Property Disclosure
form completed by Seller to the best of Seller's current actual knowledge.
o. Inspection Objection Deedline. Buyer shall have the right to have inspections of the physical condition of the
Properg and Inclusions, at Buy€r's expense. If the physical condition ofthe Property or Inclusions is unsatisfactory in Buyer's
subjective discretion, Buyer shall, on or before lnspection Objection Deadline ($ 2c):(l) noti! Seller in writing that this contract is terminated, or(2) provide Seller with a written description ofany unsatisfactory physical condition which Buyer requires Seller
to conecl (Notice to Comect).
If written notice is not received by Seller on or before fnspection Objection Derdline ($ 2c), the physical condition ofthe
Property and Inclusions shall be deemed to be satisfactory to Buyer.
b. Resolution Desdline, Ifa Notice to Correct is received by Seller and ifBuyer and Seller have not agreed in writing to a
settlement thereof on or before Resolution Deedline ($ 2c), this contract shall terminate one calendar day following the
R€solutioD Deadline (g 2c), unless before such termination Seller receives Buyer's written withdrawal ofthe Notice to Correct.
c. Insurability. This contract is conditioned upon Buyer's satisfaction, in Buye/s subjective discretion, with the
availability, terms, conditions and premium for property insurance. This contract shall terminate upon Seller's receipt, on or
before Property Insurance Objection Deadline ($ 2c) of Buye/s wriften notice that such insurance was not satisfactory to
Buyer. If said notice is not timely received, Buyer shall have waived any right to terminate under this provision.
d. Demege, Liens lnd Indemnity. Buyer is responsible for payment for all inspections, surveys, engineering
reports or for any other work performed at Buyer's request and shall pay for any damage which occurs to the Property and
lnclusions as a result of such activities. Buyer shall not permit claims or liens of any kind against the Property for inspections,
surveys, engineering reports and for any other work performed on the hoperty at Buyer's request. Buyer agrees to indemnifl,
protect and hold Seller harmless from and against any liability, damage, cost or expense incuned by Seller in connection with
any such inspection, claim, or lien. This indemnity includes Seller's right to recover all costs and expenses incuned by Seller to
enforce this subsection, including Seller's reasonable attomey and legal fees. The provisions of this subsection shall survive the
termination of this contract.

may be terminated at the option of Buyer by delivering to Seller written notice of termination. Should Buyer elect to carry out
this contract despite such damage, Buyer shall be entitled to a credit, at Closing, for all the insurance proceeds resulting
from such damage to the Property and Inclusions payable to Seller but not the owners' association, if any, plus the amount
of any deductible provided for in such insurance policy, such credit not to exceed the total Purchase Price.
b, Damage, Inclusions and Scrvices. Should any Inclusion or service (including systems and components of the
Prop€rty, e.g. heating, plumbing, etc.) fail or be damaged between the date ofthis contract and Closing or possession, whichever
shall be earlier, then Seller shall be liable for the repair or replacement ofsuch Inclusion or service with a unit of similar size,
age and quality, or an equivalent credit, but only to the extent that tle maintenance or replircement of such Inclusion,
service or fixture is not the responsibility of the owners' association, if any, less any insurance proceeds received by Buyer
covering such repair or replacement. Seller and Buyer are aware of the existence of pre-owned home warranty programs
that may be purchased and may cover the repair or replacement of some Inclusions.

19, RECOMMENDATTON OF LEGAL AND TAX COUNSEL. By signing this document, Buyer and Seller acknowledge
that the respective broker has advised that this document has important legal consequences and has recommended the
examination of title and consultation with legal and tax or other counsel before signing this contract.
20. TIME OF ESSENCE, DEFAULT AND REMEDIES. Time is of the essence hereof. If any note or check received as
Earnest Money hereunder or any other payment due hereunder is not paid, honored or tendered when due, or if any other
obligation hereunder is not performed or waived as herein provided, there shall be the following remedies:

things of value received hereunder shall be forfeited and retained on behalf of Seller, and Seller may recover such damages as

retained on behalf of Seller and both parties shall thereafter be released from all obligations hereunder. It is agreed that such

AND ONLY REMEDY for Buyer's fuilure to perform the obligations of this contract. Seller expressly waives the remedies of

2t. MEDIATION, If a dispute arises relating to this contract, prior to or after closing, and is not resolved, the parties shall
first proceed in good faith to submit the matter to mediation. Mediation is a process in which the parties meet with an impartial
person who helps to resolve the dispute informally and confidentially. Mediators cannot impose binding decisions. The parties
lo the dispute must agree before any settlement is binding. The parties will jointly appoint an acceptable mediator and will share
equally in the cost of such mediation. The mediation, unless otherwise agreed, shall terminate in the event the entire dispute
is not resolved within 30 calendar days ofthe date written notice requesting rnediation is sent by one party to the other at the
party's last known address. This section shall not alter any date in this contract, unless otherwise agreed.
22. EARNEST MONEY DISPUTE. [n the event of any controversy regarding the Eamest Money and things of value
(notwithstanding any termination of this contract or mutual written instructions), Eamest Money Holder shall not be required
to take any action. Earnest Money Holder may await any proceeding or at its option and sole discretion, interplead all parties
and deposit any money or things of value into a court of competent jurisdiction and shall recovet court costs and reasonable
attorney and legal fees.
23. TERII{INATION. In the event this contract is terminated, all payments and things ofvalue received hereunder shall be

Recently enacted state statutes require that school districts respond to
the planning cornrnission as to the adequacy of school sites and structures
in areas affected by subdivisions of tnenty units or more. Ihe school
district olrns no sites or structures in the area of this subdivlsion.
Structures currently serving this area are Meadov l'lountain Elementary '(open Noveober 5th), Minturn Elementary and Battle Mounta ln Junlor-Senior
Iligh School. The Meadow Mountain School- designed for 500 students
cur.rently enrolls 440 students. Ihe Mlnturn Elementary school ls an
inadequate educational facility but will probably have to be used for
several additional years. The Battle Mounta in secondary school is
overcrowded necessitating the use of five portable classrooms-
The Board of Education would like to request an impact study to determine
the number of school age children that would be eligible to enrol1 in
the districtr s schools as a result of this proposed project.

Derby Associates, Inc. herewith submits the following infor-mation in accordance with the planning requirements of Prelj-minaryPlan State and requests approval of this information:
1. Site plan which indicates the location of the four lotswithin the Vait Heights filing, the use of the adjacent 1ots, the
boundary lines of the subject properties, and the use of the sub-ject properties for buildings and open area.
2. The name of the townhouse development will be THE BUGABOOS.
3. The owner and subdivider of the four lots is DERBY ASSOC-IATES, INC., a Missouri corporation licensed to do business inColorado. The office of DERBY ASSOCIATES, fNC. is located at 825North McKnight Rd., St. Louis, Mo., 63L32. The firm preparing thePreliminary Plat is Wilson-Jones Architects, 7530 Forsyth, Clayton.Mo., 63105.
4. The property immediately adjacent to the east of the subjectproperty is owned by Vail Heights Condominium Association. Theproperty immediately adjacent to the west is owned by Robert W. Glaha,
823 Commerce Dr., Oakbrook, Illinois.
5. The total acreage of the four lots is 2.12 acres (92,347 s.f.)

The covenants contained within the Declaration will provide
for an association of the owners for the management of the commonbusiness of the owners and the cornmon ownership areas. The
covenants will include a limitation on the number of pets allowedper unit and the control which must be maintained for pets.
The utilities for the development will be provided as follows:1. electric - Holy Cross Electric2. water - Vail Village West Water District3. sanitation - Vail village West Sanitation District

Dear Mr. Whitelar:
Three phase, LzO/ 208 vo1t, or singJ-e phase, l2Ol24O volt electric services are
avallabLe aLong the front lot lines of Lots 10 thru 13 in the Vail Heights
Subdivision.
If the townhouses whieh you are proposing to bui1d are all electrlc, Holy Cross
Electrie Associatlon would prefer that you use three phase, LzO / 208 volt service.
Electric service is availabLe at this time from the existing transformer vault
located between Lots L2 and 13 and Chamoni.x l,ane. A1so, if need be, Holy Cross
Electric can set another transformer betrveen l,ots 10 and 11. In either of the
above mentLoned cases the transformers rvouLd be at the front 1ot line and the
electrician would be requi.red. to install the secondary frorn the transformer to
ttre meter locatlon according to the Nati.onal Electric Code specifications.
If the townhouses do go all electric it probably would be worthwhile to instalL
the transforner cLoser to the building at the load center. To do this the
electrician would have to lnstall two 4" rlgid steeL conduits f rorn the existing
vault between Lots 12 and 13, and the transforroer vault, which can be purchased
from Holy Cross Electrlc for $300.00 dellvered to the Location. Holy Cross would
install the cables in the 4tt rigid conduit and the transforrner at no cost to the
developer. The electrician would al-so have to install the secondary cabl-e from
the transformer to the metering i-ocati.on according to the National Electric Code
specif icati.ons .
Holy Cross Electric approves of the vacation of the utility easemencs associated
with the fo1l-ow1,ng lot Lines - between Lots 10 and 11, 11 and 12' 12 and 13 -
except for an electrlc utillty easement ten (10) feet on eilher side of the
common 1ot line and twenty (20) feet al-ong the cofimon 1ot line as neasured northerly
from the intersection of the cornnon 1ot line and the right-of-way of Chatnonix Lane
for the vault locations at Lots 12 and 13 and Lots 10 and 11 if nore than one
transfornefr ls needed.
