Dear Town of Vail and Eagle River Water & Sanitation District:
This law firm represents Scott Soden, the owner of real property located at 5130 Grouse
Lane, Vail, Colorado 81657 ("Soden Property").
On or about April 21, 2006 the Town of Vail Design Review Board (the "Town")
approved an application by the Eagle River Water & Sanitation District (the "District") to change
the District's vehicle access to Lot l l, Block 16, Vail Meadows Filing 2 (the "Vehicle Access")
from gravel to asphalt (the "Town Approval"). The Vehicle Access is, in part, upon and across
the Soden Property and, prior to the Town Approval, was merely a nilrrow dirt road.
The Town Approval and the subsequent paving work completed by the District are in
violation of Mr. Soden's property rights. The District has no property rights that would allow it
to pave a road across the Soden Property. In fact, there is no written agreement or easement at
all documenting the District's access rights across the Soden Property. Even the nalrow dirt road
that was in place prior to the paving was not located where the District's easement rights actually
exist as shown on the subject plat. The Town's approval of such paving, therefore, is not
justified or sanctioned by law. Mr. Soden never has and does not now consent to the Town
Approval or the paving completed by the District.
Furthermore, condition CONOOO7955 in the Town Approval states that the District
must notify in writing all of the property owners adjacent to the Vehicle Access and provide staff

of documentation of the notice prior to commencing work on paving. The District never
provided notice, written or otherwise, to Mr. Soden of the paving work to be done. The District
cannot have provided the Town with documentation of any such notice because none exists. In
addition, Mr. Soden has never agreed, in writing or otherwise, to the District changing its vehicle
access to asphalt across the Soden Property. The District completed the paving without any
notice or consent whatsoever from Mr. Soden,
Mr. Soden hereby demands that the Town immediately revoke the Town Approval as it
relates to the Vehicle Access across the Soden Property. Furthermore, Mr. Soden demands that
the District, at the District's expense, immediately remove the asphalt paving from the Soden
Property and restore the Soden Property to its condition as it existed prior to the paving. If we do
not receive written notice within seven (7) days of the date of this letter that both of these
demands will be met, we are authorized to commence legal action to prosecute Mr. Soden's
riehts.

Dear Jennifer:
Per our discussion earlier this week, I serve as General Counsel to the Eagle River
Water and Sanitation District. I am responding to your August I letter to the District
regarding the District's paving of the roadway easement.
First and foremost, I wish to repeat the apologies already tendered by Dennis
Gelvin regarding the manner the Distlict handled the paving project. The
communications and the overall dealines with Mr. Soden could have been better.
While the District and its predecessors have utilized this accessway for well over
30 years, and would have an entitlement to an easement by prescription if required, the
plat for this property clearly provides for a "20.0ft. roadway easement on west side of
highwater line of creek. " This road is within the platted roadway easement. It is our
position that this is a platted roadway dedicated to the public, and able to be paved as
most roadways are paved.

While the District believes this project was an improvement to the pre-existing
road, allowing for the reduction of mud, dust and gravel, we understand that is not Mr.
Soden's view. While we would prefer to have Mr. Soden's consent to this improvement,
we are very confident it is not required.

Dear Ms. Stenman,
I am in receipt of your letter to the Town of Vail Community Development
Department, dated August 1,2006, regarding the access to the Eagle River
Water and Sanitation District (the "District") facility located on Lot 11, Block 6,
VailMeadows Filing 2.
The Town of Vail staff, not the Design Review Board, approved the
subject application for paving within the platted access easement for the facility.
lf you believe that the District has paved outside of said easement, please
provide the Town with reasonable documentation to substantiate your claim.
Unfortunately, we cannot enforce the unsubstantiated complaint of a single
property owner who has provided us with no documentation whatsoever,
excepting your letter as referenced above. Further, your assertion that there is
"no written agreement or easement at all documenting the District's access rights
across the Soden's Property" is erroneous. We have evidence, including a plat
of Mr. Soden's property recorded on October 23, 1991 ("Final Plat, A
Resubdivision of Lot 8, Block 1, Gore Creek Subdivision"), which depicts and
describes the easement, and explicitly dedicates to the public and defines the
terms of the easement in the Certificate of Dedication and Ownership.
Next, with regard to the condition of approval you claim was not satisfied,
the condition was not a request for permission to pave and did not require any
consent from your client. Instead, the condition was a courtesy to notify adjacent
owners of the work to be done. Based upon the information provided to the

Dear Matt:
I'm writing in response to your letter to me of June 27,2006 regarding the above referenced
Application.
The District made a good faith effort to comply with the condition that it "...notify owners
adjacent to the Access. . ." Four lots are adjacent to the access. Two ofthose lots are owned by
the Town of Vail and we deemed the action of the Design Review Board to acknowledge notice
to the Town. The other two lots are Lot 8A and Lot 9 of Gore Creek Subdivision. The owner of
Lot 9 is the Mark J. Heiman Trust. A copy of our letter notifying the Trust of the project is
enclosed. Lot 8A is owned by Scott and Catherine Soden. The District employee who prepared
the notices made an error and notified the owner of Lot 88, Jackass Acres LLC, of the project
instead of the owner of Lot 8A. A copy of our letter notifying Jackass Acres LLC is enclosed.
No notice was required to Jackass Acres LLC, because the roadway was already paved across its
property.
It is clear from these documents that the District truly made a good faith effort to comply with
the condition to notifu adjacent owners of the project and we believed we had done so prior to
paving. It is unfortunate that we notified the wrong property owner, but we did not know that at
the time the roadway was paved. We regret that Mr. Soden was not notified, but it is clear from
the record that the failure to notify him was the result of an honest mistake by a District
employee. We proceeded with the project in the belief we had complied with the notice
condition.
We request that you find the District is in substantial compliance with the conditions of its DRB
approval and no code enforcement action is required.

This law firm represents Scott Soden, the owner of real property located at 5130 Grouse
Lane, Vail, Colorado 81657 ("Soden Propeny").
On or about April 21, 2006 the Town of Vail Design Review Board (the "Town")
approved an application by the Eagle River Water & Sanitation District (the "District") to change
the District's vehicle access to Lot 11, Block 16, Vail Meadows Filing 2 (the "Vehicle Access")
from gravel to asphalt (the "Town Approval"). The Vehicle Access is, in part, upon and across
the Soden Property and, prior to the Town Approval, was merely a narrow dirt road.
The Town Approval and the subsequent paving work compieted by the District are in
violation of Mr. Soden's property rights. The District has no property rights that would allow it
to pave a road across the Soden Property. In fact, there is no written agreement or easement at
all documenting the District's access rights across the Soden Property. Even the narow dirt road
that was in place prior to the paving was not located where the District's easement rights actually
exist as shown on the subject plat. The Town's approval of such paving, therefore, is not
justified or sanctioned by law. Mr. Soden never has and does not now consent to the Town
Approval or the paving completed by the District.
Furthermore, condition CONOOO7955 in the Town Approval states that the District
must notify in writing all of the property owners adjacent to the Vehicle Access and provide staff

of documentation of the notice prior to commencing work on paving. The District never
provided notice, written or otherwise, to Mr. Soden of tbe pavingwotkto-bqdote. The District

the District, at the District's expense, immediately remove the asphalt paving from the Soden
Property and restore the Soden Property to its condition as it existed prior to the paving. If we do
not receive written notice within seven (7) days of the date of this letter that both of these
demands will be met, we are authorized to commence legal action to prosecute Mr. Soden's
riehts.

Per yourrequest, I bave conducted an independent review ofthe facrs and rhe law,
as I see it, applicable to ttre accessway at East Vail. In very quick strmmary, my
conclusions are as follows:
1. Clearly, the Disbict and its predecessors have utilized tbis accessway to
water intake, rearrnent and pumping faciliries for well over the I8-year
period required of a prescriptive easement. In fact I do not believe that
panicular issue is in dispwe.
2. Either by coincidcnce or by design, this access easement appears to run the
same course as tbe narratively described roadway easement in the 1969 plar"'- for rhis area. On rhis plat, there is granted a "20.0ft. roadway easement on
west side of highwarcr llne of teek." Exactly where the bigh water line is,
or was in 1969, is questionable. It appears ro me that this access road
probably actually lies within this roadway easemeil.
3. As ro all of the above, there may be no real dispute, Mr. Soden is of the
belief that you made a verbal commitnent some seven years ago not to
pave tbis roadway. You not only have no recollection of that, but have
recitEd a number of reasons why you would nol have made such a
commiEnent. While I am not in favor of iguoring any such commitnent
simply because it was nor in wriring, it does nol appear that this verbal
commimrent was actually made. Perhaps there is simply a
misuaderstanding on what was said.

NOTES:
1. ff the utility verification form has signatures from each of the utility companies, and no comments
are made directly on the form, the Town will presume that there are no problems and the
development can proceed.
2. ff a utility company has concems with the proposed construction, the utility representative shall note

PRE.APPLICATION CONFERENCE
A pre-application conference with Town of Vail staff is required. No application can be accepted
unless the mandatory pre-application meeting has been completed. It is the applicant=s
responsibility to schedule this meeting by calling 970-479-2128.
TIME REOUIREMENTS
The Design Review Board meets on the lst and 3rd Wednesdays of each month. A complete
application form and all accompanying material must be accepted by the Community Development
Department a minimum of three and a half (3 1/2) weeks prior to the date of the DRB public
hearing.
REVIEW CRITERIA
Your proposal will be reviewed for cornpliance with the Design Guidelines as set forth in Section 12-
11 of the Municioal Code.
NOTE TO ALL APPLICANTS:
A. If a property is located in a mapped hazard area (i.e. snow avalanchq rocKall, floodplain,
debris flow, wetland, etc), a hazard study must be submitted and the owner must sign an
affidavit recognizing the hazard report prior to the issuance of a building permit. ApplicanB
are encouraged to checJ< with the planning staff prior to submittal of a DRB application to
determine the relationship of the property to all mapped hazards.
B. Basic Plan Sheet Format. For all surveys, site plans, landscape plans and other site
improvements plans, all of the following must be shown.
1. Plan sheet size must be 24"x 36". For large projects, larger plan size may be
allowed.7. Scale. The minimum scale is 1"=20'. All plans must be at the same scale.
3. Graphic bar scale.4. North arrow.5. Title block, project name, project address and legal description.
6, Indication of plan preparer, address and phone number.
7. Dates of original plan preparation and all revision dates.
8. Vicinity map or location map at a scale of 1"=1,000' or larger'
9. Sheet labels and numbers.
10. A border with a minimum left side margin of 1.5".
11. Names of all adjacent roadways.
. 12. Plan legend.
C. For new construction and additiont the appl'rcant must stake and tape the project site to
indicate property lines, proposed buildings and building corners. All tree to be removed
must be taped. The applicant must ensure that staking done during the winter is nqt
buried by snow. All site tapings and staking must be completed prior to the day
of the DRB meeting,
D. Appl6ants who fail to appear before the Design Review Board on their scheduled meeting
date and who have not asked in advance that discussion on their item be postponed, will
have their items removed from the DRB agenda until such time as the item has been
republished.
E. If the DRB approves the application with conditions or modifications, all conditions of
approval must be resolved prior to the issuance of a building permit.
STAFF APPROVAL
The Administrator may review and approve Design Review applicatjons, approve with certain modifications,
deny the application, or may refer the application to the Design Review Board for decision. All staff
approvals are subject to final approval by the DRB. The following types of Design Review applications may
be staff approved:
A. Any application for an addition to an existing building that is consistent with the architectural design,
materiab and colors of the building, and approval has been received by an authorized member of
a condominium association, if applicable;
B. Any application to modiry an o(isting building that does not significantly change the existing planes
of the building and b generally consbtent with the architectural design, rnaterials and colors of the
building, including, but not limited to e)derior building finish materiab (e.9. stonework, siding, roof
materials, paint or stain,), exterior lighting, canopies or awnings, fences, antennas, satellite dishes,
windows, skylights, siding, minor commercial facade improvernents, and other similar modifications;
C. Any application for site improvements or modifications including, but not limited to, driveway
modifhations, site grading, site walls, removal or modifications to existing landscaping, installation
of accessory structures or recreational facilities.
ADDMONAL REVIEW AND FEES
A. ff this application requires a separate rwiew by any local, state or Federal agency other than the
Town of Vail, the application fee shall be increased by $200.00. Examples of such review, may
include, but are not limited to: Colorado Departrnent of Highway Access Permits, Army Corps of
Engineers 404, etc,
B. The applicant shall be responsible for paying any publishing fees which are in o(cess of 500/o of the
application fee. If, at the applicant's request, any matter is postponed for hearing, causing the
matter to be re-published, then the entire fee for such re-publication shall be paid by the applicant.
C. Applications deemed by the Community Development Deparunent to have design, land use or other
issues which may have a significant impact on the community may require review by consul[ants
in addition to Town staff. Should a determination be made by the Town staff that an outside
consultant is needed, the Community Development Departrnent may hire the consultant. The
Department shall estimate the amount of money necessary to pay the consultant and this arnount
shall be fonrrarded to the Town by the applicant at the time of filing an application. Expenses
incurred by the Town in excess of the amount fonryarded by the application shall be paid to the
Town by the applicant within 30 days of notification by the Town. Any e)cess funds will be rctumed
to the applicant upon review completion,
