SAE does not perform high-voltage electrical work nor underground cable feeds. 7.OWNERSUPPLIEDEQUIPMENT:Inthecaseofownerpurchasedequipment,SuperiorAlarm&Electronicswillprovideaftersalestechnicalsupportand/orinstallation on a time and materials basis at the current hourly installation fee. 11.EXCULPATORYCLAUSE:SAEandBuyeragreethattheequipment,onceinstalled,becomesthepersonalpropertyoftheBuyer;thattheequipmentisnot permanentlyattachedtotherealtyandshallnotbedeemedfixtures.BuyeragreesthatSAEisnotaninsurerandnoinsurancecoverageisofferedherein.Buyer releases SAE from any claims for contribution, indemnity or subrogation. 14.LIQUIDATEDDAMAGES:ThepartiesagreethatintheeventBuyersuffersdamagesasaresultofSAE’snegligencetoanydegreeorfailuretoperformany obligation,itwouldbeimpracticalandextremelydifficulttoanticipateorfixactualdamages.Therefore,Buyeragreesthatshouldthereariseany liabilityonthepartof SAE,Buyeragreestoaccept$250.00,ortheamountprovidedforinparagraph10,whicheverisgreater,asliquidateddamagesincompletesatisfaction andSAEis discharged and released of any further responsibility or liability. 9.ADDITIONALCOSTSTOBUYER:Thisproposalisbasedonacentrallocationinthebuildingforallwiringhomeruns.ItisthesolediscretionofSAEtochargeanup- chargefornecessarycablerunsnotsourcedfromacentrallocation.Anyandallrevisionstothisproposalrequiredbyenactedlocaljurisdictionauthoritieswillbe automaticallyperformedatanadditionalcosttoBuyer.Allchanges,deletionsandadditionsthatoccuraftertheacceptanceofthisproposalmustbe madeinwritingand willbesubjecttocurrentmarketprices.Therepairofeachwiredlocationcoveredbydrywallwillbeperformedatthecurrenthourlylaborrate,witha onehourminimum charge. 10.INDEMNITY/WAIVEROFSUBROGATIONRIGHTS:BuyeragreestoandshallindemnifyandholdharmlessSAE,itsemployees,agentsandsubcontractors,fromand againstallclaims,lawsuits,includingthosebroughtbythirdpartiesorBuyer,includingreasonableattorney’sfeesandlossesassertedagainstandallegedtobecaused bySAE’s performance,negligentperformance,orfailuretoperformanyobligation.Partiesagreethattherearenothirdpartybeneficiariesofthis contract.Buyeronits behalfandanyinsurancecarrierwaivesanyrightofsubrogationBuyer’sinsurancecarriermayotherwisehaveagainstSAEarisingoutofthisagreementortherelationof the parties hereto. Buyer shall not be permitted to assign this agreement without written consent of SAE. 6.EQUIPMENTEXCHANGE:Intheeventthataparticularproposedequipmentitemisnolongeravailablefromthemanufactureratthetimeofinstallation,SAEwill replace it with an item of equal or superior performance, pending client’s approval. Note that special order items cannot be returned or exchanged. 8.OWNERSUPPLIEDCABINETRY:AllBuyersuppliedcabinetstobesuppliedforSAEinstallationsaresubjecttodrawingreviewsforapprovalpriortoSAE ordering equipment. 13.LIMITATIONOFLIABILITY:BuyeragreesthatshouldthereariseanyliabilityonthepartofSAEasaresultofnegligentperformancetoanydegree,failuretoperform anyofSAE’sobligations,equipmentfailureorstrictproductsliability,that SAE’sliabilityshallbelimitedto thesumof$250.00or5%ofthesales price,whicheveris greater. 3.TESTINGOFEQUIPMENT:Thepartiesheretoagreethattheequipment,onceinstalled,isintheexclusivepossessionandcontroloftheBuyer,anditis Buyer’ssole responsibilitytotesttheoperationoftheequipmentandtonotifySAEifany equipmentisinneedofrepair.Uponsuchnotice,andprovidedBuyerisnot indefaultofthis agreement,SAEshallduringthewarrantyperiodservicetheequipmenttothebestofitsabilitywithin36hours,exclusiveofSaturday,Sundayandlegalholidays,during thebusinesshoursof9amand4:30pm.BuyeragreestotestandinspecttheequipmentimmediatelyuponcompletionofinstallationandtoadviseSAEinwritingwithin three days after installation of any defect, error or omission in the equipment. 2.INSTALLATIONDELAY:SAEshallnotbeliableforanydamageorlosssustainedbyBuyerasaresultofdelayininstallationofequipment,equipmentfailure,orfor interruption of service due to manufacturer’s delay, electric failure, strikes, walk-outs, war, acts of God or other causes. 4.ALTERATIONOFPREMISESFORINSTALLATION:SAEisauthorizedtomakepreparationssuchascuttingdrywall,drillingholes,drivingnails,makingattachmentsor doinganyotherthingnecessary inSAE’ssolediscretionfortheinstallationandserviceoftheequipment,andSAEshallnot beresponsibleforanyconditioncreated thereby as a result of such installation, service, or removal of existing equipment.
