WHEREAS, the Owner wishes lo place certain restriclions on the use of a unit or aoartment located on
the Property for the benefit of the Owner and lhe Town of Vail, Colorado ("the Town").
NOW, THEREFORE, the Owner does hereby impose, establish, acknowledge, and declare for lhe
benefit of all persons who may hereinafler purchase, or lease, or hold the subject land the following restrictions,
covenants, and conditions, all of which shall be deemed to run wilh the land and inure lo the benefit and be
bonding upon the Owner, its respective grantees, successors, and assigns.

1.The Employee Housing Unit (EHU), containing Ut 1 squarefeet, is hereby restricled as a
Type I EHU which must comply with all the provisions of Chapter 13, Title 12 of the Town Code
of Vail as amended.
The Type I EHU shall not be subdivided or divided inlo any form of timeshares, inlerval
ownership, or fractional fee
The Type I EHU shall be leased to and occupied by tenants who are full-time employees who
work in Eagle County. The Type I EHU shall not be leased for a period less than thirty (30)
consecutive days. For the purposes of this paragraph, a full{ime employee is one who works
an average of a minimum of thirty (30) hours each week on a year round basis. The owner of
the Type I EHU shall rent the unit at a monthly renlal rate consistent with or lower than those
market rates prevalent for similar properties in the Town. The Type I EHU shall be conlinuously
rented and shall not remain vacant for a period to exceed five (5) consecutive months.
Occupancy of the Type I EHU shall be limited to a maximum of two persons per beoroom.
lf the Type I EHU is constructed without a dedicated garage, a minimum of seventy-five (7S)
square feet of storage area in addition to normal closet space is required for the exclusive use
of the occupants of the Type I EHU.
The Type I EHU shall have its own entrance. There shall be no inlerior access from any EHU
to any dwelling unit to which it may be attached.
7. The Type I EHU must contain a kitchen or kitchenette and a bathroom-
8. The Type I EHU may be sold, transferred, or conveyed separately from the single family or two
family dwelling only if it is to be used by the Owner of the Type I EHU as a perrnanent residence.
For the purpose of lhis paragraph, a permanent residence shall mean the home or place in
which one's habilation is fixed and to which one, whenever he or she is absent has a present
intention of returning after a departure or absence therefrom, regardless of the duration of
absence. ln determining what is a permanent residence, the Town staff shall take the following
circumstances relating to the Owner of the residence into account: business pursuits,
employment, income sources, residence for income or other tax purposes, age, marilal status,
residence of parents, spouse and children if any, location of personal and real property, and

motor vehicle registration. Thirty (30) days prior to the transfer of deed for the Type I EHU, the
prospective purchaser shall submit an application obtained from the Community Developmenl
Department, to the Community Development Department documenting that the prospeclive
purchaser meets the criteria set forth herein and shall include an affidavit affirming that her or
she meets these criteria.
No later than February 1 of each year, the owner of the Type I EHU shall submit two (2) copies
of a sworn affidavit on a form to be obtained from ihe Community Development Department, to
the Community Development Department setting forth evidence establishing that the employee
housing unit has been rented or owner-occupied throughout the year, the rental rate, the
employef, and that the tenant who resides within the employee housing unit is a full-time
employee in Eagle County.
The Type l EHU shall be operated and maintained in accordance with Chapter '13, Title 12 of the
Town Code of Vail. Failure to do so may result in enforcement proceedings in a court of
competent jurisdiction and in accordance with Chapler 3, Title 12 of the Town Code of Vail.
The conditions, restrictions, stipulations, and agreements conlained herein shall not be waived,
abandoned, terminated, or amended except by the written consenl of bolh the Town of Vail and
lhe Owner of lhe Property.

The conceptual plans for your proposed addition have been reviewed by members ofthe Town's
Developnr-ent Riview Team *a Uy tttr Design Review Board. The following issues have been raised
which should be resolved prior to final review ofthe plans:
Planning Issues:
l. Submit revised Site and Building Height Plans:

o Show roof overhangs

2. Submit a landscape/lightrng plan

Each draft must bear upon its face the clause, "Drawn under Letter of Credit No. 167

NOW, THEREFORE, in consideration of the following mutual covenants and
agreements, the Developer and the Town agree as follows:
1. The Developer agrees, at its sole cost and expenses, to furnish all equipment
and material necessaryto perform and complete all improvements, on or belore

improvelhents as listed above, in accordance with all plans and specifications filed in the
office of the Community Development Department, the Town of Vail, and to do all work
incidental thereto according to and in compliance with the following:
a. Such other designs, drawings, maps, specifications, sketches, and other matter
submitted by the Developer to be approved by any of the above-referenced
governmenlal entities. All said work shall be done under the inspection of, and
t0 the satisfaclion of, the Town Engineer, the Town Building Official, or other
official from the Town or vail, as aflected by speeia! districts or sen,ice Cistricts,
as their respective interest may appear, and shall not be deemed complete until
approved and accepted as completed by the Town ol VailCommunity
Development Department and Public Works Department.
2. To secure and guarantee performance of its obligations as set forh herein, the
Developer agrees to provide security and collateral as follows:

improvements set forth above if there is a default under the Agreement by Developer.
3. The Developer may at any time substitute the collateral originally set forth
above for another form of collateral acceptable to tre Town to guarantee the faithful
completion of those improvements referred to herein and the performance of the terms of this
Agreement. Such acceptance by the Town of alternative collateral shall be at the Town's sole
discretion.
4. The Town shall not, nor shall any officer or employee thereof, be liable or
responsible for any accident, loss or damage happening or occuning to the work specified in
this Agreement prior to the completion and acceptance of the same, nor shall the Town, nor
any officer or employee thereof, be liable for any persons or property injured by reason of the
nature of said work, but all of said liabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harmless the Town, and any of its
officers, agents and employees against any losses, claims, damages, or liabilities to which the
Town or any of its officers, agents or employees may become subject to, insofar as any such
losses, claims, damages or liabilities (or actions in respect thereof) that arise out of or are
based upon any performance by the Developer hereunder; and lhe Developer shall reimburse
he Town for any and all legal or other expenses reasonably incurred by the Town in
connection with investigating or defending any such loss, claim, damage, liability or action.
This indemnity provision shall be in addition to any other liability which the Developer may
have.
5. lt is mutually agreed that the Developer may apply to the Town and the Town
shall authorize for partial release of the collateral deposited with the Town for each category
of improvement at such time as such improvements are constructed in compliance with all
plans and specifications as referenced hereunder and accepted by the Town. Under no
condition will the amount ol the collateral that is being held be reduced below the amount
necessary to complete such improvements.
6. lf the Town determines, at its sole discretion, that any of the improvements
contemplated hereunder are not constructed in compliance with the plans and specifications
set forth in this Agreement on or before the date set lorth in Paragraph 2, the Town may, but
shall not be required to, redeem the letter of credit as necessary to complete the unfinished
improvements. The Bank shall release such funds upon written request from the Town stating
that the improvements have not been completed as required by this agreement. The Bank
shall not require the concurrence of the developer prior to release of the funds to the Town
nor shall the Bank be required to verify independently that such improvements have not been
completed as required by this agreement, but shall release such funds solely upon the Town's
written request.
lf the cosb of completing the work exceed the amount of the deposit, the excess,
together with interest at twelve percent per annum, shall be a lien against the property and
may be collected by civil suit or may be certified to the treasurer of Eagle County to be
collected in the same manner as delinquent ad valorem taxes levied against such property. ll
the permit holder fails or refuses to complete the cleanup and landscaping, as delined in this
chapter, such failure or refusal shall be considered a violation of the Zoning Code.
7. The Developer warranls all work and material for a period of one year after
accsptance of all work referred to in this Agreement by the Town if such work is located on
Town of Vail property or within Town of Vail right-of-way pursuant to Section 17.16.250.
8. The parties hereto mutually agree that this Agreement may be amended from
time to time, provided that such amendments be in writing and executed by all parties hereto.

Per our telephone conversation on Thursday, February 9, 1995, the following items must be
completed prior to the issuance of a Temporary Certificate of Occupancy (TCO) by the Town
of Vail BuiEing Department for the residence located al1824 Alta Circle:
'1 . That the driveway and parking area musl be paved or a letter of credit issued in
the amount ot 125o/o of the cost to complete lhe paving project.
2. That the existing overhead utility lines be undergrounded or a letter of credit be
issued in the amount ol 1257o ol the cost to underground the utilities.
3. That g[ the new siding be on the building.
4. That all exlerior painting be completed around the entire residence.
5. That by no laler than July 15, 1995, the portion ofthe exposed new foundation

Requirements at time of Temporary Certificate of Occupancy
Effective November 1, 1994 the Town of Vail will be requiring a letter of credit or an escrow
account to be established for all outslanding improvements prior to issuance of a Temporary
Certificale ol Occupancy (TCO). The purpose of this change is lo ensure that all of the
conditions made by the Planning and Environmental Commission (PEC) and Design Review
Board (DRB) during the development review process are incorporated into the final project
and installed or constructed. In an effort to ensure that all improvements are completed, the
Town will now require that a financial guarantee be provided at the time of TCO for
outstanding improvements, such as landscaping and paving. Painting and slucco must be
completed-alorig with all Uniform Building CbOe requiiemerits prior to TCO. (
Belore a TCO can be issued, the following items must be provided:
1. A bid for all outslanding work.
2. A letter ol credit or escrow account must be established for 125% of the
amount shown in the bid.
3. Finally, a Developer lmprovement Agreement must be signed by the developer
and the Director of Community Development. The purpose of the Developer
lmprovemenl Agreement is to specify the amount of money in the linancial
guarantee, to list the specific items that are covered by the account, and to set
the date that all outstanding work must be completed.
Any projecls issued a TCO during the months ol October, November, December, January
February, March or April must have lhe improvements completed by July 1st ol the following
year. Any projects which are issued a TCO in May, June, July, August or September must
have the improvements completed by November 1st of that year.
Standard torms for the letter of credit and the Developer lmprovement Agreement are
available from the Department of Community Development. Please keep copies of the forms
on hand so that you can provide the completed forms to the planner one week prior to
requesting a TCO. The planner will then verify that all of the work shown on the approved
PEC and DRB plans is eilher complete or accounted lor in the Developer lmprovemenl
Agreement.

I have enclosed a specification for the Permanent Wood Foundation System that should
answ,er any questions that you have. We will be using a 6 mil polyetheffie trapor banier
and hot dipped galxanized fasteners as per spec.
As a result of added expense imposed by the Torvn of Vail in the approval process it
looks like wo will only be conveiling the upstairs unit to gas ftred hot water heat. The
boiler has not yet been sized, but I can assure you that combustion air requirements will
meet the neoessary code s&ndards.lf the boiler selected requires placement on a

RecenUy there was some confusion from the DRB members regarding site improvement
requirements. Earlier in the summer, the Town approved an expansion to the Johnson
residence (Lot 19, Block 3, bighom 5th Filing). The Town required that the overhead electrical
be placed underground as a condition of DRB approval. Larry was consulted before this
condition was applied and Kristan explained to the Boad that it was appropriate.
In cases where the DRB application is for a repaint, reroof, a new skylight, etc. and does not
involve lhe addition of any GRFA, staff has decided that the design guidelines will be used to
evaluate that specific proposal and that other issues pertaining to the rest of the house or the
site will not be evaluated. For prolects where there is an expansion of the building, staff has
decided that all of the development standards apply. Unpaved driveways wilt be required to
be paved and ovefiead utilities will be required to b€ underground, etc. These requiremenb
will not only be applied to these types of additions, but also to 250 requests.

Item No. 7 was Resolution No. 19, Series of 1994, a Resolution authorizing the Town Manager to
neSotiate a contract to refurbish,/reconstruct the Covered Bridge. Greg Hatl explained work would
be expected to begin September 19, with a completion date of lrlovembir 1,,l994.Jim Shearer movedto aPProve Resolution No. 19, with Jan Strauch seconding the motion, Discussion continued
pe-rtai-ning to bidding the Project vs. negotiating. Bob Mclaurin said the town intends to negotiate
a fee for the wgrk through an advertising proceis rather than bid the project in an effort to prlduce
a competitive fee. A vote was taken and passed unanimously, 7{. ,Lclr 36, !4;i "-t4'Y*Itenr No. E was a DRB Appeal/Gustafson. The applicant, Mr. Dick Gustafson, was appealing the " t /paved parking condition of approval placed upon his proposed residential exterior alteration and
interior remodel by the Design Review Board (DRB) at the August 3,7994 meeting. Mr. Gustafson
was rePresented at the meeting by his architect, Mr, Ken Wentworth. George Ruther, planner on the
{oject, passed pictures illustrating the property currently, and explained the proposed residential
addition' Kent Wentworth explained his client's situation in detail. Mike Mollica informed Council
that Mr, Gustafson was contesting a staff policy, which was part of the zoning code. Mike suggested
the proper Process would be for Mr. Gustafson to ask the PEC for a paving variance or reqriest an
appeal of the staff policy. Paul Johnston suggested the appeal be withdiawn and direcied Mr.
Gustafson to proceed with the proper process, Mr, Wentr,rroith agreed, and requested his appeal be
withdrawn, stating he would apply to the PEC to appeal the siaff policy. Jim Shearer moved to
aPProve the withdrawal, with a second by Tom steinberg. A vote was taken and passed, 74.
Item No. 9 was an Information Update. Issues discussed included: cnlor of the stucco on the police
building (Mike Mollica will raise the iszue informally with DRB); dismount zone in the Villagi (will
be discussed at next worksession); Vail Recreation District interested in keeping the library space for
another five years; request from the Vail Valley Foundation to temporariiy affix a Mountain Bike
ChamPionship sign over the 89 World Championship sign at main Vail inierchange. Merv moved
to staff aPprove the sign for the Foundation with the Condition that it have a nice border, Paul
seconded the motion. A vote was-taken and passed, L3,peggy, Sybill, and Tom Steinberg opposed.
Pam informed Council of a request from the organizers of the Crystal Ball for a blue paikihg pass
this December. Council members agreed to be consistent with dead[nes, which have atieady pa3sed
for 94 funding requests, Other issues discussed included: public use of police building confererrce and
training rooms and possible public parking in the new log encouraging employee carpooling helipad
status; updated fire study this yeSr; Paul asked that notes from the Vail Commons mieting be
amended to reflect a clarification comment made by Bill Wilto. Wilto had stated residents iete
promised a West Vail fire station during consolidation of fire districts not during annexation as some
residents had stated at the meeting; conversions of hotel rooms to condos - Bob Mclaurin was asked
to follow up.
There being no further business, a motion to adjourn the meeting was made and passed
unanimously. The meeting was adjourned at 9:30 p.M.
