DEVELOPER IMPHOVEMENT AGREEMENT

this Agreement, including construction of the above-referenced improvements by means of the

NOW, THEREFORE, in consideration of the following mutual covenants and
agreements, the Developer and the Town agree as follows:

1. The Developer agrees, at its sole cost and expenses, to furnish all equipment
and malerlEl necessary to perform and complete all improvements, on or before

improvements as listed above, in accordance with all plans and specifications filed in the
office of the Community Development Department, the Town of Vail, and to do all work
incidental therelo according to and in compliance with the following:
a. Such other designs, drawings, maps, specifications, sketches, and other matter
submitted by the Developer to be approved by any of the above-referenced
governmental entities. All said work shall be done under the inspection oJ, and
to the satisfaction of, the Town Engineer, the Town Building Official, or other
official from the Town of Vail, as affected by special districts or service districts,
as their respective interest may appear, and shall not be deemed complete until
approved and accepted as completed by the Town of Vail Community
Development Department and Public Works Department.
2. To secure and guarantee performance of its obligations as set forth herein, the
Developer agrees to provide security and collateral as follows:

a default under the Agreement by Developer.
3. The Developer may at any time substitute the collateral originally set forth
above for another form of collateral acceptable to the Town to guarantee the faithful
completion of those improvements referred to herein and the performance of the terms of this
Agreement. Such acceptance by the Town of alternative collateral shall be at the Town's sole
discretion.
4. The Town shall not, nor shall any officer or employee thereof, be liable or
responsible for any accident, loss or damage happening or occurring to the work specified in
this Agreement prior to the completion and acceptance of lhe same, nor shall the Town, nor
any officer or employee thereof, be liable for any persons or property injured by reason of the
nature of said work, but all of said liabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnity and hold harmless the Town, and any of its
officers, agents and employees against any losses, claims, damages, or liabilities to which the
Town or any of its officers, agents or employees may become subject to, insofar as any such
losses, claims, damages or liabilities (or actions in respect thereof) that arise out of or are
based upon any performance by the Developer hereunder; and the Developer shall reimburse
the Town for any and all legal or other expenses reasonably incurred by the Town in
conneclion with investigating or defending any such loss, claim, damage, liability or action.
This indemnity provision shall be in addition to any other liability which the Developer may
have.
5. lt is mutually agreed that the Developer may apply to the Town and the Town
shall authorize for partial release of the collateral deposited with the Town for each category
of improvement at such time as such improvements are constructed in compliance with all
plans and specifications as referenced hereunder and accepted by the Town. Under no
condition will the amount of the collaleral that is being held be reduced below the amount
necessary to complete such improvements.
6. lf the Town determines that any of the improvements contemplated herein are
not constructed in compliance with the plans and specifications set forth herein by the date set
forth in paragraph 2, the Town may, but shall not be required to, withdraw from the cash
deposit such funds as may be necessary to complete the unfinished improvements. The
Town shall release such funds upon the written request of the staff of the Community
Development Department stating that the improvements have not been completed as required
by the agreement. The Town shall not require the concurrence of the developer prior to the
release of the funds, nor shall the Town be required to verify independenlly that the
improvements have not been completed as required by this Agreement, but shall release such
funds solely upon the request of the Community Development Department. .
lf the costs of completing the work exceed the amount of the deposit, the excess,
together with interest at twelve percent per annum, shall be a lien against the property and
may be collected by civil suit or may be certilied to the treasurer of Eagle County to be
collected in the same manner as delinquent ad valorem taxes levied against such property. lf
the permit holder fails or refuses to complete the cleanup and landscaping, as defined in this
chapter, such failure or refusal shall be considered a violation ol the Zoning Code.
7. The Developer warrants all work and material for a period of one year after
acceptance of all work referred to in this Agreement by the Town pursuant to Section
17.16.250 if such work is located on Town of Vail property or within Town of Vail right-of-way.
8. The parties hereto mutually agree that this Agreement may be amended from
time to time, provided that such amendments be in writing and executed by all parties hereto.

Dear Dominic,
Per our conversation last week, the enclosed Application for Design Review Approval
and $20 application fee supplement the previous letter dated l2llll98 and photo
simulation received by you. Of note, the photo simulation included with this application
has changed slightly from the original simulation I sent you. The new simulation
demonstrates the removal of both whip antennas, replacement of one whip antenna with a
panel antenna, and attachement of two panel antennas to Western's existing "chimney"
per our conversation. Antennas proposed at this location now total three panel antennas
and zero whip antennas. Please let me know ifyou need anything else. I can be reached

Dear Dominic,
This letter is in response to our discussion on December 10, 1998 regarding Western
Wireless' existing facility at 501 North Frontage Road West. Our discussion regarded a
need for additional site capacity at the existing wireless facility located on the roofofthe
Sonnenalp Condos. As mentioned, the existing omni whip antennas at this site do not
provide the sufftcient subscriber traffrc capacity, therefor panel antennas are required.
The design change consists of the following:
. replacement of the two existing omni whip antennas with two panel antennaso attachment of a panel antenna to the side of the existing Western Wireless stealth
chimney
The chimney attached antenna will be painted to match the chimney while the omni whip
replacements will be painted whatever color you deem appropriate (shown as painted to
match the building in the enclosed photo simulation). I've enclosed for your approval a
red-lined Zoning Drawing displaying the proposed minor change in addition to a photo
simulation.
Previous outstanding issues associated with this site included a change-out of the omni
whip supports in addition to required dumpster repair. Both issues were addressed prior
to 6128198 and I trust met your expectations. Please don't hesitate to call me with

Dear Johannes:
The Planning and Environmental Commission recently approved a conditional use on this
property to allow Western Wireless to provide cellular services. A condition ofthat approval was
to provide a trash errclosure on-site. I have communicated with you several times over the phone
and have bccn unable to reach a solution and therefore feel the need to put this in writing.
The Town did not receive or approve any site plan or building plan for the enclosure that has been
constructed on the property. This type of development, as you are well aware, requires Design
Review approval pursuant to Chapter 18.54, Vail Municipal Code,
Several PEC and DRB members have commented to me on the unacceptableness of the enclosure
you have constructed. The structure does not comply with the Town's Design Guidelines nor
with the PEC condition of approval. The code does not allow plywood siding or T-l I l. Also the
lack ofgeneral upkeep and cleanliness ofthis area has already become very noticeable.
You must provide staffwith a DRB application and plans in order to bring this structure into
conformance with the Town's codes and approval processes.
Please provide plans to me by November 28, 1997,, in order to avoid a code enforcement action.
This notice shall serve as your ofiicial notice ofthese violations.

antennas with accessory equipment, located at Solar Vail Condominiums, 501 N.
Frontage Road/ Blk 2, Tract C, Vail potato patch 2nd Filing.

I. DESGRIPTION OF THE REOUEST
The applicant proposes to install a third cellular phone receiving and transmitting site at Solar
Vail. The PEC previously approved Conditional Use Permits to allow US WesUNew Vector and
OneComm Corporation to install cellular facilities at Solar Vail. The site is zoned High Density
Multiple Family. Cellular services and antennas are considered a public utility or service
requiring a conditional use permit in this zone district.
The proposal includes adding a false chimney (with cap) which will house a parabolic dish, two
whip antennas (4" diameter x 10' tall), and two accessory cabinets (32" high x 32" wide x 15"
deep) located at ground level on the east elevation of the building (painted to match the building).
The plan also includes an access ladder on the west elevation of the building and a 6' x '12'
concrete pad on the east side ol the building. The applicant has agreed to move the access
ladder to one of the side walls ol the recessed entryway. See proposed plans and photos
attached.
lf approved, combined with the two existing cellular facilities there will be a total of 3 false
chimneys and I whip antennas on the roof of the Solar Vail building.
A condition of approval of three previous PEC and DRB approvals (1 990, 1 992, and 1995)
required a dumpster enclosure with 'substantial" wood doors. This condition ol approval has not
been complied with as the doors have not been provided. Further complicating the issue, the
dumpster enclosure was not constructed ol an adequate size to accommodate a dumpster.
II. BACKGROUND
on october 8, 1990, the PEC approved a conditional use to allow US wesuNew vector to
construct a "cell site" adjacent to Solar Vail. This included a mechanical building 12' wide,24'
long, and 11' high, and 3 whip antennas mounted on the roof of Solar Vail. The PEC approved
the conditional use request with the following five conditions:
1. The applicant shall screen the dumpster with a sjoot high fence, or other acceptable
solution;
2. The applicant shall plant seven spruce and five aspen trees in the area between the
mechanical building and the North Frontage Road;
3. The applicant shall treat the antenna with non-reflective material, if needed;
4. The applicant is to ensure that none of the retaining walls are built over 6 feet high; and
5. The applicant shall submit a plan to improve the existing timber walls which will be acted
on within one year.
On May 1 1, 1992, the PEC approved a Conditional Use Permit to allow US WesVNew Vector
Group to install satellite dishes on the Solar Vail building in order to improve the cellular
transmission quality lrom the East Vail area to the Dowd Junction area. The dishes were
mounted on the west side of the building. The dishes were enclosed within a false chimney.
On August 28, 1995, the PEC approved a Conditional Use Permit to allow OneComm to install a
false chimney and three omni whip antennas.
III. ZONING ANALYSIS
The subject property is zoned High-Density Mutti-Famity (HDMF). According to Section
18.20.030 of the Zoning Code, "Public Utility and Public Service Uses'can be permitted in the
HDMF zone district as a conditional use.
IV. GONDITIONAL USE CRITERIA AND FINDINGS
Upon review of Section 18.60, the Community Development Department recommends approval
of the conditional use permit based upon the following factors:
A. Consideration ol Factors:
1. Relationship and impact of the use on development oblectlves of tfie
Town.
Staff believes that the proposed use is compatible with the existing condominium
use, and is generally consistent with the purpose of this zone district as long as
the cellular transmitting and receiving equipment is adequately screened. The
antennas should be painted a flat (non-reflective) tan to blend in with the hillside
behind as do the existing antennas.
2. The effect of the use on llght and air, dlstributlon of populatlon,
transportation facilities, utilities, schools, parls and recreation
facilities, and other public facilities needs.
Staff believes there will be no impact on the above-referenced issues.
3. Effect upon traffic wiih particular reference to congestion, automotive
and pedestrian satety and convenience, traffic flow and control,
access, maneuverability, and removal of snow from the street and
parking areas.
Staff believes there will be no impact on the above-referenced issues.
4. Eflect upon the chancter of the area in which the proposed use is to
be located, Including the scals and bulk of the proposed use in
relation to surrounding uses,
Staff believes the proposed false chimney, which will enclose the receiving and
transmitting equipment, has been designed in a way to compliment the existing
Solar Vail building. The proposed chimney and whip antennas should have little
or no effect on surrounding properties and uses.
B. Findings
The Planning and Environmental Commission shall make the following findings before
granting a conditional use permit:
That the proposed location ol the use is in accord with the purposes of the
conditional use permit section of the zoning code and the purposes of the
district in which the site is located.
That the proposed location of the use and the conditions under which it
would be operated or maintained would not be detrimental to the public
health, safety, or welfare or materially injurious to properties or
improvements in the vicinity.
That the proposed use would comply with each of the applicable
provisions ol the conditional use permit section of the zoning code.
V. STAFF RECOMMENDATION
Stafl recommends approval of the conditional use permit based on the criteria discussed above,
subject to the following findings:
That the proposed location of the use is in accord with the purposes of the
conditional use permit section of the zoning code and the purpose of the
HDMF zone district.
That the proposed location of the use and the conditions under which it
would be operated or maintained will not be detrimental to fie public
health, safety, or welfare or materially injurious to properties or
improvements in the vicinity.
That the proposed use willcomply with each of the applicable provisions
of the conditional use permit section of the zoning code.

The recommendation is also subject to the following conditions:
1. That the antennas be painted to blend with the hillside and the false chimneys, the
access ladder, and equipment boxes be surfaced and painted to match the
building.
2. That the dumpster enclosure be enlarged to accommodate the dumpster (at least
7'deep x 10'wide) and be covered with a sloping roof to prevent the dumpster
from "creeping" out of the enclosure during the winter months. The dumpsler
enclosure shall be finished and painted to match the Solar Vail building. Due to
the lack of conformance with this enclosure, the dumpster enclosure shall be
constructed prior to any cellular equipment being installed.
3. The proposed concrete slab on the east side of the building shall be reduced in
size to a maximum ol 3' x 12'.

Western Wireless PCS proposes to install wireless communication antennas with accessories on the Solar
Vail Condominium Complex in the (HDMF) High Density Multiple-Family zone. The purpose for this
facility will be to transmit digital data transmissions to PCS (Personal Communication Service) customers
and complete an integra.l link in a coordinated network required to fulfill FCC license obligations within
the Town of Vail.
As required, the following is a description of the precise nature of the proposed use per the Town of Vail
Development Criteria:
1. Relationship and impact of the ase on development objectives of lhe town - Wireless antennas are
already an established use in this area north ofl-70 and on this structure. The complex is across the
interstate from the primary commercial and tourist areas of mid-Vail and in a primary location for
wireless communications. Excellent PCS service with minimal impact to the residents and guests
within Vail will be important for the commerce objectives of existing and future residents and
businesses.
2. Elllect of the use on light and air, distributlon of population, trunsportation facilities, utilities,
schools, parks and recreation facilities, and other public facililies and public facililies needs - The
proposed antenna attachment will have no effect on any of tlese criteria. However, Westem Wireless
will pay lease revenue to the owner of the Solar Vail which will help the landlord with maintenance
and upkeep of the building and confiibute to the commerce of Vail.
3. EfJect upon truf;fic, with particuhr rcfermce to congestion, automotive and pedestrian safety and
convmience, trafftc flow and control, access, maneuverubilily, and removal of snov, from the streets
and parking area - The proposed antenna attachment will have no effect on any ofthese criteria.
4. Effect upon the characler of the area in which the proposed use ls to be located, including the scale
and bulk of the proposed use in relation to surrounding zses - The proposed facility will consist of
two whip antennas on the roof (4" diameter x 10' tall), two accessory cabinets (32" high x 32" wide x
15" deep) within an architectural screen, and one parabolic dish also within the architectural screen.
The visual impact will appear to be two small flag poles attached near the front facade (much like the
existing antennas on top of the roof) with an architectural screen built in symmetry to a similar
screening device to the West. Other antennas (whip and pmabolic) are found on this building and the
adjacent Red Sandstone Elementary School. Therefore, effects will be minimal and consistent wlth
adjacent land uses.
Westem Wireless PCS feels the proposed facility is an unobtrusive desigrr that will provide needed service
to the Vail area with benefits such as safety, PCS technology, low cost mobile comrnunication, and
attraction to future and existing businesses and residents.

LATER DEFECTS
The Exceptions in Schedule B - Section 2 may be amended to show any delects, liens or
encumbrances that appear for the lirst time in public records or are created or. attached
between the Commitment Date and the date on which all of the Requirements of Schedule B
- Section 1.are met. We shall have no liability to you because of this amendment.
EXISTING OEFECTS
lf any defects, liens or encumbrances existing at Commitment Date are not shown in Schedule B,
we may amend Schedule B to show them. lf we do amend Schedule B to show these defects, liens
or encumbrances, we shall be liable to you according to Paragraph 4 below unless you knew of this
information and did not telt us about it in writing.
LIMITATION OF OUR LIABILITY ;:

Applicant: Johannes Faessler, represented by Western Wireless PCSPlanner: Dominic Mauriello
Dominic Mauriello gave an overview of the memo and said that staff was recommending
approval with three conditions. He stated trlat the second condition had been carried since '1990
and needed to be complied with before the applicant could proceed.
Greg Moffet asked if the applicant had anything to add.
Rick Holpp, from Western Wireless, said he was aware of the dumpster issue for the first time on
Friday.
Greg Moffet asked for any public comments. There were none.
Gene Uselton asked whose responsibility was the dumpster enclosure.
Rick Holpp asked, since the dumpster was the owner's responsibility, that they not be required to
wait for the construction of the dumpster, prior to installation of the antennas.

He said there would be no incentive to comply with the condition, if an approval was granted
without this condition.
Greg Moffet said not operating the antennas would prevent dollars from flowing and that would
be the incentive.
Mike Mollica said the Town would not be able to enforce the usage once it was installed.
John Schofield asked if the installation required a building permit.
Dominic Mauriello stated that a building permit would be required.
John Schofield asked if a cash bond could be another option.
Mike Mollica stated that it would be.
Greg Amsden had no comments.
Galen Aasland said that Condition #3 should be flexible and agreed that Condition #2 should be
done.
Ann Bishop said that this was the time to enforce Condition #2.
Diane Golden agreed with the other Commissioners.
Rick Holpp said he had no problem with the dumpster issue, just that waiting for it to be done
would immobilize him.
Diane Golden asked how the ladder would be protected from public access.
Rick Holpp replied with gates and locks.
Dominic Mauriello said a lock-off box prevented people from getting up there.
Greg Moffet said he had no problem with the slab, but agreed with the dumpster enclosure and
stated that the PEC could choose this enforcement method.
Ann Bishop made a motion for approval in accordance with the staff memo.
Galen Aasland seconded the motion.
Ann Bishop amended the motion to change the 3' slab to a 6' slab.
John Schofield amended the motion to include a $10,000 bond, in lieu of the dumpster enclosure
being constructed, prior to the antenna installation.
Galen Aasland seconded the amended motion.
Mike Mollica asked aboul the time frame of the bond.
