NOW THEREFORE' in consideration of the following nutual" covenantsand agreements, the Developer and the Town agree as ioLlows:
L. The Developer hereby agrees, at its sole cost and expenses, tofurnish arl equiprnent and rnateriit necessary to perform and coiprete, onor before the following dates:
The DeveJ-oper shall complete, in a good workrnanlike manner, all
inprovenents for Sun Vail Condominiums, Phase IV, and the renaining
landscape items on Phase III, in accordance with all plans and
specifications for the Sun Vail Condoniniums filed in the office of the
Community Development Department, the Town of Vail, and to do all work
incidental thereto according to and in compliance with the following:
a. A1I final plans and specifications subrnitted prior to or at
the tine of the Temporary Certificate of occupancy.
b. A11 laws of the United States of America, State of Colorado,
or Town of Vail and its respective agencies, affected special
districts and/or service districts.
c. AIt said work shall be done under the inspection of, and tothe satisfaction of the Town Engineer, the Town Building
official , or other official fron the Town of Vail, affectedspecial districts or service districts, as their respective
interest may appear, and shall not be deemed conplete until
approved and accepted as completed by the Town of Vail
Community Development Department and Public Works Department.
2. The estimated cost of said work and improvenents is the surn of
s25, OO0. 00.
To secure and guarantee perfornance of its obligations as set forthherein, the Developer agrees to provide security and collateral as
follows:
An irrevocable letter of credit fron Vail Bank in the arnount of
931-,250.oo on a form acceptable to the Town Attorney, shall provide
the security for the irnprovements set forth above if there is a
defauLt under this Agreement by the Developer.
3. The Developer may at any tine substitute the collateraloriginally set forth above for another forrn of colLateral acceptable tothe Town to guarantee the faithful conpletion of those improvementsreferred to herein and the perforrnance of the terns of this Agreement.
Such acceptance by the Town of alternative collateral shall be at the
Town's sole discretion.
4. The Town shall not, nor shall any officer or employee thereof;
be liable or responsible for any accident, Loss or damage happening oroccurring to the work specified in this Agreement prior to theconpletion and acceptance of the same, nor shall the Town, nor anyofficer or employee thereof, be liab1e for any persons or propertyinJured by reason of the nature of said work, but all of saidliabifities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indernnify and hold harmless the
Town, and any of its officers, agents and employees against any losses,clains, damages, or liabilities to which the Town or any such of itsofficers, agents, or employees may become subject to, insofar as anysuch losses, clains, damages or liabilities (or actions in respectthereof) that arise out of or are based upon any performance by theDeveloper hereunder; and the Developer shalt reimburse the Town for anyand all legal or other expenses reasonably incurred by the Town inconnection with investigating or defending any such loss, claim, darnage,Liability or action. This indernnity provision shall be in addition toany other liability which the Developer may have.
5. It is mutually agreed that the Developer uray apply to the Townfor partial release of the collateral deposited with the Town for eachcategory of irnprovernent at such tirne as such inprovements areconstructed in compliance with all plans and specifications asreferenced hereunder and accepted by the Town. By way of example, uponconpletion and acceptance by the Town of painting the sum of $S,OOO.OOshall be released.
6. If the Tolrn determines that any of such improvements ascontemplated hereunder are not constructed in compliance with the plansand specificatj-ons set forth herein it shall furnish the Developer alist of specific deficiencies and shall be entitled to continue tosithhold collateral to insure such conpliance. If the Town deterninesthat the Developer will not construct any or all of the inprovements inaccordance with all of the specifications as set forth herein, the Town
rnay give the Developer written notice and unLess such improvements arecompleted within a reasonable period of tine based upon the amount ofwork necessary to complete the improvements the Town may withdraw andenploy from the letter of credit such funds as may be necessary toconplete the unfinished improvements.

signed by an authorized representative of the Town of Vail indicating that Robert T.
Lazier has defaulted under the terms of a certain Development lmprovement
Agreement entered into on even date herewith between Robert T. Lazier and the Town
of Vail. The statement shall further indicate that the amount drawn is necessary to
meet the obligations under the agreement.
WestStar Bank agrees with the drawers, endorsers and bonafide holders of drafts
drawn and negotiated in compliance with the terms of this Letter of credit that such
drafts will be duly honored upon due presentation at the counter of this Bank.
Weststar Bank represents and warrants to the Town of Vail that it has the full

of Credit, a copy of which is attached hereto ("Letter of Credit"). In consideration of
your issuing the Letter of Credit, the undersigned agrees as follows:
1. As to drafts drawn or purporting to be drawn under the Letter of Credit:
a. ln the case of each sight draft to pay you in United States
currency the amount paid by you thereon with interest as

b. ln the case of each time draft to pay you the amount thereof on
demand, but in no event later than one business day prior to its

The validity, sufficiency, or genuineness of the Documents or of
endorsements thereon, even if the Documents should in fact proveto be in any and all respects invalid, insufficient, fraudulent,
untrue or forged;
The time, place, manner or order in which shipment or property is
made;
Any deviation from instructions, delay, default, or fraud by the
shipper or anyone else in connection with any property purporting
to represent the Documents;
Failure of any draft to bear any reference or adequate reference to
the Lefter of credit;
Failure on any person to note the amount of any draft on the
reverse side of the Letter of Gredit.
Any action taken or omitted by you or your correspondents under or in connection
with the Letter of credit or the drafts, Documents, or property in connection
tterewith, if done in good faith, shall be binding on the undersigned and shall not put
you or your correspondent under any resulting liability to the undersigned.
In case of any variation between the Documents called for you the Letter of Credit and
the documents accepted by you or your correspondents, the undersigned shall be
conclusively deemed to have waived any right to object to such variation with respect
to any action of your or your correspondents relating to such documents and to have
ratified and approved such action as having been taken on the direction of the
undersigned, unless the undersigned immediately upon receipt of such documents or

4. ln order to evidence the obligations of the undersigned as set forth in this
agreement, the undersigned has executed a promissory note of even date herewith in
a principal amount equalto 100016 of the amount of credit extended under this Letter
of Credit with interest thereon at the rate set forth therein accruing from and after the

5. No term or provision of this agreement may be changed orally and no
executory agreement shall be effective to change or modify or to discharge in whole
or Part this agreement unless such executory agreement is in writing and signed by

enforcement of any of your rights herein mentioned or of any claim or demand by you

WHEREAST the Developer is obligated to provide security or'collateral sufficient in the judgrment of the Town to make reasonableprovisions for cornplet,ion of certain irnprovements set forth below; and
WHEREAS, the Developer wishes to provide collateril to guaranteeperformance of this agreement, including construction of the above-referenced improvements by means of the following:

The Developer sha11 complete, in a good workrnanlike manner, allirnprovements for Sun Vail Condorniniums, Phase IV, and the remaininglandscape iterns on Phase III, in accordance with alt plans andspecifications for the Sun VaiI Condorniniurns filed in the office of the
Corununity Development Departnent, the Town of Vail, and to do all workincidental- thereto according to and i.n cornpliance with the following:
a. A11 final- plans and specifications submj.tted prior to or atthe t,irne of the Temporary Certificate of Occupancy.
b. A11 laws of the United States of America, State of Colorado,or Tolitn of Vail and its respective agencies, affected specialistricts and/or service districts
c. AII said work shall be done under the inspection of, and tothe satisfaction of the Town Engineer, the Town BuildingOfficial , or other official frorn the Town of Vail,, affectedspecial districts or service districts, as their respectiveinterest may appear, and shall not be deemed complete until
approved and accepted as cornpleted by the Town of vail
Community Development Department and Pub1ic Works Department.

the security for the irnprovements set forth above if there is a
default. under thi.s Agreement by the Developer.
3. The DeveJoper may at any tiure substitute the colLateral
originally set forth above for another form of collateral acceptable tothe Town to guarantee the faithful completion of those improvementsreferred to herein and the performance of the terms of this Agreement.
Such acceptance by the Town of alternative collat,eral shal1 be at the
Town's soLe di-scretion.
4. The Town shall not, nor shall any officer or enployee thereof;be liable or responsible for any accident, loss or damage happening oroccurring to the work specified in this Agreement prior to thecornpletion and acceptance of the same, nor shall the Town, nor anyofficer or employee thereof, be liable for any persons or propertyinj'ured by reason of the nature of said work, but all of saidliabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harrnless theTown, and any of its officers, agents and ernproyees against any losses,claims, danages, or liabi-lities to which the Town or any such of itsofficers, agents, or ernployees may become subject to, insofar as anysuch losses, clairns, damages or liabilities (or actions in respectthereof) that arise out of or are based upon any perfonnance by the
Developer hereunder; and the Developer shall reirnburse the Town for anyand all legal or other expenses reasonably incurred by the Town in
connection with investigating or defending any such 1oss, cJ-ai.rn, damage,fiability or action. This indernnity provision shall be in addition to
any other liability which the Developer may have.
5. It is rautually agreed that the Developer rnay apply to the Townfor partial release of the collateral deposited with the Town for eachcategory of improvement at such tirne as such irnprovements areconstructed in compliance with all plans and specifications as
referenced hbreunder and accepted by the Town. By way of exanple, upon
cornpletion and acceptance by the Town of painting the surn of $5,O0O,OOshaLl be released.
5. If the Town deterrnines that any of such irnprovements as
contemplated hereunder are not constructed in cornpliance with the plans
and specifications set forth herein it shall furnish the Developer alist of specific deficiencies and shall be entitled to continue towithhold collateral to insure such compliance. If the Town determinesthat the Developer will not construct any or aII of the improvements in
accordance with all of the specifications as set forth herein, the Town
nay give the Developer written notice'and unless such irnprovenents are
conpleted within a reasonable period of tirne based upon the arnount ofwork necessary to complete the irnprovernents the Town may withdraw andenploy fron the letter of credit such funds as may be necessary to
complete the unfinished improvements.
7. The parties hereto mutually agree t

We hereby open our irrevocable Letter of Credit in your favor available by draft or
drafts at sight drawn on WestStar Bank for any sum or sums not exceeding in total
the sum of Thirty-One Thousand Two Hundred Fifty and no/1OO ($31,250.00).
This Letter of Credit is for the account of Robert T. Lazier.
Funds under this credit are available to the Town of Vail by its sight draft(s) on us
referring to this Letter of Credit by number and by its issuance date. Such draft(s)
must be received by WestStar Bank prior to 4:OO p.m. on August 15, 1996. The
funds available under this letter of credit shall be $16,000 for completion of
landscaping at Sun Vail Condominiums, $4,O0O for completion of exterior painting at
Sun Vail Condominiums, Building E, $5,OOO for miscellaneous punch list items for
Buildings D and E times 1.25. Such draft(s) shall be accompanied by a statement
signed by an authorized representative of the Town of Vail indicating that Robert T.
Lazier has defaulted under the terms of a certain Development lmprovement
Agreernent entered into on even date herewith between Robert T. Lazier and the Town
of Vail. The statement shall further indicate that the amount drawn is necessary to
meet the obligations under the agreement.
WestStar Bank agrees with the drawers, endorsers and bonafide holders of drafts
drawn and negotiated in compliance with the terms of this Letter of Credit that such
drafts will be duly honored upon due presentation at the counter of this Bank.
WestStar Bank represents and warrants to the Town of Vail that it has the full
authority and power to issue this Letter of Credit to the Town of Vail, in the total
amount and for the period of time stated herein; said authority being pursuant to the
laws of the United States, or the state or territory which governs the establishment
and regulation of WestStar Bank, and WestStar Bank's charter, by-laws, and other
