Time Reouirements
The Design Review Board meets on the lst and 3rd Wednesdays of each month. A complete application
form and all accompanying material must be accepted by the Community Development Department prior
to application deadlines. A schedule of DRB meetings and associated application deadlines may be found
on the World Wide Web at www.vailgov.com.
Review Criteria
The proposal will be reviewed for compliance with the Design Guidelines as set forth in Tltle 12 (Zoning
Regulations) and Title 14 (Development Standards) of the Town of Vail Municipal Code.
Desion Review Board Meetino Reouirements
For new construction and additions, the applicant must stake and tape the project site to indicate
propefi lines, proposed buildings and building corners. All trees to be removed must be taped. The
applicant must ensure that staking done during the winter is not buried by snow. All site tapings and
staking must be completed prior to the day of the DRB meeting.
The applicant, or their representative, shall be present at the Design Review Board Hearing. Applicants
who fail to appear before the Design Review Board on their scheduled meeting date and who have not
asked in advance that discussion on their item be postponed, will have their items removed from the DRB
agenda until such time as the item has been republished.
If the DRB approves the application with conditions or modifications, all conditions of approval must be
resolved prior to the issuance of a building permit.
Staff Aooroval
The Administrator (a member of the planning staff) may review and approve Design Review applications,
approve with cerbain modifications, deny the application, or refer the application to the Design Review
Board for a decision. All staff approvals are reviewed by the Design Review Board and any staff decision
is subject to final approval by the DRB.

?his letter is in response to your letter dated January 24, 1990
addressed to Karen Morter of the Vail Chanber of Commerce. It has
been turned over to me to review for compliance with our building
codes.
I conducted an inspection on February 28, 1990 of the fanily suite
at the Gasthof Gramsharnmer Hotel in Vail , Colorado. My findings
are as follows:
1,. The elevator provides service up to the fourth floor.
Although this is inconvenient, it is not a code violation.
2. The windows that are I ft. above the floor are allowed as long
as they are operable from the inside.
3. In your letter you stated that a hotel such as this in New
York would be illegal . Colorado uses the L988 Unifonn
Building Code. the Uniform Building Code only requires that
sleeping rooms below the fourth story have egress windows.
This is found in Section L2O4. Two exits are required for
levels above the first floor. This unit is in compliance with
Appendix Chapter 1, Section lLL (a). There is a ladder on the
floor by the dining table that would take you into the
corridor that connects to the Znd stairway and out of the
building.

Backoround Rauonale: On August 7, 1991, the DRB voted 5-0
to approve a modilied landscape plan for the Gashof
Gramshammer. The applicanls do not intend to add any
landscaping to what presenuy exists in the planters on he east
and soutfi sides of the buildings. On January 30, 1991, the DRB
approved the skl storage locker expansion with an accompanying
landscape plan. On June 19, 1991, the DRB approved a plan
which allowed the removal ol three (3) Aspen trees on the
southwest corner ol the Gasthof Gramshammer site. This
approvalwas given with the condition that the applicanis present
an alternative plan, providing an adequate amount of landscaping
to compensate for the three (3) trees which were cut down. The
DRB believed that the existing landscaping was attracti\re and
that the Gasthot Gramshammer did not need more landscaping

council did call up the Design Review Board approval of the final landscape plan. I

hearing dates. Unfortunately, the Town of Vail Code requires that the Council reviews items
within 30 days of the call up. As a result, this item must be scheduled for Council either
August 20, September 3 or September 17, 1991. The staff is willing to coordinate one of

I am writing this letter to document the Design Review Board action regarding your request
which was made at the June 19, 1991 meeting. You requested to remove trees adjacent to
the soulhwest corner of your dining patio adjacent to the Children's Fountain. A motion was
made by George Lamb and seconded by Ludwig Kurz to approve the request with the
following conditions:
1. The 7", 9" and 8" caliper trees, as shown on the attached survey, are approved
to be cut down.
2. The applicant shall plant three trees in the planter bed to replace the three
trees that are to be removed. A specific landscape plan identifying lhe type
and size of the three new trees will be submitted to the Community
Development Department by July 9, 1991 for review at the July '17, 1991
Design Review Board meeting.
3. The double clump of aspens (3', 4) on the very southwest corner of the deck,
and the 4" aspen, as shown on the attached survey, shall not be cut down.
As I stated in my conversation with you this morning, the Town Council will review all
decisions made at the June 19, 1991 Design Review Board meeting at the Council work-
session on Tuesday, June 25, 1991. My understanding is that you may wish to proceed with

DESCRIPTTON OF THE REOUEST
The applicant proposes to construct a room at the basementlevel of the Gasthof Gramshanmer lodge for conmercial Ekistorage. This room would be innediately bel-ow the exteriordining deck that Ls currently located on the south side ofthe buiJ.ding. This basenent area would be accessed by a netf,staircase located at the southeast corner of the buildlng.
The ski storage room would have 23 ski lockers in it and
would be 735 sq. ft. in size. There will not be an
attendant for the space and there will be no retail saleE ofski accessories.
The existing deck above this space will be temporarily
renoved and the new ski storage area will be excavated and
constructed during the sunner of 1991. The excavation will
reguire that the applicant use approxirnately six feet of
Town right-of-way. The appllcant will replace any asphaltthat is removed as part of the construction process afterthe project is completed. No slgnage is being proposed withthis application,' however, in the future, the applicantplans to apply for a three foot sguare foot wall sign near
the staircase.
There will be a five and one half foot setback fron the
south property line to the deck/basernent wall. There will
be a .5 foot setback from the eastern property line to the
deck/basement waLl. The applicant proposes to reconstruct
the planter that is currently on the corner of Gore Creek
Drive and Brldge Street to screen the new staircase. The
landscaping that will be renoved lncludes two aspens and one
nugho pine. The reconstructed planter and the existingplanter north of the stalrcase will be replanted with 6
mugho pines, 3 aspens, one 8-10 foot tall spruce, and 3cinquefoil bushes. Between these bushes and trees, the
applicant will plant annual or perennial flowers that will
cover all of the rest of the planter areas. The landing at

[The conmercial core I District is intended to provldesites and to naintain the unigue character of the VailViIIage conmercial area, with its mixture of lodges and
comrnercial establ.ishnents in a predominantly pedestrian
environment. The Connercial Core I District is
intended to insure adequate light, aJ-r, open space
and other amenities appropriate to the pernitted tlpesof buildings and uses. The district regulations in
accordance with the Vail Village urban design guide
plan and design considerations prescribe site
development standards that are Lntended to insure the
rnaintenance and preservation of the tightly clustered
arrangements of buildings frontJ-ng on pedestrianways
and public green ways, and to lnsure continuation ofthe building scale and archltectural gualities thatdistinguish the Village.r'
A detaited analysis of the way the proposal conplies withthe architectural standards of Vail Village and purpose
section of the CcI zone distrlct is provided below. The
commercial ski storage use is stipulated as an allowed use,
under Section La.24.020(B)2, in basement or garden Level .
III. REVTEW CRITERIA FOR THIS PROPOSAL
There are three different documents which all CCI exterioralterations must be evaluated against. The first is thevait Village urban Design Guide PIan, the second is the vailVillage Design Considerations and the third is the vailVillage Master Plan.
IV. COMPLIANCE WITH THE URBAN DESIGN GUfDE PLAN FOR VAfL VILI"AGE

The following design considerations are a critical elementof the urban design plan. They identify the key physical

assure that new development will be consistent with theestablished character. Tlre consideratLons include thefollowing:
A.Pedestrianization:
The proposal will not have any negative lmpact on thepedestrian nature of Vail Village.
Vehicular Penetration:
This tlpe of use should not create a greater demand fortruck access.
Streetscape Framework:
There are two components listed in the design
consideratlons that rrork together to establj-sh the
framework for the Village streets. The first ls open
space, landscaping, berms, and similar elements. The
second is connercial infill vla storefront expansions.
This proposal addreaaes the firEt of the two
components. The additlonal- landscaping ln the rebulltplanter as well as the new landscaping in the exlstingplanter north of the proposed staircase will be a focalpoint along a major pedestrian route. As such, itfulfills one of the goals of the design considerations.
Street Enclosure:
The proposal will not affect the street enclosure l-nthis area as there is no expanslon above grade. Theplanter that screens the staircase is too Emall toaffect a pedestrianrs feeting of enclosure at thlE
location in the Village.
Street Edqe:
Again, the relatively Enall size of this exterioralteration wiII not signlficantly effect the appearanceof the street edge. lfhat little affect it will have
however, is positive. llhe staircase and pLanter will
create a jog and add to the viEual interest along
Bridge Street. Low planter walls, tree plantings' and
changes in ground surface texture are al1 called for in
the Design ConEiderations. This proposal has all threeof these design elements and iE therefore in compliancewith the standards.

Building height will be unaffected.
Views and Focal- Points:
The proposed expansion does not affect any adopted vlew
corridors.
Service and Deliverv:
The proposed expanslon wl-II not affect the current

The proposal will not cast any shadows longer than whatthe existing structure does.
Architecture/Landscaoe Considerations :
The Design Considerations call for a mix of deciduouE
and evergreen species for year-round continuity andinterest. The Design Considerations also call for
asphalt or brick for walking surfaces. The staircaseitself will be made out of concrete. llowever' the
Ianding at the top of the staircase whiclr interfaceswlth Bridge Street nill be made out of stone paving.
The planter walls nill be constructed out of stonesthat will match the existing stonework. Staff believesthat the application conplies with the landscape
standards specified l-n the Design Considerations.

Master Plan relate to the project. Bhe Land Use Plan callsfor mixed use, wlth which this reguest conplies. TheCirculation Plan calls for Bridge Street to be a pedestrianstreet. The proposal will support pedestrian activity onBridge Street. The Open Space Illustrative PIan and theBuilding Height lllustratlve Plan are not applicable. Thereare no sub-area plans shich pertain to this corner ln theViIlage.
VII. STAFF RECOM!{ENDATION
Staff recomrnends approval of ttre proposal because we believeit meets the policies of the VaiI Village Master PIan, theVail viltage Design Consl.derations and the Vail Village
Urban Design Guide Plan. There is a small amount ofadditional mass and bulk which will be added to thebuilding; however, staff believes the inproved Landscapingin the planters around the Etaircase will nitlgate theinpact of the staircase itself and will improve the overall
character of Bridge Street. ?he Townrs plans and guidelinesfor the Village call for additional landscaping as focalpoints for the pedestrian ways through the Vlllage, andstaff believes this fulfills those objectives well.
Staff recommends approval with the condition that the
applicant:
1. Pay the $7,350.0o parking fee as prescribed in Section
L8.52. 160(B)7, of the Town of Vail Municipal codet
2. Plant the two planter beds with annuals or perenniaLs
so that the beds are completely covered between the
bushes and trees.

Jill Kannerer explained the reguest, stating the applicant wantedto expand an existing television studio located within the sunbird
Iodge Ln Lionshead (in the ccII zone district). Televisionstations are an allowable first floor use wlthin this zonedistrict, provided a conditional use approval has been obtained.In order to neet the conditional use criteria in ccII, television
stations nust have a production room/studio space vhich is visible
from the street or pedestrian nall, and the television station nust
be exclusively ttcablecastrrr which would require no additional
antennaE.
The existing station was approved in luly of 1990. An addition to
the approved fl.oor plan would require an amendnent to the
conditional use pernit. .fill reviewed the consideration of factors
and findings and stated the staff recomnended approval of the
conditionaL use perruit subject to the following conditions:
I. The window covering on the window whlch pemits viewingof the north studio area frorn the Llonshead pedestrian
MaLl will renain open when fllning/broadcastingactivities do not require a controlled lighting
situation.
2. The $I ,443.90 parking fee shall be paid to the Town of
vail prior to Town issuance of any building permits.
Bill Perklns, applicant, was present to answer questions. Kathy
wondered why theltaff recommended the window coverlng remain open
when possible, and was told the purpose of reguiring viewing of the
production roorl/studio space wa6 to generate pedestrLaninterest/activity at the nall. Diana did not feel that atelevision Etudio waE the best use for the space, but feLt that
since this use was a temporary one because the building would soon
be redeveloped, she could support it. Bill Perkins replied ttratif they could get a good design on the second floor, he would novethere and would only have to obtain a bueiness License.
Kathy noved to approve the reguest per the staff uemo with the twoconditions stated above and made findings A, B, and C.
Krlstan wanted to nake certain that the TV company did not occupythe new space until the required parking fee had been paid and abullding permit had been obtained. Bill Perkins stated there was
already eguiprnent stored there and individuats working out of thespace. BiII assured the staff and board nothing would be changeduntil the parking fee was paid.
Dalton seconded the motion and the vote rras 5-O in favor.

Andy Knudtsen explaJ-ned the request for a L9 foot setback variance.
The setbaclc requirenent ls 20 feet and the applicant was reguestinga setback of 1 foot. on a site plan, Andy showed where the
detached garage r'rould be constructed and where the driveway wouldbe. (Thts nas the fourth tirne the applicant had been before the
PEc.) changes made to the previous applications included a reduced
depth of fitl from 7 feet to 1.5 feet, reduced length of fill fron
80 feet Xo 26 feet, reduced slope of drive fron 118 to 7.7t, and
slope of filL around drLveway no longer exceeded 2:1. The changes
had been nade possJ-ble by shlfting the driveway to the north and
tlghtenLng the turning radius of each of the two cutrres of the
driveway.
Andy did caution the applicant that the Town Engineer had expressed
concern that because of the tlghtness of the curves, the driveway
nay not accoromodate large vehicles. Andy wanted the applicant to
understand that the driveway nay only function for snall cars.
Andy revlewed the CrLterLa and Findings, beginning with the
ConsLderation of Factors. He stated that the staff recornmended
approval of the request noting that findings A, B, and C2 were net.
There were four conditions of approval which must be met before a
buildtng pemlt could be obtained:

I.DESCRIPTION OF THE REOUEST
The applicant proposes to construct a room at the baeenentlevel of the Gasthof GramEhanmer lodge for connercial skistorage. This room would be innediately below the exterlor
dininq deck that is currently located on the south Eide of
the building. Thie basement area would be acceEEed by a nelt
staircase located at the Eoutheast corner of the building.
The ski storage room would have 23 ski lockers in it and
would be 736 sg. ft. in size. There will not be an
attendant for the space and there will be no retail sales ofski accessories.
The existing deck above this space will be teurporarily
renoved and the new ski storage area will be excavated and
constructed duri.ng the summer of 1991. The excavation sill
require that the applicant use approxinately six feet of
lown right-of-way. The applicant will replace any asphaltthat is removed as part of the construction process after
the projeet is completed. No signage is being proposed with
this application; however, in the future, the applicant
plans to apply for a three foot sguare foot wall sign near
the staircase.
There will be a five and one half foot setback from the
south property line to the deck/basement wall. llhere will
be a .5 foot Eetback frou the eastern property line to the
deck/basernent waII. The applicant proposes to reconstruct
the planter that is currently on the corner of Gore Creek
Drive and Bridge Street to screen the new staircase. The
landscaping that will be removed includes two aspens and one
nugho pine. The reconstructed pl-anter and the exlstingplintei north of the staircase will be replanted with 6
mugho pines, 3 aspens, one 8-1o foot tall spruce, and 3
cinquefoil bushes. Bettreen these bushes and trees, the-
applicant will plant annual or perennial flowers that will
cover all of the rest of the plinter areaa. llhe landing at

the top of the stairs will be made out of stone pavers. Asthe space is 736 sq. ft., the parking reguirement is 2.45
spaces based on the personal service requirenent of one
space per 3OO sq.ft. The parklng fee is $7,350.00.

maintenance and preservation of the tightly clustered
arrangements of buildlngs fronting on pedestrianways
and public green way6, and to insure continuation of
the building scale and architectural gualities thatdistinguish the Village.'l

The proposal- will not affect the street enclosure inthis area as there is no expansion above grade. Theplanter that screens the staircase is too small toaffect a pedestrianrs feeling of enclosure at this

landing at the top of ttre stalrcase which interfaceswith Bridge Street will be nade out of stone paving.
The planter walls will be constructed out of stonesthat will match the existing stonework. staff believesthat the application complies with the landscape
standards specified in the Design Considerations.

THIS AGREEMENT made and entered into *ts-3!f
day of and between the TOWN OF VAIL, a
and, GASTHOF GRAMSHAIT{I4ER, INC.,
a Colorado corporation:
WITNESSETH:
WHEREAS, the Town of Vail has constructed a fountain
and improvements on a portion of Lot A, Block 5-8, Vail Village
First Filing, County of Eagle, State of Coloradol and
WHEREAS, a portion of said improvements are located on
the property owned, by Gasthof Gramsharuner, Inc., formerly used by
said corporation for parking; and
WHEREAS, the Town of Vail has constructed a parking
facility.
NOW, THEREFORE. in consideration of the premises it is
agreed and stated as follows:
1. Gasthof Gramshammer hereby grants to the Town of
Vail the right to construct stone and masonry planter boxes on
the following described property:
SEE EXHIBIT A ATTACHED
Title to said parcel shall remain in Gasthof Gramshammer and
nothing herein shall be construed as a conveyance of any interest
in said property to the Town of Vail. The Town of Vail wilL re-
move said improvernents frorn Gasthof Gramshammerts property at the
Townrs expense, upon termination of this Agreement.
2. As consideration for the Townrs use of said space'
the Town of Vail agreea to provide seven parking sPaces for the
use of Gasthof Gramshanmrer, Inc. in the VaiI Transportation Center.
Such spaces shall be provided to Gasthof Gramshammer, without charge,
for a period of ten (10) years commencing with the first day of
November, 1974 or when the spaces are first made available to the
Gasthof, whichever date shall be later. This Agreement shall continue
as long as Gasthof Gramshammer has the use of such spaces and shall
terminate upon the termination of such use.

3. Gasthof Gramsharsner, Inc., utilized certain parking
spaces which \rere on its property facing Gore Creek Drive and
irunediately adjacent to the porch of the Gasthof Grarnshammer
buiJ-ding. Gasthof Gramshammer agrees that as of the tirne the
seven parking spaces provided for herein are made available for
its use, that the use of the parking will terminate its use of
the said parking spaces on Gore Creek Drive. So long as this
Agreement rernains in effect, the parties agree that that space
shall be designated as a "no parking" zone.
4. The Town agrees that it will maintain the planters
herein provided for and see that said planters are maintained free
of trash and litter.
5. Gasthof Gramshammer shalf have an easement across the
westerly12 feet of thd property of the Town which the Chj-Idrents
Fountain is located during the term of this Agreement. The Town
of Vail agrees that said right-of-way shall remain open and that
nothing shall be constructed which will impede the access over
and across said right-of-way.
IN WITNESS IIIHEREOF, the parties have hereunto through
affixed their signatures the day and year first above written.

The staff and Council supportedthis ordinance as it was felt that the event hras a rnajoi-comnunity undertaking that required ternporary structures,signage, street decor, and other temporary ilnprovements. Itwas felt that it was in the best interest of the cornmunity atIarge to exernpt the Vail Val1ey Foundation from our standirdreview processes.
lhe ordinance established an advisory connittee to handleapprovals for tenporary inprovements. peggy Osterfoss, aPlanning Commission member, Kathy warren, chair of the DesignReview Board, and Ron Phillips, Town ltanager, serve on theAdvisory comnittee. The purpose of the group is to reviewreguests related to the World Championships in a tinely manner.
Due to each individuals background, it is felt that they will
make a strong effort to keep the best interests of thecommunity in rnind when making decisions.
The group met on October 18th to review your request totemporarily enclose a portion of your dining deCk at the
Gasthof Gramshammer. The forlowing decision was made as to howthe request should be handled:
1. The Foundation rnust endorse the proposal. Thespecial ordinance for the World Alpine Ski
Championships was written specificilly to exernpt theVail Val-Iey Foundation from our standard reviewprocesses. The ordinance does not allow for privateparties to be exempted froru normal review processes,unless the request is sponsored by the VaiI ValleyFoundation and is necessary for the Charnpionships. Aletter of endorsement should be subnittea to ttreConnunity Development Department.
2. The Vail Valley Foundation should explaiJr how thetemporary deck enclosure is necessary for the WorldAlpine Ski Chanpionships. This should also beincluded in the letter to the Comrnunity DevelopmentDepartment.
3. The proposal shall be reviewed by the Design ReviewBoard at a regularly scheduled ureeting. The DesignReview Board must grant approval of the tenporary-enclosure before any construction uray begin.
4. The Vail Valley Foundation as sponsor, and you as theproperty ordner, must enter into a written agreementstating that the temporary structure shall not beerected before January Lst and shall be removedwithin 30 days after the end of the World Alpine SkiChanpionships on February L2, 1999. As you know, theTown of VaiI has very strict requirements on addingadditional square footage, particularJ.y in theVillage and Lionshead. The deck enclosure would beapproved only for a temporary enclosure for the WorldChampionships. We vould also ask that the deck bereturned to its original condition in a tinely rnannerso that construction does not irnpact our high
season.
5. A deposit of an adeguate anount of noney to cover thecosts for dismantling the temporary improvementsshall be provided to the Town before constructionbegins. If the property ort/ner fails to remove thetemporary improvements, the Town of VaiI shall havethe right to enter onto the property and to removethe temporary inprovements. The Town of Vail has theright to use the deposit to remove the ternporary
improvement,s.

2. Gramsharrner shall be fully and solely responsible for the maintenance and
repair of the gate control box and pavers located on Town property. Gramshammer
shall be responsible for any damage to Town property caused by the placement and
operation of the gate control box and pavers on Town property.
3. Gramsharmer shall obtajn comprehensive public liability insurance
covering Gramshammer's use of the gate contro'l box and pavers on Town property in
the amount of one million dollars ($1,000,000) for each incident giving rjse to a
claim for bodily injury or property damage. The Town shall be named as an
additional insured and a certificate of jnsurance shall be furnished by Gramshammer
to the Town and kept in full force and effect throuqhout the term of this
agreeme n f, .
4. Gramshammer hereby agrees to defend, indemnify and hold the Town harmless
from and against all liabjlities, judgments, costs (inc1 uding reasonable attorneys
fees), damages, suits, claims and actjons of any kind or nature by reason of its
use of the gate control box and pavers on Town property.
5. This limited license agreement may be revoked by the Town whenever the
Town determines in its sole djscretion that it constitutes a nuisance, destroys or
impairs the use of Town property, constitutes a traffic hazard, ortn" property
upon which the gate control box, pavers and re] ated structures exist is required
for use by the Town or the public, or it may be revoked at any time for any reason

deemed sufficient by the Town. Gramshammer w'i ll remove, at his expense! the gate
control box, pavers and related structures located on Town property within ten (10)
days after recejving notice of the terminat'i on of this limited ljcense.
6. In the event the removal of the gate control box, pavers and related

1. Approval of minutes of 2/22,/88. Diana noved to approvethe minutes, and Peggy Osterfoss seconded the rnotion. Thevote was 7-0 in favor.
2. Appeal of a staff decision regardinq a home occupationIicense for Bowlinq Alley Pizza at 2754 South FrontaqGRoad. Appellants: Darlene and Steve Schweinsbercr
Tom Braun explained the request for a pizza "for delivery onlyrlservice to be operated out of a residence. There would be nopersonal carry-out or eat-in available. The staff felt thatthe proposed use was not consistent with the objectives of honeoccupation permits. The denial was based primarily on one ofthe eight criteria that determine liuritations on honeoccupations. The criteria states that the home occupation notgenerate significant vehicular traffic in excess of tbattypically generated by residential dwellings. The applicantsstated that they anticipated to generate up to 35 vehiculartrips in and out of their residence.
The zoning code also lists examples of businesses that may notbe considered for horne occupations, and these includedrestaurants or any sirnilar use.
Steve Schweinsberg, one of the applicants, said he had changed
one part of his proposal , j-n that he would deliver the pizza
uncooked. This, he felt, would enable him to combine sorne ofhis deliveries, since he would not be concerned about keepingthe pizzas hot. Thus, he could reduce the nunber of vehicletrips per day.
Torn did not know if this would reduce the number of trips ornot. Diana stated that this would assume that tine is notirnportant to the customer. Peggy agreed with the stafforiginally, but stated that she would look for sone kind ofguarantee concerning the number of trips. Tom replied that

Sid Schultz was the architect for the project. He answeredquestions from the board.
Parn moved and Peggy seconded to approve both the exterioralteration and the variance. The vote was 5-O-I with Sidabstaining.

The applicant is proposing to construct a vestibule at theentry to Pepi's Bar on the east side of the Gasthof
Gramshamrner. (Please see attached sLte plan. ) The entry isapproxinately 28 sq. ft.
The proposal reguires a conmon area variance for the entry.
The allowed comrnon area for the project is 3,208 square feet.
The existing comnon area is 7,601 square feet. On January25th, 1988, the PEC approved a spa having a cornmon area of

NOl.l' THEREFORE, in consideration of the mutual promises and covenants
contained herein, the par"ties agree as follows:
1' The Town grants to Gramshammer a non-exclusive limited license for the
use by.Gramshammer of the area more particularly descri bed in Exhibit A attacheo
hereto and made a part hereof for the follow.ing uses and purposes and no other:
For use of a gate control box and under.lying pavers.
2' Gramshammer shall be fully and solely responsible for the majntenance and
repain of the gate control box and pavers located on Town property. Gramshammer
shall be responsible for any damage to Town property caused by the pracement and
operation of the gate contnol box and pavers on Town property.
3' Gramshammer shail obtain comprehensive public riabir.ity insurance
covering Granshammer's use of the gate control box and pavers on Town property in
the amount of one milljon dollars ($1,000,000) for each incident giving rjse to a
claim for bodily injury or property damage. The Town shall be named as an
addit'i onal insured and a certifjcate of insurance shall be furnished by Gramshammer
to the Town and kept in fuil force and effect throughout the term of this
agreement.
4' Gramshammer hereby agrees to defend, indemnify and hold the Town harmless
from and against a'l I 'l iabilities, judgments, costs (including reasonable attorneys
fees), damages, suits, claims and actjons of any k.i nd on nature by reason of its
use of the gate control box and pavers on Town property.
5' Thjs ljmited license agreement may be revoked by the Town whenever the
Town determines in its sole discretion that it constitutes a nuisance, destroys or
impairs the use of Town property, constitutes a traffic hazand, or the property
upon which the gate control box, pavers and related structures exist is requ.i red
for use by the Town or the public, or it may be revoked at any t.ime for any reason

control box, pavers and related structures'l ocated on Town property within ten (10)
days after receiving notice of the term.i nation of th.i s limited license.
6. In the event the removal of the gate control box, pavers and related
structures on Town land is not accomplished w.i thin ten (10) days, the Town is
hereby authorized to remove same and shall have the right to make an assessment
against the property and collect the cost of removal in the same manner as general
taxes are co I I ected.
