R F C I T A L S
A . Ransburgs are the owners of certain real property
located in Vail , Colorado with a legal description of :
Lot 5 , Block 4 , Vail Village Third Filing , Eagle
County , Col. orado , ar. cording to the p ]_ at recorded in the
records of the Eagle County , Colorado , Clerk and
Recorder ( the " Lot " ) .
B . �IAI is the ocaner of certain real property located
in Vail , Colorado , which is replatted and l. ies between Gore Creek
and the r� ot ( the " Tract " ) .
C . Ransburgs have developed the Lot by constructinq a
residential duplex on the land ( the " Project " ) . As part of its
cc � nstruction c > t the Project , the general contractor employed by
Ransuurgs constructed certain landscaping on the Tract ( the
" Encroachment " ) that in certain locations encroach on the Tract .
D . VAI is willing to permit the maintenance of the
Encroachment on the Tract in consideration of certain
undertakings by Ransburgs .
NOW THEREFORE , in consideration of the Recitals , the
mutual promises contained herein and other good and valuable
consideration the receipt and sufficiency of which are hereby
acknowledged , the parties agree as follows :
l . VAI hereby grants to Ransburgs the right to
maintain the Encroachment , including landscaping , trees and
bushes and a drainage swale , over , under , above and through the
Tract in the locations shown on , and in accordance with , the site
plan provided by Eagle Valley Surveying to Vail , a copy of which
is attached hereto and incorporated into this Agreement ( the

into the Tract farther than identified on the Plat , nor shall any
additional im� rovements be installed on the Tract .
2 . The encroachment ri. gllts granted by this Agreement
and the terms and conditions contained in this Agreement shall
run with the land in perpetuity and shall inure to the benefit of
and be Uinding on the parties and their respective successors and
assigns . Notwithstanding the foregoing , Ransburgs , their
successors and assign � shall remove the trees and bushes from the
Tract at their � ole expense �,� ithin thirty days after demand for
such removal by VAI , weather permitting .
3 . Tlie encroachment rights granted by this Agreement
shall be used ` solely f. or maintenance of the activities and
modifications comprising the Fncroachment and for those
activiti � s reasoriab ]_ y ilecessary for the performance of the
obligations undertal: en by Ransburgs under this Agreement .
4 . In performing their obligations under this
Agreement , Ransburgs shall obtain all necessary permits and
approvals from all applicable governmental authorities and shall
comply with all applicable laws and regulations .
5 . VAI shall not be liable for any loss , damage or
injury of any kind to any person or property caused by or arising
from maintenance of the Encroachment or performance by Ransburgs
of their obligations under this Agreement . Ransburgs , or in the
event any part of the Lot is conveyed to one or more third
parties , their successors in ownership of the Lot , or any part of
the Lot , shall indemnify VAI against and hold VAI harmless from
all liability for any loss , damage , or injury caused by or
� rising from the construction and maintenance of the Encroachment
or performance of their obligations under this Agreement and from
all costs and expenses arising theref_ rom . Ransburgs shall at all
times have in effect a policy of general comprehensive liability
insurance in the amount of $ 1 million per occurrence coveriny
loss , damage or injury caused by or arising from the existence of
the Encroachment .
G . VAI represents and warrants to Ransburgs that VAI
has full right and pocaer to grant the encroachment rights stated
in this Agreement and that no other approvals are required to
grant such rights to Ransburgs .
7 . Ransburgs shall not cause , suffer or permit any
mechanic ' s , materialman ' s or other liens to attach to or be
recorded against the Tract in connection with the work to be
performed by Ransburgs under this Agreement . Ransburgs shall
indemnify and hold VAI and the Tract harmless from any loss , cost
or liability arising out of or. iricurred in connection with any
siicll ] iens .
8 . The parties and their respective successors and
assic� ns shall have the right to enforce , by proceedings at law or
in eqiiity , the covenants , restrictions , rights and duties created
hv t }iis AgreemE� nt . If any actiori is instituted to interpret or
enforce tliis Agreement , the losing party in the action shall pay ,
in addition to any other relief awarded , the attorney ' s fees and

costs of the prevailing party .
9 , This Agreement contains the entire agreement

10 . This Agreement shall be governed by the laws of
the State of Colorado .
