Pursuant to the application for Mr. Carlos Rojas pursuant to Title 13 Vail Municipal Code, Mr. Carlos
Rojas entet'ed into a 49 year lease
Agreement with the Vait Vittage Inn Homeowners Association in 2006. Mr. Rojas has rented the space
known as Unit 101 Vail Village in Plaza, Phase III. On October 10, 2006, I submitted a copy of the lease
with my payment of $300.00 for the DRS Application. I can attest to the fact there is a lease document
in the Town of Vail Community Development Files. The lease is for the following: Mr. Rojas paid
$125,000.00 to rent a 250 square foot space adjacent to Unit 101 for 49 years. Mr. Rojas will pay for the
costs of remodel of such space. Mr. Rojas has been a homeowner at Vail Village Inn Phase 111 for many
years. ThQ lease was prepared by me in 2004. It was signed by Josef Staufer and Carlos Rojas. Should

LEASE AGREEMENT
1. PAR'I'I�S - The parties to this agreement aze:
a. VAIL VILLAGE INN PLAZA PHASE III CONDO ASSOCIATION, a
Colorado nonprofit corporation ("Landlord");
b. GEROCA, S.C., a Mexico corporation ("Tenant");
collectively referenced herein as the "Parties.".
2. PREMISES — In consideration of the promises and payments provided for
herein, tl�e parties agree that Landlord shall lease to Tenant the following real property in
the Town of Vail, Eagle County, Colorado:
That certain real property and improvements depicted on "Exhibit A" attached
hereto and as defined in that certain Memorandutn of Understanding executed on January
9�', 2004, between Landlord and Tenant hereunder, such Memorandum attached hereto
and incorQorated herein) (the "Leased Premises").
3. PURPOSE — The ptupose of this Lease is to provide Tenant with the Leased
Premises located an Association General Common Elements.
4. TERM —(a) The initial term of this lease shall be forty-nine (49) yeazs and
commence on January 1, 2005 (the "Commencement Date"), and end at 11:59 p.m.
Mountain Time on December 31, 2054 (the "Term"), unless otherwise extended in
writing by Landlord and Tenant.
5_ TENANT AND LANDLORD OBLIGATIONS.
(a} Tenant shall pay reason,able legal fees incurred by the Association in
connect�ian with negotiation and execution of this Lease, real and personal property taxes
on and subsequent to the Commencement Date, and any sales taxes directly resulting
from this transaction. Tenant shall bear all construction costs related to the Leased
Premises. Tenaut will be responsible for obtaining any and all Town of Vail permits and
for any fees required by the Town of Vail to secure these permits.
(b) Tenant shall have the unilateral right to extend the initial term of t]us lease by
three or six months, as Tenant may choose, by giving notice to Landlord not later than
two weeks before the end of the initial term_ If Tenant does not give such notice,
Tenant's leasehold rights will terminate at the end of the initial term.
(c) If Tenant holds over after the termination of any agreed leasehold term:, with
Landlord's acquiescence, Tenant's occupation of the Subject Premises shall continue ta
be govemed by this agreement; except that the tenancy hereunder shall be a month to
month tenancy, and require two weeks' prior notice by either party for termi.nation,
except for cause as established in this Iease agreement.
(d) �,andlord represents and warrants to Tenant that Landlord has full authority to
enter into this Lease and grant to Tenant the rights herein. Landlord further
acknowledges and agrees that Tenant may make any and all alterations, additions and
improvements to the Leased Premises; provided, however, that Tena.nt obtains the
requisite governmental approvals prior to any aiterations, additions and improvements.
Upon ternaination of this Lease, Tenant shall remove all personal property from the
Leased Premises at its sole cost and expense. Landlord shall further insure, at Landlord's
expense, the outer building wa1Ls and structure of the Leased Premises upon c�mpletion
of construction, as evidenced by a Certificate of Occupancy. Tenant shall insure, at
Tenant's cost and expense, the contents of the Leased Premises. The Parties acl�owledge
and agree that the Leased Premises shall be treated, for all purposes, as an extension of
Tenant's Condominium Unit Nos. 101 and 102, Village Inn Plaza_
6. ASSIGNABILITY. THIS LEASE IS FULLY ASSIGNABLE AND
TRANSFERABLE BY TENANT IF 'I'ENANT'S REAL PROPERTY IlvIMEDIATELY
ADJACENT TO THE LEASED PREIvIISES IS SOLD. Any such assignment or transfer
shall not require Landlord's consent; provided, however, that the new tenant
acl�owledges and agrees to abide by all of the tenms and conditians set foxth in this
Lease.
7. RENT — As rent for the Leased Premises, Tenant shall pay to Landlord the sum
of $125,000 upon mutual execution of this Lease, which rent represents payment to
Landlord for the entirei3► of the Term. In the event of any default by Landlord hereunder,
L,audlord shall prorate on a daily basis, and refund the prorated amount of rent to Tenant
from the date of Landlord's defauh. Landlord acl�owiedges and agrees that the rent
collected from Tenant includes homeowner association dues for the Leased Premises, and
Tenant sball not be required to pay any homeowner association dues in connection with
this Lease.
8. DEFAiTLT. Any failure by either of the Parties hereto to abide by the terms
and conditions set forth herein shall constitute a defaul� If legal proceedings are brought
by either Party concerning the failure of either of them to observe the obligations
imposed by ttus Lease, the Party found to be at no fault shall be entitled to recover its
reasonabl� attorneys' fees incurred in such pmceeding.
9. APPLICABILITY — This Lease shall bind and benefit the parties hereto, their
respective heirs, successors and assigns.
