NOTES TO ALL APPLICANTS
Time Requirements
The Design Review Board meets on the 1st and 3rd Wednesdays of each month. A complete application
form and all accompanying material must �e accepted by+ the Commun3ty Development Department priar
to application deadlines. A schedule vf DRB rneetings and associated application deadlines may be found

Review Criteria
The proposaE will be reviewed for compliance uvith the Design GuideGnes as set fortE� in Title 12 (Zoning
Regulations) and'Title 14 (Development Standards) of the 7own c�f Vail Mur�icipal Code.
Desiqn Review �oard Meet�ng Require�nents
For new construction and additions, the applicant r�ust stake and tape the praject site to indieate
property lines, proposed building5 and building corners. All trees to be removed must be taped. The
applicant must ensure that staking done during the winter is not bur9ed by snow. All site tapings and
staking must be completed prior to the day of the DRB meeting.
The applicant, or their representative, shall be present at the Desigr� Review Board Hearing. Applicants
who fai! to appear before the Desig� Revi�w Board on their scheduled meeting date and who have not
asked in advance that discussion on their item be postponed, will have their iterns remaved frarn the DRB
agenda untii such time as the item has been republished.
If the D€iB approves the application wit€� conditions or modifications, all conditions of approvaf must be
resolved prior to the issuance of a building permit.
Staff Approval
The Administrator (a member of the planning staFf) may review and approve Design Review ap�lications,
approve with certain modifications, deny the application, or refer the application to the Design Review
Board for a decision. All staff approvals are reviewed by the Design Review Board and any sta�F decision
is subject to final app�oval by the DRB.

PARK EASEMENT AGREEMENT
� THIS��.RK A5E1VfENT AGREE�VIENT (this "Agreement") is made as of the
J?� day vf � d� , 2005, by and between 'VAIL ASSOCIA.TES
HOLDTNGS, LTD., a Colorado corporation ("Owner'�, an d t'he T O W N O F V A I L, a munici p a l
corporation and political subdivision of the State af Calorado(the"Town"}.
FQR GOOD AND VALUABLE GONSIDER.A,TION,the receipt and sufficiency
of wl�ich are �►ereby acknowledged, �Clwner hereby grants to the Tovm, and the Towr� l�erei�y
accepts, an easement (the "Easernent"} upon, across and over the surface of the "Park Ar�a"
(defined below) for the use and enjoyment of the same for recreational purposes that are
cansistent wit41 ordinary uses for public parks vvithin the Town that are of a size comrnensurate
with the Park Area, including,but not limited to,picnicking, sight-seeing, and bird watching (the
"Park Uses"), and also for the sab�,acent support of the surface of the Park Area by thvse
underl�ring subterranean areas owned by the Qwner. The "Park Area" shall mean that certain
rea] property in the Town of Vail, Couatx o�Eagle, Sta.te of Colorado, which is pres�ntly owned
bx Owner and is legally deseribed on Exhibit A attached hereto and incorporated herein by this
reference. The Easement is granted and accepted upon the fotlawing terms and conditions:
1. The Easement shall be far the use and benefit of inembers of the general
pub]zc (collectively the "Invitees'"}, a!1 of whom shall be regarded as invited guests af the Town
for purposes of C.R.S. �33-41-103. It is mutuaily intended by the parties that the Ow�er have
the full benefit and protection af the provisions of C.R.S. § 33-41-143. The Owner specifically
a�,rees that no charge shad4 be levied upon and n4 revenue sha11 be collected frorr� any Invitee for
any entr}�into the Park Area fox the use anc3 enjoyrnent of the Easeanent.
2. The Owner may limit and regulate the scope and extent af the uses to be
enjoyed as Park Uses,especial(y�iven the limited size of the Pazk Area,as determined by Owner
in its ordinary, busin�ss judgment (including, witt�out limitation, regu4ations and �imitations to
protect the 4wner's interests in relatian ta the Park Area}, but after good faith consultation with
and due cansideration of input from the Town,and provided that such�imitatians and regulations
rrau�t be �enerally uniform in nature and may not discriminate between the Owner (or its
successors)and the Invitees in the proper enjoyrnent of the Park Uses. In connection therewi�h:
(a) `Fhe Orvner may post notices vf pertinent �tlili�h0�15 and
regulations. Any infraction of any posted limitation or regulation, or any use or activity
within the Park Area that is unlawful or rnater�aily inconsi�tent with the intended
pu�rpetses of the Easernent, shall be outside the scope of the Easement and may be
regarded hy the Owner as a trespass upon the Park Area. The Owner wilf have rights
against the pertinent Invitee(s)to exercise such rerriedies as may ordinarily be available at
law or equity for a trespass,and may alsa preclude access to affected portians of the Park
Area for appropz�ate �erio�s of time and resort to ather law�ul se[f-help remedies in order
to prevent the continuation or, or mrtigate the �ffects of, any such trespass or series of
trespasses. Owrter will �onsult in gaod faith with the Town befare exercising a�y such
self-help remedy {except in cases of ernergency necessitating imn�edia€e action, as
deterniined by Ovmer in its ordinary business j�dgment).

(b) In connection witl� any enforcement ac#ian far a trespass, awner
wil�be entitled to recaver,from the trespassing Invitee(s), Owner's costs of enforcernent,
including attarneys' fees. Enforcement of Owner's sights under this paragraph 2 will be
at Owner's sqle election, and Qwner will have no abligation to enforce its ri�ghts fur the
benefit af the Town or any Invitees. Own�r will have no obligatio� ta the Town or any
Invitees to establish security�or or otherwise police ar manage activities within the Park
Area. �e Easement rights in favor of the Towrt will include the right xo come upon the
Park Area arld enforce its laws as it may do so in any public place; provided, however,
that the Torvn agrees that it shall solely bear any liability that may result therefrom, and
that it s�all �ay any sums, costs or expenses, including atforneys' fees, that Owner may
incur in connection with any such liability or claim thereaf The Easement will not
include any rights o�the Town to improve or ��ake alterativns or mo�ifications to the
Parl�A.rea.
3. Notwithstanding�he Town's aeceptance of the Easement grant hereunder,
the Town shall not have any obligatian vr responsibility for maintenance of the Park Area, arid
any maintenance to be undertaken will be bame solely b� or through the 4umer. Any
landscaping or other unprarvements to the Park Area will be undertaken in accordance wit12 the
generally prevailing legal requic�ments of the Town as applied ta the Pazk Area {including any
arisang under any applieable design ar develogment plans apgraved by the Tawn).
4. The Easement shall be non-exclusive, and the Owner will retain �11 rigk�ts
to use and enjoy the Park Area for any uses or purpas�s t'it�t are consistent with the Fark Uses as
established hereunder. ]n any event these retained rights may include, without iimitation, the
followin�:
(a) The construction, installation and location within the Park Area of
paved walks and stairs (and snowmelt facilities therefor}, landscaping, park benches, and

also have the right to alter,rnodify,maintain or rernove any such landsea�ing,fumishings
or impraverxients frorn time to time. Al( furnishings and improvements that may '�e
undertalcen shall be in aacordance with the Tawn's g�nerally prevailing development and
design reguirements,as applieable.
(b) Utilities uses, and specifically (and again without limitation) the
grant of easements to utility suppliers for the location, use and enjoym�nt of utility
facilities within the Pazk Area.
{c) The construction, modificatzon, alteration, maintenance, use and
enjoyment within or adjacent to ihe Park Axea of a pav�lion bui�ding, vehicuiaz entrances
and exits, stairs and stairway�, and other improvements and facilities (collectively the
°`Parking Appurtenances")that provide access to or are otherwise associated with the use
and enjoyment of subterranean parking garage facilities to be Located in part under the
Park A�rea (the "Garage"), and access over, on and across the Pazk Area to and from the
Parking Appurtenances. As �art of the Owner's rights under paragraph 2, Owner ma�+

purposes of limiting access to and the use and enjoyment o�the Parking Appurtenances ta
owners of interests in the Crarage and their invitees.
5. Not}►ing herein shall be deemed or construed as a grant or public
dedication of the fee ownership interests in the Park Area, and the Owner shal� retain those fee
ownership interests in ail respects, it being the i�ztenfion of the parties hereto that the soSe
property inteeest conveyed hereunder is and shall '�e the easernent rights in favor of the Town
that constitute the�asennent, as the same is governed by the other provisions hereof.
6. The term of this Agreement and the Easement sha11 be in perpetuity;
provided, however, that in any event �he Tawn shall reta.in the power a�rrd ar�thority to arnes�d,
modify oF terrninate this Agreement and the £asement pursuant to any further agreement r�nade
rnutually with the Owner, which further agreement may be approved and adopted by the Town
by resort to tl�e same�rocedures by which this Agr�ement has been approved and adopted by the
Town.
7. In the ewent any litigation or legal proceeding arises out of this Agreernent
between the Owner and the Town and is prosecuted the final}udgment,the prevailing party shall
be entitled to recaver frarn the other (and the presic�ing ce�urt will be baund to award) afl of the
prevailing partyt's costs and expenses ineutxed in connection therewith, i�cluding reasanable
attorneys' fees.
8. This Agreement shall be binding upvn and inure to tt�e benefit of the
Town a�d the Owner and the Owner's success�ors in interest in the ownership of the Pazk Area.
Referenees herein to the "Owner" shall mean frazn time to tirr�e the party �r parties that are then
the owner and halder of record fee title to the Pa�k Area. Na dwner shall �ave any Liability for
obligations, if any, accnung under this Agreement following ths term of such Owner's
ownership. Any Owner may detegate and assign its rights and abligations hereunder to any
owners' assaciation formed with pawers of govemance in connection with the Garage and Park
Area, and such association shall become solely respansible for those obligations to the extent the
associatian assurnes such obl�gations accruing during the term of the as�ignmen,t and delegation.
Rights ta enforce the Easernent will be and rernain vested solely in the Towt�, and no lnvitee
shall ha�ve any enforcernent rights. The Town may not assigr►os delegate the Easecneni or any of
the Town's�ights or abligativns hereunde�, and at Ow�z�ex's election any purported assignrnent or
delegation by the Town will be null and void ab in�tio and/or constitute a breach by the Town of
this Agreement.
9. This Agreement shall be govemeci by and construed in accordance with
the laws of the State of Colorado.
l0. This Agreement may be executed in counterQarts, each of which shall
const�tute an origina�,and which together sha11 constitute one and the same agreement.
