This fetter is to infarm you that staff has received your rec�uesl to put up a terrEporary constructian fence in
conjunction wit'h the demolition anc� constr�etion of the new Svwiss Haus pro�ect. Staff has determined '
that the Weitz Company, which is holding the fiability for the Swiss Haus construction site, has submitted
a demolition request to the Building Department and Design Review Board application for the Talisman I
on July 23, 2004. The Community Developrnent Department is prepared �o allow you ko instafP a
temporary construction fence �n the Swiss Haus property under the guidance of Leonard Sandoval in the
Public VUorks �epartment. Na bond will be required at this time as long as the fence is located on the
Swiss Haus property. In the eve�t that the demalitian permit or any other delay occurs with this project
causing demolition and/or construction to not begin in a timely manner, the temparary fence shall be
removed by no later than September 3a, 2004. Installation of the temporary constructian wifl serve as
acceptance of th� condition of fe�ce removal in the �vent that demolition ar�d/or construetion have not
begun by September 30, 2004.

wording in the finat agreement was changed from the May 12, 2(l�3 PEC memo due to a number of factors
including thc liming of consiruclion of Q�e two projects.
1 am further ak(aclti.ng a site plan dated 5/12/2003 litled Exlubit'`C" clearl}�depicti«g tl�e areas of
responsibilit}�of the various parties of the Streetscapc Project. Again„the off-site impror�ement plan
submitted by Public Works dated 2/27/2003 was subseqvendy changed far similar reasc�ns described in the
above para�aph,
Finally, 1 like to goint o�t that ihe Sonnenalp Project was completed and received TCO in Decernber of
2U�5. VVhile a number of items w�re noted or►the TCO as conditions, the oulstanding liabilit�'as described
bv the Public Works in summer of 20U7,morc tl�azi 1 ycar after carnpleUOn of the project,was nflt one of
lhem further indicating that all requirements had been snet. Ii is not proper conduct to simply send a bill
long after complctio[�of a projcct and aficr having si�icd off on a projcct bascd onl��on Uic rccollcction oC
a staff inember, who was absent during most af the time the project was actual�}•bui�d,and in clear
contradiclian wiili signed agreemenls and project drawings.

Ladies and Gentlemen:
We are writin�ta confirrn our understandin� regardin� several matters affeeting the
Sonnenalp Resort expansion{on Lot 1 of the recent Sonnenalp resubdivision plat) and the new
Swiss Chalet deve�opment (on Lot 2). As the Sonnenalp addition will proceed under the
ownership of Sonnenalp Properties, Ine., and Swiss Chalet construction will proceed under the
ownership of Dover Associates, LLC, on a different schedule, we hope to clarify sever�.l paints
r�ised in the course of tk�e Towzi's appro��al of our projects, so that we may proceed with
conf dence that aur plans and schedules will meet the expectations of the Town.
L Timing of the Construction and Permitting of the Projecfs
At this time, we antieipaie t�ae foilowing construction and pe�m.itting sequence.
• Under the current schedule for the projects, Dover Assaciates is planning to submit
construction documents for the Swiss Chal�i building and underground parking in the
spring of 2004, to be�in construction later in the summer of 2004. Dov�er anticipates that
completion af this prQject will require 18 months.
• As the schedule stands now, Sonnenalp is planning to submit construction documents far
waz�k to begin (i) on improvements ta the existing Sonr�ena�p hote� st�-ucture in tk�e spring
of 2004, and {ii) on the sub-surface parking (which includcs the Sonnenal� and Talisman
parking structures) and the new addition to the hotel in fhe spring of 2005. Construction
of the entire Sonnenalp Resnrt expansion prqject shnuld be completed in 2006.
� The schedule for construction of the Swiss Chalet currently ca115 for Daver to apply for a
CO for that structure in December 2005.
• Based on tl�e sc�edule as of th�is daie, San.zienalp anticipaies applyin� for a CO for the
Sonnenalp Resort expansian in December 2006.
Vde understand that the ho�el rooms inciud�d in ihe Sor�nenalp addition are critical #�or the
entire project (that is, the Sonnenalp expansion and the Swiss Cl�,alet d:,��elopment) to confarm t�
the zoning regulatians of the Town Code. We also understand that some of the parking spaces
planned for t�e Swiss �arage are required for ihe Sonnenalp Resort expansion to comply with the
Town Code.
At the s�me t3me, we trust that the Town recognizes (1) the substar�tial investzr�ent made
�y each deve�oper to date and (2) the rec�uirements that any confitruction lender will imposc as
conditions for fundin,� each deveiopment. Specifically, we anticipate that each of our lenders
will require, as a cc�nditian to making any loan advance, certainty that once construction on the
financcd project begins, the issuance of a certificate of occupancy for that built�ing will be issued
upon completion of the building in accordance with the a�proved plans, even if, at that time, the
other developer's project has nat�c�n compl�ted. For the purpose of this a�eement, tYte
dpproved plans shall be comprised of complet� civil, site and gz�adin�, architectural, �ooz,
structural, mechanical, plumhing, electrical, landscaping, elevafions, bui�ding sections,
constn�ction phasing, construction staging, fire protection, d�molition plans.
To assure the Town that the irnprovements c�n both lots will c�mply with the Town's
zoning regulations by the completion of construetion of the entire project, the developers are
pro�osing a phasing schedule that demonstrates pre��ress in the requircd eonstrticti�n.
Specifically, if the Swiss Chalet development proceeds ahead of the Sonnenalp Resort
expansion, the d�velopers would agree that Soru�enalp must ohtain a building permit for the
remodcling of the existing Sonnenalp hotel, which will anelude a renovation of the hote� kitchen
and receiving area, expansion af the z�estaurant and spa, and upgrades to ihe guest rooms, as a
condition to the ?own's issuance af a CO for the Swiss Chalet building.
Similar�y, in the event that the schedule for construction should be reversed sa that tlae
Sonnenalp expansion proceeds before ihe Swiss Chal�t d�velopment, Dover must obtain the
rcquircd building permit for construction of fhc new building on tlle Swiss parcel as a condition
to the issuazice of a CO for ihe Son.nenalp additiozz.
In any event, upc�n the issuance of a huilding permit for the work by thc sccond of the
two develapers, the Town wil� be committed to issue a CO for the first developer's project,
provided the frst develaper complet�s ct�nsiruction of that first pr�ject in accordance with the
Town's other requireinents for grant of a CO. The issuance of the buildin� permit far the second
project will confirm the Town's commitment to issue a CO for ttre first project a.s provided in
this lctter a�ove, witl�out a�;y requirement for au}� addition�� agreement b:,tween the Town and
either developer. Each developer ackt�owledges that additi�nal agreements such as financial
bonds may be required by the To��n of Vail for incomplete improvements associatec� with thc
developer's own project, at the time of request for a CO for that project.
In additian, we understaad that the To�nm agrees, in signing this letter, that that the
Town's requirement for re�istrativn af the Swiss Clzalet fractional ownership interest project, if
completed afier the addition t� the Sonnenalp Parcel, will not delay the Town's issuance of a
certifieate of occupancy for the Sor�n�enalp Resort expansion.
2. Strcetscape and llrainage Improvcnaents to �ast h7cadow Drive and VI'ellow
Brid�e R�ad

Sarmenalp and Dover each will be respc,nsible for the construction and installation of the
street5cape improvements on their respective parcels, in accordance with approved plans. To
explain, Dover will c�nstrtict the streetscdpe and drainage impr�vements along the northerly
(East Meadow Drive) and easterly (Willow Bridge Road) frontage of Lot 2. Sonnenalp will
constrtact the streetscape and drainage improvements along the fronta�;e of Lot 1 on East
I'Vleadow Drivc. In addition to the improvements on their res�ective}�arcels, the dev�elcapers will
construct any streetscape azad draina�e improvements conxemplated for the East I`vleadow Drive
and Willow Bridge Rnad right-c�f-ways according to the Town's pians, as depicted on the
appraved plans. The Town a�rees to reimburs� each of the developers for a portion of the cost of
the construction in the righ�.-af-v4ays, as outlined below.
Each developer will include the drawings far tl�e required streetscape and drainage
� im�rovemer�ts, ce,nforming to the plans approved by 1.he Tov�rn, in the developer's app�ication for
its build'ulg permit, artd that application will include the cstimated cost of the strectscape and
drainabe ���ork for the projeet in question, based on competiti��e bids. The TowTr_'s issuance of a
building persnit for the project will constitute the Town's approval of the estimated cost c�f the
streetscape and draina�e irnprovem�nts. If the Town does nc�t apprave the cast, the Town, at its
election, may revise the scope of the streetscape and draina�e work and request revised bids f�r
the modified plans, but the Town's decision a�ainst approving Ehe first estimated cost af the
work, as submitted by the developer in its building permit application, will not delay the issuance
of ihe permit as long as the other portions of the application. meet the Town's regular
requirements. Prior to the issuance of a building permit for the first project, the Town and
developers shall mutually agree upon the scope of streetscape a.nd drainage work to be camp�cted
the Town and the develapers, The scope of work shall be depicted on ihe approved plans.
The'Town agrees that each de�relo�,er will complete the streetscape and drair�age
improvements on the developer's lot, as depicted on the approved plans, (and partially on Tawn
right-c�f-way) to the front of the curb and gutter, concurrently witl�the completion of the building
on the developer's parcel (allowing, however, for any rcasonable delay so that plantin� may
occur outside the winter season), and each developer understands that, to obtain a temporary
certificate of occupancy for its building, the develo�er must eomplete (or provide bond in
accordance wiih '1 own pol'acies) the streetscape arad draina�e impravements on the developer's
parcel, at least to the front of the curh and gutter. In turn, the Tow�n confirms that if the buildings
on�he Sonnenalp parcel and the 5wiss Chalet parcel are constructed on different schedules, the
CO for the first of t��e i�vo buildings to �e comple�ed ��ill not be co7ditioned on the cr�mpletic�n
(or the bonding) of the streetscape �nd drainage iinprovements that are Iocated within the
boundaries c�f the second parcel (or required �n adjacent T�awn ri�ht-af-way).
With respect to the streetscape and draina�e improvements o�atside the lot boundaries, in
the right�of-ways; the developers a�,sree ta coordinate their wQrk so that the construction in the
right-of-ways is completed in one phase, without an}� significant interruption �r delay for any
cause that is within the develQper's reasonable con.tz-ol.
V�Tithin 30 days after the Tovvn issues a C� fur a campleted prqject, the Town r��ill
rezmburse t�e developer of that pro�ect for two-thirds of t��.e approved costs o£'the streetscape
improvements, and for one-half of the approved costs of th� drainage improvements, as depicted
on the approved plans.

� 3. Kayak Take-Out
�
With respect to the Town's plans for imgrc�vements to the kayak exit area near the
Willow Brid�7e Road brid6e over Garc Creek the Town a�7-�ees as follows:

a. Party Respon.sible for the work: The Town or sarne third party, other than
the developers, will perform any work that may be rcquired on the stairs serving the kayak area.
b. Ti_m__inr o�contribution: 7'he developer of the first pro�ect requesting a
buildinb permit shall submit a payment to the Tawn in �he aniount of$10,0(}Q for the cost of the
kayak tal:e-out stair construction to be perfozmed by the Town or some third party. Payment
I shall be made priar to the issuance of a building permit.
c. No Condition ReQardinQ_the Pro'e� cts. The Town's grant of a certificate of
occupancy for the Sonnenalp Resort expansion and for the Swiss Chalet dev�lopn�ent will not be
conditianed on the commencernent or completion of the Town's work on the kayak area.
4. Ernployee Housing Units
Beforc citl�er ofthe two developers applies for a building permit relating ta its �roperty,
Sonnenalp will sign and record with the Eagje County Clerk and Recorder, a deed restriction in
form reasonably appraved by the Community Development 17epartment c�f the Town, tio limit
Units 24, 25 and 26 in the Solar Vail Cflndominium project at 501 North Fronta�e Road for use
as employee housing.
5. Binding Effect
This Ietter is intended to bind and benefit the Town and the develQpers and their assi�,ns,
so that each of the parties may re�y on the agreements set forth abovc without concern for any
chan�es in the Town Code, the Town's policics or the Town's representativ�s, and without
regard to aily cl�an��s in the parties who proceed with the construction of the de�elopment on the
Sonnenalp and Swiss parcels. Any Iender who extends construction financin�;ta the developer
of the Soniicnalp addition or the new Swiss Ch�let project will alscs be entitled to rely on the
agreements set fc�rth ab�ve and to a�ccept a collateral assignment of the developer's rights and
�bli�ati�ns under this lettu:.
Each of the individuals si�nin�this letter on behalf afthe developers beIov��represents
that he holds the pow�r and au.thority to bind the developer for which he is acting. Further, the
�ffieial si�nin�this letter on behalf of the Town has the power and authority to bind the Town to
this agreemenl.
If t�is letter eorrectly sets forth aur understanding r�garding the matters set farth at�ove,
pIcase have two copies af ihis letter executed on behalf of the Town by its authorized
representative, and return the copies fio us for our records.
