Last night the board approved your request to install two air conditioning units on the west side of your unit, below the deck, as shown in the diagram and the picture you provided the board. As mentioned before,this is conditioned upon the signing of an "encroachment easement"that places all responsibility along with any direct and/or consequential damages on the owner(s) of unit 2. It also requires compliance with the condo declarations concerning visual appearance and noise.This encroachment easement will be drafted by the attorney for the HOA, Dan Reynolds, signed by you as the unit owner and then filed in Eagle County prior to installation.This is required so future owners will be aware that the air conditioning is the responsibility of the owner, not the PPC HOA. All costs associated with the legal work, coordination by any agent of PPC(OAC, GE Johnson, McNeill etc. )will be your responsibility and will be billed to you by the attorney and/or the HOA. This was done for unit 11 & unit 16 for improvements they requested.The approximate cost of the legal work will be$ 1000 but will billed on a direct time basis of$ 195/per hour,so it could be more or less. Any cost of the agent of PPC will be billed by the agent or the HOA. I have attached the encroachment agreement that was required of unit 11. It covers two items in addition to their air conditioning, but will give you a good example of the document that you will need to sign to move forward. Please review and let me know if you want to proceed. I will ask Dan Reynolds to prepare an agreement and promptly get it to you once you have told me you wish to move forward. Jeff Hanes 816-805-3591 1 ENCROACHMENT AGREEMENT THIS ENCROACHMENT AGREEMENT (this "Agreement') dated the 5th day of May, 2013, is by and among Yevgeny Rubin and Margarita Rubin, their successors and/or assigns (collectively hereinafter, "Unit 11 Owner"), and Potato Patch Club Condominium Association, Inc., a Colorado nonprofit corporation (the "Association"). Unless otherwise defined herein, capitalized terms shall have the same meaning ascribed in the Declaration. RECITALS A. Unit 11 Owner is the owner of certain real property and improvements legally described as: Condominium Unit 11, Potato Patch Club Condominiums, according to the Condominium Map recorded March 13, 1979 in Book 282 at Page 819, according to the Condominium Declaration for Potato Patch Club Condominiums, recorded March 13, 1979 in Book 282 at Page 818, as Reception No. 179225, County of Eagle, State of Colorado ("Unit 11"). B. The Association governs and administers use of the Common Elements for the property known as Potato Patch Club Condominiums located in Vail, Colorado (such Common Elements,the "Association Property"herein). C. Unit 11 Owner hereby acknowledges that it intends to construct, install, repair, replace and maintain a below grade window well attached to Unit 11, together with all necessary structural support components (the"Window Well"). D. Unit 11 Owner hereby acknowledges that it intends to construct, install, repair, replace and maintain a hot tub adjacent to Unit 11, together with a concrete slab and utilities necessary to support the installation of the hot tub (the "Hot Tub"). E. Unit 11 Owner hereby acknowledges that it intends to construct, install, repair, replace and maintain an air conditioning system attached to Unit 11, together with a concrete pad and all necessary utilities (the "Air Conditioning System"). F. The Window Well, Hot Tub and Air Conditioning System are collectively referred to hereinafter as the "Unit 11 Improvements." The Unit 11 Improvements are generally depicted on Exhibit A attached hereto and incorporated herein. E. Based on the description of Common Element in the Declaration and Map, the Unit 11 Improvements will encroach into Association Property. F. The Association desires to grant a license to the Unit 11 Owner for the encroachment specified herein, upon the terms and conditions further described below. AGREEMENT NOW, THEREFORE, in consideration of the recitals, the mutual promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. Encroachment Area. Subject to the terms and conditions set forth herein, the Unit 11 Improvements shall be and remain Limited Common Element, and shall be governed by the terms and conditions of the Declaration, including,but not limited to, the terms and conditions of Section 30.5 of the Declaration regarding nuisances. The Association acknowledges such encroachment of the Unit 11 Improvements onto existing Common Element and grants a perpetual, non-exclusive license for the benefit of Unit 11, on, over, and across the portions of Common Element necessary to construct, install, maintain,repair and replace the Unit 11 Improvements (the `Encroachment Area"). 2. Construction. The Unit 11 Improvements shall be installed and constructed in accordance with the Association's Architectural Control Committee approval and match existing Potato Patch Club specifications. Any changes or modifications thereto shall require further written approval by the Association Board prior to installation and construction of the Unit 11 Improvements. 3. Maintenance Obligations. The Unit 11 Improvements shall be and remain maintained, repaired and replaced, as necessary, by the Unit 11 Owner in accordance with the Declaration. Any and all costs to maintain, repair and replace, as necessary, the Unit 11 Improvements shall be paid by the Unit 11 Owner, at such Owner's sole cost and expense. 4. Limitations. Unit 11 Owner acknowledges and agrees that at no time shall any attachments be made to the Unit 11 Improvements as to create any additional load bearing and/or any appearance which deviates from the rest of the exterior of the Potato Patch Club Condominiums. 5. Restoration Obligations. In constructing, installing, repairing, maintaining and/or replacing the Unit 11 Improvements, as required by the Association, the Unit 11 Owner agrees to properly repair, replace or adjust any disturbed area adjacent to and/or contained in the Encroachment Area at the sole cost and expense of the Unit 11 Owner. In the event the Unit 11 Owner fails to perform such responsibilities within a reasonable period of time according to the Association, the Association may elect to perform such responsibilities and assess the Unit 11 Owner and the Unit for such costs and expenses. 6. Indemnification. The Unit 11 Owner shall indemnify and hold the Association, its members, officers, directors and agents, their successors and assigns, harmless against any loss or damage to the Potato Patch Club project, including, but not limited to, the Unit, Common Elements and surrounding Units which result from, arise out of, or are attributable to the Unit 11 Improvements, including, but not limited to, construction, installation, maintenance, repair and replacement of the Unit 11 Improvements and use of the Encroachment Area. 7. License. In the event the Air Conditioning System or Encroachment Area for the Air Conditioning System creates liability exposure to the Association, its members, officers, directors and agents, as determined by the Association Board, the Air Conditioning System, the Encroachment Area, and any and all adjacently impacted areas, shall be immediately repaired and/or remedied by the Unit 11 Owner. In the event the Air Conditioning System, the Encroachment Area, and any and all adjacently impacted areas are not adequately repaired and/or remedied to the Association's satisfaction, then the Air Conditioning System, the Encroachment Area, and any and all adjacently impacted areas, shall be deconstructed and/or restored, as applicable, to the condition existing as of the date of this Agreement. Any such deconstruction and/or restoration shall be performed at the cost and expense of the Unit 11 Owner, and subject to final approval by the Association. Upon final approval by the Association, this Agreement shall terminate. 8. Runs with the Land. The encroachment right granted hereunder shall run with the land and shall inure to the burden and benefit of the Unit 11 Owner, its successors and/or assigns, so that a transfer of title to Unit 11 shall automatically transfer the benefits and burdens of the encroachment and license rights under this Agreement. 9. Entire Agreement. This Agreement contains the entire agreement between the parties and no term nor provision hereof can be modified, altered, or amended, nor can any term or provision hereof be waived, except in a written agreement executed by all parties. If any provision of this Agreement is declared by a court of competent jurisdiction to be invalid for any reason, such invalidity shall not affect the remaining provisions, and this Agreement shall be construed and enforced as if such invalid provisions had not been inserted herein. 10. Default. In the event of a default under this Agreement, by any party, the non-defaulting party shall have the right to enjoin the continuance of such default (the parties hereby waiving the posting of any bond and stipulating that a default of this Agreement by a party inflicts irreparable injury upon the non-breaching party) and, in addition, shall have the right of specific performance, damages or both, against the defaulting party, including interest, costs, expert witness fees, and reasonable attorney fees. 11. Execution. This Agreement may be executed by facsimile and/or in any number of counterparts, any or all of which may contain the signatures of less than all of the parties, and all of which shall be construed together as a single instrument and shall be binding upon all parties as though originally executed on one originally executed documents. All facsimile counterparts shall be promptly followed by the delivery of original executed counterparts. 12. Amendment. No amendment, alteration, modification of or addition to this Agreement shall be valid or binding unless expressed in writing, signed by the parties bound thereby. 13. Governing Law. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Colorado, and venue shall be proper in Eagle County District Court. 14. Survival. Any and all warranties, provisions, rights and obligations of the parties herein described and agreed to be performed subsequent to the execution of this Agreement, including, but not limited to restoration, shall survive the termination of this Agreement. 15. Professional Fees. Any and all professional costs and expenses incurred by the Association related to the Unit 11 Improvements and enforcement of this Agreement, including, but not limited to, attorneys' and surveying fees and costs shall be paid by the Unit 11 Owner.
