Terms of payment: Invoices shail be submitted by the consultant monthly for progress payment,are due upon presentation,and shall be
considered PAST DUE if not paid within 30 calendar days of the invoice date.
Past Due Balauces:If payment is not received by the Consultant within 30 calendar days of the invoice date,the Client shall pay as interest an
additional charge of 18%per annum. In the event that legal action is necessary to enforce the payment provisions of this Agreement,the Client

CLAUSES:
1. General Contractor or builder is responsible for layout. A benchmark (with Actual
and Datum elevations), layout stakes, and cut and fill stakes with offsets must be
supplied for the excavator. We also need a point plot sheet and coordinates on
disk from the surveyor.
2. No blasting or large rock removal over 1.0 cubic yard is included in these prices.
Rock removal and blasting on rocks larger than 1.0 cubic yards will be done on a
Time&Materials basis. This also includes shale and bedrock excavation.
3. It is assumed that our present insurance is acceptable. There is no bond included
in this bid.
4. No over excavation or re-compaction due to unsuitable soils encountered during
excavation.
5. No soil tests are included in this bid.
6. All weather related costs are excluded from the bid. Any work done under frost
conditions will not be warranted against settlement. No frost protection is
included.
7. All extra work will need to be authorized by General Contractor or owner through
a work authorization form. Please contact McArthur's for forms.
8. Any import or export of dirt will be on a time and materials basis.
9. Water source and water for any purpose (i.e. compaction, dust control, street
cleaning, etc.) is to be supplied by the owner onsite at no additional charge.
10. No asphalt or placement thereof included in this bid other than the 200 sf. in water
line street cut.
11. Unit prices to prevail on all utilities and drains. Actual footage to be paid by field
measurements.
12. We have assumed all utilities are stubbed out onto the lot and marked. Any time
spent finding an unmarked stub-out will be charged T&M.
13. All utilities will be run froln the existing stub-outs to within 5' of the building
foundation. We are not permitted to install water or sewer inside the building.
14. No street cut bond included.
15. No materials included for electric. Trench excavation and backfill only.
Electrician is to be on-site to install PVC with trenching crew.

16. All sub-contractors and materials will have a 15%handling fee placed on costs
and applicable taxes for work under Time &Materials basis or Allowance items.
17. No dewatering included.
18. No clean up or re-grading a$er other trades.
19. Average stripping depth assumed to be 2.5' per test pits dug.
20. No construction fences, fences around trees to be protected, or erosion control,
other than above mentioned silt fence, are included.
21. There is no shoring included in this proposal. Excavation will be laid back to
meet OSHA requirements or to the limits of disturbance or property line. This
may or may not meet OSHA requirements. If shoring is necessary to meet OSHA
requirements, additional costs will be incurred.
22. If Mcarthur's is awarded the job, we request an additional set of prints for the
field. We will need 2 copies of any subsequent prints.
23. These prices are valid for 30 days.
24. With the volatile fuel market, McArthur's Reserves the right to charge a fuel
surcharge if fuel prices continue to escalate.
25. Any item determined to become an allowance item will be treated as a budget
only, over-runs and under-runs are possible.

necessary for Lafarge to perform services. Customer shall provide traffic control if required.
Lafarge shall not be responsible or liable for damages incurred to subterranean structures or
utilities not called to Lafarge's attention.

PERSONAL AND CONFIDENTIAL ANNUAL CONTRACT
CALCO CONCRETE PUMPING, INC., herein referred to as Calco, agrees to furnish Solaris Property Owner, LLC, herein
referred to as Contractor, Schwing, Concord, and CIFA concrete pumping equipment, operating personnel, management
supervision, and any additional equipment deemed necessary, or upon request by Contractor, in order to successfully
perform the concrete pumping services on all, but not limited to, Colorado and Wyoming construction projects of
Contractor. In addition, Calco reserves its intent to bid projects in other areas should Contractor bid projects outside of
this defined area.
The terms and conditions of this contract shall apply to all projects commenced through December 31, 2013, including
projects that are underway but not complete as of the end of the contract. A five percent(5%) annual inflation
adjustment will apply to rates on projects still under construction at the end of the contract period and each year
following. Contractor accepts the following terms and agrees to award Calco the complete concrete pumping
requirements of Contractor's Colorado and Wyoming Project.
EQUIPMEN� RATES: Calco will charge an hourly rate of time on job, cubic yards pumped, mobilization, plus
miscellaneous charges as stated in this contract,subject to the base rate. Equipment not listed in this contract and
supplied by Calco will be quoted at current market price negotiated between Calco and Contractor.

FUEL SURCHARGE: A minimal fuel surcharge will be assessed the total of a job ticket and is subject to increase or
decrease,accordingly,with the price of diesel fuel.
OFF SITE WASHOUT: Additional time required to wash out off site and any additional fees required such as dump fees
will be the responsibility of the contractor and added to the job ticket, unless prior arrangements have been made.
PERVAILING WAGE: Calco reserves the right to submit a contract favoring the Davis Bacon wage requirement for
specific projects based on estimations derived by the rates in the Equipment Section above. $50 per week will be
charged to administer certified payrolls.
TAXES: All applicable taxes assessed on our services, including sales tax on the rental of the concrete pump and/or
additional equipment, are the responsible of Contractor. Sales tax is assessed on equipment rental (51%of time on job
and mobilization or travel) and charges for yards pumped. Labor is exempt from sales tax in Colorado. No sales tax is
assessed outside of Colorado.
SYSTEM RENTAL: Concrete delivery system, including clamps and gaskets, left on site will rent at:

PER DIEM: Should a pour(s) require an overnight stay, per diem will be charged as one (1) hour at the hourly rate of

LABORER: We will provide an operating engineer(s)to complete your project. You will provide a laborer(s)on projects
requiring line through the duration of the pour. Previous set-up time performed by a laborer(sj supplied by Calco is
$65.00 per laborer(s) per hour port to port. Contractor will provide a laborer to assist with setup and break down of the
55m and the 65m pumps.
SLURRY: Slurry will be charged at$15.00 per bag.
OVERTIME: A request for a pump on Saturdays,time on job or mobilization prior to S:OOam or after S:OOpm,or time
on job over eight hours,will be charged an additional$30.00 per time on job hour. The labor charges of the job ticket
will be doubled when pumps are requested are on Sunday or a holiday.
MINORITY STATUS: Calco is certified WOSB,SBE with RTD-Denver,SBE City and County of Denver. DBE, 8A,and ESB
certifications are pending approval.
RENTAL TERMS AND CONDITIONS: Calco, whom shall be referenced in this section as Lessor, hereby agrees to lease
the concrete pumping equipment described and furnishes operational personnel to Contractor,who shall be referenced
in this section as lessee, heretofore named subject on the following terms and conditions.
1. NO OTHER AGREEMENT: Except as otherwise mutually agreed in writing,this document constitutes the
complete agreement of the parties and supersedes all other agreements or understandings written or oral. If any

rr�vision herein is invalid, it shall be considered deleted from this Lease and shall not invalidate the remaining
F� isions of this Lease.
f 2. INDEMNIFICATION AND RISK OF LOSS: Lessor and Lessee agree that the leased equipment and all persons
operating such equipment, including Lessor's employees, will be under Lessee's exclusive jurisdiction, supervision, and
controt during the time such equipment and operators are on the Lessee's job site;the Lessee agrees to indemnify
Lessor against all claims,actions, proceedings, costs, damages,and liabilities,arising in any manner out of,connected
with,or resulting from the operation or handling of the leased equipment on Lessee's job site, including, without
limitation, any injury,disability,or death of a workman or other persons,and any loss or damage to property,whether
the liability, loss or damage is caused by,or arises out of the negligence of lessor's employees or otherwise. Lessee's
duty to indemnify hereunder shall include all costs or expenses arising out of,or connected with, all claims specified
�Prein, including all court and/or arbitration costs,filing fees,attorney's fees and costs of settlement; and Lessee further
ees to indemnify Lessor against all loss of or damage to the leased equipment which occurs while said equipment is
on the lessee's job site.
3. RESPONSIBILITES OF LESSEE: To provided a pumpable mix, in terms of graduation of aggregate, slump,and
batching of concrete for the designated pumping equipment;to provide sufficient on-site access,set-up areas,and
adequate wash out areas for the pumping equipment;to provide adequate notice of change of schedule to Lessor; and
to provide hoisting of pumping equipment,to provide backup means of completing the job in the event of breakdown of
Lessor's equipment. Lessee shall be solely responsible to provide a safe and acceptable site for use of all equipment and
personnel, including but not limited to location, identification and avoidance of underground utilities, soil conditions,
and other potential hazards.
4. LIMITATION OF WARRANTIES: Lessee acknowledges that the leased equipment is of a size, design, capacity
and manufacture selected by Lessee. Lessor has not made, and does not make any representation,warranty,or
covenant, express or implied, with respect to the condition, fitness, merchantability, quality, durability, or suitability of
the leased equipment. Lessor shall not be liable to Lessee for any liability, loss, or damage caused or alleged to be
caused directly or indirectly by the leased equipment, by any inadequacy thereof, or defect therein, or by any incident in
connection therewith, including, without limitation any loss, delay,or stoppage, due to breakdown, concrete loss,failure
of the leased equipment, or from late arrival for a scheduled pour.
5. CONSEQUENTIAL DAMAGES: Calco shall not be liable in contract,tort or otherwise for special, indirect,
incidental or consequential damages. No representative or person is authorized to assume for Calco any other liability in
connection with the lease of the equipment. In no event shall Lessor's liability for any claim arising under this contract
exceed the total compensation paid to Lessor hereunder.
6. TOTAL LIQUIDATED DAMAGES: Notwithstanding the foregoing, however, the Lessee may claim a back
charge as liquidated damages, constituting an amount which shall not exceed the total rental price chargeable for one

'"' day, for the Lessee's cement mason's overtime labor cost actually incurred by Lessee,as a result of either a late
�val of leased equipment for a pour scheduled after 10:00 am:or leased equipment which is mechanically defective
and inoperable prior to arriving at the job site, less the first one (1) hour of such existing defect.This paragraph provides
all damages that may be claimed against the Lessor.
7. SUSPENSION OF OBLIGATIONS: The obligations of Lessor hereunder shall be suspended to the extent that it
is hindered or prevented from complying herewith because of labor disturbances, including strikes and lockouts, acts of
God,fires,storms,accidents,governmental regulations,or interferences of any cause whatsoever beyond the
reasonable control of the Lessor.
8.TERMS OF PAYMENT: Full payment of rental charges,according to reverse side, is due upon billing. Two
percent(2%) per month service charge,compounded monthly,will be assessed on accounts over thirty(30)days or the
maximum legal rates permissible by law,whichever is less.
9.TAXES:All taxes or assessments on our services are to be paid by customer. Sales tax will be collected by
Lessor.
10.The parties to this contract consent,at the opinion of Calco Concrete Pumping, Inc.to the venue of the
Courts of Eagle County and the State of Colorado District Court located in Eagle County and the United States District
Court in the District of Colorado. Locale of any arbitration will be in Eagle, Colorado.This agreement shall be governed
by Colorado law.
LATE CANCELLATION: A ten hour notice of cancellation is required for scheduled pours within the pumps local radius
of travel. A minimum of 24 hours notice of cancellation is required for scheduled pours requiring the 55m and the 65m.
Otherwise, any accrued time on job and travel will be charged or the base rate,whichever is greater. Please allow one
and one-half hours for the 55m and the 65m pumps to set up and extra time to travel.
�4 �ITIONAL EQUIPMENT: Available system sizes are 2-1/2", and 4". Wall pipes, double 90's or"S"tubes are also
available. All booms are insulated should your project go into winter. We appreciate a 48 hour advance request for
additional system and a two day request for the pump prior to the pour.
PAYMENT TERMS: Payment in full is due in 45 days. Late fees of 1.2%will be assessed at 46 days, 60 days and each
additional 30 day increments until outstanding balance(sj are paid in full. The minimum late fee is$25.00.
SAFETY POLICIES: Calco proudly puts safety ahead of production. Concrete pump overhead boom inspections are
°ent per the manufacturer's specifications. Operating personnel are American Concrete Pumping Association (ACPA)
�;�_�ty certified. Equipment and personnel are compliant with the Department of Transportation (DOT). Hazardous
Communication Material data sheets and Calco's safety policy and practices are available upon request. Calco agrees to
conform to Contractor and Prime Contractor job specific safety policy(s)and related requirements.
RENTAL PERIOD: The above rates are applicable upon execution of this contract to perform the concrete pumping
services on all Colorado mountain projects through
ACCEPTANCE OF TERMS: By signing below, Contractor and its representative(s) accept the terms and conditions of
this agreement. Proceeding with work constitutes acceptance of these terms without a written signature.

� 1.The above proposal is meant to constitute an offer from Rio Grande Co.,Rebar Services Division("Rio Grande")under the
terms contained therein and under these Standard Terms and Conditions to Sales Agreements.
2.No federal,state or local taxes are included in above prices. Prices are subject to change due to inclusion of federal,state
or payment bonds. Buyer shall be responsible for all taxes incurred and the cost of any and all bonds required by Buyer.
3.Prices are F.O.B.Jobsite,truck delivery,unloading will be a charged at$55.00 per hour for every hour Rio Grande trucks
trucks are detained after the first iwo hours,such charges to be incurted at the beginning of each hour for which the trucks are
detained.Signed delivery tickets will be concfusive of delivery of the materials described,the quantities listed,and receipt in good
and undamaged condition.Buyer shall carefully check and count materials immediately upon arrival and no claim for shortage will
be allowable unless written notice of any deficiency is given to Rio Grande within three working days after delivery.
4,Terms are net 30. All past due accounts shall bear interest at the rate of 1 1/2%per month and that the right of Rio Grande

7,Sales and delivery of materials by Rio Grande shall be subject to the credit terms of Buyer's credit application and reliance upon
the original and continued accuracy of the financial information furnished by Buyer upon personal guarantees provided,but in no
event shall this paragraph be interpreted so as to incorporate any of Buyer's terms into the parties'agreement.
8,in the event Buyer's acceptance is in the form of a purchase order or other kind of document,the provisions,terms and
conditions of this proposal shall govern in the event of a conflict.In the event of any conflict between these Standard Terms
and Conditions to Sales Agreements shall take precedence and shall controi,notwithstanding any other provision in any
document or any statement or representation to the contrary.
9,In the event that the project is delayed andlor Rio Grande's deliveries are otherwise postponed,for any reason on account of
circumstances beyond its control or in the event that Rio Grande's raw material or supply costs necessary for the subject project are
increased,regardless of delay in delivery beyond its control,Rio Grande shall be entitled to an equitabie adjustment to the price quoted
in this proposal.
10,Placing drawing processing shall conform to CRSI/ACI standards and Rio Grande shall not be required to provide an engineer's
seal o�its drawi�gs.Placing Drawings are provided only for the materials furnished by Rio Grande Co.and are to be used,in
conjunction with the Design Drawings,only for the installation of those materials.
11,Buyer may request changes in the materials to be furnished under the contract,within its general scope,provided that such
changes shall not be effective,and Rio Grande shale be under no obiigation to perform such changes,unless and until the parties
mutually agree,in writing,upon price and delivery dated adjustments.Materiais to be supplied by Rio Grande are to conform to the
drawings and,unless inconsistent with those documents,the current provisions of CRSUACI sta�dards.

14,Rio Grande will use reasonable efforts to meet delivery dates established by schedules to be mutually agreed upon.

investigate,inspect and carect the alleged error or defect giving rise to the c�aim.
18,Rio Grand will not be responsible for payment of any costs for testir�or inspections of materials fumished by it by outside
laboratories or tes6ng organizations.
19.Rio Grande's proposal is made upon the understanding and agreement that Rio Grande is to provide substaMialiy all of the materials
of the same nalure required for the subject project.The pr�e shali be equitably increased in the event of a change in the scope or in
the quantities or rypes of materials to be Turnished,or increase in raw materiai costs arising or incurred after the date of this proposal.
Until fully paid for,tiNe and ownership and right to possession of the materials fumished or to be fumished by Rio Grande shall remain in
Rio Grande.In the event that the Buyer shall become insolvent,or refuses or neglects to make payments due to Rio Grande,Rio Grarxie
may at its op6on with or without process of law,retake possession of any and ail of its materials,wherever the same may be found.
Buyer's account shall then be credited with the then market value of materials repossessed,less costs incurred in the repossession,
storage and handling.Rio Grande's right to repossess its materials shall be in addition to and not a limitation upon or waiver of its
other legal rights.
20,Rio Grande may,at its option,suspend deliveries,except fa cash,if in its opinion,the credit of Buyer has become impaired and
8uyer shall then be required to provided assurances of payment evidence of its abNity to pay for materials upon the agreed terms
satisfactory to Rio Grande betore resumption of deliveries.

PAYMENT&APPROVAL
The purpose of our providing a proposa( or entering into any agreement subsequent to this proposal is to
further secure our entitlement to payment for the full and faitllful performance of the work described in this

fully paid. We will receive partial payments as the work progresses. Payments to us shall inciude payment

SCHEllULE AND LEAD TIME
The schedule is as yet undefined or difficult to project at this time. We have made our best guess as to the
timing of this project and incorporated those assumptions into ti�is proposat. Myers&Company shall make
every effort to adhere to this,although clianges in the preeursor activities may cause delays to our portion of
the project. Our fabrication and erection schedule is set based on "approved for fabrication" drawings
submitted by the client.
Myers&Company's proposal is based upon the performance of the work required during norma(business
hours or as specifically referenced by the ptans and specifications available at the time of our proposal.Any
delays or accelerations caused by the Owner, and General Contractor,or by others shal(not cause additional
cost to Myers&Company. We expect that every effort will be made to insure adequate lead time on all
aspects of this project,by all concerned, in order to assure a professional finished product tliat we can all be

$ CHANGES AND ADDITIONAL COSTS

based upon a written change order form or written modification of our proposaL The existence of a signed
change order form,signed by a representative of the General Contractor,with the apparent authority to sign
such a form will be deemed conclusive with regard to any dispute that may arise concerning compensation
for such changes in work.
Pricing of changed w�rk will be based upon standard labor rates and/or material charges in effect at the time

SUBSEQUENT AGREEMENT
Myers&Company proposals are based on the Consensus Docs 750 standard forrn of sub-contract as
published by the Associated General Contractors(AGC). We suggest tl�at this be used as the basis for any
subsequent agreement. Any other agreement or one containing terms and conditions that we consider to be
more burdensome than those contained in 750 may cause additional costs to Myers&Company beyond

and Conditions referenced in the American Subcontractors Association(ASA) Addendum to Subcontract

We hereby submit this estimate based on plans dated 06.05.2013 for:
Sprav-Applied Waterproofing Svstem at Foundation Walls
Pricing to supply and install Tremco Barrier Solutions TLTFF-N-DRI water-based,polymer-
enhanced waterproofing membrane by spray including all required components. The membrane
will be applied in one coat at 60-mils wet to the exterior face of the basement, crawlspace and
garage foundation walls, from top of grade extending down to the bottom of the footer including
three common walls. Owens Corning's 2-3/8", R-10,WARM-N-DRI
drainage/protection/insulation board will be applied over the waterproofing extending down to
the bottom of the wall to complete the system. The scope of work to be completed in two days
and is based on 6,408 SF of waterproofing and 5,566 SF of board.
A 30-year warranty is provided with this application if conditions from notes and
=�� clarifications are met.

Hot Fluid-Applied Waterproofing Svstem
Pricing to supply and install American Hydrotech's Monolithic Membrane MM6125 215-mil
hot, fluid-applied,reinforced, waterproofing system including all required components. The
waterproofing will be applied to the concrete substrates of the Side-B first level Terrace,the
Side-A upper level Entry Walkway and the Garage-A structural floor over Garage-B. This
system will consist of primer, uncured neoprene flashing at all horizontal to vertical transitions, a
90-mil coat of hot rubberized asphalt, fiilly embedded reinforcing fabric, a 125-mil coat of hot
rubberized asphalt, covered with Hydroflex 30 protection course. After 24-hour water test,
Hydrotech's Hydrodrain 400 drainage composite will be applied over the waterproofing to
complete the system. The scope of work is to be completed in three days and is based on 1,041
total square feet including all wrap-ups and wrap-downs.
A 10-year manufacturer's watertight warranty is offered with this application if conditions
from notes and clarifications are met.

Notes and Clarifications:
1. If a contract is to be issued for this project,AAA must have a copy of the contract submitted
to our office no later than five(5}business days prior to start of work. If a contract is not
received within five(5) days, the contract will not be processed.
2. AAA Waterproofing is to have fizll and sole access to a dry,clean, smooth and firm
substrate that is and free of dust,mud, loose mortar,wires, fins, ties,metal projections or
any other substances which might prevent proper bonding of a continuous�lm.
3. All substrate corrections are to be repaired by others prior to our arrival onsite, and must
meet Manufacturer specifications.
4. All grade lines to be set by the contractor.
5. Foundation walls/grade beams must have at least three feet(3')of clearance from side of
bank. Additional charges may apply for poor access to foundation and steep and/or tight
cuts. Dig out of cave-ins is by others.
6. All penetrations must be in place or stubbed out and grouted solid by others prior to
waterproofing/insulation application.
7. 11 angle irons for brick ledges must be installed and in place prior to waterproofing
application. Warranty will be voided if angle irons are installed after waterproofing
application and membrane is penetrated.
8. Any CMLT block being used as a brick ledge cannot be placed up until all waterproofing is
completed. Leave out every 4`h block in the bottom 1 St course only and fill with gravel from
exterior drain system to allow water to escape from behind the blocks. If the CMU is put up
before waterproofing is completed, this will void all warranties.
9. Gravel from exterior drain system must go up onto WARM-N-DRI board an average of 10"-
16"to qualify Owner for Manufacturer Warranty. The perimeter drain system must
positively channel the water to either an operating sump pit with mechanical pump or to
open daylight.
10. All metal flashings, flexible flashings, air infiltration barriers, and other flashings not
included in this estimate are to be supplied and installed by others and are specifically
excluded.
11. Concrete must be cured for at least 21 days, and deck to wall joint must be in place before
start of work.
12. Suitable location for kettle must be provided by the General Contractor to allow for proper
access and mobility of hot material to areas that will be receiving the waterproofing
application.
13. Closing-off of deck drains and other deck penetrations to prevent spillage and migration of
waterproofing fluids is to be completed by the GC.
14. Water source is to be provided by GC.
15. If work is required when unsatisfactory weather conditions exist, all tenting and/or heating
to achieve adequate application conditions is to be by others.
16. The open-hole excavation must meet all OSHA standards for a safe working condition and
will be the responsibility of the General Contractor.
17. Any mobilizations required beyond indicated amount will be charged at$50.00/Hour per
man(two man crew is typical) for all additional load and travel hours associated with
additional mobilizations.

CONDITIONS:
1) MATERIALS: Please be advised that materials for this proposal have been bid at current market prices
and cannot be guaranteed past 30 days. A.G.Roofing reserves the right to increase the proposal amount
to meet the increase in material cost. Any extra material not indicated in proposal will be charged as an
extra.
2) RER : A.G.Roofing Company will provide and install materials indicated by homeowner, any change
orders will be charged accordingly. If A.G. Roofing has to take off gutters or heat tape to prevent
damages, it will be charge on T&M (time and material basis at $55.00/hr.). If for any reason the roofing
supply company cannot deliver the material (drive way blocked, truck too heavy for the drive way,
etc...} A.G. Roofing Company will rent the equipment necessary to move the material on the roof at the
owners'expense.
3) PAYMENTS: Payments are due upon receipt of invoice. Any invoices over 30 days old are subject to
interest charge of 3% per month. PROPERTY SUBJECT TO HAVE A LIEN FILED IF NOT PAID WITH IN
120 DAYS FROM LAST DAY WORKED AT JOB SITE.
4) WZNTER CONDITIONS CLAUSE: Any work performed from NOVEMBER i, THRU APRIL 30, will be
subject to a winterization charge (not to exceed 10% of contract price). Contract does not inciude ice
�R� and snow removai, or application of piastic on roof deck, and will be bilied on a T& M basis. Priming of
�� ice&water shield will be required and will be charged $ 20 PER SO Ff
5) INSURANCE: A.G.Roofing Company is fully insured with liability insurance in the amount of$2,000,000
and workman's compensation. Certificates of insurance will be forwarded to client upon acceptance of
proposal.
6) ATTORNEY'S FEES: Should either party be required to retain an attorney or attomey's to enforce the
provisions of this agreement, whether or not litigation is actually required, the non-breaching party shall
be entitled to recover from the party breaching this agreement those reasonable attorney's fees
incurred as a result of such breach. If judgment is against A.G.Roofing Company the sum cannot exceed
the contract price.
7) WARRANTY: A.G.Roofing Company will warranty all labor against leaks for a period of 2 YEARS.
Warranty is void if snow exceeds 24" and is not removed. Snow removal perFormed by anyone other
than A.G.Roofing Company or other local properly insured contractor will void warranty. Proof of
general liability insurance must be forwarded to A.G.Roofing Company PRIOR to commencement of
snow removal. Broken tile is not included in scope of warranty. Any work or alteration on roof (snow
fence, snow clips etc...) done by others will void Warranty as well.
8) NOTICE TO PROCEED: Once work is started, this proposal becomes the primary contract, and is not
over ruled by any other contract, whether it is signed or not. Any delays caused because of non-
preparation on the part of the client or his/her Hired tradesman or subcontractors will validate a charge
- by A.G.Roofing Company to the client for any lost time and/or materials.

WARRANTY
Morning Star Home Elevator includes ten-year structural, a three-year limited parts
warranty and Morning Star Elevator, LLC provides a two-year labor warranty. We
offer a ten-year limited parts warranty only with the owner having the elevator
serviced annually by Morning Star Elevator. We recommend that the elevator be
serviced every twelve months for optimum reliability. Service contracts are available
upon request.
REQUIREMENTS
The General Contractor must meet all requirements outlined in the final architectural
drawings supplied by our company. The following requirements will be included in the
� drawings. There can be no exposed plumbing, eiectrical, or heating components
installed in the hoist way according to ANSI regulations.
An area will be needed for the elevator pump and controls. These dimensions are the
minimum for the mechanical room to meet ANSI and Building Department regulations.
The room must have a self-locking, self-closing door. Only elevator related equipment is
allowed in this area. The walls in the machine room must be constructed to meet the
same fire rating as the elevator hoistway. It is preferable that the walls of this room are
insulated, as this will greatly reduce any noticeable noises.
Electrical requirements include a 230 volt/30 amp single phase dedicated circuit
terminated at 2 x4 box and a 120 volt/15 amp circuit terminated at 2x4 box located at
base of elevator hoistway to be used in the pump house/mechanical area. A light and
utility outlet will need to be provided in the machine room. In addition, a shared
telephone line will be needed at the machine room. As with all electrical components, it
is recommended that appropriate electrical surge protection be provided at your home's
breaker panel and at the telephone box to protect your investment.
The pit will need to be poured to the exact size dimensions of the hoistway. The depth
of the pit must be a minimum of 8". The finished pit floor must be capable of
supporting a load of 4.7kip, or 1850 Ibs. static.
�� The inside finished dimensions of hoistway shall be built per shop drawings. Due to
close running tolerances, the contractor must assure that hoistway is constructed plumb
and square to a 1/8"tolerance. The ram side of hoistway must be constructed of four
2"x 10"vertical members laid on side and centered. The entire hoistway is
recommended to be covered with one layer of 5/8"sheetrock.

The hoistway doors provided by the General Contractor must be stacked on top of each
' ��':, and centered from the ram wall as indicated on the shop drawings. Hall stations will

Allowances for the elevator equipment may be required during the installation. Morning
Star Elevator will coordinate with construction superintendent on framing, electrical and
trim requirements during difFerent phases of the project. Doors will require no more
than a 3 inch sill and no more than 5 inches between the hoistway door and the elevator
cabinet door. To accomplish this 3-5 rule, the door jamb wall will need to be built with
2x4 walls. The door needs to be self-closing door with non-locking door hardware. Hall
stations will need to be routed into the walls outside the hoistway door entrances.
These requirements are outlined in the shop drawings. During the pre-construction
meeting with your general contractor we will review each of these items.
MANUFACTURE
The factory build time for this elevator is 4 — 6 weeks, additional customization of the
elevator might create a longer build time, following written acceptance of the
architectural drawings by the general contractor and field verification of ineasurements
by Morning Star Elevator. Shipping time to the job site will be 7 — 10 business days.
Installation of the elevator will take up to 5 business days. Holiday, weather,
manufacturers delays are not estimated in the build time or ship time.
� �� r9DE COMPLIANCE
The contractor is responsible for building code compliance of hoistway and doors.
Morning Star Elevator is responsible for building code compliance of the elevator
installation.
INSURANCE
The owner will keep in force appropriate insurance on the property to protect the
parties' interests until installation of the elevator is completed. Morning Star Elevator,
LLC will provide General Liability and Workman's Compensation Insurance.
DISPUTE RESOLUTION
The parties will utilize the fotlowing out-of-court alternative dispute resolution procedure
if any controversy or dispute arises out of their contract:
Either party may initiate negotiations by sending a letter to the other party setting forth
the particulars of the dispute and a suggested resolution of the problem. The recipient
of the letter shall respond within ten (10) days of receipt of the letter and either agree
to the proposed solution or propose and alternative solution.
-• If this exchange of correspondence does not resolve the problem, the parties agree to
submit to binding mediation according to the rules and procedures [but not necessarily
under the auspices] of Construction Dispute Resolution Services, LLC, of Colorado. The
parties agree that if there are disputed issues that remain unresolved at the conclusion
of the mediation, the mediator will render a final and binding decision on those
unresolved issues, and the mediator's decision will be enforceable in any court of
competent jurisdiction.
