HomeMy WebLinkAboutEnzian Easement Agreement Amendment 2 Eagle County, CO 201406798 Teak J Simonton 05/01/2014 Pgs: 18 12:10:02 PM REC: $96.00 DOC: $0.00 SECOND AMENDMENT *to CONSTRUCTION EASEMENT AGREEMENT AND MEMORANDUM OF UNDERSTANDING This Second Amendment to Construction Easement Agreement and Memorandum of Understanding is made effective March , 2014, by and between Enzian at Vail Condominium Association, Inc., a Colorado non-profit corporation (the "Enzian Association"), and Lionshead Inn, LLC., a Colorado limited liability company ("Lionshead"). RECITALS A. In connection with the proposed construction of the Strata Project by Lionshead, on August 13, 2010, Lionshead and the Enzian Association entered into a Construction Easement Agreement (the "Easement Agreement") and a Memorandum of Understanding ("MOU"). The Easement Agreement was recorded on August 20, 2010, at Reception No. 201016398. The MOU was not recorded. B. Effective June 1, 2013, the Enzian Association and Lionshead entered into an Amendment to Construction Easement Agreement (the "Amendment"). The Amendment was not recorded. Among other things, the Amendment extended the completion date of Required Work as defined in the Easement Agreement. C. Lionshead has not yet commenced construction of the Strata Project in accordance with the Easement Agreement, the Amendment and the MOU. (collectively, the "Original Agreements"). Since execution of the Original Agreements, there have been certain changes to the plans for construction of the Strata Project, which the parties desire to address, and the affect of which the parties desire to confirm. D. Defined terms in the Original Agreements shall have the same meaning herein, except as modified. In consideration of the Recitals set forth above and the mutual covenants and agreements set forth herein, the Enzian Association and Lionshead covenant and agree and further amend the Original Agreements as follows: Page 1 of 6 AGREEMENT 1. Attached to the Easement Agreement as Exhibit B-1 were certain Crane Plans which depicted the area of the swing of two tower cranes proposed to be erected for use during the Strata Project. That Exhibit B-1 also depicted the area of the easement for crane swing above the Enzian Parcel being granted to Lionshead on a temporary basis. Exhibit B-1 also depicted the staging and access plans for the Strata Project., including the gates by which the Lionshead Parcel would be accessed during construction. Revised access plans were subsequently provided to the Enzian Association, which plans depicted a new access gate to the Strata Project to be used during construction, to be located on or adjoining the easement governed by the Easement and Joint Maintenance Agreement (the "Enzian Easement") recorded March 3, 2004, at Reception No. 869685, which relates to an easement for the use and benefit of the Enzian Association, over real property owned by Lionshead. The location of this Gate 4 is shown on revised access plans ("Revised Access Plans") which are attached Exhibit 1. The Enzian Association objected to the use of the Enzian Easement and Gate 4 for access to the Strata Project during construction. Revised crane plans subsequently provided to the Enzian Association depict the use of a single tower crane and changed the area above which the boom and tail of the crane would swing and which increases the area of the Enzian Parcel over which the crane would swing. The revised crane plan is attached as Exhibit 2 attached hereto. (the "Revised Crane Plan"). 2. The parties agree that Lionshead shall be authorized, subject to the limitations set forth below and those contained in the Prior Agreements not inconsistent with this Section 2, to use Gate 4 and the Enzian Easement, during construction of the Strata Project for the following uses during the following times only. a. From April 21, 2014 until June 20, 2014: Major underground utility work across and through the driveway to install storm sewer, electrical conduits, telephone conduits, and sanitary sewer line. No Enzian access will be provided during this time period over the Enzian Easement. The driveway will be put back to a useable, but temporary, condition including by patching pavement by June 21, 2014, as stated in the MOU. b. June 21, 2014 to September 2, 2014: Light construction pickup traffic, survey equipment and monitoring equipment, foot traffic to access Page2of6 dewatering wells, and the edge of shoring, fence and gate maintenance. Uninterrupted Enzian vehicular and pedestrian access over the Enzian Easement will be provided during this period. c. September 3, 2014 to November 14, 2014: Removal of temporary surface down approximately 16". Preparation of sub grade, then base coarse, welded wire fabric, snow melt tubing, sand cement layer, more base coarse, curb and gutter placement, and three (3) inches of new asphalt paving. (Final 2" lift to be placed in Spring/Summer of 2016). Little to no access to Enzian Property over Enzian Easement will be available during this time period. d. November 15, 2014 to May 1, 2015: Light construction pickup traffic, survey equipment and monitoring equipment, foot traffic to access dewatering wells, and the edge of shoring, fence and gate maintenance. Uninterrupted vehicular and pedestrian Enzian access over the Enzian Easement will be provided during this period. e. May 1, 2015 to Project completion: Garage entrance to lower levels of Strata becomes available. Light construction pickup traffic, forklift, bobcat, and small vehicles limited in size and weight to the capacity and height restrictions of the garage. Vehicles will enter and exit the garage utilizing the shared driveway access. Some material storage is to be expected in the garage. The intent is not to, and Lionshead Inn shall not, impact or block the Enzian shared driveway but may merely drive through the shared driveway to access and exit the new garage. When the fencing is to be removed, deliveries of hardscape and landscape materials will be made to the courtyard at the end of the shared access drive. f. Except as otherwise provided above in this Section 2, no other uses of the Enzian Easement shall be permitted by Lionshead Inn or its contractors, agents, employees and invitees during or in connection with the construction of the Strata Project. By way of examples only, the following is not permitted on the Enzian Easement: any heavy equipment, including without limitation dump trucks, bulldozers, backhoes, or earth movers; and any loading, unloading, storage, parking, idling, or otherwise blocking or obstructing any of the Enzian Easement. 3. The parties agree that the Revised Crane Plan depicts the radius of the swing of the single tower crane to be used during construction of the Strata Project and replace the Crane Plans in and for purposes of the Easement Agreement. The circle with the smaller radius shows the swing and radius of the counter jib of the crane and the circle with the larger radius shows the swing and radius of the boom (being the portion of the crane that carries a load). The Revised Crane Plan also Page3of6 depicts an area southwest of the tower point of the crane labeled "PATCH work area" (the "Patch") and depicts the Enzian Parcel. The parties agree that the easement granted by the Enzian Association over the Enzian Parcel is amended to be that shown on the Revised Crane Plan, subject to the following limitations and conditions: a. The crane will be allowed to weathervane above the Enzian Parcel at night (or when not in use) and on days when no work is being performed, but again, with no load being carried over the Enzian Parcel. b. The boom of the crane will be allowed to swing above the Enzian Parcel only when the boom is above the Patch for the sole purpose of delivering a load to the Patch, and as long as no load is above the Enzian Parcel. 4. The date for completion of the Required Work is amended as follows: a. The crane shall be dismantled and removed no later than June 1, 2016. Lionshead shall pay the Enzian Association the sum of $91,000.00 and the additional amount of $7,000.00 for its management company, as compensation for the right to utilize the easement above the Enzian Parcel shown on the Revised Crane Plan through February 28, 2016. This payment shall be made prior to December 1, 2015, and shall be made as directed by the Enzian Association. If the crane is not dismantled and removed by February 28, 2016, Lionshead shall pay to the Enzian Association the additional amount of $33,726.00 and $2,594.00 to its management company, on or before February 28, 2016, and if the crane is not removed and dismantled by March 31, 2016, Lionshead shall pay to Enzian the additional amount of $6,005.00 and $461.00 to its management company on or before March 31, 2016. If the crane is not removed by May 31, 2016, Lionshead shall be responsible to pay the damages set forth in paragraph 2(c) of the Easement Agreement, up to a maximum of $300,000.00 as set forth in paragraph 2(c)(i) of the Easement Agreement. The date for removal and dismantling of the scaffolding on the south side of the west Strata building of the Strata Project, being that closest to the Enzian Parcel as described in paragraph 2(b)(ii) of the MOU, shall be December 17, 2015. Notwithstanding the foregoing, Lionshead shall be entitled to reassemble the south scaffolding to complete work as set forth in paragraph 2(c)(ii) of the Easement Agreement. Page4of6 5. Lionshead, at its sole cost, shall cause the following work to be performed for the benefit of Enzian (collectively, "Enzian Work") in a good, workmanlike and lien free manner: (a) installation and expansion of snowmelt system to include Enzian's sidewalk, two (2) parking spaces and stairs ("Enzian Snowmelt Area") (although the system will not be operational until November 2016); (b) sealcoating of Enzian's existing asphalt; and (c) installation of new storm sewer for Enzian. The Enzian Work is further described and depicted on that General Estimate Summary & Item Analysis from PCL attached hereto as Exhibit 3. The Construction Warranty furnished by Lionshead under Section 1.9 of the MOU shall extend and apply to the Enzian Work. The operation and maintenance of the snowmelt system, including the Enzian Snowmelt Areas and the costs thereof, shall be the responsibility of Lionshead as long as the Enzian Parcel remains substantially in its current,unremodeled condition. • 6. Lionshead currently has and uses five (5) parking spaces, generally depicted in the attached Exhibit 4 and labeled A-E. Enzian Association has two (2) . parking spaces, generally depicted on Exhibit 4, and labeled 4 and 5, During . construction of the Strata Project, Enzian Association shall have the use of parking spaces C and D, and Lionshead shall have the use of parking spaces 4 and 5. 7. All other terms, conditions and provisions of the Easement Agreement, the Amendment and the MOU are ratified and confirmed, except as set forth herein. 8. Counterparts: This Second Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument and agreement.
