General Information: Condominium and townhouse plats which do not constitute "conversions"from rental as defined
in Section 13-7-2, Definitions,Vail Town Code may be approved by the administrator, subject to review by other Town of
Vail departments. Please see Section 13-6, Condominium and Townhouse Plats, Vail Town Code for more detailed
information. Vail Town Code can be found on the Town's website at www.vailaov.com.

The Pallrid�;e Condominium Association hereby provides its approval for the three (3)
cammercial eondominium units located in the Fallrid�e Buiiding, known as Units C-1, C-2 and
C-3, to be al�owed tQ cl�ange �rom commercial uses to residential use. We understand that in
order for this change to be approved by the Town of Vail an amendment to Special Development
District 8, which enc�mpasses lhe Fal(ridge Buildin�;, is r�.quirecl and t�iis ti�et�iorandtu�i is being
pravided aE the request of the owners of the above-mentioned commercial units in the Fallridge
Building.
The faregoing approval is subject to: (1) fnal approval by the Fallridge Board af the details af
the conversion of each commercial unit; (2) final approval by the owners and first mortgagees af
candaminium units in the Faliridge Building in accarc3ance with the requirements of the
Condominium Declaratian far the Faliridge Condaminiums dated December 9, 1977, as
amended, (the "Declaration"), which approval, if obtained, will be set forth in an amendment to
the f)eclaration for this purpose that the conversian to residential use must be completed within a
tirne limit to be set by the Association in its Declaration, and once converted may no langer be
occupzed ar used as comrnercial units; and(3) ali applicable requirements, conditians, appravals,
permits, permissions, laws,re�ulations, ordinances and rules that now or hereafter apply to such
change in use, including, withaut limitatian,(a) any applicable Town of Vail building permits or
other requirements and (h) the cc,venants, conditi�ns, restrictions and rules af the Fallridge
Condaminium AssUCiation.
