This ordinance will be strictly enforced by the Town of VailPublic Works Department. Persons found violating this ordinancewill be given a 24 hour written notice to remove said rnaterial.fn the event the person so notified does not comply with thenotice within the 24 hour tirue specified, the Public Works

workmen vehicles upon any street,, sidewalk, alley or public
place or any portion thereof. The right-of-way on aII Town ofVaiI streets and roads is approxinately 5 ft. off pavement.
This ordinance will be strictly enforced by the Town of VailPublic Works Department. Persons found violating this ordinancewill be given a 24 hour written notice to remove said rnaterial.fn the event the person so notified does not comply with thenotice within the 24 hour tirue specified, the Public Works
Department will remove said rnaterial, at the expense of personnotified. The provisions of this ordinance shall not beapplicable to construction, maintenance or repair projects of
any street or alley or any utilities in the right-a-way.

The right-of-way on all Town ofVaiI streets and roads is approxinately S ft. off pavement.This ordinance will be strictly enforced by the Town of VaiIPubric works Department. Persons found violating this ordinancewill be given a 24 hour written notice to remove-said material .In ttre event the person so notified does not comply with thenotice within the 24 hour tine specified, the puLtLc WorksDepartment will remove said naterial at the expense of personnotified. The provisions of this ordinance snlff not beapplicable to construction, maintenance or repair projects ofany street or alley or any utilities in the right-a-way.

Department, the estirnated time for a total review may take as long
as three weeRs.

.At approxirnately 3:OO p.M. on Tuesday, May L2, Lgg2t Irecelved a radio call from a vail Firefightei, recirniciin talbotlwho was conducting an inspection proced.ure at the Red LionBuilding, located at 304 nridge Street here in Vail.
. Talbot .requested we respond to assist in determining thenature and circumstance regardlng a crosed os&y varve. The closedvalve was on the systen side or the reduced pressure backflowpreventor. The, valve ls equipped with a potter Romer tamperswitch, Model A-I.
when Talbot arrived, he reported the fire ararm panelindicated a clear and secure status-. The fire alarm panel did notindicate the tanper switch was activated and trre virve was closed..rnvestigation of the situation indicated the valve did not indlcaiea trouble status because the indicating rod was between the threadson the top portion of the stem.
r ordered the building management to have the val_ves chalnedand locked open, arrd. to have the-tamper switch rJpaired withi; ,;hours. The work was completed by 1Ol 38 hrs. this morning.

The work was related to a store remodelof tle space known as the srrreet Life. message asking you to call ne. you returned by call at 4:50 p.M.yesterday. During our conversation, you nentioned that SunnitMechanical had left the control vaLve turned off in January of thisyear after having advised the owner of Sweet Life. You stated you
had made such notification ln writing.

Based on many circumstances, the pub]ic works Department hasdetermined it 1s not appropriate at thi-s time to require thegryner to complete the work as was reguired,/reguested. The Town,if funding becomes awallable, wiII complete the streamstabilizat.ion required of the developer at a future date.
The circumstances which the department based its decision on areas follows:
The approved p1an, as drawn, does not specifically definethe extent and detail of the work. The Town worked with thedeveloper and did not requj_re a professional engineer toprepare t.he p1ans. The requirement of stream stabilizationas requested was not caught by public Works. Since public
Works did not foll_ow the project from start to finish anddj-d not diligently track and keep abreast of all changes tothe plans, it appears we didn't catch the inadequacies ofthe plans
Public works performed the necessary calculations to definethe required size of rip rap and contacted the U.S. ArrnyCorps of Engj-neers for the applicant to not delay the work.
We did not, however, provide a ful1 pJ_an set and details t.oclearly lay out the ful1 extent of the work.
A TCO was issued and money was collected to perform the workfrom the developer. The money taken was based on specificwork to be performed, even though it wasn't clearly deflnedand reviewed. We in Public Works failed again to inform thedeveloper the money was not sufficient to cover the work.

4. Public Works did not follow up a meetlng in the field wlththe contractor and Community Development to reiterate ouragreed upon resolution to the work. It doesnrt matter, theother parties didn't follow up in writing. It is ourposition which is questionable.
5. The Public Works Department, did not respond back to thesituation in a tj-mely manner, and since the work ruoul_d nottake place until next spring it is an undue hardship on thedeveloper to hold up a finaL certificate since the workcould not be performed for another 6 months.
6. The contractor based on his long experience in the val_ley,
knows the engineering requirement.s as determj-ned by theTown, are outrageous and has determined the work performedls adequate as a soluti-on, we have limited experience inVail, so we rely on their extensive experience.

WHEREAS, the Developer as a condition of approval of the issuance
of a Temporary Certificate of Occupancy (hereinafter called theItT.c.O.rr), wJ.shes to enter into a Developer fmprovenent Agreement; and
WHEREAS, the Developer is obligated to provide security or
collateral sufficient in the judgment of the To!'tn to make reasonableprovisions for courpletion of certain irnprovernents set forth below; and
WHEREAS, Vail National Bank has agreed to issue a letter of
credit on terms and conditions as set forth herein.
WHEREAS, the Developer wishes to provide collateral to guarantee
perfor:mance of this agreement, including construction of the above-
referenced irnprovements by means of the following:
Developer agrees to have issued a Letter of Credit in
substantial confornity with the attached Exhibit trAtr, and shall

or the Town of Vail and its respective agencies, affected

2. The total estimated cost of said work and improvements is
the sum of $30r000.00.
To secure and guarantee perforrnance of its obligations as setforth herein, the Developer agrees to provide security and collateral
as follows:
A Letter of credit in the amount of $301000.00 to be issued byVail National Bank, shall provide the security. for the
improvements set forth above if there is a default under this
Agreement by the Developer. Such Letter of Credit shall be in
Substantial Confornity.
3. The Developer may at any time substitute the collateraloriginally set forth above for another form of collateral acceptableto the Town to guarantee the faithful cornpletion of those improvements
referred to herein and the performance of the terns of this Agreenent.
Such acceptance by the Town of alternative collateral shall be at the
Townrs sole discretion.
4. The Town shall not, nor shall any officer or enployee
thereof; be liable or responsible for any accident, loss or damage
happening or occirrring to the work specified in this Agreenent prior
to the cornpletion and acceptance of the same, nor shall the Town' nor
any officer or enployee thereof, be liable for any persons or property
injured by reason of the nature of said work, but all of saidliabitities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indernnify and hold harmless the
Town, and any of its officers, agents and ernployees aqainst any
losses, claims, darnages, or liabilities to which the Town or any suchof its officers, agents, or employees may becorne subject to, insofar
as any such losses, clains, damages or liabilities (or actions in
respect thereof) that arise out of or are based upon any performance
by the Developer hereunder; and the Developer shall reirnburse the Townfor any and all lega1 or other expenses reasonably incurred by the

Town in connection with investigating or defending any such loss,clain, danage, liability or action. ttris indennity provision shall bein addition to any other liability which the Developer may have.
5. ff the Town deternines that any of such improvernents as
contemplated trereunder are not constructed in compliance with the
plans and specifications set forth herein, it shall furnish the
Developer a list of specific deficiencies and strall be entitled to
continue to withhold collateral to insure such compliance. If ttre
Town determines that the Devetoper will not construct any or a1I of
the inprovements in accordance with all of the specifications and time
tables as set forth herein, the Town may give the Developer written
notice and unless such improvenents are cornpleted by the dates as setforth above or within a reasonable period after such date if weather
does pot pernit the cornpletion of such improvements, the Town nay deem
the Developer in defauLt hereunder and rnay draw upon the Letter of
Credit such funds as may be necessary to complete the unfinished
inprovements. Vail National Bank may release such funds upon written
reguest and representation by the Town that such iurprovements have not
been conpleted. vail National Bank shall not be obligated to
independently verify that such work is conpJ.ete, but shal1 fund such
request, upon the Town of Vail written authorization.
6. The Developer vrarrants aLl work and material for a period of
one year unless otherwise extended by this Agreement after acceptanceof all work referred to in this Agreement by the Town if such work is
located on fown of Vail land or road right-of-way.
7. The parties hereto nutually agree that this Agreenent nay be
arnended from time to time. provided that such amendnents be in writing
and executed by all parties hereto.
