DEVELOPER IMPROVEMENT AGREEMENT
THIS AGREEMENT, made and entered into this 24lh day ol February, 1993, by and
among Michael Lauterbach (hereinafter called the "Developer'), and the TOWN OF VAIL
(hereinafter called the "Town').
WITNESSETH:
WHEREAS, the Developer, as a condition of approval of the temporary certificate of
occupancy granted by the Town of Vail for the Spruce Creek, Phase lll, Unit Number 5,
located at 1850 South Frontage Road, in the Town of Vail, Eagle County, Colorado, is
obligated to provide security or collateral sufficient in the judgment of the Town to make
reasonable provisions for completion of certain improvements set lorth below; and
WHEREAS, the Developer wishes to enter into a Development Agreement with the
Town thereby providing security to the Town that the improvements set forth below will be
completed; and
WHEREAS, the Developer wishes to provide collateral to guarantee performance of
this Agreement, including construction of the above-referenced improvements by means of the
following:
An escrow account in the amount of $750.00 to be deposited with the Town which
shall provide the security for the following:
IMPROVEMENT COST
1. Painting the exterior of the structure: $600.00
NOW THEREFORE, in consideration of the following mutual covenants and
agreemenb, the Developer and the Town agree as follows:
1. The Developer hereby agrees, at its sole cost and expenses, to furnish all equipment and
material necessary to perform and complete said improvements, on or before July 1, 1993.
The Developer shall complete, in a good workmanlike manner, all improvements as shown on
the approved building permit plans, approved Design Review Board plans for the project and
in accordance with all plans and specilications lor the project filed in the office of the
Community Development Department, the Town of Vail, and to do all work incidental thereto
according to and in compliance with the following:
a. All laws of the United States of America, State of Colorado, or Town of Vail and its
respective agencies, affected special districts and/or service district.
b.Such other designs, drawings, maps, specifications, sketches, and other matter
submitted by the developer to be approved by any of the above-referenced
governmental entities. All said work shall be done under the inspection of, and to the
satisfaction of the Town Building Official, or other otficial from the Town of Vail, and
shall not be deemed complete until approved and accepted as completed by the Town
of Vail Community Development Department.
The estimated cost of said work and improvements is the sum ol $600.00.
The Developer may at any time substitute the collateral originally set forth above for
another form ol collateral acceptable to the Town to guarantee the faithful completion
of those improvements referred to herein and the performance of the terms of this
Agreement. Such acceptance by the Town of alternative collateral shall be at the
Town's sole discretion.
4. The Town shall not, nor shall any oflicer or employee thereof, be liable or responsible
lor any accident, loss or damage happening or occurring to the work specified in this
Agreement, nor shall the Town, nor any officer or employee thereof, be liable for any
persons or property injured by reason of the nature of said work, but all of said
liabilities shall and are hereby assumed by the Developer.
The Developer hereby agrees to indemnify and hold harmless the Town, and any of its
officers, agents and employees against any losses, claims, damages, or liabilities to
which the Town or any of its officers, agents or employees may become subject to,
insofar as any such losses, claims, damages or liabilities (or actions in respect thereof)
that arise out of or are based upon any performance by the Developer hereunder; and
the Developer shall reimburse the Town for any and all legal or other"expenses
reasonably incurred by the Town in connection with investigating or defending any
such loss, claim, damage, liability or action. This indemnity provision shall be in
addition to any other liability which the Developer may have.

lf the Developer fails to complete the improvements in accordance with all the
specifications set forth herein no later than July 1, 1993, the Town may withdraw and
employ from the letter of credit or from the cash escrow such funds as may be
necessary to complete the unfinished improvements.
The parties hereto mutually agree that this Agreement may be amended from time to
time, provided that such amendments be in writing and executed by all parties hereto.
This Agreement shall be enforceable against the Developer provided, however, that in
the event the Developer sells or transfers the property, the obligations of the Developer

under this Agreement may be assumed by the purchaser of the propdrty and
Developer shall have no lurther obligations hereunder. lt is agreed, however, that no
such assumption of these obligations shall be effective unless the Town gives its prior
approval lo such assumption, following an investigation of the financial condition of the
purchaser.

Dear Mike:
The Town is prepared to issue a building permit for Building Envelope #5 in Spruce Creek,
Phase 3. On the building permit plans, staff has identified the areas of landscaping which
need to be planted and the area of driveway which needs to be constructed prior to issuance
of a Temporary Certiticate ol Occupancy (TCO). Concerning the landscaping, the two areas
involved include the area immediately around the proposed house and the area that will
screen the proposed parking area from the Frontage Road. Concerning the driveway, staff
believes that you should provide the tire truck turnaround, the guest parking, and (obviously)
the portion of driveway that leads up to the garage of House #5.
Please note that all of these improvements will need to be done prior to the Town issuing a
TCO for the structure. lf you would like a TCO before you can make these improvements
(due to the weather or some other timing issue), you musl provide a financial guarantee to
ensure that these items will be completed at a later date.
