place or any portion thereof. The right-of-way on all lown of Vail streets and roads is approxiroately 5 ft. off pavernent.
This ordinance will be strictly enforced by the Town of VaiI Publlc Works Department. Persons found violating this ordinance will be given a 24 hour written notice to remove said rnaterial.fn the event the person so notified does not cornply witb the notice within the 24 hour tiroe specified, the Public Works
Departruent will remove said naterial at the expense of Person notified. The provlsions of this ordinance shall not be
applicable to construction, maintenance or repair projects of
any street or alley or any utiLities in the right-a-way.

PRE-SUBDIVISION IMPROVEMENTS AGREEI.,IENT
THIS AGREEMENT Dated January .i+ , 1988, is entered into between
Susan L. Tjossem ("OWNER/SUBDMDER" ) , and the TOWN OF VAfL, COLORADO ("TOWN").
RECITALS
l-. owner has submitted to Town for approval a finaf plat (the "Plat")
of E1k Meadovrs Subdivision (the "Subdivision").
2. TEE plat is acceptable to Town provided that subdivider and Town
enter into a Subdivision Improvements Agreement wherein Subdivider shall
agree and guarantee that certain improvements will be done in the Subdivision'
the terms of which agreement have not yet been agrreed to'
3. There presently ex5-sts in the subdivision a graded but unpaved road
(the "Road" ) .
4. Town desires to assure itself that in the event the Plat is not
placed of record by septenber 1, 1989, that celtain regrading and revegetation
of the Road itself occurs.
AGREEMENT
In cOnSideration Of the recitals and the mutual covenants contained
hereinafter, the parties hereto hereby agree as follows:
1. subject to and conditioned upon Toltn and owner entering into a sub-
division Improvements Agreement for the Subdivision mutually satisfactory
to both parties' Toh'n hereby aPproves the Plat-
2. If the plat is not recorded in the real property records of Eagle
county, colorad.o, on or before september 1, 1989, Owner agrees to complete,
at its sole cost ancl expense, on or before septeniber 15, 1989, in a good and
workmanlike nanner, the regrading and revegetation of the Road. such re-
grading and revegetation (the "work") sha1l consist of grading of exixting
topsoil to approximate pre-existing topography and seeding (with straw or
similar cover) vtith indigenous species of grasses- (see attached site plan
exhibit A).
3. To secure and guarntee oQ!'I,Iers performance of the l{ork, ol^ner has
agreed to provj-de a security to Town in the form of a letter of credit
(the ',Letter of credit") in the amount of $3100.00 to be held by Town.
The Letter of credit sha11 be unconditional , irrevocable, issued by a
financial institution of Owner s choice and shall not expire prior to Noveftber
1,1989. (see attached Exhibit B and C Contractors Bid and Letter of Credit) .
4. In the event, the owner decides to pursue a new development plan for
the subdivision that meets the existing Town of Vail zoning regulations, then
the ovrner shall subrnit develcpment Plans and specifications as required for
approval by the planning and Environmental Commission, To\^tn Council, and the
Desisn Review Board of the Town of Vail.
If the owner receives the appropriate To\^rn of Vail approvals for a
plan to revegetate and regrade the Road and to, restore the .subdivision to
its natural state before September 15, 1989, the Letler of Credit may be
used for the revegetation, regrading, and restoration work subject to the
Town of Vail; Comrmrnity Development Department and Town Engineers approval.
5. rn the event the PIat is recorded on or before sePtenber 1r .1989'
Tor^m agrees that the Letter of Credit shal1 irnmediately be returned by
Town to Subdivider. In the event that the Plat is not so recorded but the
l{ork is pef,formed on or before september 15, 1989, llosm shalt gtv6:BEltteha:-l-
notice to Owner of such event, stating tn detail the specific parts of the
Work not performed. After receipt of such notice, Ovmer shall have an
additional 30 days to complete the Work and have returned the L,etter of
Credit hel-d by Town. If Omer fails to complete the Work in such additional
30 days, Town sha1l drarc on the Letter of Credit, complete the Work with
such part of the $3100.00 as is needed, with the balance of such funds being
returned to otrner. The $3L00.00 escrowed funds shall be used by Town for
no purposes other than completion of the Work. Notwithstanding anything
contained in this Agreement to the contrary, Olvner shal1 have no obligation
with respect to the work in excess of the $3100.00 escrowed funds.
6. Prior to the completion and acceptance of any work performed by
owner hereunder, Town shall not, nor shal1 any officer or employee thereof,
be liable or responsiJcle for any accident, loss, or damage happening or
occurring to the work specified in this Agreement that is performed by
or,ner, nor sha1l Tohrn, nor any officer or employee therof, be Iiable for any
persons or property injurecl by reason of the nature of said work, but afl-
of said liabilities shall be and are hereby assumed. by ovtner. Owner hereby
alJrees to indemnify and hold harmless Town, and any of its officers, agents
and employees against any losses, claims, damages or liabilities to which
the Town or any of its officers, agents or emptoyees rnay become subject,
insofar as any such losses, claims, damages or liabilities (or aftions in
respect thereof) that arise out of or are based upon any work p€rfornted by
ovrner hereunder; and onner shall re imburse Town for any and all 1egaI or other
expenses reasonably incurred by Town in connection with investigating or
defending any such loss, claim, damage, liability or action. This indemnity
provision shall be in addition to any other liability which Owner may have.
7. There shall be a one-year correction perid from the time of pom-
letion of the work, during which time Ohmer shaiJ- promptly correct or
remove and replace, in accordance with the Town's Written instructions, Ovmerts
defective work or materials and consequences thereof. Repair or replacernent
made under the one-year correction period shall bear an additional one-year
correction period from the acceptance of the repair or replacement by the
Tolvn Engineer. The Work shall be collateralized during the correction period
by the Or.rner in an amount and type of collateral as shall be reasonably
determined by the Tovrn. Such Work shall be inspected approxinately 60 ilays
prior to the expiration of the one-year correction period, and any deficiency
shall be noted to Orrler.
a. Ovrner sha1t, at all tines during the work ' give good and adequate
warning to the traveling pubtric of each and every dangterous condition existing
in the road, and. will protect the traveling public from such defective or
dangerous conditions. It is understood and agreed that' until completion of
al1 the Work, the Road, if not accepted as improved ' shall bd under the charge
of owner for the purpose of this Agreement.

This is lo certjfy that Commercial Federal Savings and Loan Association has
a certificate of deposit for the use of credit in the name of Susan Tiossem,
owner of the land described in the Pre-Subdivis'ion Improvements Agreement.
These funds will be made ava'i lable to fund the completion of landscape
improvements relat'i ng to the said property as required by the agreement dated
L,/88, between Susan L. Tjossem and the Town of Vail. Should said landscape
improvements not be completed as required by the agreement, the funds wjll
be made available directly to the Town of Vail when requested.
Requests from the Town of Vail must be accompanied by the following:
1. A statement signed by the manager of the Town of Vai'l stating that ' Susan L. Tjossem has not completed the improvements required by
the agreement signed 1/BB on or before September 15, 1989, by and
between Susan L. Tjossem and the Town of Vail, \-r
2. Appropriate labor and material information ori nvojces to support
