1 MEMORANDUM TO:VailTownCouncil FROM:GeorgeRuther,DirectorofCommunityDevelopment GregHall,DirectorofPublicWorks&Transportation Department DATE:July15,2008 SUBJECT:LionsheadParkingStructureRedevelopmentProjectPlan ______________________________________________________________________ I.DESCRIPTIONOFTHEREQUEST OpenHospitalityPartnersVailOneLLC(“OHP”)hasprepareda“ProjectPlan” pursuanttothetermsoftheDevelopmentImprovementAgreement (“Agreement”),datedOctober16,2007. Thepurposeofthismemorandumis to: 1)providebackgroundinformationontheroleoftheProjectPlaninthe redevelopmentprocess; 2)outlinetherequiredcontentsoftheProjectPlanpursuanttothetermsofthe Agreement; 3)provideanoutlineofthenextstepsinthereviewprocessoftheProjectin accordancewiththetermsoftheAgreement;and, 4)toprovidealistofproposedamendmentstotheDevelopmentImprovement Agreement. II.RoleoftheProjectPlan OnOctober16,2007,theOpenHospitalityPartnersVailOne,LLCandtheTown ofVailenteredintoaDevelopmentImprovementAgreement tofurtherconsider theredevelopmentoftheLionsheadParkingStructure.Thepurposeofthe Agreementistodocumenttheexpectationsofthepartieswithregardstothe redevelopmentoftheparkingstructure andcertainpublicimprovements,(ie, conferencecenter,publicparking,loadinganddelivery,squarefootage breakdowns,trafficreports,etc.)andtoprovideasequenceforthecompletionof thevariousstepsintheredevelopmentplanningprocess.Withthatinmind,the AgreementcontemplatesthecreationofaProjectPlan whichshallbereviewed andapprovedbytheTownCouncil. III.RequiredContentsoftheProjectPlan AccordingtotheAgreement,theProjectPlanmeanstheschematic,architectural internalandexternallayoutsoftheProject,whichmayincludemajorarchitectural concepts,definedandarchitecturaluses,massing,avaletparkingprogramand movementofpeople,butshallnotincludearchitecturaldetailsincludingcolors, materials,orothersimilararchitecturalordesignspecifics.Instaff’sopinion,the 2 proposedProjectPlannotonlymeetstheminimumrequirementsforthecontents ofthePlan,butexceedstherequirementsforcontentandinformation. IV.NextStepsintheReviewProcess TheDevelopmentImprovementAgreementoutlinesthenecessarystepsinthe reviewprocessoftheLionsheadParkingStructureRedevelopmentproject.In someinstances,thestepsincludedatesandtimeframesandinotherinstances thestepsaremerelysequentialinorder.AccordingtotheAgreement,adeed- restrictionagreementneedstobereviewedandapprovedpriortotheTown CounciltakingactionontheProjectPlansubmittal.Forvariousreasonsthisstep inthereviewprocesshasnotyetoccurred.OHPandtheTownStaffare proposingthatthetwopartiesmutuallyagreetoamendthetermsaroundthese stepstoallowactiontobetakenontheProjectPlanpriortothedeedrestriction agreementbeingapproved.BaseduponinputfromVailResorts,theholderof thedeedrestriction,theywouldpreferthattheTownCouncilapprovesthe ProjectPlanandthenapproachthemtodeterminehowtherestrictionmightbe amended.Staffrecommends,however,thatifthepartiesareagreeabletothis changeinprocessthatnofurtheractionbetakenontheProjectuntilsuchtime asthedeedrestrictionagreementhasbeenamended. V.DevelopmentImprovementAgreementAmendments InordertocontinueforwardwiththeLionsheadParkingStructure RedevelopmentProjectcertainamendmentsneedtobeaddressedinthe DevelopmentImprovementAgreement.AccordingtotheAgreement,certain datesandsequentialstepsareprescribedfortheProject.Forinstance,the Agreementstates thatpriortoreviewingandapprovingtheProjectPlan,OHP mustfirstprovideadeedrestrictionagreement.Othersimilarexamplesexist throughouttheAgreement.StaffrecommendsthatiftheTownCouncilis favorabletowardstheProjectPlan,asproposed,thattheCouncilinstructsstaff toreturntotheTownCouncilmeetingonAugust5,2008witharesolution adoptingtheProjectPlanandanamendedDevelopmentImprovement AgreementfortheCouncil’sreviewandconsideration.
