Re: Authorization to Submit Rezoning Application
To Whom It May Concern:
The undersigned, on behalf of HCT Member, LLC, a Colorado limited liability company
("Evergreen"), acknowledges that Evergreen is the owner of the property described below:
LOT 2W, VAIL/LIONSHEAD SECOND FILING, A RESUBDIVISION OF LOT 2, BLOCK 1,
ACCORDING TO THE PLAT RECORDED JANUARY 23, 2014 AT RECEPTION NO.
201401066, COUNTY OF EAGLE, STATE OF COLORADO.
Evergreen has authorized Vail Clinic, Inc., a Colorado nonprofit corporation, d/b/a Vail
Valley Medical Center ("VVMC")to submit an application to resubdivide the above property
(the "Resubdivision Application") and create Lot 2E-1 (the "Property"). Evergreen hereby
authorizes VVMC to file an additional application to rezone the Property from Lionshead
Commercial 1 to General Use (the "Rezoning Application"). Evergreen makes no
representations or warranties with respect to the Rezoning Application. The authorization
contained in this letter shall be conditioned upon: (1) final approval of the Resubdivision
Application by the Town of Vail, and (2) VVMC owning the Property prior to the Town of
Vail's final approval of the Rezoning Application. Further, Evergreen reserves the right to
revoke this authorization by written notice to the Town given at any time prior to the conveyance
of the Property from Evergreen to VVMC.

the Town of Vail for Evergreen's property (the "Property") described below:
LOT 2W, VAIL/LIONSHEAD SECOND FILING, A RESUBDIVISION OF
LOT 2, BLOCK 1, ACCORDING TO THE PLAT RECORDED JANUARY 23,
2014 AT RECEPTION NO. 201401066, COUNTY OF EAGLE, STATE OF
COLORADO.
The Application shall be to resubdivide the Property into Lot 2W and Lot 2E-1.
Evergreen makes no representations or warranties with respect to the Application.
Evergreen reserves the right to revoke this authorization by written notice to the Town
given at any time prior to the subdivision of the Property.
