The Board reviewed and approved the November 28, 2017 meeting results. MOTION: McDougall SECOND: Wilkins VOTE: 3-0 Kathleen Halloran, Finance Director, reviewed the Board's 2018 budget, Resolution 5, Series of 2017 and 2017 audit exemption Resolution 6, Series of 2017. Wilkins motioned to approve Resolution 5, Series of 2017, A RESOLUTION ADOPTING A BUDGET AND MAKING APPROPRIATIONS TO PAY THE COSTS, EXPENSES AND LIABILITIES OF THE VAIL LOCAL HOUSING AUTHORITY, FOR ITS FISCAL YEAR JANUARY 1, 2018 THROUGH DECEMBER 31, 2018. MOTION: Wilkins SECOND: Meza VOTE: 4-0 Wilkins motioned to approve Resolution 6, Series of 2017, A RESOLUTION APROVING AN EXEMPTION FROM AUDIT FOR THE FISCAL YEAR 2016, FOR THE VAIL LOCAL HOUSING AUTHORITY IN THE STATE OF COLORADO. MOTION: Wilkins SECOND: Meza VOTE: 4-0 Page 1 Next up Jonathan Spence Town planner, provided the Board with an overview and explanation regarding options to delay implementation of Type I and II Employee Housing Unit (EHU) occupancy. Spence reviewed the existing Town code and presented two options for the Board to consider. The options presented were: Option 1: Code Amendment • Directly addressing the • Difficulty in ensuring that the occupancy restriction language addresses the language possibility of a multitude of • Transparency variations • Difficulty in ascertaining unforeseen consequences • Slow response time if holes in the regulations are identified • Opening up revisions to the Code for what may be a "one off" Option 2: Deed Language • Tailor made restrictions for • Legal question as to the specialized circumstances. effect of a deed restriction • Reduced possibility of that may conflict with the unforeseen circumstances Code. • Lack of transparency Ruther said the Town was conceptually looking at land banking, typically a vacant property. Wilkins mentioned the Board should have discussion regarding housing ADA employees as they cannot meet current deed restriction criteria due to income and work hour limitations. Staff stated that is tied to fair housing act. Ruther mentioned if the restriction is specific in code there cannot be negotiation rather if customized then the Town has negotiating power. Lindstrom asked Spence how an owner would make an illegal unit legal. Spence responded the Town probably would require a code analysis. Ruther told the Board the question to be answered is it OK to push the occupancy decision down the road. Page 2 Spence asked what does later mean. How does the Town decide what later is? Wilkins concerned about legal inequities. Board will continue to review this subject. Lindstrom asked the Board if there was interest in deed restriction as discussed. All were in agreement. There was no vote. Molly Morales arrived at 3:50 PM. Town planner Justin Lightfield presented information on a feasibility study for Tract A Middle Creek Subdivision. He pointed out the property is currently zoned Natural Area Preservation District (NAP) which is the Town's most restrictive zoning. The Board and Staff discussed buildable potential on Middle Creek subdivision. They asked if there a variance for Middle Creek due to lot slope. Staff stated PEC would have granted the variance if one was applied. Staff will have to confirm is a variance was applied for and approved. Lightfield said a site specific study would be required when in a debris flor or other hazard. Staff said there could be development possibilities. Ruther thinks the Board needs to put list together where are buildable sites. Be pragmatic and think outside the box. He asked Lightfield to get map to show elevation from Frontage Road and create rough elevation of site. This piece of land hasn't been on the radar for Open Lands Plan. Ruther suggested bringing up this information at the Open Lands Plan meetings. McDougall motioned to open an executive session per C.R.S. §24-6-402(4)(a)(e) to discuss the purchase, acquisition, lease, transfer, or sale of property interests; and to determine positions, develop a strategy and instruct negotiators, regarding Vail InDEED applications. MOTION: McDougall SECOND: Wilkins VOTE: 5-0 Wilkins made a motion to exit the executive session and reopen the regular meeting. MOTION: Wilkins SECOND: McDougall VOTE: 5-0 Results of the executive session were the Board had additional questions for the Vail InDEED applicant and will continue the application review and the next regular meeting. The Board agreed to cancel the December 26, 2017 meeting due to the Holiday week. All Trade Selection Participants MUST sign-in the evening of the selection. Please bring a government issued photo ID and a copy of an updated pre-qualification letter if you wish to trade up to a home higher in price than you had previously been pre-qualified to purchase. Sign-in concludes at 6:00 pm. Please be on time. To be fair, there can be no exceptions for persons arriving after the 6:00 pm deadline. The trade selection begins at 6:15 pm. A Trade Selection Participant is defined as: 1) Contract Holder-any person currently holding a contract to purchase a Chamonix Vail Townhome, or 2) New Purchase (Name on Waitlist) -any person on the May 3, 2017 Chamonix Vail Waitlist that has not requested to be withdrawn from consideration. As a Trade Selection Participant, you will be asked to make one of two choices, as applicable, the evening of the selection: Contract Holder: 1) Forego your current home choice and select a different home that is available at the time your name is called that you pre-qualify for and will contract for purchase, or 2) State your desire to continue to closing on the home to which you are currently contracted to purchase. New Purchaser(Name on the Waitlist): 1) Select a home for purchase that is available for selection at the time your name is called for which you are pre-qualified to purchase, or 1 2) State your desire to no longer be considered for purchasing a home at Chamonix Vail. Once a choice has been made the decision is final. The color-coding of one's name tag and trade selection ticket corresponds to the maximum home purchase amount approved by the pre-qualification letter. Proxies will be accepted for Trade Selection Participants that are not able to attend in person. All proxy holders MUST have a valid signed Power of Attorney letter authorizing the agent to execute an amendment to the purchase agreement on behalf of the Contract Holder. All proxies must be received and verified prior to the conclusion of sign-in at 6:00 pm, Monday,January 15th Proxies will not be accepted after 6:00 pm the day of the trade selection drawing. The Vail Town Clerk shall verify and attest the sign-in sheet and any proxies received prior to the start of the trade selection drawing. The drawing begins at 6:15 pm. All Trade Participant's names will be called in the order drawn, as verified and attested to by the Town Clerk, on May 3, 2017. 2 The trade selection process includes the following visual aids to help participants make decisions over the course of the selection process: • Interactive color-coded site plan displayed on the tv screen indicating any available homes for selection • Chamonix Vail Draw Order • Solar panel aspect diagram A color-coded site plan with the homes labeled#1 through#32 will be displayed on the tv screen Once an available home has been selected, the home number will be BLACKENED OUT on the tv screen. Once a home number is BLACKENED OUT it is no longer available for trade or selection. Trade Selection Participants have up to three minutes to make a home selection once their name is announced. Please come prepared with a list of preferred home types and locations you will select and contract for purchase, if available. Once a selection is made,the selection shall become final. Trade Selection Participants (Proxy) must be present to make a selection. Contract Holders who select a different home shall execute an amendment to purchase agreement immediately.Town Officials and a Notary will be on hand to execute amendment to purchase agreements. New Purchasers who successfully select a Chamonix Vail home for purchase will receive a Chamonix Vail Home Purchaser's Packet the evening of the selection. The Home Purchaser's packet will contain the following: • Home Type and Home Number • Floor plans and exterior building elevations • Purchase and Sale Agreement • Deed Restriction • Chamonix Vail Home Owners Association Documents New Purchasers (Name on Waitlist) shall execute a purchase agreement with 1.5%earnest money payment by no later than 5:00 pm, Wednesday,January 17, 2018. The terms of the purchase agreement are non-negotiable and fees and earnest monies paid to this point are non-refundable. A three person panel of Selection Judges will be present to address any issues of conflict or concern. Any decision rendered by the Selection Judges shall be final. Helpful Tips: 3 • Avoid the stress. Arrive early. Doors open at 5:30 pm. • Be patient and plan on spending an hour or so at the selection. We have up to 26 families participating in the selection. It's going to take some time to get through the selection process. • Come prepared. Know which home or homes you are willing to trade to or select when your name is called. • Review the legal documents in advance and be an informed purchaser. We recommend you get legal advice before signing any of the legal documents. Legal documents, including the amended purchase agreement are posted online at www.chamonixvail.com • Use the worksheet provided to keep track of the homes still available for trade and purchase. All Lottery Participants MUST register and sign-in the evening of the drawing. Registration and sign-in concludes at 6:00 pm. Please do not be late. To be fair, there can be no exceptions for persons arriving after the 6:00 pm deadline. The lottery drawing begins at 6:15 pm. As a Lottery Participant, you will be asked to make one of three choices the evening of the drawing: 1) Selected a home that you intend to purchase, or 2) Indicate on the homebuyer waiting list the type of home, or homes,you would purchase should one become available in the future, or 3) State your desire to be removed from the lottery drawing process. All Lottery Participants will receive a color-coded name tag and one color-coded lottery ticket along with a packet of informational materials, including a colored site plan and a home buyer waiting list selection sheet, at sign in. One lottery ticket per Lottery Participant 1 Spouses or partners may participate separately based upon each person's individual ability to qualify for the home of their choosing. Lottery tickets will be placed into the lottery tumbler by a Lottery Representative at sign-in. Proxy will be accepted for Lottery Participants that are not able to attend in person. All proxies must be received and verified prior to the conclusion of the registration and sign-in at 6:00 pm, Monday,January 22nd. Proxies will not be accepted the night of the lottery drawing after 6:00 pm. The Vail Town Clerk will verify and attest the registration, sign-in sheet and any proxies received prior to the start of the lottery drawing. The drawing begins at 6:15 pm. The lottery drawing process includes the following visual aids to help participants make decisions over the course of the drawing process: • Interactive color-coded site plan displayed on the TV screen. • Chamonix Vail Drawing Order and Home Buyer Wait List displayed on the projector screen. All lottery tickets are placed in the tumbler. The tumbler will be fully rotated at least three times prior to each draw. Lottery tickets are selected at random and one at a time from the tumbler. Lottery tickets will be numbered in the order in which they are drawn. All of the lottery tickets will be drawn from the tumbler and an order of drawing list will be completed. A list of the Chamonix Vail Drawing Order will be created. Home selection and placement of names on to the Home Buyer Wait List will be completed in the order drawn. A color-coded site plan with the homes labeled#1 through#32 will be displayed on the TV screen Once a home has been selected, the home number will be BLACKENED OUT on the TV screen. Once a home number is BLACKENED OUT it is no longer available for selection. Selected Lottery Participants have up to three minutes to make a home selection once their ticket is drawn and name is announced. Please come prepared with a list of preferred home types and locations you will select, reserve and purchase. Selected Lottery Participants may select a home type for which they are financially qualified to purchase and intend to sign a reservation agreement to purchase from any of the homes not yet selected. Once a selection is made,the selection shall become final. 2 If a Lottery Participant's name is drawn and they either choose not to select a home, or the home type(s)for which they are financially qualified to purchase is no longer available, they may chose to either have their name placed on the Chamonix Vail Homebuyer Wait List or have their name removed from the lottery drawing process. If a selected Lottery Participant chooses to have their name placed on the Homebuyer Wait List, their name will be placed on the next open and available slot on the Wait List. The participant shall also indicate by placing an "X" in the box for the home type(s)they will reserve and purchase should one become available in the future. We strongly recommend that you only place an "X" in the box of the home type(s)you intend to purchase. For example, if you only intend to purchase a three bedroom home should one become available, do not place an "X" in the boxes of a two bedroom homes even though you financially qualify to purchase the lesser priced two bedroom home as you may lose your position on the Wait List if a two bedroom becomes available and you pass on the option to purchase the home. If a Lottery Participant is no longer in attendance when their lottery ticket is drawn their name will be removed from the lottery selection process. Lottery Participants (Proxy) must be present to win. Lottery Participants who successfully select a home for reservation and purchase will receive a Chamonix Vail Home Purchaser's Packet the evening of the lottery. The home purchaser's packet will contain the following: • Home Type and Home Number • Floor plans and exterior building elevations • Reservation Agreement • Purchase Agreement • Deed Restriction • Chamonix Vail Home Owners Association Documents Lottery Participants who select a home the night of the second drawing shall have three business days to execute a purchase agreement. Purchase agreements from the January 22nd lottery drawing winners will not be accepted after 5:00 pm,Thursday,January 25, 2018. The terms of the reservation agreement are non-negotiable and fees paid are non-refundable. If a Chamonix Vail home becomes available after the lottery drawing the names on the Chamonix Vail Wait List will be used to reassign the home. Lottery Participant's names will be selected from the Wait List in the order which they were drawn. For example, if a 3-1 home becomes available, we will go down the List in order to the first person that has indicated a desire to reserve and purchase a 3-1 home. 3 When a Lottery Participant's name is selected from the Wait List, the participant will be contacted by both telephone and email and given two business days to decide if they wish to purchase the home and execute a reservation agreement. If a Lottery Participant on the Wait List is offered a chance to reserve and purchase a Chamonix Vail Home but declines option,their name will be moved to the end of the Wait List. "If you pass you become last." This process will repeat until all homes are reserved and purchase agreements are executed. In the unlikely event that a purchaser can not be found from the Wait List, the Town reserves the right to sell the home on a first come, first served basis. A three person panel of Lottery Judges will be present to address any issues of conflict or concern. Any decision rendered by the Lottery Judges shall be final. Helpful Tips: • Avoid the stress. It's going to take some time to get through the drawing and home selection process. • Come prepared. Know which home or homes you are willing to reserve and purchase if your name is selected. Some people may only be interested in purchasing a certain home type. Others may be more flexible and willing to reserve and purchase several of the home types if selected. We recommend that you come to the drawing with a list of options prepared in advance in the event your name is drawn and your first choice is no longer available. • Review the legal documents in advance and be an informed purchaser. We recommend you get legal advice before signing any of the legal documents. • Use the worksheet provided to keep track of the homes still available for reservation and purchase. In an effort to keep the drawing moving, you'll have 3 minutes to make your selection. • Remain positive. Everyone has an equal chance at being selected. Even if you are not able to select a home the night of the drawing, we are going to be creating a wait list should any homes become available for purchase in the future. 4
