Planner: Jonathan Spence April 24, 2018 Mr. Ryan Osborn Launch Development Via email: ROsborn@launchliving.com Reference: 534 ELC Parking Garage Interim Drainage Letter JVA Job No. 2874c Dear Ryan: This drainage letter is intended to supplement a demolition plan permit application and identify likely drainage patterns in an interim non-structured parking condition. The subject project is located at 534 East Lionshead Circle in Vail, Colorado. Specifically, the survey information for the project identifies this parcel as a portion of Tract E & Lots 1, 2, & 3, Block 1 Vail/Lionshead First Filing, Parcel C No. 4 as shown with the Topographic Map prepared by PLC and dated March 23, 2018. The existing conditions generally consist of a multi-level parking structure configuration with ingress/egress from East Lionshead Circle to the east as well as the shared parcel to the south denoted as Parcel F. The upper deck of the parking structure is currently exposed and partially drains back towards East Lionshead Circle, however the majority of this upper deck drains via sheetflow from the south to the north to a series of inlets near the north property line. The storm sewer infrastructure has been surveyed, however drainage flow paths and routing remain underdetermined. We understand additional field observation and scoping of the storm drains and inlets will be completed in the immediate future to determine size, material, condition and direction of flow. It is currently assumed that the stormsewer infrastructure routes runoff from the upper deck to the west along the north property line and then back through the structure to the south for an ultimate discharge to inlet 3N as shown with the project survey. It appears that the lower level also routes discharge to inlet 3N in a similar but reversed direction from the north to the south via sheetflow. The routing from inlet 3N is also in question, however is believed to be routed to the south to a below grade cistern for continued discharge to the south and east. The additional field verification will confirm routing, size, material and condition of the stormsewer infrastructure. The interim proposed conditions shown with the package prepared by Pierce Architecture, dated April 2, 2018 removes the aforementioned upper deck from Parcel C and adjusts grades on the lower level to increase the slope to promote positive drainage to the aforementioned inlet 3N. We understand that an asphalt mat of smaller footprint than existing is anticipated to accommodate approximately 18 stalls on what was the lower level, which will reduce imperviousness from the existing conditions. 534 ELC Parking Garage Drainge Letter April 24, 2018 2 of 2 If the above assumptions are correct, there will be no net increase to the existing inlet 3N resulting from this proposed interim condition and therefore no net increase to downstream conveyances. The proposed structural engineering scope of work is described as follows: • Site visits to assess conditions prior to and during demolition. • Consulting with you to develop a plan for shoring. • Design of temporary shoring systems. • Preparation of shoring plan drawings and details as required. Cost: The cost is based on time spent and will be charged at a rate of $140 per hour. The following assumptions and exclusions apply: • Drawings will be provided in pdf format to be transmitted electronically. Reproduction is not included. • Soils report will be provided by others. Page 2 of 4 Job 18021—534 East Lionshead Circle, Parcels C and L Engineering Design Services Agreement Date: April 24, 2018 Client: Meadow Mountain Homes, Builder Engineer: Kerrigan Engineering, Inc. Project: Structural Engineering Design Services for a building structure at 534 East Lionshead Circle, Parcels C and L, Vail, CO. The scope of services is described in a letter proposal dated April 24, 2018 and is a part of this agreement. Services shall be rendered in accordance with standard accepted engineering practices and the following General Provisions. BASIC SERVICES OF ENGINEER ENGINEER shall perform for CLIENT professional engineering services, in all phases of the Project to which this Agreement applies as provided in the letter proposal. These services will include serving as CLIENT's professional engineering representative for the Project, providing professional engineering consultation and advice and furnishing customary design and consulting services incidental thereto. ADDITIONAL SERVICES OF ENGINEER Additional Services include services not defined in the letter proposal. Additional services may be performed under this contract. Any additional services shall require written change of scope, time and cost estimate, and be signed by both CLIENT and ENGINEER. CLIENT'S RESPONSIBILITIES CLIENT shall provide all criteria and full information as to CLIENT'S requirements for the Project; designate a person to act with authority on CLIENT's behalf in respect of all aspects of the Project; examine and respond promptly to ENGINEER's submissions; and give prompt written notice to ENGINEER whenever CLIENT observes or otherwise becomes aware of any defect in the work. CLIENT shall also do the following and pay all costs incident thereto: • Town of Vail design review fees and building permit fees. • Document reproduction. MEANING OF TERMS As used herein the term "this Agreement" refers to the Letter Proposal to which these General Provisions are attached, as if they were part of one and the same document. Reimbursable Expenses mean the actual expenses incurred by ENGINEER or ENGINEER's independent professional associates or consultants directly or indirectly in connection with the Project, such as expenses for: transportation and subsistence incidental thereto; obtaining bids or proposals from Contractor(s); providing and maintaining field office facilities including furnishings and utilities; subsistence and transportation of Resident Project Representatives and their assistants; toll telephone calls and telegrams; reproduction of reports, drawings, specifications, bidding documents and similar Kerrigan Engineering, Inc. MISCELLANEOUS Reuse of Documents All documents including Drawings and Specifications prepared or furnished by ENGINEER (and ENGINEER's independent professional associates and consultants) pursuant to this Agreement are instruments of service in respect of the Project and ENGINEER shall retain an ownership and property interest therein whether or not the Project is completed. CLIENT may make and retain copies for information and reference in connection with the use and occupancy of the Project by CLIENT and others; however, such documents are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by ENGINEER for the specific purpose intended will be at CLIENT's sole risk and without liability or legal exposure to ENGINEER, or to ENGINEER's independent professional associates or consultants, and CLIENT shall indemnify and hold harmless ENGINEER and ENGINEER's independent professional associates and consultants from all claims, damages, losses and expenses including attorney's fees arising out of or resulting therefrom. Any such verification or adaptation will entitle ENGINEER to further compensation at rates to be agreed upon by CLIENT and ENGINEER. Provisions Concerning Payments CLIENT shall pay a retainer amount of $1,000. This retainer amount will be applied to the final invoice for this project. ENGINEER shall submit invoices for work completed at approximate intervals of once per month based on hours of work performed at our standard rate of $140 per hour. The estimate of cost provided in the proposal is for budgetary purposes and is not a guarantee of cost. ENGINEER shall invoice for work completed at approximate intervals of once per month in accordance with the amounts indicated in the letter proposal or as subsequently agreed upon in writing for additional work. If CLIENT fails to make any payment due ENGINEER for services and expenses within thirty days after receipt of ENGINEER's invoice therefor, the amounts due ENGINEER will be increased at the rate of 1½% per month from said thirtieth day, and in addition, ENGINEER may, after giving seven days' written notice to CLIENT, suspend services under this Agreement until ENGINEER has been paid in full all amounts due for services, expenses and charges. If it becomes necessary for ENGINEER to pursue legal action to collect any outstanding balance, it is agreed that the CLIENT is responsible for payment of all reasonable attorney's fees and collection fees that may be incurred. Termination The obligation to provide further services under this Agreement may be terminated by either party upon seven days' written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party. In the event of any termination, ENGINEER will be paid for all services rendered to the date of termination, all Reimbursable Expenses and termination expenses. Dispute Resolution In the event of any dispute between CLIENT and ENGINEER related to the project, CLIENT and ENGINEER Kerrigan Engineering, Inc. Page 4 of 4 Job 18021—534 East Lionshead Circle, Parcels C and L agree to first negotiate in good faith toward a resolution with participation by representatives of each party holding sufficient authority to resolve the dispute. If such dispute cannot be resolved within 10 business days, before any action or litigation is initiated other than as required to secure lien rights, the dispute shall be submitted to mediation using the American Arbitration Association or another mediator as mutually selected by CLIENT and ENGINEER. Such mediation shall be completed within a reasonable period of time from either CLIENT or ENGINEER demands in writing, with CLIENT and ENGINEER to bear an equal share of the mediation fees and their own respective attorney and consultant fees and costs. Controlling Law This Agreement is to be governed by the law of the principal place of business of ENGINEER. Successors and Assigns CLIENT and ENGINEER each is hereby bound and the partners, successors, executors, administrators and legal representatives of CLIENT and ENGINEER (and the assigns of CLIENT and ENGINEER) are hereby bound to the other party to this Agreement and to the partners, successors, executors, administrators and legal representative (and said assigns) of such other party, in respect of all covenants, agreements and obligations of the Agreement. Nothing under this Agreement shall be construed to give any rights or benefits in this Agreement to anyone other than CLIENT and ENGINEER, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of CLIENT and ENGINEER and not for the benefit of any other party. Warranty and Limitation of Professional Liability ENGINEER's only warranty or guarantee in connection with services performed in respect of the project is that the services will be performed with the care and skill ordinarily exercised by members of the profession practicing under similar conditions at the same time and in the same or similar locality. No other warranty, expressed or implied, is made. ENGINEER's liability for damages due to professional negligence, will be limited to a sum not to exceed double the fee, whichever is greater. The letter proposal and the above general provisions represents the entire understanding between you and me in respect to this project and may only be modified in writing signed by both parties. If it satisfactorily sets forth your understanding of our agreement, please sign this letter, in the space provided below, and return it to us. This proposal is valid for thirty (30) days from the date and requires your signature and its return within that period.
