Includes:
1. Remove existing shingles and underlayment with legal disposal. Replace with GAF Ice and Water on
entire deck and GAF Timberline Shingles, starter and Hip and Ridge.

Excludes:
1. Excludes snow retention method and location as required by Town of Vail Building Code. Must be provide by a
licensed engineer.
2. Any roof sheathing replacement. New 7/16 OSB sheathing installed at$60/sheet. Replacement will be determined at
the time of roof membrane removal.

All material is guaranteed to be as specified. All work to be completed in a substantial workmanlike manner according to
specifications submitted and per standard industry practices. Any alteration or deviation from the above specifications
involving extra cost will become an extra charge over and above the amount of the proposal.All agreements are contingent
upon strikes, accidents, or delays beyond our control. Owner agrees to carry homeowner's and other necessary insurance.
Roof Worx, LLC will not be held liable for any structural movement, settling, cracks in drywall, driveway or damage to siding
due to the roofing or loading processes. Roof Worx, LLC may revise this proposal for current material and labor rates at
the time of the contract. THIS IS NOT A CONTRACT. Should you accept this proposal, a contract will be prepared.

Roof Worx,LLC shall hold In trust any payment received from you until Roof Worx,LLC has delivered roofing materials at the site or has
performed a majority of the'roofing work on your property.You have the right to rescind this contract and obtain a full refund of any deposit
within 72 hours after entering the contract.If you plan to use the proceeds of a property and casualty insurance policy to pay for the roofing work,
you may rescind this contract within 72 hours after you receive written notice from the insurance company that your claim has been denied in whole
or in part,'However,Roof Worx,LLC is entitled to retain payments or deposits to compensate for roof work actually performed in a workmanlike

of any insurance deductible applicable to the insurance claim for payment of roofing work on your property(per Senate 1311181312-38).

Roof Worx proposes to furnish material and labor in accordance with the work order price and approved supplements.
Additional Terms and Conditions
1. Approval/General Contractor.This Work Order is subject to the credit and pricing approval of the management of Roof Worx,LLC.Owner/Trustee
acknowledges that Roof Worx,LLC is a general contractor and as such will be entitled to 10%overhead and 10%profit,as allowed,by Owner/Trustee's
insurance company and state standards,
2. Roof Worx Insurance.Roof Worx,LLC general liability coverage insurer is First Specialty Insurance Corpo and can be contacted through IRG
Underwriters,LLC at(303)972-6673.Roof Worx,LLC workers compensation coverage provider is Pinnace!Assurance and can be contacted at(303)361.4075.
3. Work Order Price.The full amount of all monies as specified by the Work Order Price,does not Include any extras such as carpentry repairs or any other
repairs not specified in this Work Order or not covered by the Work Order Price that are necessary to complete the repair or replacement process as required
by local building codes or to cosmetically satisfy Owner/Trustee.After removal of the existing roofing system,Roof Worx,LLC will inspect decking for possible
defects and replace any rotten/deteriorated boards.Rotten/Deteriorated boards are not always covered by insurance,replacement 4'x8'sheets of 7/16"thick
OSB will be installed for$50.00 each.
4. Materials.All materials provided by Roof Worx,LLC will be standard stock materials,unless otherwise specified,and will match existing materials within
reasonable tolerance as to color,texture,design,etc.Notwithstanding the foregoing,other products and materials may be substituted for equivalent products
due to availability.All excess materials remain the property of Roof Worx,LLC.
5. Access to Property.The prices and terms of Roof Worx,LLC's estimate and this Work Order are based upon completion of the work during normal
working hours,and Owner/Trustee agrees to provide Roof Worx,LLC access to Owner/Trustee's property as required for completion of the work.Owner/Trustee
will be responsible if any interruption of Roof Worx,LLC's work results from Owner/Trustee's failure to provide reasonable access or due to the acts or
negligence of others net under Roof Worx,LLC's direction,Roof Worx,LLC shall not be responsible for damages arising from delay due to Inclement weather,
strikes,fires,accidents,delays In shipments or delivery of materials,or any causes beyond Roof Worx,LLC's reasonable control,Owner/Trustee agrees that
electricity will be made available to Roof Worx,LLC's personnel during the course of the work.Roof Worx,LLC shall not be responsible for protection of Owner/
Trustee's property:except to provide that protection which is specifcallycalled for under the specifications provided by this Work Order.Owner/Trustee also
agrees to remove,store and/or protect personal property during Roof Worx,LLC's work.Owner/Trustee will manage and be responsible for protection of
vehicles and property that may be exposed to damage by Roof Worx,LLC's work.
6. Job Completion.Job completion shall be the date on which Roof Worx,LLC's work is substantially finished(as distinguished from the date of Owner/
Trustee's acceptance thereof).Owner/Trustee's failure to make prompt payment shall entitle Roof Worx,LLC,on forty-eight hours(48)hours'written notice,to
stop work,The Agreed Price shall be increased by Roof Worx,LLC's reasonable costs to stop the project and/or resume work,in the event Owner/Trustee
chooses not to pay for a part of the work,an individual line Item,or a trade,Owner/Trustee releases Roof Worx,LLC of its obligations for the performance of
that component with regard to the integrity of the building system as a whole.Final payment in full shall not be held up while waiting for the city to inspect the
work completed.Roof Worx,LLC will come back within 10 business days from receipt of correction notice.
7. Insurance/Mortgage Company.Owner/Trustee hereby authorizes its Insurance and/or mortgage company to pay Roof Wonc,LLC directly for all work and
materials provided by Roof Worx,LLC to accomplish Owner/Trustee's replacement or repair.Owner/Trustee further directs its Insurer and/or mortgagee to
Include Roof Worx,LLC as a payee on all checks or drafts now or hereafter payable for such loss,'Roof Worx,LLC reserves the right to supplement Owner/
Trustee's insurance and/or mortgage company for increases In the scope of work and/or documented price increases,Owner/Trustee agrees to allow these
supplements to be paid directly to Roof Worx,LLC.Roof Worx,LLC makes no representations or warranties regarding Owner/Trustee's Insurance coverage or
If Owner/Trustee's insurer will pay for all or any of the work to be performed by Roof Worx,LLC under this Work Order,Owner/Trustee agrees to pay Roof
Worx,LLC In full for all work performed by Roof Worx,LLC under this Work Order,regardless of Owner/Trustee's Insurance coverage(ex.Non-Replacement
Cost Policy).Owner/Trustee also agrees to pay Roof Worx,LLC directly for all amounts,including depreciation,deductibles,and to also pay for additional work
not covered by Owner/Trustee's insurer and that said amounts must be paid before Job completion.In the event Owner/Trustee breaches this Work Order,
Owner/Trustee agrees to pay Roof Worx,LLC:a)In full,on a time and materials basis,for all work and materials provided by Roof Worx,LLC as oft e•a e o
such breach;and b)a restocking fee equal to 25%for all materials ordered for materials that can be returned/canceled or to 100%all materials ordered if the
materials ordered are custom and/or cannot be canceled/returned.
8. Warranty.All work is to be completed in a workmanlike manner,according to standard industry practices.Specified work and quoted prices are subject to
change upon discovery of hidden defects.Roof Worx,LLC provides a 5 year"No Leak"workmanship warranty on all workmanship covered by this Work
Order for a period of five years from the earlier of:a)the date Roof Worx,LLC is substantially complete;orb)the date Roof Worx,LLC's building permit is
finalized or otherwise closed.All materials used are subject only to warranties provided by the manufacturers and/or suppliers.If Roof Worx,LLC is not paid in
full in accordance with this Work Order,all warranties provided by Roof Worx,LLC are null and void.In addition,Roof Worx,LLC must receive written

notification of any claim against Roof Worx,LLC alleging any breach of this Work Order or nesligence within the five-year period defined above.
S Past Due Amounts.Owner/Trustee agrees to pay a service charge,of 18%per annum on all balances 30 days or more past due.Owner/Trustee also
agrees to pay for all collection costs,Including employee time and expense and all attorneys'fees and costs Roof Worx,LLC Incurs in either collection of and/or
protection of its Interests in Owner/Trustee's past due account and/or performance of this Work Order.Should default be made In payment of this Work Order,
a lien will be placed on the property and charges will be added from the date of substantial completion et the maximum rate allowed by law.If placed in the
hands of an attorney for collection,Owner/Trustee will pay all attorney and legal fees.
10. Hazardous Materials.Nothing contained In this Work Order shall be construed to require Roof Worx,LLC to determine the presence or absence of any
hazardous materials or asbeStos•containing materials affecting the property or to require Roof Worx,LLC to remove or protect such materials.In the event that
Roof Worx,LLC learns of the presence of such materials on Owner/Trustee's property,Roof Worx,LLC reserves the right to Immediately stop work and
negotiate a change order for such additional work as may be required.
11. Liability.Roof Worx,LLC Is not responsible for damage or loss caused In whole or in part by;the acts or omissions of other parties,trades or contractors; •
lightning,gale force winds(+60 m.p.h.),hailstorms,ice damage,ice dams(caused by thawing and freezing of ice,water or snow),hurricanes,tornados,floods,
earthquakes or other unusual phenomena of the elements;structural settlement;failure,movement,cracking or excess deflection of the roof deck;defects or
failure of materials used as a roof substrate over which Roof Worx,LLC's roofing material is applied;faulty condition of parapet walls,copings,chimneys,
skylights,vents,supports or other parts of the building;vapor condensation beneath the roof;penetrations for pitch boxes;erosion,cracking and porosity of
mortar and brick;dry rot;stoppage of roof drains and gutters;penetration of the roof from beneath by rising fasteners of any type;inadequate drainage,slope or
other conditions beyond the control of Roof Worx,LLC which cause ponding or standing water;termites or other insects;rodents or other animals;fire;or
harmful chemicals,oils,acids and the like that come Into contact with Owner/Trustee's roof and cause a leak or otherwise damage Owner/Trustee's roof,If
Owner/Trustee's roof fails to maintain a watertight condition because of damage by reason of any of the foregoing,Roof Worx,LLC's warranty shall immediately
become null and void for the balance of its term unless such damage is repaired by Roof Worx,LLC at the expense of Owner/Trustee.Roof Worx,LLC accepts
no liability to Indemnify or hold Owner/Trustee harmless for claims or damages to persons or property,except to the extent that such damage occurs during
performance of Roof Worx,LLC's work and are the direct result of Roof Worx,LLC'S error or omission.Notwithstanding theforegoing,Roof Worx,LLC shall not
be responsible for damages to any area of the property upon which Roof Worx,LLC's work has not been completed nor is Roof Worx,LLC responsible for slight
scratching or denting of gutters,oil droplets In driveways, fractures In concrete,damage to flowers or landscaping,or minor broken branches on trees,plants or
shrubbery.In no event shall Roof Worx,LLC be responsible for any type of damage resulting from vibrations,including,but not limited to,interior drywall/plaster
damage,nail pops or disconnection of chimneys,flues,air ducts,ventilation shafts,exhaust vents,furnace vents or sewer vents.Roof Worx,LLC shall not be
responsible for hidden sight conditions Including but not limited to structural errors or damages,electrical wires,plumbing and/or pipes,ceilings etcetera that
are too close to the nailing surface or attached under the roof which may be damaged during the course of roof replacement.Owner/Trustee understands and
agrees that Roof Worx,LLC shall have no responsibility for damages of any kind to persons or property occurring after job completion.
12, Hold Harmless.Owner/Trustee agrees to hold Roof Worx,LLC harmless in connection with the work described herein and that Owner/Trustee's maximum
recourse shall be,and Roof Worx,LLC's maximum liability under this Work Order shall be limited to,the amount Roof Worx,LLC billed to Owner/Trustee.
Owner/Trustee understands and acknowledges that Roof Worx,LLC does not warrant or guarantee previous workmanship or pre-existing materials,nor any
materials or labor not originally provided by Roof Worx,LLC.Roof Worx,LLC shall not be responsible for latent defects in materials and accessories supplied.
Roof Worx,LLC shall not be responsible for rework required as a result of the acts or errors of others.Roof Worx LLC shall not be responsible to verify
accepted shingle type and colors with any community covenants that may exist and any re-work resulting from an error.
13. Entire Work Order.This Work Order constitutes the entire Work Order and understanding of Roof Worx,LLC and Owner/Trustee relating to all of the
subject matter hereof,and supersedes all prior Work Orders,arrangements and understandings,written or oral between the parties concerning such subject
matter.ANY REPRESENTATION,STATEMENTS,OR OTHER COMMUNICATIONS NOT WRITTEN IN THIS WORK ORDER,OR MADE IN WRITING
PURSUANT THERETO,ARE AGREED TO BE INVALID AND NOT RELIED ON BY EITHER PARTY AND DO NOT SURVIVE THE EXECUTION OF THIS
WORK ORDER.
14. Reformation/Severability.Roof Worx,LLC and Owner/Trustee Intend and agree that if a court of competent jurisdiction determines that the scope of any
provision of this Work Order is too broad to be enforced as written,the court should reform such provisions)to such narrower scope as It determines to be
enforceable.Roof Worx,LLC and Owner/Trustee further agree that if any provision of this Work Order is determined to be unenforceable for any reason,and
such provision cannot be reformed by the court as anticipated above,such provision shall be deemed separate and Severable and the unenforceabllity of any
such provision shall not Invalidate or render unenforceable any of the remaining provisions hereof,
