INC., a Colorado corporation, Plaintiffs, VS. FRED COOKE and GRACELAND CORPORATION, Defendants. THE COURT, having reviewed Plaintiffs' Request for Declaratory Judgment, Request for Temporary Restraining Order and Complaint, and after hearing arguments of counsel on January 19, 1988 at the time scheduled for a preliminary injunction hearing herein, and being otherwise advised; THE COURT FINDS that the Court has jurisdiction over the parties herein, and that the temporary restraining order issued January 12, 1988 and effective upon the posting of bond January 15, 1 988_was and.,is valid and is binding upon Defendants and all banks served; THE COURT FURTHER FINDS that counsel for Defendants has requested that the preliminary injunction hearing be continued until February 1988 and has thereby consented that the within restraining order will remain valid until the completion of the said preliminary injunction hearing and until this Court orders otherwise. The Court finds that if the within Order does not issue forthwith Plaintiffs will be irreparably damaged insofar as the Red Lion restaurant will be unable to continue operations. IT IS THEREFORE ORDERED as follows: 1. That - the temporary restraining order issued January 12, 1988 will remain and remains in full force and effect in its entirety until the above said preliminary injunction hearing_is held and until this Court orders otherwise. The said temporary restraining order, and the within Order hereby, provides as follows: a. that Cooke and Graceland are hereby enjoined and restrained from holding themselves, or either of them, out to third parties as the general manager, owner, or operator of the Red Lion or as an officer or director of SCG, Inc.; b. that all bank accounts upon which Graceland, Graceland Corporation, Graceland Inc., or Graceland Limited or Fred Cooke are signatories or are named are to be frozen or deposited in this Court until such time as this Court orders otherwise) C. that Cooke and Graceland are restrained from any attempts on their, or either of their part, from transfering ownership of a liquor license for the Red Lion to Cooke, Graceland or any other entity; d. that Cooke is to provide an accounting to SCG, Inc. and Green of all income and expenses of the Red Lion since November 1, 1986, and that such accounting is to be provided no later than February 12, 1988; e. that Cooke and Graceland are restrained and enjoined from attempting to obtain or collect any SCG, Inc. or Red Lion funds which were used as deposits or otherwise in connection with the operation or purchase of the Red Lion; f. that Plaintiffs may serve temporary restraining orders specifically directed to all banks and financial institutions in Eagle County or any other bank or financial institutions with which Plaintiffs reasonably suspect Defendants of depositing Red Lion monies; g. that Green and /or directors of SCG, Inc. may forthwith enter the premises of the Red Lion with peace officers and evict Cooke and representatives of Graceland from the premises until further order of this Court; h. that Cooke and Graceland are hereby enjoined until further order of the Court from representing SCG, Inc. or the Red Lion in any litigation or contractual or financial matters, and further that Cooke notify SCG, Inc. or its counsel of any parties with whom he is currently negotiating, transacting any business, or involved in litigation in connection with the Red Lion; i. that Cooke is mandatorily enjoined to provide SCG, Inc. or its counsel all information in his possession concerning federal, state and social security tax obligations, delinquencies, penalties, audits, or recent payments. 2. That Michael E. Ricks, CPA J s to act effective immediately as a receiver to manage the operations and financial affairs of the Red Lion until such time as this Court orders otherwise; and that Beverly Green, subject to approval of Ricks, is to continue the day -to -day management of the Red Lion; and that the receiver shall post a $50,000.00 bond with the Court; 3. That all parties and their respective counsel are to give the receiver complete cooperation and turn over to the receiver all documents, information, financial statements or any other items which he requests as soon as possible and with no unreasonable delay; 4. That Plaintiffs' bond will remain at $10,000.00, which has already been deposited in with the Court, provided that Plaintiff provides the Court evidence of payment of sales tax revenue to the Colorado Department of Revenue (for Red Lion December sales); 5. That Plaintiffs will provide the Court or the receiver an inventory of cash, food, and beverages at the Red Lion on January 15, 1988 and January 21, 1988; 6. That Cooke is to provide Plaintiffs with a list of personal property which he wishes to remove from the Red Lion, and after providing Plaintiffs or their counsel with such a list, Cooke may enter the premises of the Red Lion to remove such personal property; further, Cooke may enter the premises of the Red Lion to make notes regarding or to photocopy financial statements, books, and /or business records of Graceland; however, neither Cooke nor agents of Graceland are to interfere with or take'part in the operation or management of the Red Lion; 7. That all bank accounts frozen pursuant to the temporary restraining order - issued January 12, 1988, with the exception of Exclusive Properties, Inc., at Century Bank in Cherry Creek, are to remain frozen pursuant to the within Order, and are to remain frozen until such time as this Court orders otherwise pending the outcome of the preliminary injunction hearing on February 5, 1988; 8. That Plaintiffs' counsel is specifically authorized to telephone those banks and financial institutions where the said accounts are frozen and inform them of the contents of the within Order and specifically inform them that the said accounts are to remain frozen until further order of this Court. However, information regarding those accounts is to be turned over to the receiver upon his request. \.
