2:00 1. Gymnastics Center Tour
Ceil Folz
Action Requested of Council: We will travel from Municipal
Building to the Old Town Shops to see the new Gymnastics
Center.
Background Rationale: The Gymnastics Center remodeling was
completed last spring and has been in use through the
summer. We would like the Council Members to have the
opportunity to see the facility first hand.
2:30 2. Vail Resort Association Presentation on Marketing Funding
Bill High
David Kanally Action Requested of Council: Vail Resort Association has
asked for time to make a presentation concerning their
survey and recommendations for additional marketing funding.
Background Rationale: The Vail Resort Association has been
through extensive study with its finance committee and the
Town Council/VRA Task Force determining ways in which
marketing funding could be increased. The news release was
given to Council Members last week giving the results of
their survey and they now want to meet with the Council to
begin the process of moving toward final recommendations and
public hearings on increased funding.
3:00 3. Discussion of Proposed Lease to Blu's Beanery for a Patio
Larry Eskwith
Tom Braun Action Requested of Council: Approve/deny/modify the lease
as presented.
Background Rationale: Blu's has received all necessary
approvals from the PEC and the DRB for the patio expansion.
While it is not necessary to execute the lease until next
spring when the deck will be operable, Blu's has requested
approval because of the commitment they must make to
construct the patio and off site improvements this fall.
Staff Recommendation: Approve the lease as presented.
3:15 4. Vail Associates Shuttle Cart Service Proposal
Kristan Pritz
Action Requested of Council: To review the request and
determine if Vail Associates and Town staff should proceed
with arranging the final agreements concerning this request.
Background Rationale: The Shuttle service would use the
Town of Vail bike path between the Village and Golden Peak.
The carts would be stored at Golden Peak when not in use.
Staff Recommendation: To approve the request with the
condition that a liability agreement and a maintenance
agreement for the bike path be completed by the applicant.
3:30 5. Report on Traffic Enforcement for Bicycles
Ken Hughey
Stan Berryman Action Requested of Council: Receive report and make any
Pat Dodson comments or suggestions that are necessary.
Background Rationale: Kent Rose brought an informal
petition from Dale McCall concerning bicycle safety problems
in East Vail to the Council two weeks ago. Ken, Stan and Pat
have met and will report on what is being done at this point
to address the problem.
3:45 6. Sage Brush Replanting Update at the Nature Center
Pat Dodson
Barb Masoner Action Requested of Council: Receive additional information
concerning the revegetation project at the Nature Center.
Background Rationale: Pat Dodson and Barb Masoner have
additional information from the Denver Botanical Gardens
concerning the revegetation of sage brush at the Nature

LEASE AGREEMENT
THIS LEASE is made and entered into this day of , 1987,
by and between the TOWN OF VAIL, State of Colorado, a municipal corporation, by and
through its Town Council hereinafter referred to as the "Lessor" and BLU'S, INC.,
hereinafter referred to as the "Lessee".
WITNESSETH':
WHEREAS, the Lessor is duly authorized by law to administer and govern certain
real property hereinafter described; and
WHEREAS, Lessor is willing to lease to Lessee the above referenced property,
together with such rights and privileges as are set forth in this Lease Agreement;
and
WHEREAS, the Lessee is desirous of leasing said property and the improvements
thereon.
NOW, THEREFORE, for and in consideration of the mutual covenant conditions and
promises contained herein, the parties hereto agree as follows:
SECTION ONE
PREMISES
Lessor grants to Lessee the use of a certain parcel of real property location in
the Town of Vail, County of Eagle and State of Colorado and more particularly set
forth in the survey attached as Exhibit A.
Lessee shall use said premises for a restaurant patio only. No permanent
improvements or fixtures except railing around the perimeter shall be placed thereon
by the Lessee. Any change in purpose shall be only with the consent of the Lessor
and upon the terms described by the Lessor.
SECTION TWO
TERM
Subject to earlier termination as hereinafter provided, the term of this
Agreement shall be the period commencing
and ending on The Lessee shall be
prohibited from any use of the premises from November 1 through April 30 unless
Lessee obtains the prior permission of the Lessor to use the premises for specific
hours on days during said period.
SECTION THREE
RENTAL AND CHARGES
For the use of the premises as set forth herein, Lessee covenants and agrees to
pay Lessor in advance the sum of ) per square foot per
month for a total of
SECTION FOUR
TAXES AND UTILITIES
The Lessee shall be liable for and shall promptly pay for all charges for gas,
electricity, and other utilities relating to the premises leased by Lessee. Lessee
shall promptly pay all ad valorem taxes on personal property.
SECTION FIVE
MAINTENANCE AND INSPECTIONS
Lessee shall keep and maintain the leased premises and all improvements of any
kind thereon in good and substantial repair and condition, including the exterior
condition thereof, and shall make all necessary repairs thereto, including snow
removal. Lessee shall provide proper containers for trash and garbage and keep the
leased premises free and clear of snow, rubbish, debris, and litter at all times.
Lessor shall at all times during ordinary business hours have the right to enter
upon and inspect the premises. Such inspection shall be made only at a mutually
agreeable time.
SECTION SIX
RULES AND REGULATIONS
Lessee agrees to observe and abide by the ordinances of the Town of Vail, the
statutes and regulations of the State of Colorado and of the United States
government with respect to the use of the premises.
SECTION SEVEN
INSURANCE
Lessee agrees to secure and deliver to the Town a comprehensive liability
insurance policy written on an occurrence basis, including public liability and
property damage in a form and through a company acceptable to and approved by the
Town, covering the premises, and all operations performed by the Lessee on the
premises in the amount of three hundred thousand dollars ($300,000.00) in respect to
any occurrence and aggregate amount of five hundred thousand dollars ($500,000.00)
for bodily injury and property damage.
All such policies required herein shall name the Lessor as additional insured.
A certificate evidencing such insurance, in such form as the Town may require, shall

be delivered to the Town prior to the time the Lessee takes possession of the
premises. Each certificate or policy shall contain a valid provision of endorsement
that: "This policy shall not be cancelled, or materially changed or altered,
without first giving thirty (30) days written notice thereof to the Town of Vail,
Colorado, 75 South Frontage Road, Vail, Colorado, 81657, sent by certified mail,
return receipt requested."
A certificate of renewal shall be delivered to the Lessor at least fifteen (15)
days.prior to the policy's expiration date, except for any policies expiring on the
date of this lease thereafter.
SECTION EIGHT
INDEMNIFICATION OF LESSOR
Lessee agrees to indemnify and hold harmless Lessor against all liability for
injuries to persons or damage to property caused by Lessee's use or occupancy of the
leased premises including reasonable attorneys fees for the defense of any claim,
suit, or action brought against Lessor caused by Lessee's operation of the premises;
provided, however, that Lessee shall not be liable for any injury, damage, or loss
occasioned by the negligence of the Lessor or its agents or employees; and provided
further that Lessor shall give to Lessee prompt and timely notice of any claim made
or suit instituted which in any way directly or indirectly, contingently or
otherwise, affects or might affect Lessee, and Lessee shall have the right to
compromise and defend the same to the extent of its own interest.
SECTION NINE
ALTERATIONS
Lessee shall make no alterations, additions or improvements in or to the
premises without the Lessor's prior written consent. All such work shall be
performed in a good and workmanlike manner.
Lessee shall pay or cause to be paid all costs for work done by or caused to be
done by it in or to the premises and Lessee shall keep the premises free and clear
of all mechanic's liens and other liens on account of work done for Lessee or
persons claiming under. Should any liens be filed or recorded against the premises
or any action affecting the title thereto to be commenced, Lessee shall give Lessor
written notice thereof. Lessee shall thereafter cause such liens, or claims against
the Lessor in lieu of liens, to be removed of record within five (5) days after the
filing thereof. If Lessee shall desire to contest any claim or lien it shall
furnish the Lessor with security satisfactory to the Lessor of at least one hundred
fifty percent (150%) of the amount of the claim, plus estimated costs and interest.

If a final judgment establishing the validity or existence of any lien or claim for
any amount as entered, Lessee shall pay and satisfy the same at once.
Prior to the commencement of any work in or to the premises by Lessee, Lessee
shall notify the Lessor of the proposed work and the names and addresses of the
persons supplying labor and materials for the proposed work. During and prior to
any such work on the premises, the Town and its agents shall have the right to go
upon and inspect the premises at all reasonable times.
SECTION TEN.
SURRENDER OF POSSESSION
On the expiration or termination of this lease, Les,see's rights to use the
premises, facilities and services described herein shall cease, and Lessee shall
vacate and surrender the premises to the Lessor immediately.
The Lessee shall be responsible to put the premises and improvements back to
their original condition. Al1 alterations, additions or improvements upon the
premises, unless otherwise agreed at the time Lessor's consent is obtained, or
unless Lessor requests removal thereof shall become the property of the Lessor and
shall remain on, and will be surrendered with the premises.
Depreciation and wear from ordinary use for the purpose of which the premises
were let need not be restored, but any repair for which the Lessee is responsible
shall be completed to the latest practical date prior to such surrender.
If Lessee shall remain or continue to be in possession of the premises at the
end of the term of this lease, at Lessor's option, Lessee shall be deemed to be
illegally retaining possession, or shall be deemed to be a month-to-month Lessee of
the premises and all the terms and conditions of this lease. Nothing in this
paragraph shall be construed to limit the Lessor's right to obtain possession of the
premises upon termination of this lease by unlawful detainer proceedings or ~
otherwise in the event that the Lessor does not exercise its option to treat the
continued possession by the Lessee as a month-to-month tenancy.
SECTION ELEVEN
COST OF LITIGATION
Lessee covenants and agrees to and with the Lessor that in case the Lessor
shall, without any default on its part, be made a party to 'any litigation commenced
by or against the said Lessee, Lessee shall and will pay all costs in connection
with such litigation and that said Lessee shall pay all costs and reasonable
attorney's fees which may be incurred by said Lessor in enforcing the covenants and
agreements of this lease.

SECTION TWELUE
SECURITY
Lessee shall keep on deposit with the Lessor at all times after the execution of
this lease agreement, a sum equal to one month's rent as security of the payment by
the Lessee of the rent and any other sums due under this lease and for the faitFful
performance of all the terms, conditions and covenants of this lease. If at any
time Lessee shall be in default in the performance of any provision of this lease,
Lessor may, but shall not be required to, use such deposit, or so much thereof as is
necessary, in payment of any rent, or any other sum due under this lease in dEfault,
in reimbursement or any expense incurred by the Lessor and in payment of the damages
incurred by the Lessor by reason of the Lessee's default, or at the option of the
Lessor, such deposit may be retained by the Lessor as liquidated damages. In any -
event, Lessee, shall, five (5) days after written demand from Lessor, remit to the
Lessor a sufficient amount in cash to restore the deposit to its original amount.
In the event the deposit has not been utilized as described above, it shall, or as
much thereof as has not been utilized for such purposes, shall be refunded to
Lessee, without interest, upon full performance of this lease by Lessee.
SECTION THIRTEEN
DEFAULT
The occurrence of one or more of the following events or circumstances shall
constitute a default hereunder by the Lessee:
A. The filing by the Lessee of a voluntary petition of bankruptcy.
B. Proceedings in bankruptcy instituted by the Lessee and adjudication of the
Lessee as a bankrupt pursuant to such proceedings.
C. An appointment of a receiver of the Lessee's assets of the divestiture of
the Lessee's estate by other operation of law.
D. Failure by Lessee to make lease payments due to the Lessors as provided in
this agreement within ten (10) days after the Lessor gives notice to Lessee of its
delinquency.
E. Failure of the Lessee to perform, keep and observe any of the terms,
covenants, or conditions herein contained on its part to be performed, kept or
observed, which failure continues ten (10) days after written notice thereof is
mailed by Lessor.
SECTION FOURTEEN
REMEDIES
If the Lessee shall be in default under this lease as set forth in Section
Thirteen, Lessor shall have the following rights and remedies, in addition to all

other remedies at law and equity, and none of the following, whether or not
exercised by the Lessor, shall preclude the exercise of any other right or remedy,
whether set forth in this agreement or existing at law or equity:
A. The Lessor shall have the right to terminate this lease by giving the
Lessee thirty (30) days notice in writing to be served as provided in this
agreement, and the term hereby remaining shall thereupon cease and expire in the
same and to the same effect as if it were the expiration of the lease term stated in
this agreement. Upon any termination of this lease, Lessee shall quit and surrender
to the Lessor of the leased premises. If this lease is terminated Lessee shall
remain liable to the Lessor for all rent and other sums accrued and paid hereunder
to the date of termination of this lease.
B. The Lessor may, without demand or notice, reenter and take possession of
the premises or any part thereof, and repossess the same as of the Lessor's former
state and expel the Lessee and those claiming through and under it, and remove the
effects of any and all such persons (forcibly if necessary) without being deemed
guilty of any manner of trespass, without prejudice to any remedies for appears of
rent or proceeding breach of covenants and without terminating this lease or
otherwise relieving Lessee of any obligation hereunder. Should the Lessor elect to
reenter as provided in this Section or should the Lessor take possession pursuant to
legal proceedings or pursuant to any provision provided by law, the Lessor may, from
time to time, without terminating this lease, relet the premises or any part thereof
for such term or terms and such rental or rentals, and upon such other conditions as
the Lessor may in its absolute discretion, deem advisable, with the right to make
alterations and repairs to the premises. No such reentry, repossession or reletting
of the premises by the Lessor shall be construed as an election of the Lessor's part
to terminate this lease unless a written notice of termination is given to Lessee by
the Lessor. No such reentry, repossession or reletting of the premises shall
release the Lessee of its liability and obligations under this lease, all of which
shall survive such reentry, repossession or reletting. Upon the occurrence of such
reentry or repossession, the Lessor shall be entitled to the amount of the monthly
rent, and any other sums which would be payable pursuant to this agreement, if such
reentry or repossession had not occurred, less the net proceeds, if any, of any
reletting of the premises after deducting all of the Lessor's expenses in connection
of such reletting. Lessee shall pay such amounts to the Lessor on the days the rent
or any other sum due hereunder would have been payable hereunder if possession had
not been retaken. In no event shall Lessee be entitled to receive the excess, if

any, of the rent collected by the Lessor as a result of such reletting over the sums
payable by the Lessee to the Lessor pursuant to this lease. ~
The failure of the Lessor to seek redress for violation or to insist upon the
strict performance of any covenant or condition of this lease shall not prevent a
subsequent act which would have originally constituted a violation for having all
the force and effect of the original violation. The receipt of the Lessor of rent
with knowledge of any breach of covenant.of this lease shall not be deemed a waiver
of such breach. No provision of this lease shall- be deemed to have been waived by
the Lessor unless such waiver is in writing and signed by the Lessor.
SECTION FIFTEEN
ASSIGNMENT AND SUBLETTING
Lessee covenants and agrees not to assign, sublet, pledge, or transfer its
rights in this lease, in whole or in part, to grant any license or concession
hereunder, without first obtaining the written consent of the Lessor. The consent
by the Lessor to a transfer shall not relieve the Lessee from primary liability
hereunder or from the obligation to obtain the express consent in writing of the
Lessor any further transfer. Lessor's permission to an assignment or subletting of
this lease shall not be unreasonably withheld.
SECTION SIXTEEN
ADDITIONAL CONDITIONS
A. Lessee covenants and agrees that the Lessee will save harmless said Lessor
at all times during the continuation of this lease from all damages, claims, fines,
penalties, costs and expenses whatsoever which may result from any workmen's
compensation claim.
B. Whenever any notice of payment is required by this lease to be made, given
or transmitted to the parties hereto, unless otherwise specified herein, such notice
or payment shall be deemed to have been given upon the mailing of said notice or
payment by United States certified, first-class mail, postage prepaid, and addressed
to the parties at the respective addresses as shall appear herein or upon a change
of address pursuant to this notice provision. Town of Vail

C. All covenants, conditions and provisions in this lease agreement shall
extend to and bind the legal representatives, successors and assigns of the
respective parties hereto.
D. This agreement shall be construed under the laws of the State of Colorado.
Any covenants, conditions, or provisions herein contained that are held to be
invalid by any court of competent jurisdiction shall be considered deleted from this
agreement, but such delegation shall in no way affect any other covenant, condition,
or provision herein contained so long as such del-egation does not materially
prejudice Lessor or Lessee in their respective rights and obligations contained in
the valid covenants, conditions, or provisions of this agreement.
E. All amendments to this lease must be made in writing by mutual agreement of
the parties and no oral amendments sha','i be of any force of effect whatsoever.
IN WITNESS WHEREOF, the parties have hereunto set their hands and affixed their
seals, in counterpart, on the dates indicated to be effective the day and year first
above written, pursuant to a resolution or ordinance as appropriate, of their
respective governing bodies duly entered on the minutes thereof.

SUBJECT: Request for a Winter Skier Shuttle Cart
between the Village Ski Base area & Golden Peak
Ski School: Applicant Vail Asociates, Joe Macy
I. The Request:
Vail Associates is requesting approval for a people mover to
transport skiers from Vail Village to the Golden Peak Ski School
via the Town of Vail bike path. Vail Associates believes that
the shuttle is necessary as many skiers mistakenly show up at
the Village for their lessons instead of Golden Peak. It is
quite a walk for a beginner in ski boots to walk over to Golden
Peak from the Village. A description of the type of vehicle
that would be used for the shuttle is attached to this memo.
The vehicle allows for six passengers and is equipped with ski
racks and a surrey-type top.
II. Staff Recommendation:
Staff recommends approval of the request with the following
conditions:
l. A liability agreement would be written between Vail
Associates and the Town of Vail as the people mover
would be moving along Town of Vail bike paths.
2. Vail Associates will be responsible for any additional
maintenance of the pathway which is necessary for the
shuttle. Any damage to the path due to the people
mover would need to be repaired by Vail Associates.
3. It is preferred that the carts be stored at Golden
Peak instead of the Village to minimize congestion in
the Village Ski Base area.
4. Vail Associates will obtain U.S. Forest Service
approval to run the carts across the portion of the
bike path on Forest Service property.

Dear Kristan:
The purpose of this letter is to provide details to
the Town of Vail on the proposed ski school shuttle for
next winter between Golden Peak Ski School and the Vail
Village Ski School.
The shuttle vehicle is a gasoline powered, licensed
vehicle which will operate on the bike path between Golden
Peak and the Village. The vehicle will be used to transport
ski school students who inadvertently end up at the wrong
location to the correct location for their lessons.
Maintenance of the bike path would continue to be
done by the Town of Vail as in the past. The vehicle would
be equipped with chains if needed.
Fueling would take place at the pumps south of the
Lodge at the entra-nce to the summer mountain road. Vail
Associates would sign a liability agreement regarding the
operation of the shuttle vehicle with the Town. Please
provide a draft agreement outlining the Town's concerns.

Dear Gunther,
Thank you for your petition regarding the relocation of the Truck Loading
Zone on Hanson Ranch Road from its present location on the north side of
Hanson Ranch to the south side of the street. The Town staff with the
following departments represented: Police, Fire, Community Development
and Public Works discussed the issue on August 10. We also met on Hanson
Ranch Road and came to your shop to see you but you were out.
After review of your proposal, we must deny the request based on the following
reasons:
1. The Fire Department must have emergency access westbound (wrong way)
Hanson Ranch Road. It is a designated "Fire Zone".
2. If the loading zone were moved to the south of the road and if fire
access were maintained, the size of the loading zone would shrink from
three truck lengths to about one truck length.
3. A loading zone of one truck length is not considered of adequate size
for the large number of deliveries in this area. An inadequately
sized loading zone would require drivers to park illegally causing
further problems.
We hope that the large truck delivery restrictions which went into effect
on August 10 for a 30 day experimental period will help to address your
problem. Large delivery trucks are prohibited from parking in the Hanson
Ranch Loading Zone during the hours of 11:00A.M. until S:OOP.M.

RE: Sonnenalp Landscaping Adjacent to the Delivery Area
Dear Johannes,
The Town of Vail Finance Department is in the process of
reimbursing you for $3,600.00 for landscaping that has been
completed at the Sonnenalp Hotel. Recently, we received a copy
of your letter concerning the two trees adjacent to the trash
room on the west side of the Sonnenalp Hotel.
The staff's point of view was made very clear and was marked on
approved landscape plans to indicate the relocation of the
trees. In addition, on November 26, Kristan sent a letter to
Mr. Ray Story concerning the trees adjacent to the dumpster.
We felt it was unreasonable to ask you to re-draw the landscape
plan for such a small change and therefore made notations to
the approved plans.
The staff realizes your opposition to the proposed stream walk
along Gore Creek and your reasoning behind planting trees in
this location in order to screen the delivery area. We believe
that guests of the Sonnenalp Hotel would view the stream walk
. as a positive amenity. In the near future, we hope to be able
to show you design drawings for the path so that you will have
a more thorough understanding of what this project involves.
It appears that at this point the Town is interested in
proceeding with the stream walk project. We feel that you can
still accomplish the screening of the delivery and trash area
by moving the trees further to the east. The relocation of the '
trees will avoid any further problems concerning the ~
displacement of the trees for the potential path.

The current placement of the trees is in violation of your
Design Review approval. For this reason, we have only returned
a portion of your letter of credit. The Town will keep the
$2,500.00 to cover re-striping of the parking lot, relocation
of the two evergreens, and additional sod, topsoil and seeding
for the area adjacent to Gore Creek.
To resolve the issue of the tree location, we have suggested
several alternative solutions. First, you may re-apply to the
Design Review Board to revise your landscape plan to allow for
the trees to remain in their existing location. If you choose
this option we request that you submit an application by August
31, 1987 for the September 16th Design Review Board meeting.
Secondly, if you prefer to complete the landscape work
(seeding, tree relocation and striping) as listed above, we
request that the work be completed by September 23, 1987. If
no Design Review Board approval is obtained for the existing
location of the trees, then the Town of Vail would utilize a
portion of the remaining money to relocate the trees further to
the east on your property.
Enclosed is a copy of the Design Review Board application for
you if you choose to resubmit your proposal to the Design
Review Board. Also enclosed are two xeroxes of landscape plans
with notations and the letter to Ray Story.

SUBJECT: Bicycle Concerns
This memo is designed to update you and the Town Council as to what is
being done and/or being considered as it relates to concerns involving
bicycle safety issues in the Town of Vail. Of specific concern are
Bighorn Road in East Vail and the Village/Lionshead commercial areas.
As you are aware, the Town Council has committed to the recent improvement
of our existing recreation path system and appears to be in favor of _
additional segments to complete a more total system. This concept is now in
the study stage, with a recommendation to be forthcoming later in 1987.
In addition, public works is giving consideration to striping the recreation
paths in an effort to enhance safety by delineating appropriate lanes. The
striping and appropriate regulations governing the usage of the paths will
be reinforced through upgraded and/or additional signage being reviewed
in our signage program project currently underway.
The police department has been releasing public service announcements
relating to bicycle safety and appropriate regulations over the last
several years. These messages have gone out via radio, television, and
newspapers. These educational efforts have been supplemented through
periods of directed patrol in areas where problems appear most severe.
The summer of 1987 has seen a continuation of these efforts, with
additional emphasis being given to the area over the last four to six weeks
due to an increase in the number of complaints. This emphasis will continue
throughout the remainder of the prime riding season in an effort to reduce
the concerns. Should these efforts not be successful in reducing the
problem, the police department will become more enforcement oriented.
I would encourage bikers, drivers, and pedestrians to share the
responsibility of reducing the problem.

I would like to note that the current configuration of Bighorn Road
east of Spruce Drive is not conducive to handle the volume of bicycles
that currently use the road. This is due to the roadway not having
any usable shoulder on which bikes can be ridderr, forcing them to
ride on the traveled portion of the road, which in turn forces vehicles
into the oncoming traffic lane. On most weekend days this causes
serious conflicts between opposing traffic flows due to heavy volume.
Consideration should be given to alternatives which will allow for the
separation of the bicycle and motor vehicle traffic, with appropriate
follow-up enforcement of those who choose not to use the recreation path.
As it relates to the laws pertaining to bicycles and their use of the roads
and bicycle paths, I feel that there are enough laws on the books. If
people obey the appropriate laws, most concerns would be minimal - perhaps
other than Bighorn Road east of Pitkin Creek. This would include the
dangers posed by speeding and/or careless driving by bicyclists in
the Village and Lionshead area where there is a heavy mix of pedestrians
and bikes.
In summary, if existing recreation paths are used and riders obey the
laws, both on the roadway and on the paths, most of our concerns will
be diminished. It is hoped that through on-going education and necessary
enforcement to reinforce the issues, we can create a safe and enjoyable
experience for all involved groups.
