Background Rationale: Roy Sante's and Patricia Herrington's terms on the DRB expired 2/1/90. One position was filled by the reappointment of Patricia Herrington. The other position is still vacant. George King, Carolyn "Jake" Edrington, Don H. Galagan, and George S. Lamb are applying for the position. The term is for two years ending February, 1992. Council will vote on the position opening at the Evening Meeting tonight. 2:50 3. Discussion of Town of Vail Clean-Up Day 1990 Susan Scanlan Action Requested of Council: Approve/deny staff recommendation for Clean-Up Day 1990 including the establishment of the incentive program for volunteers similar to last year's. This item was not budgeted and will need to have a supplemental appropriation. Background Rationale: The success of last year's program for the clean-up was a wonderful starting point, and we would like to continue the same approach this year. The Town of Vail would limit the total number of volunteers participating to 400; $20/volunteer for the first 10 working for a particular charity, then $30/volunteer for the 11th and each ensuing volunteer. There would be no limit on the number of people working for a particular charity. A picnic in Ford Park for all volunteers would follow the clean-up. Staff Recommendation: Approve the proposal for funding for Clean-Up .Day 1990. 3:05 4. Discussion of a request to allocate monies from the Lions- Kristan Pritz head Special Improvement District Fund for mall improvements Stan Berryman to erect banner poles at the east entrance of the mall and to purchase the Blue Bird of Paradise sculpture by Michael Anderson (Applicant: Lionshead Merchants Association, Ken Friedman - Joel Fritz) Action Requested of Council: Approve/deny the request. Background Rationale: The banner poles have been designed and given conceptual approval by the DRB. The "Blue Bird of Paradise" sculpture is located at the east entrance into Lionshead Mall. The cost of the sculpture is $30,000. The merchants propose to cover the cost of the sculpture by allocating $7,500 from the mall fund and $15,000 from a private donor. They are requesting that the Town contribute the remaining $7,500. The proposal has received conceptual approval from the Art in Public Places Board. Staff Recommendation: Approve the 2 requests. Staff will present maintenance and insurance information for the sculpture at the meeting. 3:35 5. Discussion of Town of Vail Employee Housing at Timber Ridge Charlie Wick Action Requested of Council: Approve/deny staff's request for entering into ten one-year lease contracts on 2 bedroom apartments at Timber Ridge. Lease period would be May 1, 1990 - April 30, 1991. Background Rationale: Dept. Heads are recommending the Town enter into these contracts in order to secure affordable housing opportunities for some of our workforce, particularly our seasonal workforce. A memo outlining the financial impacts is enclosed. Staff Recommendation: Approve the lease contracts with Timber Ridge. 3:45 6. Discussion of Vail Village Parking Structure Expansion and Stan Berryman Renovation Owner's Representative Action Requested of Council: Approve/deny funds to retain the services of an Owner's representative for the UTRC project. Background Rationale: As directed by the Town Council, staff issued an RFP, and received 13 proposals from firms and individuals to act as the Town's Owner's representative for the VTRC project. Staff has evaluated the proposals and will interview the 5 finalists. The firm or individual which has been selected by staff on 3/16 will be present at the 3/20 Work Session. Staff Recommendation: Approve funds to retain Owner's representative. 4:15 7. Discussion of Vail Village Core Snow Removal Procedures Stan Berryman Pete Burnett Action Requested of Council: Discussion of current snow removal procedures in Vail Village. Background Rationale: Town staff has met with Pepi Gramshammer on numerous occasions regarding snow removal procedures in Vail Village. Pepi complains that our plows enter the core too early after a snowfall disturbing his guests (see enclosure describing current practices). Staff Recommendation: Continue existing procedures. 4:30 8. Discussion of EuroFaire Lease Agreement Larry Eskwith Action Requested of Council: Approve/deny the lease agreement. Background Rationale: John Horan-Kates wishes to use the lower and upper benches of Ford Park for a EuroFaire lease. The new lease incorporated the changes suggested by Council. 4:45 9. Regarding my personal history and qualifications, I have been a permanent resident of Vail for 16 years, during which time I have been in real estates sales and brokerage. I was office manager for Byron Brown Real Estate prior to purchas- ing that company and then acted as President and Broker for the new firm. I sold my interest there in 1982 and moved to Slifer & Company (now Slifer, Smith & Frampton, Inc.) where I am employed as a Broker/Salesman. I have been involved in various capacities with building and renovation projects, both personally and as broker. I participated in the re-development of the Bridge Street Condominium Building (formerly the Casino Building) from. conceptualization through the approval process as well as the construction and sales phases. I was also originator and President of Vendetta's restaurant ~.=here :ee worked with the Town of Vail to renovate the adjacent alley and exterior deck area on Wall Street. My personal creative endeavors have included exhibiting and selling my own oil paintings and photographs periodically for 25 years. My interest in the Design Review Board derives from my desire to become involved with those processes that will help determine the future of our town. The Design Review Board plays an especially important role in a resort town like Vail. A commitment to continually make the town more attractive for the visitors who are the basis of our economy, while creating a stable and comfortable environment for those of us who live here, is a challenging opportunity. As a brief background, I moved to Vail in the spring of 1974 and I currently live in East Vail with my wife, Lizette, and son, Colin. I am employed with Slifer, Smith & Frampton, having joined Slifer & Company in the spring of 1979. Educationally, in both college and graduate school, I combined a focus in art and business. After the success of last year's event we would like to incorporate a few changes to improve the event. On the whole, staff would propose the event be Pike last year's with a few changes. Some of the changes we would like to incorporate are suggestions we received from Council, volunteers and staff. CHANGES: (1) Limit to approximately 400 the number of volunteers. (2) Require donations be made to local organizations and charities only. (3) Provide orange safety vests for all volunteers working on the highway. (4) Limit the minimum age of volunteers to 13 to 15 years old for safety reasons; especially on the highway areas. At this time we would like to request Council to approve an incentive program identical to the one used last year. The program was $20 per volunteer for the first 10 individuals working for a particular group and $30 per volunteer for the 11th and each additional volunteer. In this manner, the .more individuals a group had working in their name the more money they earned. The staff feels this incentive program was largely responsible for the excellent turn out experienced last year. It was a very effective means of promoting the event, encouraging participation and it allowed numerous charities to benefit. BUDGET: The funds necessary to provide this incentive program and the subsequent barbecue were overlooked in the budgeting process last fall. As a result, it is necessary to request Council's approval for a supplemental appropriation of funds to cover the cost of this event. The projected costs for the event are: (1) Approx. 300 volunteers @ $20 $ 6,000.00 (2) Approx. 100 volunteers @ $30 3,000.00 (3) Cost for vehicle mileage for TOV vehicles 150.00 (4) Cost for orange safety vests (approx. 30) 150.00 (5) Cost for garbage bags 1,000.00 (6) Cost of picnic supplies (items not donated) 500.00 TOTAL $10,800.00 The staff would request approval for a budget of $ 10,800.00. SPECIFICS: The staff proposes Clean-Up Day be planned for May 5, 1990 from 9:00 am to 12:00 pm with the barbecue to follow on the lower bench of Ford Park from 12:00 pm to 3:00 pm. The rain date would then be scheduled for May 6, 1990. I have contacted Shirkie Evans and he has indicated a willingness to repeat his wonderful performance from last year for the barbecue. The Learning Tree has also offered to provide babysitting/child care services for those individuals with young children who would like to participate. We have based a preliminary budget on the sketch concept presented in January, 1990 which showed the addition of 2 additional banner poles in the existing planters at the east entrance to LionsNead Mall, and we see the scope of work to be as follows: 1. Provide a more accurate sketch and description of existing conditions showing as built dimensions. Research and provide detailed information on how existing flag poles in planter were installed, 2. Provide structural engineering to determine wind load and any special installation requirements. Review selected fabricator foundation drawings. This work may be done by a Town of Vail engineer. 3. Provide an S-1 /2" x 1 1 " illustration on dimensions, procedures and banner criteria. This illustration would be supplied to individuals and groups planning to hang a banner on the mall. 4. Provide coordination of bidding fabrication, a minimum of 3 Pole fabricators/suppliers. (We have included one General Bid from The Flag Man, Denver, CO for estimating purposes only) S. Provide schematic design, design development drawings and cost. estimates for upgrading the Information Kiosk with new signage, special events board and architectural details. After moving to Arizona in 1964, he studied fine art at Phoenix College and Arizona State University before becoming a professional sculptor in the early 70's. Michael has created work in different media but is most recognized f.or his gracefully sweeping works in steel. Timber Ridge informed us the sooner commitments are made the better chance we have of reserving these units. k 5 `; TOWN OF VAIL/EUROFAIRE OF VAIL, INC. 1990 LEASE THIS LEASE is made and entered into this day of , 1990, by and between the TOWN OF VAIL, COLORADO ("Town"), and EUROFAIRE OF VAIL, INC. ("Lessee"). WHEREAS, Lessee wishes to lease the Town's Children Park (lower bench) located in Gerald R. Ford Park within the Town of Vail, County of Eagle, Colorado ("Premises"); and WHEREAS, the Town is willing to rent said Premises to the Lessee upon the conditions hereinafter expressed. NOW, THEREFORE, the parties agree as follows: 1. The Town hereby leases to Lessee the entire lower bench field for a four (4) year term covering the following specific dates: July 5-9, 1990, July 11-15, 1991, July 9-13, 1992, July 8-12, 1993. 2. Lessee shall have an option to extend this lease for a subsequent four (4) year period upon the same terms and conditions as set forth herein, except. that the number of days the premises are leased, and the rent paid by the Lessee to the Town shall be subject to negotiation by the parties and the Lessee shall have no right to an additional option period. Lessee shall exercise the option for the subsequent term by notifying the Town in writing at least ninety (90) days prior to the expiration of the current term. 3. In the event of a breach by the Lessee of the terms and conditions of this Agreement, the Town shall have, in addition to any other legal recourse, the right to terminate this Agreement immediately, to enter and obtain possession of the entire Premises, and to remove and exclude any and all persons in the Premises, and J r to remove and exclude any and all property of the Lessee therefrom, all without ° notice or resort to legal process. The Town reserves the right to cancel this Lease for reasonable cause to include threats to public safety, facility damage, illegal uses, and a change to the :official land use of Gerald R. Ford Park. 4. It is expressly understood that the Premises are to be used by Lessee exclusively for food and beverage sales or service, musical entertainment, dancing, exhibitions, and similar activities. None of the activities of Lessee shall block access to the children's playground on the lower bench. 5. Lessee shall maintain the Premises and the adjoining area used by Lessee or its invitees in a first class condition and shall yield up said Premises to the Town in good condition and repair at the end of the Lease Term. Lessee agrees that if the Premises are damaged during the term of this Agreement by the act or negligence of the Lessee, or its officers, agents, employees, guests, patrons, or any person or persons admitted to the Premises by the Lessee, the Lessee shall pay to the Town upon demand such sum as shall be necessary to restore the Premises to the condition they were at the commencement of this Lease. 6. Lessee shall obtain and exhibit to the Town prior to the Lease Term an appropriate special events liquor license for the Premises. 7. All monies and registrations received for the use of Premises during the Lease Term shall be the property of Lessee. Lessee agrees to contribute twenty-five percent (25°~~ of net proceeds from the total event to a Cultural and Recreational Facilities Fund. Fund will be jointly controlled by the Vail Valley Foundation, EuroFaire of Vail, Inc., and Vail Metropolitan Recreation District. Each organization will appoint one-third (1/3) of the trustees. The purpose of the fund -2- is to facilitate the construction of new cultural and recreational facilities throughout the Vail Valley. 8. Lessee shall pay the Town two hundred fifty dollars ($250) for all fields utilized until gross attendee expenditures on leased premises at EuroFaire reach one hundred thousand dollars ($100,000), at which time the Town will receive one-half of one percent (.5%) of gross sales on the lower bench generated by EuroFaire activities as set forth in paragraph 4 hereof. 9. Lessee shall deposit with the Town at the time of the signing of this Lease one thousand dollars j$1,000) as security for the performance by Lessee of the terms of this Lease. Town may use, supply or retain the whole or any part of the security so deposited to the extent required by reason of the Lessee's default in respect to any of the terms of this Lease, including the repair of any damage to the Premises during the Lease Term. In the event the Lessee shall comply with all the terms of this Lease, the security shall be returned to the Lessee after delivery of the possession of the Premises to the Town. 10. Lessee has inspected the Premises, is familiar with the present condition thereof, and agrees to accept the Premises in such condition at the commencement of the Lease Term. 11. Lessee will permit no dogs on the Premises at any time during the Lease Term. 12. Lessee shall not allow any glass containers for drinking purposes on the Premises during the term of this Lease. Those for cooking and beverage service are allowable, provided Lessee removes any breakage. 13. Lessee shall allow cars to park only in areas designated for parking by the Town. 14. Lessee shall be solely responsible for damage or injury to the property or effects of the Lessee or any individuals entering onto the Premises during the Lease Term. -3- .~ S 15. Lessee, for the term of this Lease, shall provide sufficient portable toilets as required by the laws of the State of Colorado and the ordinances of the Town of Vail, and will further insure that such toilets are properly maintained during their use. 16. Lessee shall not allow anything to be done on the Premises which may injure or endanger any person, and Lessee shall save and hold the Town of Vail harmless from and against all claims, liabilities, damages, loss, cost or expense, including reasonable attorneys fees, for injury or damage to persons or property on or about the Premises. Lessee shall obtain and deliver to the Town a policy of insurance issued by an insurance company licensed in the State of Colorado indicating that the Lessee has obtained general public liability insurance in limits of five hundred thousand dollars ($500,000} for injury to any one person and one million dollars ($1,000,000) for bodily injury in the aggregate and a minimum limit for property damage of five hundred thousand dollars ($500,000), which policy shall name the Town as an additional insured and shall contain the provision that it may not be cancelled or materially altered until after the Lease Term. Lessee shall also obtain and deliver to the Town a policy of insurance issued by an insurance company licensed in the State of Colorado indicating that the Lessee has obtained general liquor liability insurance in limits of five hundred thousand dollars ($500,000) for injury to any one person and one million dollars ($1,000,000) for bodily injury in the aggregate, and a minimum limit of property damage of five hundred thousand dollars ($500,000}, which policy shall name the Town as an additional insured and shall contain the provision that it may not be cancelled or materially altered until after the Lease Term. 17. The Town shall determine in its sole discretion whether the Premises are over-saturated with moisture during the Lease Term and if the Town makes such -4- i 1. w determination, Lessee agrees not to allow use of the Premises until the Town in its sole discretion determines that the Premises have dried sufficiently. 18. The Town reserves for itself the right at any time to enter upon the Premises for the purposes of fulfilling its obligations pursuant to this Lease for any other reasonable purpose. 19. The Lessee shall provide for appropriate policing of the Premises and shall maintain public peace and good order upon the Premises during the Lease Term. 20. Lessee agrees to observe and comply with all laws and regulations of the Town of Vail, State of Colorado, and the United States of America and to observe and comply with all the rules and regulations of the Town during the Lease Term. 21. Town acknowledges Lessee's sole and exclusive ownership of the EuroFaire trademark and commercial rights. 22. Assignment and Subletting Lessee shall not assign, convey, or sublet this Lease or any interest in this Lease with the prior written consent of the Town. Any sale, transfer, pledge, or other disposition of Lessee's corporate stock which results in a change in the voting control of Lessee which involves twenty-five percent (25%) or more of the voting securities of the Lessee, shall be deemed a transfer subject to the provisions of this Section. The Town shall not unreasonably withhold its consent to any assignment of this Lease Agreement. 23. Notices A. All notices required to be given the Town hereunder shall be given by mailing such notice addressed to Town of Vail, Attn: Town Manager, 75 South Frontage Road, Vail, CO 81657. B. All notices required to be given the Lessee hereunder shall be given by written notice mailed to EuroFaire of Vail, Inc., Attn: John Horan-Kates, President, 953 South Frontage Road, Vail, CO 81657. -5- 24. Nothing in this Lease shall be deemed to create a partnership between the Town and the Lessee. 25. Lessee has leased the adjacent property to the north commonly known as the upper bench of Ford Park from the Vail Metropolitan Recreation District during the same term as this Lease and, for the same EuroFaire events. Lessee agrees to coordinate activities and events occurring on both upper and lower benches with the District and the Town.
