Site Visit: Northwoods Special Development District (SDD #2) Andrew Knudtsen Action Reauested of Council: Prepare to approve/deny, on first reading at evening meeting, Ordinance No. 33, Series of 1991, an ordinance requesting a major amendment to SDD #2, to allow for an addition to the building and improvements to the right-of- way, located at 600 Vail Valley Drive, a part of Tract B, Vail Village Seventh Filing. (Applicant: Pinos del Norte Condominium Association) Backaround Rationale: The Pinos del Norte Condominium Association would like to construct a lounge that would be approximately 1,000 sq. ft., and 16 storage lockers, each approximately 50 sq. ft. These improvements are proposed to be located on the north side of the existing building. The landscaping treatment around these improvements will be bermed up over the roof so that only the east elevation of the lounge will be visible. In addition to the expansion of the building, the applicant is proposing to construct a sidewalk and bicycle lane running the distance of the Pinos del Norte property, which conforms to the Streetscape Plan and the Recreation Trails Master Plan. The PEC reviewed the proposal on September 23, 1991, and recommended approval to the Town Council with a 4-0 vote, with conditions. Staff Recommendation: Staff recommends the Council approve the major amendment to SDD#2 on first reading. 12:20 p.m. 2. Review of Vail Valley Consolidated Water District (VVCWD) Shelly Mello request to place a water treatment building on Town of Vail land (golf course) Action Reauested of Council: Approve/deny request to proceed through the planning process. Backaround Rationale: VVCWD has water rights to a number of wells located on the golf course. The Town of Vail owns this land. These water rights were negotiated with the Town a number of years ago and were legally adopted. Staff Recommendation: Staff recommends that the VVCWD be allowed to proceed through the review process. 12:35 p.m. 3. RECITALS 1. The parties wish to cooperate in the provision of regional transportation services as set forth in the regional services plan attached as Exhibit "A" and incorporated herein ("transportation services"). 2. The parties wish to enter into an agreement to set forth the terms and conditions for the provision of such services. AGREEMENT The parties agree as follows: 1. TERM OF AGREEMENT This agreement shall commence on November 15, 1991 and shall terminate on September 30, 1992. 2. SCOPE OF SERVICES The routes and hours of service shall be as set forth in Exhibit "A". 3. CONSIDERATION The parties shall contribute the following funds, equipment, and services in furtherance of the provision of transportation services: A. Avon shall contribute the sum of In addition, Avon shall contribute certain transportation equipment and shall be responsible for providing the day to day operation of the transportation services as set forth more specifically in paragraph 6. B. Beaver Creek shall provide the sum of ,and in addition shall contribute certain transportation equipment to be operated by Avon. C. Vail shall contribute the sum of D. Leadville shall contribute all ridership fares received by it. Such money shall be deposited in a bank account designated by the transportation task force 1 established in paragraph 4 and shall be made available to Avon for the operation of the transportation services. 4. ADMINISTRATION The transportation services provided for in this agreement shall be generally administered by a transportation task force consisting of four members. Each party shall appoint one member. The appointee and his term of appointment shall be at the sole discretion of the appointing party. 5. MEETINGS OF THE TASK FORCE The task force shall provide for regular monthly meetings at a time and place fixed by resolution of the task force. The task force may conduct special meetings from time to time as it determines may be necessary. 6. OPERATION OF TRANSPORTATION SERVICES The day to day operation of the transportation services shall be the sole responsibility of Avon. Avon shall provide all employees necessary for the efficient operation of the system and, in addition, shall provide for the reasonable maintenance of all equipment utilized in the provision of transportation services as provided for in this agreement. All persons employed by Avon in the operation of the transportation services shall remain employees of Avon. Standards of performance, discipline of employees, and other matters incidental to the performance of such services and the control of personnel so employed shall remain with Avon. All persons employed by Avon in the performance of transportation services shall be paid directly by Avon, and no other party shall assume any liability for the direct payment of any salaries, wages, benefits, or other compensation to such personnel. Avon shall be solely liable for the compensation or indemnification of any such employee for injury or sickness arising out of his or her employment. 7. BUDGET AND Exr~NDITURE OF FUNDS (A) Prior to the provision of transportation services as provided for in this agreement, the task force shall adopt a budget for maintenance and operation costs, and capital costs no later than November 1, 1991. (B) Avon shall submit to the task force an accounting of funds received and expended by it for each month during the term of this agreement at the first regular task force meeting and each such regular meeting thereafter. The reports shall be substantially in the form attached to this agreement as Exhibit "B". 2 (C) Avon shall submit to the task force its unaudited financial report for the operation of the transportation service during the term of this agreement no later than 1992. In addition, Avon shall submit to the task force for its review an audited report a reasonable time after it is completed. The expense of this audit shall be paid by Avon as an expense of operation of the transportation service. (D) Avon shall keep or cause to be kept true, accurate, and complete accounting records of all business and financial transactions conducted pursuant to this agreement, and shall make such records available to the task force or any of t;he parties upon a reasonable request therefore. (E) In the event that Avon realizes an excess of revenues over the expenses and costs of operating the transportation system, the task force will determine the disposition of such funds. In the event that Avon determines during the term of this agreement that additional funds will be necessary to continue the operation of the transportation system, the task force shall be notified and shall make a determination as to what steps need to be taken. The task force shall have the right to modify or terminate the services provided for in this agreement. (F) Vail and Beaver Creek will pay one twelfth of their cash contribution set forth iri paragraph 3 on or before the 15th day of each month commencing on December 15, 1991 and continuing on the 15th day of each month thereafter during the term of this agreement. Such contributions are conditional upon the task force receiving the monthly accounting report from Avon as set forth in paragraph 7(B) hereof. 8. INDEMNIFICATION Each party agrees to indemnify, defend, and hold harmless to the extent allowed by law each other party, its respective agents, officers, and employees of and from any all loss, cost, damage, injury, liability, claims, liens, demands, action and causes of action whatsoever, including reasonable attorney's fees arising out of the indemnifying parties intentional or negligent acts, errors, omissions, or those of its agents, officers, servants, and employees. 9. INSURANCE Each party shall respectively provide its own public liability, property damage, and errors and omissions insurance coverage as each party may deem adequate and necessary to protect against any potential liability arising from this agreement. Further, each respective party shall name, subject to the approval of their insurance carriers, each other respective 3 party as a co-insured under such insurance policies to the extent of any potential liability arising under this agreement and, upon reasonable written request, shall furnish evidence of the same to the other respective parties. 10. MISCELLANEOUS PROVISIONS (A) This agreement does not and shall not be deemed to confer upon nor grant to any third party and rights to claim damages or to bring any lawsuit, action, or other proceedings against any of the parties because any breach hereof or because of any terms, covenants, agreements, or conditions contained in this agreement. (B) Except as specifically provided otherwise in this agreement, no modification or waiver of this agreement or any covenant, condition, or provision contained in this agreement shall be valid unless in writing duly executed by the party to be charged. (C) This agreement may not be assigned by any party without the prior written consent of all the other respective parties hereto.
