The goal was to' have the program ready in two years. Since that time, the Commission on Special Events (CSE) has been working very hard to restructure the process, to give our community a comprehensive special event-marketing plan. After hundreds of hours, we have prepared the following recommendation for the 2003 funding process: Commission on Special Events Member Organizations: (To be restructured immediately) • VVTCB - Events Manager • Vail Chamber and Business Association - Director • Vail Valley Foundation - Events Division • Vail Recreation District • Vail Resorts • Town Council member • Retail member • Lodging member • Restaurant member • Town of Vail Staff - no vote Appointments • The CSE will make recommendations of individuals to Town Council. Town Council will give the CSE an estimated figure that they anticipate to allocate to special events in 2003. (February 2002) 2. The Marketing District will pass on brand-strategies to CSE (February) 3. The CSE will prepare an event-marketing plan and request for proposals aligning with the brand strategies adopted by the Marketing district. (February) 4. The CSE will solicit event proposals to implement the event-marketing plan. (April) 5. The CSE will submit an overall event-marketing plan and request for funds to The Town Council for the next budget year. (May) 6. Town Council will approve or deny the proposal for finding (October) 7. If an event request comes outside the specified planning time-period, the CSE would review the merits of the proposal. If the CSE thinks it is an opportunity that cannot be missed, it would make a recommendation to Council as an addendum to the marketing plan. This calendar will be presented at the December 18`h Town Council meeting for their review and approval. Please note that the following dates attached in bold have been added for paid parking dates for Ford Park and I have put a line through the deleted the dates we discussed as not being a paid parking date. Currently, there are 32 paid parking dates on the calendar; one Managed Parking Only date; and two tentative paid parking dates on the calendar. This calendar and number of paid parking dates are subject to change as more events are added to the calendar. Introduction In June of this year the Vail Local Housing Authority interviewed three developers for a portion of the site known as Mountain Bell. After careful consideration Coughlin and Company of Denver, Colorado was selected to develop rental housing on the site. The Housing Authority has been working carefully with the Developer to create the appropriate development on the site. One of the main goals of this housing development is to create affordable rental,units. The financing of this project will contribute greatly to its affordability. To that end the Developer is working towards getting an allocation of Private Activity Bonds from the State of Colorado. The application to the State will request $15,000,000 in Private Activity Bond allocation. These tax-exempt bonds, Low Income Housing Tax Credits, and subordinate taxable financing and equity provided by Coughlin & Company will be used together to create the cost effective financing. The passage of an Inducement Resolution by a municipality is a requirement to make a complete application to the State for a Private Activity Bond allocation. The application is due to the State by January 18, 2002. II. Inducement Resolution As with all Private Activity Bond Allocations, the municipal issuer (Town of Vail) acts only as a conduit and does not assume any liability or responsibility for the repayment of the bonds. It is a requirement of the Tax Code that a municipal entity act as the issuer. Billions of dollars of these types of bonds are issued every year for the benefit of "private activities" sponsored by private companies. The State of Colorado's allocation from the federal government is more than $140,000,000 annually. As it states in the Inducement Resolution itself, "the Bonds shall not constitute a debt, multiple fiscal obligation or indebtedness of the Town... and shall not constitute nor give rise to a pecuniary liability of the Town or a charge against the Town's general credit or taxing powers..." The Town's credit rating is unaffected by the conduit issuance of the Private Activity Bonds, the Town assumes no financial obligation for the repayment, nor does the Town have any liability to the purchasers of the bonds. In this particular instance the Developer will be looking to secure credit enhancement from a triple A-rated bond insurance agency (Freddie. Mac, etc). The credit enhancement provider is taking the underlying risk and will have a first mortgage interest in the improvements and an assignment of rents and revenues from the project. The Developer pays the credit enhancement provider a fee. The enhancement provider, through the loan agreement, will either service the loan directly or designate a vendor to service the loan. A Bond Trustee will receive revenues from the mortgage servicer to make payments to the bondholders. In the event of a shortfall in revenues, the Bond Trustee will call on the credit enhancement provider to meet the bond obligations. III. Summary The role of the Town is limited to the up-front issuance of the Bonds; the Town does not participate in the ongoing servicing of the bonds nor does it take on any obligation for the repayment of the bonds. Any costs that the Town would incur (legal fees) would be paid through the proceeds of the issuance of the bonds. With this Inducement Resolution and the potential allocation of Private Activity Bonds from the State of Colorado the Developer and the Vail Local Housing Authority will be able to provide rental housing on the Mountain Bell site at more affordable rates. RESOLUTION NO. 15 SERIES OF 2001 A RESOLUTION DECLARING iaE INTENT OF 1HE TOWN OF VAIL, COLORADO TO ISSUE MULTIFAMILY HOUSING REVENUE BONDS TO PROVIDE FINANCING OF A MULTIFAMILY RESIDENTIAL FACILITY FOR LOW AND MIDDLE INCOME PERSONS AND FAMILIES; PRESCRIBING CERTAIN TERMS AND CONDITIONS OF SUCH BONDS; AND CONTAINING OTHER PROVISIONS RELATING TO THE PROPOSED ISSUANCE OF SUCH BONDS. WHEREAS, the Town of Vail, Colorado (the "Town"), is a legally and regularly created, established, organized and existing home rule town under the provisions of Article XX of the Constitution of the State of Colorado (the "State") and the Home Rule Charter of the Town (the "Charter"); and WHEREAS, the Town is authorized by the County and Municipality Development Revenue Bond Act, constituting Article 3, Title 29, Colorado Revised Statutes, as amended (the "Act"), to finance one or more projects (which includes any land, building or other improvement and real and personal properties) to the end that residential facilities for low and middle income families or persons intended for use as the sole place of residence by the intended owners or occupants may be provided which promote the public health, welfare, safety, convenience and prosperity; and WHEREAS, the Town is further authorized by the Act to issue revenue bonds for the purpose of defraying the cost of financing any project, including the payment of principal and interest on such revenue bonds for not exceeding three years, funding any reserve funds which the Town deems advisable, maintenance of the project and all incidental expenses incurred in issuing such revenue bonds, and to secure payment of such revenue bonds as provided in the Act; and WHERAS, representatives of Coughlin & Company, Inc., as managers or partners of a to be formed limited liability company or other partnership entity and its successors or assigns (the "Developer"), have met with officials of the Town and have advised the Town of the Developer's interest in the acquisition, construction, improvement and equipping of a multifamily rental housing project, consisting of approximately 142 units containing complete facilities for living, and have proposed that the Town issue its multifamily housing revenue bonds, in one or more series, to finance the Middle Creek project (the "Project"), which Project is to be located on land leased from the Town of Vail, within the boundaries of the Town, to be owned and operated by the Developer; and WHEREAS, the Project constitutes a project under the Act, and the Town wishes to declare its intention to authorize an issue of its multifamily housing revenue bonds, in one or more series (the "Bonds"), for the purpose of paying the cost of financing the Project, upon such terms and conditions as are contained herein; and WHEREAS, the Town has considered the Developer's Project proposal and, upon the expectation that the Project will provide more adequate residential rental housing for low and middle income persons and families within the Town, the Town wishes to declare its present intention to authorize the Bonds for the aforesaid purposes, all upon such terms and conditions as may be agreed upon by the Town and the Developer. -1- NOW, THEREFORE, BE IT RESOLVED BY THE TOWN COUNCIL OF THE TOWN OF VAIL, COLORADO: Section 1. In order to benefit the residents of the Town, the Town hereby declares its intent to authorize the issuance of tax-exempt Bonds in an aggregate principal amount of $15,000,000, which amount is estimated to be sufficient: (a) to finance a portion of the Project; and (b) to pay certain costs incurred in connection with the issuance of the Bonds. Section 2. The Town Council of the Town (the "Council") hereby finds, determines, recites and declares that the Bonds shall not constitute the debt, multiple fiscal year obligation or indebtedness of the 'own, the State or any political subdivision of the State within the meaning of any provision or limitation of the State Constitution or statutes and shall not constitute nor give rise to a pecuniary liability of the Town or a charge against the Town's general credit or taxing powers, nor shall the Bonds ever be deemed to be an obligation or agreement of any officer, director, agent or employee of the Town in such person's individual capacity, and none of such persons shall be subject to any personal liability by reason of the issuance of the Bonds. Section 3. The Bonds shall be special, limited obligations of the Town payable solely from the payments to be made by the Developer (as described below) to the Town under a Loan Agreement to be entered into by and between the Town and the Developer. Section 4. The Council hereby finds, determines, recites and declares that the issuance of the Bonds to finance the Project will promote the public purposes set forth in the Act, including without limitation, assisting persons or families of low and middle income in obtaining decent, safe and sanitary housing. Section 5. The Council hereby finds, determines, recites and declares the Town's intent that this resolution constitute an official indication of the present intention of the Town to issue the Bonds as herein provided, subject to: (a) the Developer either obtaining a binding final commitment of credit enhancement for the Bonds from a credit enhancement entity which is acceptable to the Town or obtaining a commitment for the purchase of the Bonds on a private placement basis by qualified institutional buyers or accredited investors which are acceptable to the Town; (b) the delivery of an approving opinion of bond counsel to the Town; (c) the delivery of a market study, appraisal, survey, title insurance, environmental audit and plans and specifications, all as may be required and are acceptable to the provider of credit enhancement and the Town, as applicable; (d) successful negotiation and approval of a Loan Agreement and related financing documents in forms satisfactory to Council; and (e) the adoption of a final bond ordinance by the Council. Section 6. The appropriate officers of the Town are hereby authorized to take such actions as contemplated by the Internal Revenue Code of 1986, as amended and by the Colorado Private Activity Bond Ceiling Allocation Act, constituting Article 32, Title 24, Part 17, Colorado Revised Statutes, as amended (the "Allocation Act") that may be necessary to assist the Developer is applying for volume cap allocation from the state wide pool pursuant to the Allocation Act. Section 7. South Frontage Road Vail, CO 81657 Re: Middle Creek Project Dear Ms. Timm: Mike "Coughlin requested that I write to -you= discussing the Inducement 'Resolution ("Resolution")that the Town' has been asked to adopt for the benefit of the above-referenced matter. ` The Resolution is a' required component of the application to the State of Colorado for the statewide balance of private activity bond allocation. The application deadline is mid- January, 2002. In addition to the State requirement, under the Federal Tax Code of 1986, as amended ("Code"), an inducement resolution of an issuer is necessary in order for proceeds of private activity/tax-exempt bonds to be used for payment of project costs incurred prior to the actual issuance of such bonds. Tax-exempt bonds, of course, lower the cost of borrowing for a project and are intended to enhance the feasibility of private undertakings that the federal government has identified as supporting public purposes (affordable housing, economic development, etc.). An issuer of the bonds must be a governmental entity so that interest on the bonds is tax-exempt, however, the issuer of conduit bonds is NOT responsible for the payment of debt service thereon and assumes no financial liability in connection therewith. The need for a governmental entity to act as a conduit issuer is a requirement of the Code and does not, in any way, impact the credit of the underlying issuer, place any liability, cost burden or administrative burden on the issuer, or reflect a statement from the issuer about the financial strength of the underlying project. In-'conjunction with the issuance of bonds for this project (the "Bonds"), the Town will likely be represented by its attorney`who will review all documents the Town must sign in order to effect the closing. The Town Council will also need to- pass another resolution 'that will authorize the Bond documents and the. issuance of the Bonds. Thereafter, the involvement of the Town during the term of the Bonds can be, and typically is, non-existent. Bond proceeds will be used to pay all legal costs incurred by the Town that results from its cooperation and assistance in issuing the Bonds. Private activity bonds are fundamentally "project loans", or "conduit bonds" secured solely by the collateral of the project and repaid by the revenues of the project. Potential Bondholders will look to the project team and other underwriting factors in determining their interest in the purchase of the Bonds. It is the developer's responsibility, therefore, to select and negotiate with the lenders, underwriters, attorneys, investors, and providers of credit enhancement to ensure a timely and competitive issuance of bonds.. Issuers of conduit bonds are not, in our experience, typically involved in these activities. By way of background, Snell and Wilmer has been selected by Coughlin & Company to act as bond/disclosure counsel and will be providing the customary legal opinions required in connection with the issuance of the Bonds.
